Berhad formation and commencement

How to Register a Public Company in Malaysia

Build the filing around the company’s legal form, then verify when the registered entity may begin business.

Register a Malaysian public company limited by shares with the Companies Commission of Malaysia (SSM), using the Corporate Registry System (CRS) through SSM4U. Arrange at least two directors ordinarily resident in Malaysia and at least one promoter before filing. A company limited by guarantee (CLBG) is also public, but follows a separate approval route. SSM incorporation alone does not authorise a share offer, exchange listing or immediate commencement of business.

Key takeaways

  • A commercial Berhad with shareholders and a CLBG with guarantee members require different filing packs; choose the form before selecting a system transaction.
  • Both required public-company directors must satisfy the Malaysian residence rule; a shareholder’s nationality does not establish a director’s residence.
  • Direct registration can combine the proposed-name and incorporation work, so a separate name reservation is a choice rather than a universal first payment.
  • Keep a separate commencement file for a public company with share capital, including the applicable prospectus or statement-in-lieu route and statutory declaration.
  • Record the entity approval, commencement entitlement and operating permissions separately so the board can identify the unfinished launch conditions.

Choose the public-company route before reserving a name

Use a public company limited by shares when the intended structure has shareholders and share capital. Its usual name ends in Berhad or Bhd. It can remain unlisted: public status and admission to a stock exchange are separate matters. SSM’s starting-company requirements specify at least two ordinarily resident directors and a minimum of one promoter for the public-company route.

Choose the liability form before the filing route. A CLBG has guarantee members rather than share capital and must pursue permitted objects. Under the CLBG guidelines revised on 14 July 2026 , its constitution is mandatory and resources must support its objects. It is not the structure for distributing dividends to equity investors.

If the project needs a CLBG

Start with SSM’s CLBG Checklist 1 : apply online in CRS for the Registrar’s pre-incorporation approval under section 45. Prepare the activity details, draft constitution, promoter and director identification, biodata, consents, required statutory declaration and two-year income and expenditure forecast. This application has a MYR 200 fee, separate from incorporation. Resolve the approval conditions before completing incorporation with the constitution. Omitting Berhad and soliciting public donations involve additional approvals; neither follows automatically from registration.

The steps below focus on a new commercial public company limited by shares. If an existing Sdn. Bhd. is becoming public, use the conversion procedure under section 41 instead of registering a second entity. Map the underlying formation details against company registration requirements in Malaysia while retaining the public-company board and commencement requirements described here.

Confirm the right Berhad route

Discuss whether your shareholders, intended objects and proposed activity fit a share company or the separate CLBG route.

Prepare a filing pack the directors can approve

Prepare one agreed record of the proposed company, people, ownership and initial shares. A share company needs at least one member and one share; the required directors must be natural persons aged 18 or over. The section 14 application requirements cover the name, public status, business, registered office, member and director particulars and shares to be taken. Each promoter or director must provide the relevant consent and non-disqualification statement. Identify any section 198 disqualification before obtaining signatures.

  • Company instructions: proposed names, actual business activities, relevant MSIC selections, a Malaysian registered-office address and a monitored company email.
  • People: identification or passport details, nationality and residential particulars for the proposed members and directors; evidence supporting the two required directors’ residence and their consents.
  • Corporate subscribers: registration details, registered office, corporate authorisation and an ownership chart with supporting records for due diligence.
  • Shares: each subscriber, class and number of shares, payment arrangements and intended rights; reconcile these instructions with any investor agreement.
  • Conditional material: a constitution if adopted for the share company, and any required name consent, professional qualification or authority referral.

SSM’s incorporation particulars page explains that a share company may have a constitution, whereas a CLBG must have one. It also identifies corporate-shareholder consent and activity-specific supporting documents. Ask the appointed filer to distinguish uploads required by SSM from the filer’s identity, ownership and source-of-funds checks; the latter may require additional evidence.

For overseas subscribers, match the corporate name, registration number and authorised signatory across the application and supporting records. Agree any translation or certification requirements with the recipient before commissioning documents. The identity and corporate records needed for filing help organise the evidence, but the public-company application still needs its own two-director check.

Two resident directors means two qualifying individuals, not two addresses assigned to one founder. Record who will monitor correspondence and organise the secretary appointment. SSM requires that appointment within 30 days after incorporation. The route diagram separates the share-company submission from the CLBG approval dependency before either produces a registered entity.

Two public-company filing paths and their different follow-up duties A public-company project branches into shares or guarantee. The share company proceeds to section 14 incorporation and a registration notice followed by section 190. The CLBG needs pre-incorporation approval, a constitution and incorporation, and remains governed by its objects. Public company registration Shares: prepare the section 14 file Guarantee: obtain section 45 approval Submit incorporation through CRS Constitution and incorporation Registration notice then section 190 Registration notice objects govern use
Choose the legal form first: the share-company commencement file and the CLBG approval file are different dependencies. Neither route creates an exchange listing.

Submit the share-company application in CRS

Use SSM’s current local-incorporation instructions , checked on 5 November 2026. They direct applicants to SSM4U and CRS; older MyCoID headings and links remain on some SSM pages. A registered director or shareholder, or a company secretary, may act as applicant. Follow the current transaction instructions rather than an old screen-by-screen tutorial.

  1. Activate the applicant’s account using SSM’s registration and identity-verification instructions, then sign in to SSM4U and open CRS. SSM’s particulars page describes email activation and verification at an SSM counter or tap.it kiosk.
  2. Open Application, select ROC as the transaction entity and enter the name-search/new-incorporation service. Choose the appropriate company type, subtype and Berhad suffix.
  3. Select Direct Registration to submit the proposed name with the incorporation particulars, or reserve the name first. For an approved reservation, return through My Name Reservation Application and Incorporate within 30 days.
  4. Complete the section 14 Super Form, including application details, directors and members, agency information, declarations and lodger particulars. Attach the supporting material applicable to this company.
  5. Download and reconcile the generated Super Form PDF against the approved instructions. Complete the payment and electronic submission, then retain the transaction reference and receipt.
  6. Monitor the dashboard and View Notification, together with the registered company email, for approval or a query. Save the final registration output to the company’s records.

CRS also offers a route named Guaranteed Incorporation, using a system-generated GI name. That service name does not promise a bank account, business licence or securities approval. Use the named-company route when the founders need a specific approved name.

Give the directors the exact final PDF they are approving. A late change to the subscriber, share class or residential particulars should be reconciled across the instructions and declarations before submission. Keep the approved version and submission version together so a later query can be answered against the actual filed record.

Reconcile the filing instructions

Bring the proposed board, subscriber records and share schedule together before approving the section 14 submission.

Track filing charges, SSM queries and the registration output

For the ordinary share-company route, the current SSM incorporation instructions list MYR 1,000 for incorporation plus MYR 10 for company-data sharing with relevant agencies. A separate name reservation is MYR 50. These are official filing components checked on 5 November 2026, not a professional-service quotation or the company’s capital.

Item Amount and cycle Scope and exclusions
Share-company incorporation MYR 1,000 once SSM incorporation fee; excludes professional work and capital
Agency data sharing MYR 10 per incorporation transaction Additional component listed in the CRS incorporation instructions
Separate name reservation MYR 50 per application Optional preliminary transaction; observe the approval’s validity
CLBG incorporation MYR 3,000 once SSM particulars page; separate from the MYR 200 pre-incorporation application

The SSM processing-fee table distinguishes the CLBG incorporation charge. Obtain a separate scope for secretary, registered office, drafting, certification and other third-party work, with any applicable SST identified on the quotation. Share subscriptions and operating cash remain separate from expenditure on filing.

The SSM charter and query instructions state one working day after receipt with complete payment; it does not cover your preparation or promise an end-to-end launch date. A queried application must be completed and resubmitted through CRS within 30 days from the query date or it is automatically rejected. The same instructions state that paid fees are non-refundable. Diary the query deadline immediately.

For a mismatch, correct the underlying identity or share instructions before replacing the affected material. For a name or activity query, answer the specific objection and include the relevant consent. Keep the query, response and resubmission evidence together. If payment appears successful but submission is uncertain, reconcile the receipt and dashboard record before attempting a second transaction.

The notice of registration is the normal evidence that the entity has been incorporated. Save it with the approval notice and confirm the registered name and number. A certificate of incorporation can be requested separately under section 17 ; it is not a substitute for completing the public-company commencement requirements.

Clear the share-company commencement requirements

A registered public company with share capital must clear its commencement requirements before beginning business or borrowing. Under sections 188–190 of the Companies Act , a company without a prospectus must lodge a compliant statement in lieu of prospectus and meet the directors’ applicable cash-payment condition. Section 188 requires the statement at least three days before its first allotment of shares or debentures. The prospectus route has its own subscription, repayment and payment conditions.

Section 190 requires a statutory declaration by the secretary or a director, supported by the prescribed financial and contract particulars; entitlement begins after its lodgement. The SSM forms register lists the statement-in-lieu lodgement under section 189(1) and Form 18 for the section 190 declaration. Have the secretary sequence these filings against the proposed allotment and first business commitment. Do not treat the section 14 receipt as commencement evidence.

Use the following handover record as a board working document. Enter the document reference, responsible person and outstanding action in each row; a blank reference is a reason to investigate, not an assumed approval.

Gate Evidence to record What remains if missing
Entity formed Registration notice, name, number and filed section 14 record Resolve the application status; payment alone proves no incorporation
Business commencement Applicable prospectus/statement-in-lieu record and section 190 declaration lodgement Hold the launch and borrowing pending the secretary’s review
Operating activity Required sector/premises permissions, bank and tax arrangements Assign each unfinished workstream separately
Proposed share offer Offer classification and applicable securities-law advice/filings Do not use Berhad status as permission to market an investment

For fundraising, the Securities Commission’s unlisted-public-company guidelines apply according to the offer and instrument, with specified exemptions. Do not assume all offers have the same consultation requirements. A proposed exchange listing is another project requiring the applicable admission process, rather than an extra box in incorporation.

Set the post-incorporation governance calendar at handover. Public companies have auditor and AGM obligations; the private-company audit-exemption route should not be imported into this plan. SSM’s current AGM and meeting FAQ helps distinguish public-company obligations. Assign the secretary appointment, registers, beneficial-ownership work, accounts and future filings to named owners.

Decide whether the Berhad can launch

Proceed with the share-company filing when the legal form, two resident directors, subscribers, share instructions and required supporting material are settled. A missing director or unresolved subscriber identity belongs in preparation, before payment. A CLBG project should follow its approval and constitution route instead of adapting the commercial share-company pack.

After incorporation, release the first business or borrowing commitment only when the commencement record and relevant operating permissions support it. If the registration notice is present but the section 190 evidence is absent, ask the secretary to resolve that specific gap. If the next proposed action is an investment advertisement or share offer, obtain the securities assessment before circulation. The board’s useful finish line is documented authority for its next action, rather than possession of a Bhd. name alone.

Review the launch evidence

Identify the outstanding commencement, operating or offer-related work before the company makes its first commitment.

Frequently asked questions

Does Berhad in a name mean the company is listed?

No. It identifies a public-company form, subject to the applicable naming rules. Exchange admission and permission for a particular securities offer require their own assessment.

Can a shareholder submit the application personally?

SSM’s current instructions allow a registered director or shareholder, or a company secretary, to act as applicant. Account verification and the public-company filing requirements still apply.

Is a constitution compulsory for every public company?

It is compulsory for a CLBG. A company limited by shares may choose whether to have one, although its proposed rights and governance arrangements may make a tailored constitution useful.

Can an existing Sdn. Bhd. use these new-incorporation steps?

A company changing from private to public status should use the section 41 conversion procedure. A new incorporation creates a different legal entity and does not itself convert the existing company.

Does a new CLBG automatically have approval to seek public donations?

No. Solicitation requires separate approval. The current SSM checklist also requires the latest year’s audited financial statements and says a CLBG incorporated for less than one year is not eligible for that application.
