THAILAND ASSOCIATION REGISTRATION

How to Register an Association in Thailand: Members, Rules, and Approval

A practical route from a member-led purpose to an approved rulebook and registration certificate.

To register an association in Thailand, at least three prospective members jointly apply to the association registrar for the locality of its proposed head office. The application includes rules, details of at least ten prospective members and a separate proposed committee list. The registrar assesses the purpose, rules and committee before registration creates a legal person. These requirements come from Civil and Commercial Code sections 78–83 .

Plan the work from agreement on membership and governance, through a signed local filing and any corrections, to receipt of the registration certificate. Tax treatment and permissions for particular activities require separate checks. The route below concerns an ordinary association under the Code; trade associations, chambers of commerce and foundations follow different legal frameworks.

Key takeaways

  • Three applicants and ten prospective members are different requirements; neither number describes the whole committee automatically.
  • Rules must explain how people join, pay dues, govern the association and hold its committee accountable.
  • File through the district office serving the head office, with the registration decision made by the competent association registrar.
  • Rule amendments and committee changes have different filing deadlines after registration.

Choose membership governance before preparing forms

An association is designed for a continuing collective activity without dividing profits or income among participants. Under section 78 of the Code, it needs rules and registration. Membership can support an ongoing cultural, professional, recreational or community purpose, but the actual objects and activities must satisfy the registrar. Calling an organisation a club or nonprofit does not settle its legal form.

Members are participants in governance, not holders of a distributable ownership stake. The distinction also matters on closure: section 107 prevents remaining assets after liquidation from being divided among members. The Code’s association provisions instead direct the remaining property through the prescribed association, foundation or charitable-purpose recipient route. Decide whether that restriction fits the group before asking people to join.

Where participants expect shares, commercial ownership or returns distributed to owners, first compare the commercial company and limited partnership routes . A group choosing incorporation can then plan company registration in Thailand . Those commercial structures address a different objective; their company filing instructions do not replace the association process.

Agree the intended activities, who can become a member, how the association will finance them and where its actual head office will be. These choices determine the rules, supporting records and local intake office. Addressing them together avoids a constitution that promises one model while the funding plan or founding minutes describe another.

Separate the applicants, members and committee

Section 81 requires at least three people who will become members to apply jointly, accompanied by names, addresses and occupations of at least ten prospective members and of the proposed committee. Use three separate checks when assembling the people records. A person may appear in more than one capacity, but each required list and signature still needs to perform its own function.

Capacity What the filing needs Practical check
Applicants At least three prospective members jointly making the application. Match the applicant names to the signatures on ส.ค.1.
Wider membership A list of at least ten prospective members, with addresses and occupations. Confirm the people are joining the association described in the rules.
Proposed committee A separate list of the people proposed to manage the association. Match names and positions to the founding minutes and committee provisions.

Committee composition needs its own attention. Section 79 requires the rules to specify its number, appointment, terms, departure and meetings. Min Buri district’s association instructions also state a minimum of three committee members. Keep that local requirement distinct from the Code’s three-applicant threshold; neither removes the ten-person membership list.

The registrar considers the proposed committee’s standing and conduct in relation to the association’s objects under section 82. Gather identity and address evidence early and make sure each proposed committee member understands the intended role. Do not use a convenient name only to fill a list: the committee will manage the organisation under the rules and represent it in dealings with outsiders.

Resolve the membership and management roles

Have the proposed applicants, membership list and committee checked together before the group approves its founding papers.

Make the rules agree with the founding record

The constitution is part of the approval decision, rather than a document to complete after registration. Sections 79 and 80 require eight subject areas and a name containing the Thai word สมาคม. Describe the real purpose clearly and give the members a workable mechanism for making decisions. Broad language should not conceal a plan to distribute earnings.

Use this rule-to-file test before the founding meeting. The middle column contains practical drafting decisions; the final column shows where inconsistent records can expose an unresolved decision. It is a preparation tool derived from the statutory topics, not an additional government form.

Required rule topic Decision to settle Cross-check in the file
Name and objects Choose an identifiable name and a clear continuing purpose. Use the identical name and purpose in ส.ค.1 and the minutes.
Head office and branches State the offices the association will actually use. Match the address to location plans and premises consent.
Admission and loss of membership Define entry, resignation and any termination procedure. Check that the founding membership fits the stated admission criteria.
Membership dues Set the rate and how payment obligations work. Ensure the founding record approves the same dues arrangement.
Committee Set number, selection, terms, removal and committee meetings. Reconcile the proposed slate, offices and appointment record.
Management, accounts and property Allocate authority and financial responsibility. Ensure the intended signers and spending arrangements fit those powers.
General meetings Set a workable procedure for member decisions. Confirm future elections and amendments can follow it.

The seven rows group the eight statutory subjects by combining name and objects. Resolve practical questions while drafting: who admits a new member, what happens when an officer leaves, who controls spending, and what records members can inspect? A complete clause is useful only if the association can operate it. Keep operational detail proportionate to the group, while preserving the Code’s member rights and mandatory procedures.

Three roles, one association rulebook, one registration decision Applicants, the wider membership and the proposed committee have different roles. Their information must agree with the rules submitted through local intake to the association registrar. Match the people to the approved rules Applicants: at least 3 Prospective members Sign the application Members: at least 10 Names, addresses, occupations Member governance Proposed committee Separate named list Suitability review One consistent rulebook and founding record Purpose · membership · dues · committee · meetings Management · accounting · property · offices Local intake → association registrar Review and any required corrections Registration certificate: ส.ค.4 Registered association becomes a legal person
The application combines different people records with one consistent set of rules. A complete file still requires the registrar’s substantive approval.

At the founding meeting, record the decision to establish the association, adopt the rules and select the proposed committee. Keep the adopted text with the signed meeting record and use that version throughout the filing. If the group changes a material decision before submission, update every affected document instead of leaving competing versions for the officer to reconcile.

Build, sign and submit the local application

Lat Phrao district’s official instructions identify the intake route: the district office in Bangkok, or the amphoe district office in another province, for the locality where the head office will stand. The application is addressed to the competent association registrar for Bangkok or the province. This is an association registration process, rather than a company incorporation filing at the Department of Business Development.

Assemble the supporting papers

The Bangkok Metropolitan Administration association service guide calls for three copies of the application, rules, prospective-member list, proposed-committee list and founding minutes. It also lists identity and house-registration copies for prospective members and committee members, a location plan for the head office and any branches, and permission to use the premises supported by evidence of ownership or possession, such as a title deed or lease.

  • Complete the association registration application, ส.ค.1, with the association name, head-office details and applicant names.
  • Attach the adopted rules, founding meeting record and separate membership and committee lists, with the required addresses and occupations.
  • Collect the identity and address records requested by the intake office and keep names consistent across all documents.
  • Obtain the premises holder’s consent and supporting property or possession evidence; ensure the location plan identifies the same premises.
  • Check purpose-specific supporting evidence. Official district instructions identify additional cultural-authority documentation where relevant; do not assume every association has the same supplementary requirements.

Sign the application and preserve the submission trail

The official ส.ค.1 form provides separate applicant signature spaces and a declaration that the documents and information are true. Have the joint applicants sign in their own capacities. Check the adopted rules, minutes and supporting copies for the signatures or certifications required by the competent office. If a representative will deliver the file, establish the required written authority and identity evidence before submission; delivery by a representative does not eliminate the joint applicants.

Bangkok currently lists in-person district intake, BMA OSS and postal or email channels. Confirm the channel and document format with the district serving the head office before arranging signatures. Prepare from that office’s current checklist and retain the submitted set, intake receipt or reference, and any written deficiency notice. An upload or delivery receipt shows submission; it does not show that the registrar has approved the association.

Handle review, corrections and the registration certificate

The file is examined for both completeness and substance. Under section 82 , the registrar considers compliance with the application and rule requirements, whether the objects offend law or public morals or threaten public peace or state security, whether the particulars align with the objects, and whether the proposed committee is suitable. A tidy document bundle cannot cure an incompatible purpose.

Distinguish an intake request for missing evidence from a statutory direction to correct the application, rules or proposed committee. For an intake deficiency, follow the deadline stated in the notice. Section 82 provides for refusal if applicants fail to make the directed correction within 30 days after learning of the registrar’s order. Record the notification date, identify every affected paper, secure the necessary member decisions and resubmit a consistent corrected set.

The current Bangkok service guide publishes a total processing period of 32 days and 25 minutes, beginning when officers have verified that the documents are complete. It also says the outcome is notified within seven days after consideration ends. The guide does not label its day count as working or calendar days, so do not convert it into a guaranteed launch date. Document preparation, incomplete-file corrections and any additional consultation need separate allowance; provincial handling must be checked against the competent local guide.

If registration is accepted, the registrar issues the registration certificate, ส.ค.4, and the establishment is published in the Royal Gazette. Section 83 gives the registered association legal personality. Retain the certificate and registered rules as the core evidence of the approved organisation. If refused, section 82 requires reasons and permits a written appeal to the Minister of Interior through the registrar within 30 days after notification. Obtain advice promptly if the group intends to contest the decision.

Prepare for an orderly approval review

Check the adopted rules against the signed application and supporting records, and assign someone to receive and track correction notices.

Calendar member governance, change filings and tax

Registration starts the association’s governance duties. Under sections 86 and 87, the committee manages the organisation under law and the rules, subject to the general meeting’s supervision, and represents it externally. Section 89 gives members inspection rights over its affairs and property during operating hours. Maintain membership, meeting, accounting and property records that make those duties workable.

  • Hold an ordinary general meeting at least once a year under section 93. Plan the notice and agenda in time to follow sections 95–99 and the registered rules.
  • For a rule amendment, obtain a general-meeting resolution and apply to register it within 14 days of that resolution under section 84. The amendment takes effect after registration.
  • For a new committee or a change of committee members, follow the rules and apply to register the change within 30 days under section 85.
  • Keep the official record and working documents aligned after changes, including any premises evidence affected by a move.

Khlong Toei district’s change-filing checklist identifies ส.ค.2 for rule amendments, with minutes, old and new texts and a comparison table; ส.ค.3 is used for committee changes, with the appointment record and committee evidence. Do not treat the first registration certificate as proof of every later change. Preserve the corresponding registration outputs with the current rules and committee records.

Nonprofit purpose does not create a blanket tax exemption. The Revenue Department’s association tax guidance distinguishes member registration fees and dues, donations and gifts from potentially taxable business or investment receipts. It also describes ภ.ง.ด.55 filing within 150 days after the accounting period ends for associations with taxable income that have not received the specified charitable designation. Classify income and establish the tax calendar before collecting commercial receipts; association registration alone does not secure that designation.

Use a separate operating review for planned fundraising, regulated services and any foreign personnel. Identify the activity, responsible regulator and required permission before launch. Keep the association certificate, tax position and activity permissions as separate completion records. Avoid presenting a company licence guide, an association approval or a nonprofit label as authority to conduct every proposed activity.

File when the members can sustain the approved rules

Proceed when the membership purpose fits the no-distribution model, the applicants and committee are identified, the group has adopted workable rules and every supporting record tells the same story. Assign responsibility for notices and later change filings before the application leaves the group. The strongest practical submission is one the members can explain and operate after approval.

If the unresolved issue concerns who owns the earnings, settle the entity choice first. If it concerns who can join, vote, spend or replace a committee member, settle the constitution first. If the file is already consistent, submit through the correct locality and track the registrar’s decision through to the certificate. This order preserves the connection between the organisation members intended and the organisation that is registered.

Put the member-approved plan into a coherent filing

Review the association’s purpose, rules and local submission evidence together before committing to its first operating date.

Frequently asked questions

Can three people register an association without a ten-person membership list?

No. Section 81 uses at least three prospective-member applicants and a list of at least ten prospective members as separate requirements. The applicants’ signatures do not replace the wider list.

Is the founding committee automatically the same as the applicants?

No. The application names the proposed committee separately. An applicant can also be proposed as a committee member, but the committee’s composition must match the rules and founding record, and it is subject to the registrar’s suitability assessment.

Can the members change the rules immediately after approval?

A general-meeting resolution is required, followed by registration of the amendment. Section 84 requires submission within 14 days of the resolution and makes the amendment effective after registration.

Does a ส.ค.1 receipt prove that the association is registered?

No. ส.ค.1 is the application. The registrar must accept registration and issue the registration certificate, ส.ค.4. Keep the receipt to track the application, and retain the certificate and registered rules as the approval records.

Can surplus assets be returned to members when the association closes?

Section 107 prohibits dividing the property remaining after liquidation among members. The prescribed transfer route depends on the rules, any valid general-meeting decision and the statutory fallback. A group expecting owner distributions should resolve its choice of legal structure before filing.
