How to Register a Company in ADGM
Select the ADGM structure, evidence and approval sequence that fit the actual business.
To register a company in Abu Dhabi Global Market (ADGM), resolve six stages: the business activity and regulatory route, legal structure, name, office, supporting evidence and online application. An operating company normally needs a physical presence in ADGM; a passive Special Purpose Vehicle follows a different route. Financial-services applicants must obtain the required preliminary regulatory approval before the company-registration application.
Start with what the entity will actually do and who will control it. The guide below follows a non-financial private company limited by shares, while identifying the points where an SPV, branch or regulated business needs a different file. Official requirements were checked on October 16, 2026.
Key takeaways
- ADGM registration is an Abu Dhabi free-zone process, separate from Dubai licensing.
- A passive SPV cannot conduct an operational business or hire staff.
- The office, ownership chain and activity description must agree with the application.
- Company registration, financial permission, tax registration, immigration and bank approval have different completion evidence.
- The useful handover includes company records, account control and the first compliance calendar.
Choose the ADGM route before preparing forms
Choose between an operating company, a branch of an existing business and an asset-holding vehicle before preparing a shareholder resolution. An SPV is a passive holding vehicle, not a cheaper substitute for an operating company. ADGM states that SPVs cannot carry on operational business or employ staff, and non-exempt SPVs must appoint an ADGM-registered Company Service Provider. Review the official SPV scope and CSP conditions before selecting that route.
| Proposed purpose | Initial route to examine | Decision to resolve |
|---|---|---|
| Consulting or other permitted non-financial operations | Operating entity; this guide follows a private company limited by shares | Match the actual service and office to the approved activity |
| An existing overseas business opening an extension | Branch registration | Use the branch checklist and parent-company authority |
| Passive asset or share ownership | SPV | Confirm passive purpose and CSP exemption status |
| Regulated financial services | FSRA authorisation plus entity registration | Resolve financial permission before relying on incorporation |
For regulated activities, the Financial Services Regulatory Authority (FSRA) has activity-specific application and individual-approval forms . An ordinary commercial licence does not replace that authorisation. Describe any handling of client assets, investment advice, payments or virtual assets precisely when asking which route applies; a marketing label such as “fintech” does not decide the answer.
If the commercial plan is still a choice between jurisdictions, HSJGlobal’s Dubai and wider UAE company-formation overview provides a broader comparison. Its Dubai routes and published commercial scope should not be treated as an ADGM-specific approval or quotation.
Define the business and signing authority
Build the proposed company around one clear business model. ADGM’s professional-services guidance confirms foreign ownership is available and identifies services including consulting, information technology and human resources. Ownership eligibility does not by itself settle professional qualifications, immigration status or whether a particular service is regulated.
Write a short transaction description: who contracts, what is delivered, where the work occurs, who pays and whether the company handles money or goods for others. Then map each revenue stream to the permitted activity. Where the description contains two genuinely different businesses, ask the Registration Authority (RA) whether the combination belongs in one licence before drafting broad objects.
Decide the shareholders, share allocation, directors and authorised signatories together. Share ownership and signing authority are different roles. A parent company’s investment approval should identify who may act for it; an individual founder should check who will sign application declarations and later control company access. Record these decisions in a single ownership and authority schedule.
The RA’s linked non-financial checklist calls for at least one authorised signatory who is a UAE or GCC national or holds a valid UAE residence visa; it also flags previous UAE entry for security clearance. Confirm the proposed signatory against that private-company application checklist and the live application before promising a fully remote setup. A foreign shareholder should not assume that owning all shares removes this appointment issue.
Build an evidence file for the actual owners
Prepare evidence in separate groups, then reconcile it to the proposed entity. The purpose is to establish identity, authority, control and the proposed operation, rather than to upload a generic passport bundle.
- Applicant and management: identity and address evidence for the relevant individuals, role particulars and appointment authority. For dual nationals, check the passport disclosures required by the application.
- Company and ownership: articles, the incorporation resolution, share particulars and an ownership chart. Corporate shareholders add their formation records, current membership and director records, and the necessary corporate approval.
- Business and place: the operating plan, target customers, financial assumptions, staffing and premises evidence. Explain how the proposed resources support the declared activity.
- Activity conditions: any preliminary regulatory approval and additional compliance appointments or policies required for the particular activity. Keep these conditional items distinct from the standard incorporation file.
The current beneficial-ownership guidance requires attention to both ownership and control. For companies and LLPs, identify persons with at least 25% direct or indirect ownership or voting rights, and natural persons exercising control irrespective of that percentage. Only if no one is identified through those tests does the officer fallback apply. A diagram that stops at the immediate corporate shareholder is therefore inadequate.
Use the incorporation resolution to approve formation, appointments and adoption of the articles. ADGM provides different templates for a sole individual shareholder, multiple individual shareholders and corporate shareholders. The RA’s resolution instructions explain who signs in each case. Confirm the corporate shareholder’s required quorum rather than automatically asking one employee to sign.
The current setup page says required documents should be in English and notarisation is unnecessary unless the Registrar specifically requests it. Evidence such as address or source-of-wealth documentation should be dated within three months of submission. Plan refreshes around the filing date; obtaining everything early can create an expiry problem if the office or ownership decision remains unresolved.
Register an ADGM company through the online route
Move to the portal after the structure and evidence are settled. The following sequence is a working control plan, not a promise that every activity follows the same approval timetable.
- Confirm the name and activity. Check the proposed name against the register and naming conditions. The current setup guidance says advance name reservation is optional; it can be addressed within the incorporation application.
- Confirm the premises. Identify appropriate space within ADGM and obtain the lease evidence required for the selected route. The current setup page identifies both Al Maryah and Al Reem islands; do not copy an older checklist’s island restriction without checking it.
- Approve the application file. Compare shares, names, addresses, appointments and activity wording across the articles, resolution, ownership chart and lease. Resolve contradictory versions before entry into the portal.
- Submit through the Online Registry Solution. Complete the relevant sections, provide supporting evidence and review the authority’s payment request. Keep authority charges separate from premises, professional work, immigration and operating funds.
- Manage clarification and issue. Monitor the portal account and email, preserve each question and response, and compare the issued company and licence details with the approved submission before starting the dependent work.
The current ADGM setup instructions control the activity, office and document route; the professional-services page explains the online dashboard, email requests and electronic licence notification. Retain the filed version and payment record so a later director can reconstruct what was submitted. Keep access under company control when an adviser prepares the application.
Separate company issue from operational clearance
Treat licence issue as a handover with boundaries. A company record does not prove that every planned transaction is authorised. Where a financial permission, professional approval, product consent or outside-jurisdiction permission is relevant, obtain its own evidence. For the wider authority distinction, use the UAE mainland and free-zone licence framework before adapting the plan to a different emirate or activity.
Create separate activation tasks for banking, immigration and tax. ADGM’s startup guidance expressly states that bank opening remains subject to the bank’s policies and requirements. Ask the selected bank about the owners, source of funds, expected counterparties and account access; incorporation should not be sold as an account guarantee.
The Federal Tax Authority’s Free Zone Persons bulletin states that free-zone persons, including qualifying free-zone persons, must register for corporate tax under the applicable rules. Free-zone incorporation does not settle the tax treatment of the company’s income. Assign a tax-registration owner and have the transaction model reviewed independently of the commercial licence.
Plan timing as three workstreams: preparing a complete file, the authority’s review including questions, and operational activation after issue. These stages can overlap only where their prerequisites permit. Confirm current processing expectations for the selected route and avoid signing a customer delivery commitment against an unapproved filing date.
Start the first compliance calendar
Set up the compliance calendar before the application is handed over. The RA annual-filings guidance distinguishes commercial-licence renewal, data-protection renewal, confirmation statements and accounts. For companies, the confirmation statement is due annually within one month of the incorporation anniversary. Branch and foundation obligations differ; the company timetable should not be applied to them by default.
Separate annual confirmation from changes during the year. The confirmation statement verifies register information; changes such as a new address require their own maintenance filing. Applicable entities must keep beneficial-ownership records current and report changes to the Registrar within 15 days, according to the beneficial-ownership guidance. Give the company a mechanism to learn about indirect ownership changes at parent level.
Choose the accounting reference date with the person responsible for records and accounts, then document the applicable filing and audit position. Do not assume inactivity eliminates obligations. The operating file should name a responsible person for renewal, accounts, data protection and changes, with access to the relevant records and portal.
Decide whether the ADGM file is ready
Proceed when the file answers five questions: which activity is proposed, why this legal structure fits, who owns and controls it, how the office and signatory conditions will be met, and which separate approvals remain. If any answer is a sales promise rather than documented evidence, resolve it before authorising submission.
Keep a short decision record with the agreed route, authority correspondence, final ownership schedule, signed documents, premises evidence, application reference and completion checklist. Record whether the requested deliverable is incorporation alone or includes later activation. This makes the provider’s scope assessable without assuming that a company certificate includes banking, residence or sector permission.
For an overseas group, the most useful next step is a joint review of the corporate shareholder’s authority, the ADGM signatory, the business plan and the first contracts. Register the entity that can perform the intended work, then release each activity only when its own conditions are satisfied.
Frequently asked questions
Can the company name contain “Bank” or another sensitive term?
A sensitive term can require approval evidence. The current setup guidance also warns that a name similar to an existing ADGM name may require evidence of the right to use it. Check the naming condition before commissioning branding.
Is an incentivised Tech Startup Licence automatic for a technology company?
No. The current setup guidance requires an eligibility review and a Hub71 approval letter for that incentivised route. A software business should confirm eligibility before relying on the incentive.
Will the beneficial-owner record be publicly displayed?
The RA says its beneficial-owner record is not publicly published and access is restricted. Information may still be disclosed under the applicable legal conditions; privacy is not a way to avoid disclosure to the authority.
Can an ADGM company issue bearer shares?
No. ADGM’s May 1, 2026 legislative announcement expressly prohibits bearer shares. Share arrangements should use a compliant, identifiable ownership structure. Read the 2026 commercial-legislation update .
