How to Start Foam Products Factory in Indonesia: PT PMA, Permits, and Cost

Choose the production boundary before the line quotation becomes the investment decision.

An Indonesia foam-products factory should be planned around what you actually make: primary resin, plastic-foam products, rubber-foam products or finished articles with foam components. Overseas shareholders normally establish a PT PMA, but the activity, factory premises and risk-based permits must fit that production boundary. As a specific government-fee example, authorized capital above IDR 5 billion attracts an AHU establishment-registration tariff of IDR 5,000,000 under the current legal-entity fee schedule . It does not price the machinery or industrial approvals.

Your opening-cash requirement is the sum of agreed setup expenditures, equipment payments, deposits and the operating buffer, funded by capital or other lawful financing. Do not add a regulatory capital figure to every expense as if it were another supplier charge. Use the production model to obtain a comparable factory quote and a separate licensing scope.

Key takeaways

  • Plastic foam, rubber foam and primary resin are classification branches; the word foam is not a five-digit activity code.
  • The OSS conversion from legacy 22299 to 22209 is relevant to the plastic-products branch, but the current product description still needs checking.
  • A ready-to-lease shed may need substantial work for foaming, curing, cutting, ventilation, storage and fire control.
  • Cash deposits, consumed expenditure and regulatory capital belong in different columns even when finance supplies them through the same bank account.
  • Product claims and customer applications should be scoped before testing, especially for building, insulation, protective or food-contact uses.

Price the Production Scope Before Pricing the Company

Request quotations against a single process description. Define the foam material, density or other relevant product specification, output form, nominal capacity, working shifts and intended application. Identify whether the supplier’s price includes mixing or foaming equipment, moulds, curing or conditioning, cutting, handling, extraction, commissioning, training and acceptance testing. A headline machine price is not a installed production-system price.

The cost comparison should distinguish what is already fixed from what is still a quotation dependency. Government registration tariffs can be checked from the legal schedule; factory engineering depends on the chosen line and premises. Professional approval work depends on the activity, site and deliverables. An inexpensive company filing does not make the foam line financeable. Put those three pricing bases in separate rows.

For standard entity work only, the HSJGlobal PT PMA Essential approved reference is IDR 29,500,000 as a one-time fee, based on the September 7, 2026 schedule. It includes the defined standard notarial and registration coordination and an AHU PNBP allowance up to IDR 5,000,000. Eligibility is limited to the specified low-risk or medium-low-risk scope. Factory premises, industrial verification, environmental and building work, product testing, overseas-document disbursements and VAT are outside that reference; a foam-factory engagement needs its own approved scope.

Require every third-party estimate to identify its currency, quote date, payment period, tax treatment, freight or installation assumptions and exclusions. Where a government cost is passed through, retain the assessment rather than treating a provider’s processing charge as an official tariff. Do not manufacture a factory total by filling missing quotation lines with the incorporation benchmark.

Make the line quotation comparable

Identify the foam material, process, output form and capacity before comparing equipment and licensing proposals.

Separate Primary Resin, Plastic Foam and Rubber Products

The official OSS 22299 conversion record moves that legacy plastic-products code to KBLI 2025 22209. The active plastic-products description is the reference to compare with your output; the conversion does not by itself decide whether every foam article belongs there. Application and exclusions still matter.

Primary resin manufacture is a separate branch. The official synthetic-resin activity description includes primary plastic materials and names polyurethane among its material families. A converter buying chemical components or resin should not automatically call itself a primary-resin manufacturer, and a reactive foaming process should not be classified from its chemical name alone.

Rubber foam and finished foam-containing articles also need their own comparison. Describe whether you make bulk foam, shaped packaging, insulation parts, mattresses, upholstered articles or protective components. The finished output can determine a more specific classification than the generic material. Prepare a short classification memo covering the preferred activity, exclusions considered and evidence supporting the choice.

  • Identify the raw material supplied to the factory and the output sold from it.
  • Draw the process boundary around the operations actually performed on site.
  • Check the current five-digit description and product-specific exclusions.
  • Map any independently revenue-generating additional activities without assuming a single code covers all future production.

Establish the PT PMA Around the Actual Product Range

A foreign individual or overseas company owning shares normally uses a PT PMA, subject to the chosen business field’s admission conditions. Resolve the ownership analysis before signing the deed. A local partner can be commercially useful, but adding one does not convert a foreign-invested company into a purely domestic business. Keep voting rights, management authority and technology arrangements consistent with the real transaction.

Collect shareholder identity and authority documents, the beneficial-owner chain and the proposed management information. Align names, registration numbers and addresses through any required translation or authentication. The registration steps for an Indonesian company form the corporate foundation; the foaming process and its premises must then be accurately registered as the project activity.

Separate the deed’s capital structure, investment plan and usable cash forecast. The minimum or calculation rule applicable to a PT PMA should be assessed under the current investment and OSS procedure regulation , including the production-line and location facts. A bank transfer to fund equipment is not automatically proof that every regulatory calculation has been satisfied.

After incorporation, check the legal-entity output, tax identity and OSS company record against the same data sheet. Give the company durable access to the records and nominate an internal approver for future activity or site changes. Do not leave the only usable login or document copies under the equipment broker’s control.

Foam setup cash has four different components Entity and approval expenditures, equipment payments, refundable deposits and operating buffer contribute to opening cash. Capital is a funding source, not a fifth supplier expense. Entity + approval spend Equipment payments Refundable deposits Operating buffer Opening cash requirement funded by capital / finance
Compare cash timing with approval timing; financing and expenditure must be reconciled rather than added twice.

Check the Premises for Foaming, Storage and Finishing

Assess the proposed building against the selected process rather than the word factory on the lease. Chemical storage, foaming, conditioning, cutting and finished-stock areas can create different space, ventilation and safety needs. Ask the engineer to establish floor loads, clearances, power, temperature management, extraction, emergency access and maintenance requirements from the equipment and materials.

Foam inventory can occupy much more storage volume than the incoming materials suggest. Model the receiving area, production buffer, curing or conditioning space, rejects, finished goods and truck movements using realistic throughput and dwell times. Identify any compressed-gas or chemical-handling arrangements, if present, and check them against the proposed technical and environmental design.

Use the industrial-location framework PP 20/2024 and the relevant site records to establish location suitability. The plant’s environmental and building requirements remain separate assessments. A common estate system must be checked for the actual discharges and responsibilities; being an estate tenant does not answer every process-specific question.

Turn the site review into lease conditions and a priced works list. Mark the landlord’s deliverables, tenant alterations, utility connections and any design approvals that must precede installation. A refundable deposit is still cash unavailable during the project. Show its recovery conditions and timing in the financing plan before approving the lease.

Connect the cash model to permit readiness

Use supplier milestones and site evidence to locate payments that fall due before the factory can lawfully operate.

Calculate Opening Cash Against Permit and Payment Milestones

Use the following management formula: opening cash equals committed entity and approval expenditure, equipment and installation payments, lease or utility deposits, initial materials and the operating buffer. Then reconcile that cash need to equity, shareholder funding and any other agreed financing. Regulatory capital is a source or constraint in that reconciliation, not another fee to add to each purchase.

Input Cash event Completion evidence Cost treatment
Entity and approvals Fees fall due at the specified filing or service milestone Actual invoice, government assessment and deliverable Consumed service expenditure; avoid duplicate included fees
Line and utilities Deposit, dispatch, installation and acceptance payments Contract milestone and technical acceptance Asset or project expenditure, with tax and freight identified
Property deposits Paid before possession or connections Lease or utility terms and refund entitlement Recoverable cash tied up, separately identified
Initial operation Materials, labour, utilities and rejects before stable collection Start-up forecast and purchase assumptions Operating buffer based on the production and collection cycle

Run sensitivities with the inputs that matter to foam: usable output rather than nominal throughput , scrap or offcuts, time in conditioning, freight volume and customer collection timing. A larger line can consume more working cash before it creates more receipts. A supplier’s capacity claim does not establish the price or timing at which saleable output will be collected.

Plan the entity filing and technical programme as separate calendars. The general HSJGlobal registration reference of roughly two to four weeks after acceptable documents does not include factory alterations, industrial verification or product qualification. Industrial applications follow the OSS and SIINas framework in Permenperin 37/2025 . Record when approvals must be effective relative to commissioning and commercial operation.

The controls for changing factory investment assumptions are relevant when a line upgrade changes capacity, chemicals, site works or output. Freeze payments tied to an invalid assumption until the affected quotation and approval path have been rechecked.

Qualify the Foam Application and Recover Classification Errors

List the claims the customer will rely on: cushioning, insulation, flammability, durability, contact suitability or another specific performance. Separate any applicable mandatory market requirement from voluntary or buyer-imposed specifications. Do not promise that a generic laboratory report clears every use, and do not assume that every foam material is subject to the same compulsory product standard.

Keep specifications, test scope, sample identity, material formulation and production source connected. If a supplier changes the input grade or you alter density, thickness, additives or conditioning, review whether the evidence still supports the claim. Product acceptance should have an owner separate from the commercial staff who want to ship the order.

If a classification error is discovered, first repair the product-and-process description, then assess the deed, tax and OSS records and the related approvals. Do not simply replace the code in one portal while leaving the wrong activity in the signed technical and commercial documents. Preserve the old and corrected mapping so the change is explainable to the company’s advisers and reviewers.

Approve Foam Production From a Funded and Permitted Scope

Release the project when the foam output and production boundary are settled, the entity and activity records agree, the premises support the process and the applicable operating conditions are evidenced. The cash schedule must also show how the company reaches stable production and customer collection. Machine delivery is a logistics milestone, not an operating approval. Use separate acceptance records for the equipment, permissions and product claims.

Hold the commitment when a quoted line assumes an unconfirmed material or capacity, an estate cannot evidence a necessary utility or waste route, or the cash forecast counts equity as both financing and expenditure. Resolve that specific dependency before increasing the deposit. A written scope and cash reconciliation make a reliable foundation for the next investment stage.

Set a controlled foam-production start

Confirm the company, line, premises, approvals and release criteria against the same production plan.

Frequently asked questions

Does cutting purchased foam count as resin manufacture?

The resin-manufacturing description cannot be selected merely because resin appears upstream. Classify the value-adding operation you perform and its finished output; cutting, converting and making primary resin are different questions.

Is every polyurethane process a basic-chemical activity?

No automatic conclusion follows from a polyurethane input or a chemical reaction. The actual process and output must be compared with the official activity descriptions and their exclusions.

Should a refundable lease deposit appear in the factory budget?

Yes, in the cash requirement, with its refund conditions and recovery timing identified. It should not be silently presented as consumed operating cost or as a government fee.

Can a customer standard replace an applicable compulsory standard?

No. Customer specifications govern the contract, while any mandatory market requirements have their own scope and evidence. Record both where relevant.

Does buying a used foaming line simplify approvals?

Used equipment may change cost and engineering work, but it does not remove site, activity, safety, import or product requirements. Establish the asset’s condition and acceptance criteria before purchasing it.
