How to Start Specialty Chemicals Factory in Indonesia: PT PMA, Permits, and Cost

Decide who owns the formula, who manufactures and which product claims the factory will support.

A specialty chemicals factory in Indonesia needs a clear manufacturing scope before the PT PMA and permit work can be priced. Decide whether the company will synthesize ingredients, formulate purchased inputs or commission an independent manufacturer. Those business models allocate assets, permissions, product responsibility and costs differently.

For the entity application alone, the PP 30/2026 registration tariff includes IDR 1,500,000 for authorized capital above IDR 1 billion through IDR 5 billion, and IDR 5,000,000 above IDR 5 billion. Factory design, hazard controls and product-specific permissions are additional. A standard company-formation price does not establish their cost.

Key takeaways

  • The former specialty-chemical code 20118 divides into six KBLI 2025 destinations. Intended product and process must drive the selection.
  • Formulation ownership and manufacturing permission are separate questions; the contract should make both traceable.
  • A contract manufacturer’s documents need to match its entity, site and activity. They cannot simply be borrowed by the brand owner.
  • Commercial performance claims, customer qualification and statutory permissions should have separate evidence files.

Choose between an owned plant and contract manufacturing

Start with the commercial responsibility you intend to retain. An owned plant gives the operating company control over equipment, production people, raw-material receipt and release. Contract manufacturing places the physical production with another entity, while your company may retain the formula, brand, customer contract and distribution role. A small laboratory or repacking room can create a third boundary that should not be hidden inside either description.

Model Responsibility to establish Commitment to avoid
Owned formulation plant The operator’s activity, site, materials, production and release controls Ordering equipment before the proposed process is accepted at the site.
Independent contract manufacturer Manufacturer’s lawful scope; formula authority; quality and change agreement Assuming its licence belongs to the brand owner.
Imported finished formulation Importer/distributor role and product requirements Registering a factory that will not actually manufacture.
Development followed by scale-up Laboratory role, pilot work and commercial-production boundary Treating development access as approval for routine manufacture.

Request a responsibility schedule with the contract. Name the party that buys ingredients, approves substitutions, owns stock, maintains regulatory information, releases batches and handles complaints or recalls where relevant. These are commercial-control questions; the applicable law and each party’s actual activities still determine their legal duties. A manufacturing agreement cannot transfer a government permission by wording alone.

Keep a separate investment case for the owned-plant option. Compare installed assets, site and compliance expenditure, technical staffing and working capital against the contract option’s minimum order quantities, qualification costs, confidentiality needs and continuity risk. A cheaper route is useful only if it supports the intended product and customer commitments.

Compare the specialty-chemical operating models

Describe the product, formula owner and proposed manufacturing arrangement before committing to an owned facility.

Build the formulation and intended-use brief

For each initial product, identify its composition range, input materials, process, packaging, customer application and claims. Distinguish a performance claim, such as suitability for a production process, from a regulated use such as a pesticide or food additive. The latter can move the product into a different regulatory task; it should not be added casually by a sales team after the factory plan is approved.

Establish the right to use the formulation and sufficient access to safety and compliance information. The file can be confidential without being empty. Use controlled access, named recipients and versioned disclosures. A supplier’s proprietary ingredient description may need additional evidence before a reviewer can assess the mixture, workplace exposure and waste implications.

Create a change rule for raw-material substitutions. A commercially equivalent ingredient may change hazards, manufacturing conditions, product performance or legal scope. Record the technical and regulatory review before authorizing the substitute, and notify customers where the supply agreement requires it. The approved formula version is a compliance dependency as well as a quality record.

Map the specialty product into the current KBLI structure

The official 20118 conversion table sends the former specialty-organic-chemical category to six KBLI 2025 destinations, including food products, inorganic chemicals, bio-based organic chemicals, petroleum/gas/coal-derived basic chemicals, cleaning products and other chemical goods. The conversion is a branching map, not a recommendation to register all six activities.

Select the destination by the actual output and process. For example, the current bio-based organic chemical description expressly includes specified specialty chemicals derived from biological resources. That does not make every formulated mixture bio-based, nor does it make the old specialty label an adequate new filing description. Retain the selected description and explain the match to the formulation brief.

Check foreign-investment eligibility against each real activity and relevant product restrictions before the notary finalizes the PT PMA structure. Identify the company that owns or licenses the formula and the Indonesian entity that will operate the line. The requirements for registering an Indonesian company establish the corporate foundation, while manufacturing and product permissions need separate evidence.

Shareholders, beneficial owners, directors, commissioner and signing authority should match the contracting and financing arrangements. For a foreign corporate shareholder, confirm who can sign its investment and formula-licence documents and what formalities the Indonesian process requires. Do not assume that authority to form the subsidiary also authorizes licensing intellectual property to it.

Specialty chemical manufacturing model selection The formulation and use brief separates owned manufacturing from contracted manufacturing. Each requires its own responsibility and evidence checks before a qualified product is released. Formulation and use brief Owned production site Contract manufacturer Operator permissions and installed controls Verified scope and responsibility agreement Qualified product release
Both operating models need evidence, but the company responsible for physical production is different.

Confirm the site and permission gates before scale-up

Give the estate and technical reviewers the formulation process, normal and maximum inventories, packaging operations, equipment schedule and proposed utilities. A dry-blend product, water-based formulation and solvent-containing formulation can place different demands on ventilation, drainage, storage and waste handling. These project distinctions must reach the site review before layout approval.

Assess the location under the industrial-siting provisions of PP 20/2024 and the environmental implications under PP 22/2021 . Document which treatment or emergency facilities are shared and which remain the operator’s responsibility. Review the building’s permitted use and PBG/SLF coverage against the installation, including modifications and storage areas.

Use PP 28/2025 to build the project’s risk-based permission sequence. Form the entity through the notary and AHU, establish tax identity and OSS access, reconcile company data, register the actual project, and retain the NIB and generated requirements. Complete the applicable base requirements and the Standard Certificate, verification or Business Licence and supporting permissions triggered by the selected activity.

Workplace hazardous-chemical duties also require assessment. the Ministry of Manpower’s chemical-control rule provides an official basis for safety-data, labelling and related hazard controls. Do not treat a confidential formula or customer-approved sample as a substitute for the operator’s workplace evidence.

Sequence the programme from evidence availability: approved formulation brief, property and process review, corporate outputs, complete application inputs, required permission outputs, installed-line checks and customer qualification. Assign preparation and review periods separately. An unresolved formulation or material-supply change can reopen later stages, so an incorporation date alone cannot establish the plant’s delivery date.

Cost the launch through the first qualified batch

Use the official PT establishment tariff to calculate the applicable AHU registration item from authorized capital. Request a transparent notarial and professional work breakdown rather than one number labelled government costs. Payment evidence should identify the official service and applicant; a commercial coordination charge is a different account.

The supplied HSJGlobal standard entity benchmark starts at IDR 29,500,000 once, excluding VAT where chargeable, with approval dated 7 September 2026. It is limited to the stated single-location, maximum-two-activity low/medium-low-risk eligibility and a suitable existing address. Its standard deed/AHU coordination, tax and basic OSS scope includes AHU PNBP up to IDR 5,000,000; it does not include high-risk permits, certificate verification, premises, technical approvals or product registration. A specialty chemical plant needs a separately agreed manufacturing scope rather than automatic use of this benchmark.

Launch account Include in the scoped estimate Separate from it
Entity and ownership Notary, eligible professional scope, official filings, overseas-document work Shareholder capital and loans.
Plant readiness Lease, installed line, utilities, controls and applicable site approvals Unspecified future production lines.
Qualified product Method development, sample work, laboratory tests, packaging and customer qualification Guaranteed customer acceptance.
First operating cycle Materials, staffing, stock holding, monitoring and continuing compliance One-off registration-only comparisons.

The first qualified batch is a better budgeting endpoint than “company formed.” Allow for development material, non-saleable samples and repeat customer testing where those are real parts of the launch plan. Use supplier and laboratory quotes for numbers; do not invent a standard national plant price. Qualification expenditure can recur when the formulation or manufacturing site changes.

Tie the customer release criteria to a controlled specification, sampling plan, batch record and approved analytical method. The factory investment assumptions and their evidence owners helps keep unresolved commercial assumptions visible alongside the legal and technical ones. Mark which customer commitments remain conditional rather than describing every pilot result as a firm launch forecast.

Scope the first qualified product

Align the commercial specification, regulatory file and plant work packages so testing and compliance costs are visible.

Commit to the specialty-chemical model you can evidence

Choose the owned factory when its site, permissions, formulation rights and operating controls can be supported within the investment case. Choose contract manufacture only after verifying the manufacturer’s relevant scope and agreeing responsibility for information, changes and release. Neither model should depend on an undefined formula or an unverified claim that another party’s documents cover your activities.

Hold the investment if ingredient information is insufficient for regulatory screening, the intended use crosses into a new regulated category or the first customer’s acceptance protocol is unknown. Close those specific gaps before comparing fixed quotations or promising commercial-scale supply.

Resolve formula and production responsibilities

Bring the intended-use brief, contract boundaries and site assumptions to a focused setup review.

Frequently asked questions

Does a small batch make a product a laboratory activity?

Batch size alone does not settle the legal role. Describe the purpose, process, sales and actual activity when determining the appropriate scope.

Can the customer approve a raw-material substitution?

Customer approval may be contractually necessary, but the operator must also assess regulatory, safety and permission consequences.

Will a trade-secret agreement remove disclosure duties?

No. It can control access and confidentiality. Necessary information must still be available for lawful assessment and required submissions.

Is a successful sample enough to budget commercial output?

A sample supports a technical evaluation. Commercial capacity, repeatability, supply continuity and the customer’s acceptance protocol require additional evidence.
