How to Strike Off a Singapore Company: Criteria & Process

A solvency and completion-evidence checklist for using strike-off without leaving assets, debts, tax filings or stakeholder claims unresolved.

A Singapore company may apply to ACRA for strike-off when it has stopped business and can meet the agency’s closure criteria. Strike-off is designed for a defunct company with no assets, liabilities, legal proceedings or unresolved government matters; it is not a shortcut for an insolvent company or a business whose owners still need to distribute property.

Test every strike-off criterion before filing

Directors should build an eligibility ledger rather than rely on the phrase “no longer trading.” A company can be inactive while still owning a bank balance, refundable deposit, domain name, software, shares, equipment, tax credit or legal claim. If ACRA accepts an objection, it sends the company the objector’s name and reason. Contact the objector directly, correct the underlying matter and ask the objector to clear it through the proper process. ACRA states that the company has two months; if the objection remains unresolved, the application lapses and a new application can be made only after the issue is cleared.

Do not argue only that the company stopped trading; the objection normally points to a specific unresolved interest.
