SINGAPORE INCORPORATION / BIZFILE ENDORSEMENT / COMPANY FILING
Incorporate a Company in Singapore: Filing and Endorsement
Keep the submitted transaction, role consents and incorporation result distinct.
You can incorporate a Singapore local company through Bizfile, but submission is only one stage. The person who lodges directly, the parties endorsing their roles and the person completing payment have different tasks. The CSP route does not require the same client portal endorsements.
For a direct filing, the main execution risk is an incomplete role endorsement or missed payment before the 60-day limit. Confirm the filing route, prepare one reconciled company file and assign every pending action before the application is submitted.
Key takeaways
- Decide the filing identity before starting the transaction; an overseas founder may need a CSP.
- Track endorsements per role, including corporate shareholder authority and multiple appointments.
- Endorsements and payment have a 60-day limit, so use an earlier internal deadline.
- S$315 is the basic name and incorporation government-fee total, not an all-inclusive setup budget.
- Close the filing against the actual incorporation result and hand over ongoing compliance.
Choose who will lodge the incorporation
The filing route determines who needs portal access and which actions remain after submission. ACRA’s local-company filing guide says a direct applicant must be the person who reserved the name and must also take a director or secretary role. A corporate service provider (CSP) can file on the client’s behalf. Foreign founders should establish the permitted CSP route rather than assuming that a local contact can simply lend them a login.
Resolve the proposed company type, ownership and resident-director arrangement before creating the transaction. The company formation requirements in Singapore describe the underlying entity requirements; the portal transaction implements those decisions. If an intended corporate shareholder or share structure conflicts with the chosen company type, fix the structure first. A completed online form cannot cure a legal mismatch.
The lodger is the transaction owner, not the owner of every decision. Assign separate responsibility for shareholder authority, director consent, address verification, controller information and capital reconciliation. For an overseas group, identify the person empowered to act for the corporate shareholder and agree when that person will be available. Record the approved filing version so last-minute changes do not circulate in parallel.
Who will own the Bizfile filing?
Clarify the lodger, proposed officers and overseas shareholder authority before submission.
Reconcile the filing file before submission
A filing file is more useful when it connects each field to evidence and a decision owner. Assemble the approved name reference, registered office, financial year end, officer and shareholder information, capital and allotment details, constitution and applicable controller or nominator information. Compare the final entries with the signed instructions. Names, currencies and quantities should not depend on what somebody remembers from an earlier email.
| Record | Check before filing | What a mismatch means |
|---|---|---|
| People and corporate shareholders | Legal names, identifiers, roles and authority | An endorsement or corporate instruction may relate to the wrong person or capacity. |
| Capital and allotments | Total shares, class, currency, issued and paid-up amounts | The proposed ownership percentages or payment record may be inconsistent. |
| Constitution | Selected model or final uploaded document | Share rights or governance terms may differ from the commercial agreement. |
| Registers | Exemptions, nominees, nominators and controllers | Required disclosure cannot be inferred from the shareholder list alone. |
The incorporation document reconciliation checks help identify inconsistent identity, address and ownership records before the lodger enters them. Keep the evidence file secure and access limited to people performing the task. Check ACRA’s current consent forms; its forms guidance notes that Form 45 was amended with effect from 6 May 2026. Use the current version instead of recycling an old signed template.
Allocate endorsement actions by role
ACRA’s endorsement instructions distinguish direct filing from registrations lodged by a CSP or Group of Companies. The position holder who lodges does not give a separate endorsement. Where endorsement is required, other relevant position holders and shareholders must complete it; a person holding multiple positions needs to address each action. A corporate shareholder acts through an authorised officer, using the applicable business login route.
Build a role-level tracker, not a list of people who say they have “done it”. One individual can have both director and shareholder actions. An overseas parent may have a board approval internally while its authorised officer has not yet completed the portal action. Those are different completion records. Ask for confirmation of the specific transaction and role, not credentials or screenshots exposing unnecessary personal data.
No portal endorsement requirement does not mean no consent requirement. A CSP must still obtain the proper instructions and underlying evidence; the absence of a client endorsement task is a workflow difference. Before filing, agree who resolves a refused appointment, incorrect share allocation or missing corporate authority. A participant should not endorse inaccurate details merely to unlock payment.
Is an endorsement holding up payment?
Share the transaction stage and outstanding role so the team can help organise the next action.
Manage the 60-day clock and payment handoff
ACRA states that endorsements and registration payment must be completed within 60 days; otherwise the application is rejected and needs resubmission. Treat that period as an outer limit rather than a project plan. Put an internal deadline comfortably earlier, identify unavailable signatories and assign a backup escalation contact. The actual submission date in the transaction should drive the tracker.
| Transaction position | Responsible action | Evidence of progress |
|---|---|---|
| Submitted; endorsements pending | Each required party reviews its own role | Confirmation for every required role, with transaction reference. |
| All required endorsements received | Lodger checks payment notification and pending actions | Payment request is visible to the original filing identity. |
| Payment completed | Lodger saves receipt and monitors the inbox | Receipt plus agency result; a payment alone is not the incorporation notice. |
| Clock expires or details are disputed | Resolve the cause and follow ACRA’s resubmission instructions | Fresh accurate submission, with the prior transaction reconciled. |
For payment problems, ACRA’s troubleshooting guide directs the lodger to confirm all other endorsements and use the same Singpass credentials as the original application, then check Pending actions. Do not create duplicate applications immediately: first confirm which transaction is live and what action is actually missing.
Separate filing fees from the incorporation result
ACRA’s company fee schedule lists S$15 for the name application and S$300 for company registration, a basic official total of S$315. Endorsement itself is free. These figures were checked on 29 October 2026 and do not include professional services, an optional special UEN or other separately applicable charges. No HSJGlobal service fee is being quoted in this filing explanation.
Budget company secretary, registered address, resident-director support where needed, document certification and translation, accounting and tax work separately. Check whether the provider’s quotation includes the official fees and states its GST treatment, renewal scope and cancellation terms. Share capital is a company funding item, not a government filing charge. Bank deposits, licence costs and work-pass fees also should not be silently bundled into an assumed S$315 total.
ACRA describes most registrations as approved soon after payment, with longer review for complex or referred applications. That statement starts from a completed filing and payment, not the first day a founder asks for incorporation. Record preparation, overseas authorisation, endorsements and agency review separately when estimating the schedule. If an agency asks questions, preserve its request and answer against the submitted version rather than promising a fixed approval day.
After the result arrives, check the legal name, UEN, incorporation date and registered particulars against the approved instructions. Store the notice, Business Profile, constitution and relevant corporate records. Check who will maintain the company’s records and handle future filings; a useful handoff includes named owners, access and deadlines rather than a folder of unexplained PDFs.
Close the filing only when the incorporation evidence agrees
A filing acknowledgement and a payment receipt are not substitutes for the successful incorporation result. Before closing the project, reconcile the final company record to the approved name, officers, shareholders and capital. Investigate differences promptly through the appropriate ACRA route; do not quietly alter the internal cap table to make it resemble an incorrect filing.
Set up the post-incorporation work that actually applies: company secretarial appointments and registers, accounting records, tax calendar, Corppass authorisation, banking and any operational licences. Incorporation does not grant a bank account, tax-resident status or work permission. If a regulated operation is planned, retain a separate operating-readiness checklist and keep launch commitments conditional on its approvals.

Frequently asked questions
Is endorsement a separate government fee?
No. ACRA lists new-registration endorsement as free; the name and company registration charges are separate.
Must the lodger endorse again?
The position holder who submitted the registration does not provide a separate endorsement.
Can one person have several endorsement tasks?
Yes. ACRA tells people holding multiple positions to complete the required endorsement for each position.
Does the CSP route require client portal endorsements?
ACRA says the new-registration endorsement requirement does not apply where a CSP or Group of Companies lodges; underlying consent and instructions still matter.
Can I trade as soon as payment is made?
Confirm successful incorporation first and obtain any other approval required for the intended operation.
