CORPORATE BANKING
Indonesia Company Bank Account Requirements: What Will the Bank Verify?
Build a coherent application around the questions a bank must resolve.
An Indonesian company bank account application needs more than a collection of incorporation documents: the file must let the bank connect the company, its representatives, its beneficial owners and the intended use of the account. Prepare those connections before arranging signatures or transferring opening funds. A complete submission supports assessment; the bank still decides whether to accept the relationship.
Key takeaways
- A bank checklist belongs to a particular entity, product and application route; confirm all three before collecting documents.
- Someone who owns shares, someone who signs and someone who controls the company may be different people.
- Explain an actual mismatch before replacing files; changing a label does not resolve the underlying inconsistency.
- Treat an application receipt, bank acceptance and usable payment access as separate milestones.
What belongs in the bank verification file?
For a corporate applicant in Indonesia, organise the submission into five evidence groups. The practical list below is a preparation framework; the chosen bank must confirm the exact documents and verification method for your company.
- Company identity: current constitutional and registration records, tax details, address and relevant business documentation.
- Representatives: identity documents, current appointments, the account mandate and any accepted power of attorney.
- Ownership and control: a dated ownership chain and evidence identifying the natural persons behind it.
- Money and activity: the proposed source of funds, account purpose and an explanation of expected business transactions.
- Product implementation: completed bank forms, the agreed currency, opening balance requirements and requested payment channels.
The legal foundation is customer due diligence (CDD). OJK Regulation 8/2023, Articles 25, 27 and 30–33 covers corporate information, supporting records, representative authority and beneficial-owner verification. Article 27 distinguishes company categories, including additional records for businesses outside the micro and small categories. The verification duty is broader than checking that a document exists.
A concrete product example helps separate that duty from a bank checklist. Mandiri Giro’s PT requirements list relevant director, commissioner and proxy identities; establishment and amendment deeds; the current management deed; articles of association; Business Identification Number (NIB); corporate Taxpayer Identification Number (NPWP); and a power of attorney where relevant. The product also specifies National Blacklist checks for corporate applicants and their management. These are Mandiri’s published conditions, checked on October 24, 2026, rather than a universal checklist for every Indonesian bank.
Confirm the right corporate checklist
Identify the applicant, currency and bank product before arranging signatures or commissioning overseas documents.
Reconcile the company records before applying
Prepare one current company summary as an index to the evidence. Use the legal company name consistently and show which record supports the address, management and ownership entries. Keep amendments in date order so the reviewer can follow how the company reached its present structure.
The bank file should start from the underlying company registration requirements in Indonesia : identify the establishment deed, legal-entity documentation and business-registration records actually issued to the company. Keep each document’s function clear when assembling the file; handing a bank an NIB alone leaves the rest of the corporate evidence unexplained.
Check the application against the source records rather than copying a previous application. A former director’s name, a superseded address or an unexplained spelling difference deserves a note identifying the correct record and the change. Current evidence is more useful than a larger folder containing conflicting versions.
Ask the bank which originals it needs to see, which copies it retains and whether foreign-language records require translation or certification. Obtain that answer before paying a translator or shipping originals. Record the bank’s response against the specific document and issuing country; a preference for one file does not establish a rule for every overseas document.
Separate identity, signing authority and ownership
Make a person-by-person schedule with separate columns for office, ownership, beneficial ownership and banking role. A director’s appointment does not explain every ownership link, and being a shareholder does not by itself describe the requested payment permissions. Use this schedule to check that the people named in the bank forms match the current supporting records.
OJK’s official summary of Regulation 8/2023 confirms beneficial-owner CDD across customer types and regulated verification arrangements, including electronic methods. Electronic verification provisions do not promise a remote corporate-opening option. Ask the selected bank who must attend or be verified, through which channel, and which evidence applies to each foreign person’s role.
For an overseas corporate shareholder, prepare a chain that reaches the individuals behind the structure and link each step to a register or comparable ownership record. Label indirect interests and any separate control arrangement clearly. Treat ownership evidence and signing authority as different parts of the file, even when one person appears in both.
For signing, ask the bank to confirm the accepted mandate, whether signatures act singly or jointly, and how a proxy may act. Have the company’s authorised decision-makers check the proposed arrangement before completing the bank forms. Separately specify who should prepare payments and who should approve them; that operating design needs to match the access requested later.
Explain the funding and the intended business
Write a short funding explanation that distinguishes capital subscriptions, shareholder loans and customer receipts. For each proposed inflow, identify the sender, the reason for payment and the document available to explain it. Do not relabel a loan as capital merely to make the application look simpler.
OJK Regulation 8/2023 addresses source-of-funds information and business purpose; its beneficial-owner provisions also cover financial background information. Its corporate supporting-record provisions include financial statements or a business-activity description for companies outside the micro and small categories. The regulation’s Articles 25, 27 and 33 explain why a bank can need context beyond a company certificate.
As a preparation exercise, describe what the company sells, who pays it, where suppliers are based and which currencies it expects to use. Distinguish current activity from forecasts. A newly established company can prepare a factual activity description and label unexecuted proposals honestly; never manufacture invoices or imply that anticipated turnover has already occurred.
Match the description to available contracts, purchase orders or other records where useful and requested. The business evidence behind a PT PMA banking application should explain the commercial story rather than repeat the incorporation file. If a website describes a different activity from the application, resolve the discrepancy before relying on the website as support.
Resolve the unexplained link
Bring the ownership chain, mandate and funding explanation together so each unresolved request has a specific response.
Turn each document request into a testable response
Use a request register to avoid answering a narrow bank question with another undifferentiated upload. The following is a working method for the applicant, not an official bank form. Add the request date, responsible person and the bank’s response to each row.
| Bank question | Evidence to assemble | Response to close the question |
|---|---|---|
| Which company record is current? | Relevant deed or registration record plus any amendment. | Identify the controlling version; explain the older conflicting entry. |
| Who may act for the company? | Current appointment and the proposed mandate or accepted authority document. | State the person, permitted action and any joint-signing condition. |
| Who is behind the shareholder? | Dated chain with supporting ownership or control records. | Connect each intermediate entity to the named individual. |
| Why will this payment arrive? | Funding explanation and the supporting agreement or transaction record. | Match sender, amount, purpose and expected account activity. |
| What is still needed to use payments? | Bank acceptance details and service-enrolment instructions. | List the remaining channel or permission separately from KYC evidence. |
Keep the request wording intact and respond to its actual evidential gap. A correct passport does not explain an undocumented company-to-company ownership link; another contract does not establish a representative’s authority. If you cannot supply a requested record, describe the actual limitation and ask which alternative evidence the bank will assess. Do not mark the item complete merely because a file was sent.
Confirm which account services are usable
Obtain the bank’s confirmation of the account holder, account details, currency and any outstanding conditions before using the account in customer instructions. Then check the specific payment functions your team needs: inbound transfers, outbound payments and the intended approval arrangement. Treat these as practical handover checks rather than assuming that an account number proves every service is available.
Opening balances are product conditions, not a universal Indonesian company-capital test. The Mandiri Giro April 2026 product summary lists an IDR 1 million initial deposit and minimum balance for its rupiah product, with different amounts for other currencies. Confirm the applicable current product terms before funding. This bank balance is distinct from service charges and from the company’s capital obligations.
For digital banking, document who receives the enrolment instructions, which users have been created, what each user can do and whether the required approval arrangement works. Use the bank’s permitted testing procedure and retain the confirmation. Resolve missing access with the bank before scheduling a payment that depends on it; do not circulate shared credentials as a substitute for the intended permissions.
Ask for a case-specific update when verification or activation remains open. A submission date alone cannot establish an opening deadline. Keep the banking workstream on the project plan until the bank has confirmed the relevant outcome, and update the evidence schedule when the company changes its people, address or ownership.
Submit a verifiable account file, then close the activation gaps
Proceed when your application tells one consistent story and each bank request has a named owner. Resolve contradictory corporate records, unexplained ownership links or unsupported funding first; sending the same unresolved file again does not improve the evidence. A submitted document is not a closed verification question.
After acceptance, close the remaining account conditions and service permissions against the bank’s confirmation. Keep the evidence register with the company records so the next director or finance manager can see what was supplied, what the bank accepted and which operating permissions still need attention.
Plan the account handover
Use the bank’s acceptance and access confirmations to identify who can receive, prepare and authorise the company’s payments.
Frequently asked questions
Can I redact documents before sending them to the bank?
Use the bank’s approved submission channel and ask which fields must remain visible. A redacted copy may no longer answer the identity or ownership question. Keep the exact version submitted so later follow-up refers to the same evidence.
Does a parent company’s banking relationship replace the subsidiary’s file?
Prepare for the Indonesian applicant’s own assessment. Ask whether the bank can reuse any existing information, and identify the parent and subsidiary accurately. Do not assume that a group introduction settles the subsidiary’s representatives, account purpose or ownership evidence.
Should forecasts be presented as financial statements?
No. Label forecasts and business plans as prospective material. Keep actual financial records separate. If the company has not started trading, explain that status clearly and ask which activity description and supporting records the bank wants.
Can a preparer sign every declaration for the company?
Have each declaration signed by the person the bank accepts for that purpose. Administrative help with forms does not itself establish authority to certify company facts or instruct the bank. Check signing requirements before circulating the final forms.
