Indonesia business formation
Indonesia Company Registration: A Complete Guide
Build the company file around the business you intend to operate.
Indonesia company registration involves a legal-entity process and an activity-specific operating process. Foreign investors normally use a PT PMA, while eligible Indonesian founders can use domestic structures. Confirm ownership, activities, capital, premises and signing authority before the deed; then verify AHU, tax and OSS outputs and complete the permissions required for the first transaction.
Key takeaways
- The transaction model determines whether you need an operating company, a restricted representative office or a commercial partner.
- Foreign ownership must be screened against each activity, even when the main sector appears open.
- Company equity and the investment plan belong in funding calculations, separate from professional and authority charges.
- A delivery register lets you accept incorporation without mistakenly accepting an unfinished operating licence.
Choose the registration route that matches the business
Foreign investment normally enters through an Indonesian limited liability company with foreign investment status, commonly called a PT PMA. Indonesian investors can consider a domestic PT. A representative office has a restricted purpose and is unsuitable for simply reproducing the revenue activities of an operating subsidiary. A distributor can provide market access through its own business, but it does not give the foreign supplier an Indonesian company.
Start with the commercial facts: who signs the customer contract, who invoices, who imports, where employees work and which entity bears product or professional liability. These facts determine the structure more reliably than the lowest incorporation quotation. A foreign parent seeking local employees and direct Indonesian customer contracts usually has a different task from a supplier testing demand through an independent distributor.
For a foreign-owned structure, the investment-list framework requires activity-level screening. An activity can be open, subject to conditions, allocated to domestic cooperatives or smaller businesses, or closed. A generally open sector does not remove a separate professional qualification, ownership condition or operating licence. Screen every intended revenue stream before approving the shareholding arrangement.
A domestic company is not a lawful shortcut for concealing foreign ownership. Nor does a foreign investor’s residence in Indonesia automatically turn foreign capital into domestic investment. Establish the real ownership and beneficial control, including the parent-company chain, at the start. If the operating model depends on a local partner, negotiate actual governance and exit rights rather than treating the partner as a name on a form.
The Indonesia company registration requirements connect the entity decision with the incorporation file. Keep the detailed operating map beside that file: the notary needs the legal structure, while OSS and the bank also need to understand what the company will actually do.
Fix business activities and location before signing a lease
Klasifikasi Baku Lapangan Usaha Indonesia, or KBLI, classifies economic activities. Select the five-digit activity description that fits the actual service, product, transaction role and production process. A short marketing label such as consulting or trading is not enough. Read the inclusions and exclusions in the classification actually available for the application, and record the code version rather than assuming that a previously issued licence uses the same classification.
Build one line for each activity: deliverable, customer, invoicing entity, candidate KBLI, foreign-ownership result, project location and expected licensing output. Check secondary activities as carefully as the main one. A business that both advises clients and physically installs equipment may need different permissions for each task, even when it sends a single commercial proposal.
Company incorporation does not approve the use of a particular premises.
Check the address against the proposed activity before paying a non-refundable deposit. A registered office, warehouse, factory and customer-facing shop serve different purposes. The landlord’s willingness to issue a lease does not establish spatial suitability, environmental compliance or building-use permission. Obtain the location documents and identify who supplies each missing approval.
A virtual address can be suitable for some administrative activities, but it cannot replace an actual operating site where the business requires one. Avoid signing a long lease on the assumption that changing the KBLI later will cure a location restriction. Where premises approvals are material, make the launch schedule and lease commitments conditional on a documented feasibility review.
Under Government Regulation 28/2025 , basic requirements and business licensing form related but distinct checks. The useful pre-filing output is therefore a location-and-activity decision sheet, not a list of attractive sector descriptions. Keep the source of each conclusion and the date of the OSS assessment so a later change can be traced.
Resolve the activity and address decision
Bring the proposed revenue activities and location so the incorporation scope can be checked before commitments are made.
Assemble shareholders, officers and signing authority
An ordinary PT PMA generally requires at least two genuine shareholders, a director and a commissioner. A foreign individual shareholder and a foreign corporate shareholder produce different document files. Shareholding eligibility, management appointment, permission to work and bank signing authority must be checked separately; occupying one role does not automatically satisfy the requirements for another.
For individual investors, prepare legible identity documents and consistent legal names, addresses and nationality information. For a corporate investor, prepare its incorporation record, current constitutional documents, ownership information and the resolution or authority appointing its representative. Add the ownership chain through to the natural persons who ultimately control the investor. The receiving notary should specify the current document form, language and certification route before documents are executed abroad.
Decide who may approve the deed, who may appear under a power of attorney and who may operate the company bank account. These can be different people. A power of attorney should identify the principal, representative, transaction and limits of authority. Do not grant unrestricted account access simply because an intermediary is assisting with incorporation.
Use a signed master data sheet covering name options, shareholder percentages, capital, management, registered address and KBLI scope. Every participant should work from this version. A passport spelling difference or an outdated corporate name can propagate into the deed, AHU, tax profile and bank application, creating several corrections for one initial error.
Keep decisions about travel until the notary and selected bank have reviewed the proposed signing method. Remote document coordination may be feasible, while a bank may still require its own identification procedure. Confirm acceptance before buying flights or promising that nobody will need to attend. The final appointment record should also state who holds the originals and how the company will retrieve them.
Separate capital, investment commitments and setup spending
For a standard PT PMA, Article 26 of Investment Regulation 5/2025 sets a minimum placed and paid-up capital baseline of IDR 2.5 billion per company, unless another legal rule applies. The ordinary investment-value test is more than IDR 10 billion, excluding land and buildings, per five-digit KBLI and project location. The regulation contains specific aggregation and land/building exceptions, so a multi-activity project needs a calculation using its own facts.
These are different measures. The investment plan describes the project commitment; paid-up capital is shareholder funding recorded as equity; setup expenditure pays for establishing and preparing the business. Paid-up capital is not a registration fee. A quotation that adds the full capital amount to a professional fee without distinguishing the recipient and accounting treatment is unusable for cash planning.
Keep four budget lines: authority charges, professional work, third-party expenditure and company funding. Government charges should have an authority receipt. Professional work should have a defined engagement scope. Translation, authentication, premises and industry work should identify the supplier and the relevant deliverable. Funding should identify the contributing shareholder, receiving company and equity or loan treatment.
HSJGlobal’s approved PT PMA Essential professional service benchmark is IDR 29,500,000 once, without automatic renewal. It covers one standard company, one project location and up to two low or medium-low risk activities where the client already has an acceptable address. It includes structure screening, standard deed coordination, AHU application, applicable AHU PNBP up to IDR 5,000,000, and basic NPWP and OSS/NIB assistance. This is the supplied September 7, 2026 commercial benchmark, reviewed here on October 19, 2026; obtain a scope-matched engagement confirmation before payment.
That benchmark excludes an address, foreign-document authentication and translation, additional notarial work, verified Standard Certificates, higher-risk and sector permits, environmental or building approvals, banking, immigration, tax filings, LKPM and VAT. VAT is separately identified only where legally chargeable by the actual invoicing entity. The fee is not a total operating budget and does not include shareholder capital.
Capital also needs a use-of-funds control. Article 27 of the same investment regulation imposes a twelve-month restriction on moving placed or paid-up funds out of the business account, with exceptions for asset purchases, building construction and business operations. It is therefore misleading to describe the rule either as unrestricted cash withdrawal or as a universal frozen deposit. Keep the applicable OSS self-declaration, bank evidence and the commercial records supporting permitted expenditure together.
Before a shareholder contribution is spent, identify its purpose, approval and accounting treatment. Paying a genuine office supplier and returning the contribution to a shareholder are different transactions. For a payment to a related company, retain the agreement, invoice and basis for treating the expense as part of the Indonesian business. The finance owner should be able to explain the movement without recreating the file months later. This control also makes future investment reporting more consistent with the project records.
The current AHU tariff framework is Government Regulation 30/2026, effective August 1, 2026 . Match the actual company application and capital bracket to its invoice; do not add an invented NIB government fee. If the authority amount or requested scope differs from the stated benchmark, obtain an amended written quotation instead of silently reallocating capital or removing promised work.
For cash planning, put the known professional benchmark in the service column, actual third-party quotations in their own column, and shareholder funding in the balance-sheet column. Unpriced operating premises and regulated approvals remain unresolved budget items. Leaving them visible is more useful than publishing a deceptively complete total.
Move from the deed to verifiable licensing outputs
The Indonesian notary coordinates the incorporation deed and submits the legal-entity application through the Ministry of Law’s AHU system. Check the final deed before execution: shareholding, capital, management, address and activity wording should match the approved master file. A draft, payment receipt or submission screenshot is not the same as legal-entity approval.
- Approve the name and structure with the notary, including the selected shareholder and management details. Resolve foreign-document formalities before the final signing appointment.
- Execute the deed using the method accepted for that transaction. Retain the signed authority documents and evidence of who appeared for each founder.
- Obtain the Ministry of Law output and the completed deed file. Reconcile names, numbers and officer appointments against the master sheet before continuing.
- Confirm the company tax identity and access arrangements. Check the legal representative and contact information rather than assuming that receipt of a number means every tax function is active.
- Create or complete the company OSS profile, project locations and activities. Save the issued NIB and the activity-level licensing requirements and statuses.
- Complete the applicable Standard Certificate, Business Licence, basic and supporting requirements before the company undertakes the activity that depends on them.
The AHU company service describes the notarial application route. OSS handles the business-licensing layer. Keep a named owner for each portal, a company-controlled contact address and a secure recovery route. A provider can submit on the company’s behalf without becoming the permanent owner of its access credentials.
An issued NIB does not prove that every activity is ready to operate.
Low-risk activities generally use the NIB; medium-low activities add a self-declared Standard Certificate; medium-high activities involve verification; high-risk activities require a Business Licence. Read the actual project conditions. A document can exist while its verification is pending, and preparation rights should not be confused with permission for full commercial operations.
If the project data is wrong, stop the dependent filing. Determine whether the source is the deed/AHU record, the OSS activity entry or a tax record. Correct the authoritative source first and then reconcile downstream systems. Creating a second inconsistent profile to bypass a rejection can make bank and licensing review harder.
Locate the remaining launch dependency
Use the available deed, NIB and project records to identify the missing permission or evidence owner.
Use a delivery register to prevent false completion
Ask for outputs by legal state rather than a single registration-complete message. The following acceptance register combines the incorporation and licensing systems with operational controls. It is an editorial planning tool built from those separate processes, not an additional government form.
| State | Evidence to retain | What it supports | What remains open |
|---|---|---|---|
| Entity established | Executed deed and Ministry of Law legal-entity output; reconciled officers and shareholders | The existence and recorded structure of the company | Tax access, OSS activities, premises approvals and banking |
| Business identified | NIB, project and KBLI record, correct company data | Identification of the registered business and its projects | Any activity-specific certificate, verification or licence |
| Activity authorised | Applicable effective licensing output plus basic and supporting approvals | The particular operations covered by those permissions | Bank activation, contracts, staffing and ongoing conditions |
| Launch controlled | Working bank mandate, tax access, accounting ownership and completed first-transaction checks | A managed start to the approved business | Recurring filings, changes, renewals and supervision |
Give every unresolved item an owner, evidence request and decision deadline. For example, a licence requiring a specific professional cannot be closed merely because recruitment is underway. Record the candidate’s eligibility and the accepted registration evidence. A premises item cannot be closed with an office-service invoice if the required location approval has not been issued.
Make payment milestones correspond to deliverables within the provider’s control. Incorporation coordination, a submitted bank application and an approved bank account are separate deliverables. The distinction matters when a bank or regulator makes an independent decision. Ask for the application reference, the outstanding request and the escalation owner instead of relying on a verbal assurance.
A complete handover includes downloadable official outputs, originals where issued, authority documents, a filing calendar and a secure credentials transfer. The company should be able to change advisers without losing access to its legal and tax records. Retain the final data sheet as the baseline for future changes and due-diligence requests.
Plan banking, tax and the first lawful transaction
Treat the bank as an independent onboarding decision. It will assess the business purpose, beneficial owners, source of funds and authorised signatories under its own procedures. Prepare an explanation of expected counterparties, countries, currencies and transaction sizes, supported by genuine contracts or other evidence appropriate to the company’s stage. Do not fabricate trading history for a newly established business.
Before remitting capital, confirm that the account belongs to the company and that the transfer reference, contributing shareholder and equity documentation agree. An opening deposit required by a bank is not automatically proof that the company has met its legal paid-up capital obligations. Reconcile the bank statement, shareholder decision and accounting entry. The post-incorporation bank onboarding sequence addresses the additional evidence needed at that handoff.
For tax, assign responsibility for portal access, representative authorisation, bookkeeping and the first filing periods. A newly incorporated company can have compliance work before it receives its first customer payment. Determine the obligations that actually arise from employees, payments to suppliers, taxable supplies and cross-border transactions. Avoid importing another country’s annual-return calendar into the Indonesian file.
For staffing, separate the employment contract, payroll administration and any immigration or work-authorisation requirements. A shareholder’s right to own shares is not a general right to perform every job in Indonesia. Check the proposed duties before assigning a foreign officer to operational work.
Use an internal planning allowance of approximately four to eight calendar weeks for a straightforward document-ready company to progress through incorporation and routine launch coordination. This is a planning scenario, not an official service deadline or a guarantee. Start the clock only after the ownership, activities, address and accepted signing route are settled; bank review and regulated permissions can extend the schedule substantially.
Run genuinely independent tasks in parallel: prepare the bank narrative while the legal file is being completed, review premises documents before the final lease, and establish bookkeeping ownership before the first expense. Do not submit applications that require a final legal output using a draft as though approval already exists. Track waiting time by the external decision it depends on.
Finally, rehearse the first transaction. For an imported product, identify the importer, product and shipment approvals, customs role, payment route and invoicing entity. For a service business, identify who signs, who performs the service and whether professional or sector qualifications apply. This rehearsal exposes omissions that a generic registration checklist misses.
Keep registration data and recurring obligations aligned
The company file becomes a living record once operations begin. Changes to shareholders, directors, commissioners, capital, activities or address may require corporate action and updates in more than one system. Assign an owner to check which changes begin with the notary and AHU and which can be processed through the relevant business or tax workflow. Do not update the bank alone and assume the legal records have changed.
Set a recurring calendar for tax, applicable LKPM investment reporting, payroll-related obligations, licence conditions and corporate governance. Determine applicability from the company’s facts rather than using a standard list as proof that every item is mandatory. Store filing acknowledgements and accepted reports, not just the adviser’s invoice.
Maintain a change log linking the approval, effective date, amended record and downstream updates. If a director leaves, review bank mandates and portal access as part of the same handover. If a new activity begins, revisit foreign ownership, investment calculation, site suitability and licensing before invoicing it. These controls protect the value of the original registration work.
Authorise launch only when the company evidence agrees
Approve incorporation when the intended shareholders, authority and activities can be supported. Approve operations only when the relevant project has the required effective permissions, a suitable site and the tax, staffing and payment arrangements needed for its first transaction. Use the delivery register to show which decision has actually been reached.
Your first action is to freeze the activity-and-ownership sheet and ask the notary, licensing adviser and selected bank to identify their distinct prerequisites. Escalate before payment or launch if a restricted activity, unsupported signatory, inconsistent capital explanation or unverified permit remains unresolved. The company is ready for the next stage when the evidence supports that stage, not when an estimated completion date arrives.
Prepare an evidence-based company handover
Share the proposed structure and intended first transaction to define deliverables and unresolved approvals.
Frequently asked questions
Can a small domestic business use the same PT PMA package?
No. The stated commercial benchmark covers a defined foreign-investment company scope. Domestic eligibility, entity choice and deliverables need a separate assessment.
Does a service provider need to hold the company’s portal passwords permanently?
No permanent adviser ownership should be assumed. Agree company-controlled recovery contacts, authorised access and a documented handover in the engagement.
Can I add an activity after incorporation?
A new activity needs a fresh assessment of corporate wording, foreign ownership, location, investment and licensing effects before it begins.
What should a registration completion invoice identify?
It should identify the contracted work and its outputs. Keep government receipts, professional invoices and shareholder funding records separate, even when one coordinator arranges several steps.
