Indonesia Company Registration Procedure: Submission, Corrections and Approval

Know what was submitted, what must be corrected and which output establishes legal approval.

For a conventional Indonesian PT, the registration procedure runs through an Indonesian notary and AHU’s legal-entity administration system. Your immediate task is to approve accurate incorporation data, support the application and obtain the legal-entity approval output. OSS business licensing follows its own process. A payment receipt, signed deed or agent’s completion message is not the same deliverable as legal approval.

For planning, HSJGlobal’s general registration benchmark is roughly two to four weeks after documents are accepted. This is a service-planning estimate for straightforward cases, not an official AHU turnaround or a promise for incomplete foreign documents, corrections or sector permissions. Define whether your engagement ends at legal approval or includes later tax and OSS work.

Key takeaways

  • The founders approve the facts and signing authority; the notary manages the relevant AHU submission using the applicable professional access.
  • Approve the deed and the filing data as a matched set, so an accurate deed does not conceal a different online entry.
  • Resolve a rejected or inconsistent record through the correct correction or amendment route; do not submit a second incorporation merely to clear an error.
  • Collect the legal approval, deed and application identifiers together before treating the incorporation assignment as delivered.

Agree the company facts and the authority to file

Prepare one approved data sheet containing the proposed company name, domicile and full address, founders and shareholders, share allocation, capital structure, directors, commissioners and intended business activities. Record names exactly as they appear on the relevant identity or corporate documents. For a foreign corporate founder, establish who may authorize the investment and who may sign for that founder.

The notary needs a supported legal instruction, not merely a sales order. Ask for the document requirements applicable to your founders, including any foreign-document authentication or Indonesian translation. Do not assume every country’s certificate or online extract has the same acceptance treatment. Resolve a missing authority document before arranging execution of the deed.

Confirm the activity description early enough to inform both the deed and later licensing. The general Indonesia company registration process includes an entity and activity assessment, while actual operating permission depends on the activity-specific OSS and sector requirements. A scope that ends at AHU approval should say so explicitly.

Control the submission sequence through AHU

Indonesia’s conventional PT filing should be managed as a sequence of approved inputs and official outputs. The AHU incorporation manual describes the electronic workflow, including payment-related references and company, deed, capital, management and shareholder data. Screen labels can change; use the live system and current requirements rather than copying a historical screenshot.

  1. Confirm the name and obtain the applicable name-use approval through the notary’s workflow.
  2. Finalize the articles and establishment deed, then arrange execution by the founders or validly authorized representatives.
  3. Approve the online particulars against the executed deed and supporting documents.
  4. Arrange the official billing and payment required for the transaction, retaining the billing reference and receipt.
  5. Have the authorized filer complete the prescribed declarations and submit the application.
  6. Retain the application reference and retrieve the official result; review the issued output before recording completion.

Approval of the data should precede final submission. Request a readable summary or export that allows the company to check spelling, shares, officeholders, address and activity descriptions. The founders should resolve an inconsistency through the notary before the application is finalized. This control does not require sharing the notary’s professional credentials.

Keep the government payment distinct from the professional engagement fee. A paid voucher or billing record proves that a payment has been made for a transaction; it does not by itself prove that the application was submitted correctly or that legal approval was issued. Ask the provider to identify both references on its progress report.

Define the filing endpoint

Confirm which AHU output and later registrations your engagement is expected to deliver.

Keep a traceable submission file

Store the executed deed version, the approved data sheet, identity and authority documents, applicable declarations, billing receipt and application identifier in a dated file. Mark which documents were uploaded, which the notary retains and which were used only for verification. This avoids a common handover problem: the founder receives a final PDF but cannot identify the information submitted to obtain it.

The current procedural framework is Minister of Law Regulation 49 of 2025 . Ask the notary to apply its requirements to the actual entity and transaction. Older AHU guidance remains useful for understanding the portal but should not be treated as authority to ignore a later regulation or the current system’s document requirements.

Agree the communication method for official notices. A founder should receive the exact status and reference, not a paraphrase such as “still processing.” If an issue is technical, preserve the error message and support ticket. If it concerns document sufficiency or a legal declaration, identify the document and decision-maker. The same delay can have very different remedies depending on its cause.

The control points below keep payment, submission and approval separate. Their order shows what you need to collect when an assignment stalls between a signed deed and an issued legal-entity output.

From approved incorporation data to a verified result The filing passes through matched deed and data, billing and submission, official result and a final acceptance check. A defect is routed back to the affected stage. Matched deed and approved data Billing receipt and submission reference Official result or correction notice Accepted legal-entity handover
Each stage has its own evidence; a paid transaction is not the same as an issued approval.

Choose the correction route for the stage reached

First determine whether the disputed information is still a draft, part of an unresolved application or already reflected in an issued approval. A correction request is not a general permission to change the commercial deal. A new shareholder arrangement or changed business object may require a substantive corporate act rather than an administrative fix.

Stage Question to resolve Evidence to retain
Before submission Does the deed or proposed entry need correction before execution or final filing? Approved replacement draft, signing instruction and final matched data.
Application unresolved Is the message about missing support, inconsistent data or a system fault? Exact notice, application identifier, response and replacement document version.
Approval already issued Is this a demonstrable input error or a new legal change? Notary’s route analysis, supporting request and accepted correction or amendment output.

AHU maintains a company-data correction procedure separate from the ordinary incorporation guidance. Use the route that fits the problem and the current record. Do not assume a manual for a one-person company covers a conventional PT, or that editing a downloadable document changes the government database.

For each notice, prepare a response sheet with the questioned field, the source document, the correct value and the requested action. Submit the supporting documents through the authorized route and preserve the acknowledgement. The same sheet can be used to check the revised result without rewriting the whole application history.

Some delays arise before the application reaches AHU. The distinction between an incomplete founder file and a portal issue is developed in registration delays caused by missing or inconsistent documents . Classifying the blocker correctly prevents time being spent chasing an approval that could not yet be requested.

Accept legal approval against the executed deed

Retrieve the legal-entity approval output from the official workflow and compare it with the company and deed particulars. Verify the company name, relevant deed reference, issuing details and available authentication information. Keep the native downloaded file rather than relying on a cropped image in a chat. Where a record can be independently checked through AHU, preserve the dated check or extract as well.

Perform a second reconciliation across the delivered deed, approved application information and legal approval. This is an acceptance check, not a legal opinion on every clause in the articles. If a name or number differs, ask the notary to explain the relationship and identify whether the discrepancy requires action. A provider’s stamp on a photocopy cannot resolve a substantive mismatch.

Record the company’s legal-entity outcome separately from later registrations. Legal approval does not establish that the intended business is already licensed to operate. Obtain any tax-registration and OSS outputs included in the engagement, but do not label their absence an AHU defect if the legal-entity task has genuinely been completed. Record the unfinished workstream and its owner.

Clarify an unresolved filing status

Provide the application reference, exact message and supporting document so the issue can be routed correctly.

Plan time around the blocker rather than the portal label

Use the two-to-four-week general benchmark only once the provider has accepted the complete documents for a straightforward registration. Before that point, overseas corporate approvals, authentication, translation and signing arrangements can dominate the schedule. After legal approval, sector licensing, bank onboarding and immigration have separate dependencies. None of those durations should be hidden inside an unexplained promise of “registration completed.”

Ask the provider to name the next missing input, who must produce it and what event releases the next stage. Name and activity discussions can begin while founder documents are assembled. Final submission depends on the executed documents and required declarations being ready. A correction can reopen the relevant dependency, so revise the delivery forecast when its scope becomes known.

Set a review date for each open item without inventing an official deadline. If the notary identifies a statutory or system time limit, record the precise basis and starting event in the file. An internal target is useful for follow-up; it should never be described to the founders as a government service guarantee.

Close the registration when the legal outputs match

Accept the incorporation assignment when the executed deed, government approval and recorded particulars form a coherent file, and any correction has a documented result. Save the application and billing references, the authorized representatives’ instructions and the outstanding workstream list. The company should be able to explain its registered name, owners and officers without depending on an agent’s memory.

Keep the assignment open if the approval cannot be produced, a material discrepancy is unexplained or the corrective route has not been completed. Once the legal-entity handover is sound, transfer the agreed facts to the separate tax, OSS and operational-readiness tasks. That is the point at which another team can continue without reconstructing the incorporation from emails.

Check the incorporation delivery

Compare the accepted documents with the agreed company particulars before closing the assignment.

Frequently asked questions

Can I use the one-person company portal for a foreign-owned PT?

Do not assume that the simplified domestic individual-company route applies to a PT PMA. Confirm the eligible entity and founder status before choosing the portal; this procedure concerns a conventional PT handled through a notary.

Does legal approval guarantee that a bank will open an account?

No. The bank makes a separate onboarding decision based on its documentation and KYC requirements. Keep banking outside the incorporation completion test unless the contract expressly includes application support.

Should I sign a blank power of attorney to avoid delays?

Use an authorization with an identified representative, defined scope and appropriate validity. The notary should confirm the form needed for the particular signing act and the treatment of foreign execution.

What if the provider changes during the application?

Obtain the existing application and payment references, signed documents, official outputs and correspondence first. Coordinate a lawful handover rather than starting a parallel filing that could create conflicting records.
