Indonesia Footwear Manufacturing: Company Setup, Ownership, KBLI, and Cost

An Indonesian footwear factory cannot be scoped from the word “shoes” alone. KBLI 2025 separates daily footwear, sports shoes, technical or industrial shoes, and other footwear. That product choice controls the company objects, OSS project, investment calculation, equipment evidence, possible supporting permissions, and the boundary between a factory that merely makes components and one that sells a finished regulated product.

For direct foreign ownership, the usual vehicle is a PT PMA. Which footwear KBLI matches the product?

Select the five-digit code from the designed use and the finished output. The OSS KBLI 2025 footwear hierarchy contains four groups. It also places the manufacture of footwear parts—such as uppers, inner and outer soles, and heels—within the footwear subcategory, while excluding knitted or crocheted footwear without soles, wooden lasts, ski boots, and orthopaedic footwear.

A mixed factory can register more than one footwear code if separate product lines are real and supported. Do not add all four as a precaution. Each extra activity must reconcile with the deed, capacity, site, machinery, investment plan, environmental description, and future reporting. Start with a product register showing intended use, construction, material, performance claims, component-making stages, annual capacity, customer channel, and whether the output is a part or a finished shoe.

Which company and ownership route applies?

Use a PT PMA when an overseas individual or company will own shares directly or indirectly in the Indonesian manufacturer. A local PT fits only genuinely domestic ownership and control; using Indonesian nominees to conceal foreign beneficial ownership is not a substitute. A representative office cannot manufacture, invoice customers, hold production inventory, or operate the factory as its own commercial business.

The ownership conclusion is based on Presidential Regulation 49 of 2021 , which keeps commercial fields open unless closed or reserved, and on review of its schedules. Footwear codes 15201, 15202, and 15203 appear as priority investment fields rather than restricted fields; 15209 is also absent from the reviewed restriction schedules. Priority status may support an incentive application where all criteria are met, but it does not itself grant a tax facility or waive licences.

A conventional PT requires at least two shareholders and a governance structure with directors and commissioners. Agree the full beneficial-owner chain, percentages, voting and reserved matters, board appointments, signatory limits, and funding obligations before foreign documents are apostilled or translated. The company name, business purposes, five-digit KBLI codes, capital, shareholders, and board are then recorded through a notarial deed and the current AHU procedure under Ministry of Law Regulation 49 of 2025 .

For a PT PMA, Investment Ministry/BKPM Regulation 5 of 2025 sets the general minimum placed and paid-up capital at IDR 2.5 billion per company and generally requires a total investment plan above IDR 10 billion, excluding land and buildings, per five-digit KBLI and project location. A manufacturing line producing several product types can use the regulation’s production-line calculation where its conditions are satisfied. Record the basis rather than multiplying or aggregating the threshold automatically.

How does company setup reach licensed production?

Company existence and factory authority are separate milestones. Ministry of Law approval establishes the legal entity. Tax activation, company-controlled credentials, and a bank account make it administratively usable. The OSS project then identifies the business, location, scale, capital, capacity, and risk result. For a large-scale PT PMA under 15201, 15202, 15203, or 15209, the live OSS records show medium-high risk, a Standard Certificate, and a seven-day sectoral processing period after a complete file.

The practical order is:

  1. Freeze the manufacturing perimeter. Decide finished products, components, processes, capacity, claims, imports, local sales, exports, and outsourcing.
  2. Approve ownership and formation data. Complete shareholder, beneficial-owner, governance, capital, signatory, name, KBLI, and location decisions.
  3. Form the PT PMA. Execute the notarial deed, obtain AHU legal-entity approval, activate tax records, secure controlled system access, and open the corporate banking path.
  4. Establish site feasibility. Confirm industrial-estate status, spatial conformity, environmental route, building use, utilities, fire and waste systems, and lease cooperation.
  5. Obtain the OSS outputs. Complete the NIB and medium-high-risk Standard Certificate process using the exact project data and required evidence.
  6. Release commercial production. Verify the Standard Certificate and every applicable basic, supporting, product, labour, immigration, customs, and tax condition before ordinary sales.

Under Government Regulation 28 of 2025 , an unverified Standard Certificate can support the preparation stage for a medium-high-risk activity, but verification is required before normal operating and commercial activity. Treat “NIB issued,” “certificate unverified,” “certificate verified,” and “all supporting conditions effective” as four distinct status fields.

What should the first-year cost plan separate?

Build the cost plan in layers because no responsible universal total exists for a footwear plant without its location, output, capacity, processes, material mix, building condition, and sourcing model. A cut-and-stitch upper facility has a different site and equipment profile from an integrated plant that compounds rubber, moulds soles, injects components, applies solvent-based adhesives, finishes leather, and performs laboratory testing.

Which site and evidence conditions affect the factory?

An industrial company generally must locate in an industrial estate under Industry Ministry Regulation 37 of 2025 . Defined exceptions can apply, including where no estate or suitable plot exists and for certain zones, scales, or location-dependent activities, but the outside-estate basis requires OSS verification. A lower rent does not cure an unusable zoning, environmental, building, or utility position.

For large-scale footwear manufacturing, the live OSS records require a raw-material and utility plan; machine specifications, photographs, and ownership or lease evidence; quality-testing equipment; an accountable organization; an end-to-end material, production, quality, packaging, storage, and distribution flow; worker accident-response and rest facilities; and a matching plant layout. Translate that evidence into due diligence. The location file should show the precise coordinates, land and estate status, spatial response, environmental pathway, PBG and SLF status, available power and water, ventilation, adhesive and chemical storage, wastewater or emissions controls, waste route, fire protection, truck access, and the landlord’s duty to cooperate. The equipment file should link every machine to a production step, capacity, utility, safety measure, test, and layout position.

OSS pages for the footwear codes also display veterinary control number certification among the supporting permissions. Do not assume that every synthetic-footwear plant needs it or that every leather-handling operation is exempt. Confirm the PB UMKU result against the actual animal-origin material, storage, processing, and supply chain, and record the authority’s applicability answer before excluding or budgeting the certification.

Where do footwear projects fail, and how can they recover?

The first failure is a classification shortcut: the deed says daily footwear, the catalogue promises sports performance, and the equipment list includes a safety-toe line. Recovery requires a signed product register, corrected code analysis, and then amendments to each affected record. Do not change only OSS if the deed, investment plan, environment, or site permission also relies on the old scope.

The second failure is paying for a site before proving feasibility. Recovery begins with a gap report covering estate status, spatial conformity, environment, building use, utilities, fire systems, and landlord cooperation. Use contractual cure, a conditional fit-out plan, or an orderly relocation comparison. Continuing to install equipment while the site basis is unresolved can make both the licence evidence and sunk cost worse.

The third failure is a price that appears complete because it combines capital, official charges, advisory work, and project spending. Recovery is an itemized recipient-and-deliverable schedule. Identify who receives each payment, what acceptance evidence releases it, whether tax and disbursements are included, what can be refunded, and which work remains dependent on regulators or the site.

Finally, teams often mistake preparation authority for commercial authority. Recovery requires a status register showing the NIB, Standard Certificate verification, spatial and environmental outputs, building status, conditional PB UMKU, product tests, tax readiness, labour and immigration, responsible owner, and next reporting event. Commercial release occurs only when the applicable rows are effective, not when the company deed is signed.

Choose the footwear setup scenario

Choose a single-code launch when one finished product purpose, one line, and one site can be described consistently. This produces the clearest deed, OSS project, evidence pack, investment basis, and cost schedule.

Choose a multi-code launch only when distinct footwear categories will genuinely be produced from the start and every code has capacity, equipment, site, investment, and licence support. Record whether the manufacturing-line calculation applies.

Choose a phased launch when later sports, safety, or component production still lacks a validated product, site, test, or budget. Form and license the supported first phase, but design the lease, utilities, governance, and future amendment path so expansion remains possible.
