Indonesia Forest Nursery: Foreign Investment and Licence Requirements

A document-led framework for PT PMA eligibility, KBLI 02103, nursery registration, certified forest reproductive material, and lawful lot release.

A foreign investor may operate a commercial forest nursery in Indonesia through a PT PMA if the specific activity is open to the proposed ownership and the company satisfies current investment rules. The core business classification is KBLI 2025 code 02103, Pembenihan Tanaman Kehutanan. An NIB alone is not the release document for nursery stock: the selected OSS scope, nursery registration, seed-source evidence, seed or seedling certification, site approvals, and movement controls must align.

The most reliable setup begins with the intended lot: species, source, propagation method, buyer, destination, and whether seeds, seedlings, imports, or exports will be traded. Those facts determine which of the five OSS scopes under KBLI 02103 applies and which records must travel from source material to a marketable seedling.

Confirm foreign-investor eligibility

The foreign-owned operator normally uses an Indonesian limited liability company classified as a PT PMA. Before incorporation, screen the exact five-digit activity against Presidential Regulation 49 of 2021, the current OSS implementation, and any Ministry of Forestry conditions. Do not infer a percentage from the word “nursery,” from an agricultural code, or from the ownership of an unrelated forestry service.

A normal PT PMA file identifies at least two shareholders, the beneficial-owner chain, directors and commissioners, funding source, business location, project description and KBLI. Its deed and AHU record, tax identity, OSS profile, NIB and bank KYC should use consistent names, addresses and control information. A foreign shareholder does not receive a personal right to run day-to-day nursery work merely because it owns shares; immigration and employment permissions follow the person's actual role.

Under the current BKPM Regulation 5 of 2025 , the general PT PMA model uses a total investment value above IDR 10 billion, excluding land and buildings, per five-digit KBLI per project location unless a special calculation applies. The minimum issued and paid-up capital is IDR 2.5 billion per company. These are investment and capital thresholds, not a fixed nursery budget or government charge.

The commercial budget must separately fund land control, shade and propagation structures, water and drainage, seed procurement, trays and media, quarantine space, cold or dry storage where needed, laboratory or testing services, skilled staff, certification, failed batches, transport and working capital. Record realistic capacity and sales assumptions in the investment plan so LKPM reporting can be reconciled to actual implementation.

Select the correct KBLI 02103 scope

The official KBLI 2025 entry for 02103 covers forest-tree seedling activity in which trees are raised to a specified age. It expressly distinguishes non-forest trees, which fall under code 01309. That boundary matters for a mixed nursery selling timber species, fruit trees, landscaping plants, ornamentals and agricultural planting stock.

OSS currently lists five scopes: seed export, seedling or seed import, combined domestic procurement and distribution, domestic seedling activity, and domestic seed activity. Select only the scopes supported by the operating plan. The risk classification and licence output may differ by scope, scale, and current sector standard, so download the project-specific requirement list from OSS rather than treating a generic NIB printout as the complete answer.

Activities outside the nursery boundary need their own analysis. Owning a certified seed source, collecting seed or wildlings inside a forest area, conducting contract planting, managing a plantation, trading chemicals, operating a testing laboratory, or researching genetic material can trigger separate rights, KBLI codes or technical approvals. Define which company controls each function and which evidence crosses between them.

Build the seed-to-seedling evidence chain

A marketable forest seedling is supported by more than healthy appearance. Its file should identify the botanical and local name, source and class of reproductive material, supplier or collection authority, seed lot, collection and receipt dates, quantity, test or certification record, propagation batch, treatments, losses, grading, certification result, label, buyer and movement document. The identifiers should reconcile as quantities split, germinate, fail, are transplanted, and are sold.

Do not obtain seed from a forest simply because the nursery owns KBLI 02103. The source area, collector, species and collection activity need their own lawful basis. When material comes from a certified seed source, preserve the source certificate and lot documents. When the nursery buys from another producer, verify the seller's authorization and certification rather than re-creating origin evidence from an invoice.

Current Ministry practice reinforces this chain. A July 2026 forestry office report states that traded seedlings need clear seed origin, documented nursery processes, certification before circulation, OSS business licensing, nursery registration with the provincial forestry service or competent Forest Plant Seed Centre, and applicable seed and seedling certification. The exact competent Balai or UPTD should be confirmed for the nursery's province and product scope.

The licence set becomes manageable when every document is attached to the same commercial lot. The control path below shows where a broken identifier or missing approval should stop release.

Match the site to the nursery model

An independent commercial nursery usually needs a site outside the state forest area with a valid company-held right or lease, zoning compatible with the activity, legal access, and environmental screening. Verify survey coordinates, the landlord's title and authority, encumbrances, the lease term, expansion rights, water access, drainage discharge, utilities, vehicle movement and any limits on shade houses, laboratories, cold rooms, storage or worker facilities.

A nursery inside a PBPH work area is different. Its footprint, purpose and material flows should appear in the licence holder's approved operational plan and work-area controls. If that unit begins selling to third parties, importing material, or supplying outside the approved project, reassess whether a separate KBLI 02103 business scope, nursery registration and certification pathway is required. PBPH access is not a transferable land title for an unrelated nursery operator.

Site acceptance checks

  • separation of incoming material, propagation, growing, hardening, rejected lots and dispatch;
  • washable or controllable work areas, media storage, pest monitoring and sanitation;
  • structures covered by applicable building approval and fitness documentation; and
  • secure records, labels and inventory that remain usable during power, weather or pest events.

Environmental approval under Government Regulation 22 of 2021 depends on the screened project, not on the small physical size of a seedling. Include water use, nutrient and pesticide handling, wastewater, plastic trays and bags, discarded media, diseased material, fuel, generators and laboratory chemicals. Obtain the required SPPL, UKL-UPL or AMDAL route and other basic requirements indicated in OSS before construction or operation reaches the relevant gate.

Assemble the licence and document set

The complete file is a stack of linked records rather than one “nursery licence.” The current risk-based regime is set by Government Regulation 28 of 2025 , which replaced Government Regulation 5 of 2021. Forest seed certification is not one universal certificate. The Ministry's official summary of Forestry Regulation 16 of 2025 distinguishes certification of seed sources, seed quality and seedling quality, performed by the competent Balai or UPTD. It also covers PNBP for certification, overseas entry and exit permissions, and seed or wildling collection from classified seed-source areas in forest zones.

Confirm tariff units and service scope before budgeting. Government charges for certification or cross-border permissions are separate from laboratory tests, inspections, samples, travel, consultants and the company's compliance labor. A service quotation should identify the licence output, responsible authority, assumptions, exclusions, validity or renewal, and evidence delivered.

Treat validity and change events as operational data. The compliance calendar should identify the owner, authority, effective date, expiry or review date, submission lead time and proof of acceptance for each OSS output, facility record, source certificate, lot certificate and quarantine permission. A new species, supplier, source region, propagation method, building, project location, import route, export country or production capacity can change the risk assessment or the supporting evidence. Route proposed changes through regulatory review before procurement or customer commitment, and retain both the superseded record and the approved replacement.

Supervision should be reproducible from the stock ledger. On any inspection date, the nursery should be able to reconcile opening stock, purchases or collections, propagation input, mortality, culls, transfers, certified quantities, dispatches and closing stock by lot. Physical labels should match the electronic record and invoice, while access controls should show who may create, approve or cancel a label. Investigate negative balances, unexplained yield, duplicate identifiers and post-dated certification immediately. These controls protect the nursery when a customer, forestry authority or quarantine officer asks how a particular seedling reached the dispatch area.

Sequence the PT PMA and nursery setup

  1. Write the product specification. List species, seed or seedling, propagation method, source geography, annual capacity, buyer, destination, age and quality criteria.
  2. Classify each revenue stream. Select KBLI 02103 scopes for domestic seed, domestic seedlings, combined activity, import or export, and identify any genuinely separate activity.
  3. Screen ownership and capital. Verify the foreign percentage, shareholders, UBO, governance, project location, investment value and funding plan under current rules.
  4. Control the site. Complete title or lease diligence, zoning, access, environmental route, water, building and utility checks before committing to specialized structures.
  5. Form and activate the PT PMA. Obtain the deed and AHU approval, tax record, OSS access, NIB, correct project data, bank account and verified risk-based licence output.
  6. Register the nursery and validate sources. Confirm the competent forestry office, register the facility where required, contract only lawful suppliers and establish source-to-batch identifiers.
  7. Run a certification-ready pilot. Test intake, propagation, grading, inventory reconciliation, pest controls, certification applications, labels and rejected-stock handling on real lots.
  8. Release by destination. Check the buyer, movement route, quarantine status, permit validity and lot documents before dispatch rather than after loading.

No fixed timeline can responsibly cover every nursery. Entity formation, land and environmental screening, OSS verification, facility construction, source certification, biological propagation cycles and lot certification move on different clocks. Use dependencies in the project plan and prevent construction, imports, customer commitments or dispatch until the relevant predecessor is effective.

Foreign investors can coordinate incorporation, scope confirmation and evidence handover through nursery-specific PT PMA licensing coordination . The engagement should clearly separate corporate work from land diligence, forestry certification, quarantine, laboratory and authority services, and should never present certification or OSS verification as guaranteed.

Control import, export, and biosecurity risks

Cross-border trade needs the relevant KBLI 02103 import or export scope and the applicable Ministry of Forestry permission. It also brings the seed or seedling into plant-quarantine control. Verify the scientific name, origin, destination, quantity, treatment, packaging, permit validity, port, exporter or importer identity, and whether the species is protected, restricted, invasive, genetically modified or otherwise subject to an additional rule.

The Indonesian Quarantine Authority explains that plant quarantine can include inspection, isolation, observation, treatment, detention, rejection, destruction and release to prevent quarantine pests. Its current plant-quarantine procedures cover import, export and domestic inter-area movement; export inspection supports issuance of a phytosanitary certificate when requirements are met. Destination-country import conditions must be obtained before producing or treating the lot.

Nursery biosecurity begins before a border inspection. Approve suppliers, inspect incoming material, isolate unknown or suspect lots, control footwear and tools, monitor pests, document treatments, keep clean media apart from waste, and define destruction and incident escalation. Link quarantine or phytosanitary records to the nursery batch so the company can identify affected customers and remaining stock if a pest is detected.

Release only compliant forest-nursery lots

A forest nursery is ready to sell only when the same company, site, activity scope and lot can pass one release test. Confirm that the PT PMA is eligible and active, OSS shows the correct KBLI 02103 scope and verified output, the nursery has the required registration, the source and batch are traceable, certification and labels apply to the actual quantity, and the buyer's movement or border requirements are satisfied.

Stop release when a species name differs across records, the source certificate cannot be linked to the batch, physical stock exceeds documented yield, a certificate has expired or covers another lot, OSS contains only the domestic scope for an export, or plant-health evidence is missing. Correct the source record and obtain the competent authority's decision; do not repair traceability with a new internal label.

The practical completion file is small enough to audit: company and OSS outputs, site rights and approvals, nursery registration, approved suppliers, source certificates, batch ledgers, test and certification results, labels, stock reconciliation, buyer orders, movement or quarantine documents, and proof of fees. Keep it current for every lot rather than rebuilding it for an inspection.
