Indonesia Industrial Chemicals Manufacturing Setup: Ownership, KBLI, Licences, and Cost
Use a substance-to-permission register to expose gaps before a chemical plant investment is approved.
Industrial chemicals manufacturing in Indonesia should be structured around the substances made, the conversion process and the hazards present on site. A PT PMA can be the foreign-invested operating vehicle, but ownership and permissions must be checked for each activity and any specially controlled product. “Industrial chemicals” is not one unrestricted licence category.
One verified cost is the PT establishment registration charge: IDR 1,500,000 where authorized capital exceeds IDR 1 billion but does not exceed IDR 5 billion, or IDR 5,000,000 above that band, under PP 30/2026. Neither amount prices a chemical plant. Hazard controls, site work and product-specific approvals belong in separate cost accounts.
Key takeaways
- Old inorganic-chemical code 20114 splits into three KBLI 2025 destinations; the product determines which description applies.
- An OSS page can list supporting permissions for several regulated scopes. Do not interpret the whole list as mandatory for every chemical manufacturer.
- Safety data, maximum site inventory and process conditions should inform the licence brief before the lease and equipment specification are finalized.
- Keep paid-up capital, investment spending, official charges and professional fees distinct in the funding model.
Start with a substance-to-permission register
Define the first manufacturing portfolio at substance level. Capture chemical identity, relevant CAS identifiers, mixtures and concentration ranges, input and output quantities, reaction or blending stages, physical form, packaging and intended industrial use. Include by-products and waste streams. A commercial name such as treatment agent or processing aid leaves too much uncertainty for a legal or environmental review.
Use the register as a controlled project document. Each row should state whether the Indonesian company manufactures the substance, formulates a mixture, recovers a material, imports it or merely resells it. The same chemical can appear in different commercial roles without giving the company the same permissions for every role. Classify the activity and the material; neither substitutes for the other.
| Register field | Evidence source | Decision it supports |
|---|---|---|
| Identity and composition | Supplier specification, formulation owner and safety data | Classification and controlled-product screening. |
| Transformation and output | Process description and material balance | Manufacturing scope and environmental basis. |
| Peak inventory and conditions | Tank schedule, delivery lots and process design | Storage, emergency planning and workplace-hazard assessment. |
| Intended market and role | Customer use and supply contract | Product permissions, labels and distribution boundaries. |
This register is a planning tool, not a declaration that a material is legally unrestricted. Screen flags such as explosive-related use, pesticide use, controlled precursors or other specialized products with the appropriate sector rules. If the product’s identity or use cannot yet be disclosed internally, limit access through confidentiality controls rather than leaving the regulatory team to classify an unspecified chemical.
Identify the chemical regulatory boundary
Provide product identities, intended uses and a process description so the activity and controlled-material questions can be separated.
Resolve ownership against the current chemical classification
The OSS conversion of old code 20114 identifies three KBLI 2025 destinations: 20111, 20119 and 20121. The relevant descriptions distinguish inorganic acids, bases and salts; other inorganic basic chemicals; and nitrogen compounds and specified fertilizers. That conversion makes automatic replacement with one catch-all code unreliable.
The current 20119 inorganic-basic-chemical entry itself contains multiple scopes and supporting permissions. Its listed outputs and scopes must be read against the proposed product. Do not select it merely because a substance sounds industrial, and do not assume that a permission listed for explosives or pesticides applies to an unrelated output.
For the foreign-investment screen, write down the current activity code, description, precise scope, ownership conclusion and any special-product condition. The activity-specific foreign ownership evidence check is useful at this stage. A broad statement that manufacturing is open to foreign capital cannot settle every controlled-material case.
Once the ownership result is supportable, instruct the notary on shareholders, beneficial ownership, management, signing powers and the capital structure. Match the entity that owns the inventory and production assets to the entity applying for the relevant permissions. The ordinary Indonesia company setup requirements remain the foundation; they do not authorize handling a specially regulated substance.
Test the site against storage, utilities and environmental interfaces
A suitable chemical site must support the actual material inventory and process, not just the office address. Request the estate’s written acceptance of the proposed activities, storage arrangement, vehicle movements and discharge characteristics. Check available utilities against normal operation and credible interruptions; treatment or safe shutdown assumptions should not depend on an unconfirmed service.
The industrial location framework in PP 20/2024 requires an estate-siting assessment and substantiation of any applicable exception. For a chemical project, obtain the land and building records, proposed equipment placement and responsibilities for modifications. Site rights must permit the installation and operation actually described in the project application.
Under PP 22/2021 , the environmental work must address the proposed impacts. Provide flows for process wastewater, vents, combustion sources, waste and stormwater that could contact chemicals. Identify which streams remain inside the tenant boundary and which pass to an estate or contractor. Do not treat an estate connection as evidence that every composition, concentration or flow is accepted.
Workplace chemical control is a separate responsibility. Kepmenaker KEP.187/MEN/1999 addresses hazardous chemicals at work, including safety data and labelling and the relevant hazard-management arrangements. Assess the duties for the actual inventory with competent personnel. A safety data sheet is an input to control decisions, not permission to store any quantity anywhere.
Build the permission file around verifiable outputs
Use PP 28/2025 as the current risk-based framework. The OSS result depends on the selected scope and project parameters. A public category page is a starting reference; it does not by itself prove the complete requirement list for your configured plant.
- Approve the substance register, process boundary and proposed ownership before the deed is signed.
- Complete the company’s notarial and AHU records, tax identity and authorized OSS access; retain the official outputs and reconcile the company data.
- Enter each project activity, location, capacity and investment basis accurately. Preserve the NIB and generated requirements.
- Obtain the applicable spatial, environmental and building outputs, with technical approvals or feasibility requirements where triggered.
- Close the selected activity’s Standard Certificate, verification or Business Licence conditions and any applicable product-specific supporting permission.
- Reconcile the final scope against the installed facility and authorized material list before releasing the relevant operating stage.
Track issuer, applicant entity, location, scope, status, conditions and renewal or reporting triggers for every output. Distinguish submitted, issued and verified where those states differ. If the process changes while review is underway, maintain one revision log and assess all dependent filings. Merely replacing the commercial product name on an old document does not establish coverage for a changed substance or process.
Schedule on the slowest evidenced dependency. A corporate filing can run alongside engineering preparation, but later approvals may need an agreed design and site data. No universal number of weeks is credible for an unspecified industrial-chemical plant. Establish a dated programme once the material, location and permission scopes are fixed; separate preparation, authority review, correction and physical construction periods.
Price the chemical project without hiding exclusions
Use the current legal-entity tariff annex to PP 30/2026 for the AHU charge. For authorized capital of IDR 4 billion, the establishment-registration item is IDR 1,500,000; for IDR 6 billion, it is IDR 5,000,000. These examples illustrate the tariff test, not the legally required capital for every chemical activity and not the complete incorporation invoice.
HSJGlobal’s supplied standard entity-service starting benchmark is IDR 29,500,000 once, before any applicable VAT, approved on 7 September 2026. Its eligibility is limited to one location and up to two low or medium-low-risk activities with a suitable client-provided address. It includes the specified standard notarial/AHU coordination, tax and basic OSS work and AHU PNBP within the stated IDR 5,000,000 allowance. The benchmark is not an offer for high-risk chemical licensing.
Obtain an authorized chemical-project quote with separate deliverables for the entity, licensing coordination and technical specialists. Exclude or itemize foreign-document charges, additional notarial work, environmental studies, building work, product permissions, testing, banking, immigration and continuing reporting. VAT depends on the supplier and transaction; do not describe the project as universally tax-inclusive or exempt.
| Cost account | Basis for the amount | Frequency |
|---|---|---|
| Official and professional filings | Applicable tariff and signed work scope; avoid duplicate pass-through charges | Application or defined engagement. |
| Installed controls and assets | Engineering quantities, supplier scope, installation and acceptance tests | Capital expenditure plus maintenance. |
| Compliance operations | Monitoring, competent personnel, waste services and reporting duties | Recurring, by actual operating scope. |
| Inventory and funding | Payment terms, stock levels and capital/loan schedule | Working-capital movements, not registration fees. |
The board’s cash model should identify which amounts are firm, quoted, provisional or excluded. Avoid an invented national average for plant expenditure: a blending unit and an integrated reaction plant do not share a useful installed-cost range without a common capacity and engineering basis.
Check the licensing cost scope
Compare the proposed deliverables with the plant’s actual hazards and permission list before accepting a setup price.
Prepare operating controls and change triggers
Assign a named custodian for safety data and labels, material receipt and storage records, waste handovers, environmental monitoring, maintenance and applicable investment and tax reporting. Document the handover from the project team. The operating team must understand the restrictions attached to the permissions, not merely where the certificates are stored.
Reopen the regulatory review when composition, production route, maximum inventory, capacity, location or intended regulated use changes. A new customer specification can be a commercial change; a new substance or process can be a licensing change. Maintain the evidence supporting that distinction, including why a proposed change does or does not affect the approved scope.
Apply the industrial-chemical investment stop test
Proceed only when every planned substance and operation has a defensible classification, ownership position, site interface and permission owner. The project can then be costed and scheduled against actual work packages. A long licence list is less useful than a short, complete register tied to the materials the company will handle.
Pause the affected commitment if a chemical identity is unresolved, a controlled-product question remains open, the estate will not accept the relevant waste stream or the supplier quote excludes essential controls. Resolve the gap before it becomes an installed asset that the operating company cannot lawfully use.
Resolve the remaining plant gates
Use the substance-to-permission register to prioritize unresolved ownership, site and operating conditions.
Frequently asked questions
Does every supporting permission on an OSS chemical page apply?
No. The public entry can cover several scopes. Establish which permission is triggered by your material, activity and project parameters.
Can a manufacturer also import and sell unrelated chemicals?
That is an additional activity-boundary question. Review the intended importing and trading role rather than assuming that manufacturing permission covers an unrelated portfolio.
Is a leased warehouse automatically suitable for chemical storage?
No. Check its lawful use, building records, material acceptance, storage design and applicable conditions for the intended inventory.
Can confidentiality prevent regulatory identification of ingredients?
Commercial confidentiality can be managed through access controls and appropriate agreements. It does not justify an inaccurate or unspecified regulatory submission.
