Indonesia Pharmaceutical Packaging Factory: PT PMA, Factory Licences, Site, and Cost

The central decision is whether the Indonesian factory makes a component or handles the medicine.

Start with the buyer’s statement of work and a sample of the finished component: they show whether the Indonesian company supplies empty medicine packaging or handles and releases a drug. The first may follow a PT PMA and material-specific industrial code; the second raises a different BPOM and CPOB question. Draw the line between a component and a medicine

A pharmaceutical packaging plant may make empty blisters, plastic bottles, glass vials, labels and cartons, or it may handle a medicine in a final packaging operation. The corporate and regulatory answer changes at that line. The OSS description of KBLI 22202 plastic and bioplastic packaging includes drug packaging among its examples. A glass ampoule or serum bottle calls for a review of the glass laboratory and health-equipment classification and its current 2025 conversion and scope. A printed carton could instead sit in paper packaging manufacture. None of those descriptions automatically authorizes filling, labelling or releasing a medicine.

Ask the first customer for a statement of work, not merely a drawing. Does the factory supply an empty component? Does it sterilize that component? Does it receive bulk medicine, put doses into blisters or perform final packaging of a drug under contract? Who owns the product dossier and releases the batch? The word “pharmaceutical” describes the destination, not necessarily the plant’s licensed activity. The answer to the contractual question drives the KBLI, technical facility and regulator review.

This is an activity-boundary matrix, not a regulator’s decision. A company that sells both an empty bottle and a filled finished medicine has more than one output and requires a separate analysis. Keep each contract, code and site evidence together; the packaging supply agreement should not silently expand into a drug-manufacturing agreement.

A frequent borderline case is contract printing of medicine labels and cartons. Printing a customer-approved design onto empty material is different from receiving released bulk product, applying labels to filled packs and placing the result into saleable cartons. The latter involves custody of medicine and line-clearance, reconciliation and batch-record questions that the packaging-material code alone does not settle. Specify whether rejected printed components are destroyed, returned or reworked, and who signs off the artwork version. This reduces the risk of a perfectly made component bearing superseded dosage or safety information.

Design the material and buyer qualification file

BPOM’s current Good Manufacturing Practice for Medicines guidance describes consistent drug manufacture and quality control. Its detailed standard addresses selection and qualification of suppliers and packaging materials for the drug manufacturer. This means an empty-pack supplier should expect a demanding buyer audit, specifications and change control. It does not by itself prove that every factory making empty bottles must hold the same CPOB certificate as the drug maker.

Create a versioned component dossier : material composition, dimensional tolerances, intended medicine and contact conditions, cleaning and bioburden assumptions, closure integrity, print artwork, lot coding and a traceability method. State which tests are done by the supplier, an accredited third party or the buyer. If the component is claimed sterile, document the sterilization method, packaging integrity, validation and responsibility for release; an ordinary warehouse cannot simply add “sterile” to an invoice.

Agree a quality agreement before production trials. It should allocate approved suppliers, deviations, change notification, complaint handling, retained samples, data access and responsibility if a line or resin is changed. A valid industrial NIB and a customer’s approval are separate evidence states. A buyer may require more controls than the minimum factory licence because the component becomes part of a regulated medicine. Reserve budget and time for those audits rather than assuming registration makes the first shipment acceptable.

If the buyer changes the fill formulation, sterilization cycle or closure torque, do not silently reuse an earlier compatibility report. Open a documented change request, identify the affected material attributes and agree what must be retested. The supplier should be able to trace raw-material lots to finished-component lots and any customer batch they were supplied into. This is a concrete information asset for the investment decision: before signing an exclusive supply agreement, ask whether the proposed line and record system can deliver that traceability at the expected volume. A low-cost moulding line without reliable release records may be commercially unsuitable for the intended customer.

Set up the foreign-owned entity for the real process

Foreign ownership normally leads to a PT PMA assessment, but each manufacturing activity and any regulated drug activity needs its own current equity and licensing check. The company registration chain begins with the foreign shareholder documents, Indonesian notarial deed, AHU approval, tax setup and OSS project data. If an overseas parent is investing, collect the group chart, resolutions, signatory authority and beneficial-owner information before deed drafting. If the proposed joint venture includes a medicine manufacturer as customer and shareholder, keep transfer pricing, operational control, quality responsibility and contract ownership distinct; a shareholding relationship does not transfer regulatory authorizations between companies.

Paid-in capital, the project investment plan, government fees and HSJGlobal service charges are separate amounts. Do not turn a capital figure into an incorporation price. The ownership decision must precede contracting for specialized cleanroom or sterile equipment, because changing the entity that operates the facility can force the permit and quality documents to be amended.

The legal file should identify the precise activity controlled by the Indonesian entity rather than use a parent company’s global product list. If the parent owns a medicine registration elsewhere, that does not answer who holds the Indonesian product authority or who legally performs any local fill or final packaging. Ask the customer and regulatory team to sign an activity-boundary note before the articles of association are finalized. Governance is part of operational continuity when a regulated buyer depends on the facility.

A subsidiary importing machinery and packaging resin also needs customs and bank evidence that corresponds to its real contracts, but those workstreams do not grant industrial permission. Retain purchase orders, asset ownership and intercompany loan or equity records so the investment plan and later reporting can be reconciled. A nominee arrangement or a distributor’s unrelated licence is not a shortcut to the foreign-owned factory route.

Check the facility and sector permit boundary

PP 28/2025 supplies the risk-based OSS framework. Enter the actual manufacturing code, site and scale to see the NIB, any standard certificate, business licence and supporting approvals. Industrial-sector standards under Regulation 37/2025 govern applicable industrial activity conditions and location exceptions. The site review must cover spatial suitability, building approval and environmental screening for the actual extrusion, moulding, printing, washing or sterilization process.

A buyer audit of a component supplier is a commercial quality gate; an OSS operating approval is a government gate. Where the same entity handles medicinal product or a process within CPOB scope, BPOM’s CPOB certification service guidance becomes a separate sector-specific starting point for a detailed authority review. Do not claim that a general plastics licence automatically covers a drug packaging line or that every empty-component plant is a licensed drug manufacturer.

Before signing the facility contract, identify any clean area and segregation requirements, HVAC capacity, process water, waste streams and line-clearance space against the product specification. A sterile vial operation may need a materially different layout and validation budget from a printed paper carton operation. The first milestone is a technical zoning and process decision; the second is a site and permission decision; only then does equipment procurement have a stable specification.

A licence blocked by a mismatched activity is repaired by reconciling the signed customer contract, SKU list, process map and proposed OSS code. A buyer audit finding is repaired through the quality system and agreed corrective action. These two issues should not be logged as the same “permit delay”; each has a different decision owner and completion evidence.

Where sterilization is contracted to another facility, verify the subcontractor’s role, transport conditions, segregation and batch release record. Do not represent the original factory as sterilizing the output when it merely purchases that service. Where the company itself proposes a sterile claim, identify the responsible quality personnel, validated equipment, contamination-control assumptions and the authority question before signing a cleanroom lease. A supplier can lose a customer on incomplete sterility evidence even if its corporate and basic industrial records are in order. The consequence is commercial as well as regulatory, so assign both workstreams named owners in the project plan.

Keep corporate, facility and quality spending apart

The supplied HSJGlobal Essential standard PT PMA formation baseline is IDR 29.5 million one time, approved 7 September 2026. It is conditional on a single ordinary PT PMA, one qualified address and no more than two low or medium-low risk activities; it includes defined deed/AHU coordination, AHU PNBP up to IDR 5 million, basic NPWP and OSS/NIB work. Build two first-year scenarios: an empty secondary-carton supplier in an already suitable factory, and a primary-container supplier with special cleanliness or sterilization commitments. The relevant company baseline is only one input; the second scenario has more facility, testing and buyer-audit work. A third scenario that handles the medicine itself must be scoped with the pharmaceutical regulator and specialist team before any fee is published. Do not manufacture a single IDR total from incomparable configurations.

For timing, measure from signed product and responsibility boundaries to operating licence and buyer qualification, not from the first notary meeting to NIB alone. Document preparation, site screening and buyer discussions can overlap. A cleanroom build or required validation follows a stable facility and quality design. Keep recurring costs for audits, testing, quality personnel, rent, tax and applicable investment reporting separate from initial formation.

Use a procurement hold point at each change of responsibility: after the activity and legal entity are fixed, authorize site design; after the site and permit route are credible, authorize major equipment; after validation and buyer audit criteria are agreed, authorize trial lots. Place any unavoidable supplier deposit in a schedule that identifies recoverability and ownership of the tooling. This does not claim a statutory sequence for every plant; it prevents a capital commitment from outrunning the evidence on which its usefulness depends. Record the actual documents closing each hold point, not a verbal statement that the factory is “approved”.

An investor can express the first-year cash need without invented prices: agreed corporate fee plus verified government and third-party payments, the site’s lease and adaptation schedule, equipment and commissioning milestones, initial material and validation tests, and operating cash until the first buyer-accepted lot. Show deposits separately if refundable and flag any quote that excludes waste, HVAC or customer audit work. The later-year comparison removes one-time deeds and tooling while retaining premises, personnel, quality tests, tax and applicable industry reporting. This is a cash model whose numbers are populated by contracts; it is not a claimed published market average.

The stop condition is equally concrete. If a vendor quote assumes an unsterile component but the buyer’s specification says sterile, hold the contract and obtain a revised line, site and qualification price. If the customer will itself sterilize the component, record that responsibility in the quality agreement rather than purchasing an unnecessary cleanroom. This single distinction can change the commercial case more than small variations in the company-formation fee.

Choose the pharmaceutical packaging operating boundary

Choose a material-supplier route only when the contract stops at a defined empty component, the current KBLI and foreign ownership can be supported, and the site and OSS conditions fit its manufacturing process. If the entity will sterilize, package or release a medicine, escalate the activity classification and BPOM/CPOB review before committing to that scope.

The first deliverable is a signed responsibility matrix between component supplier and medicine manufacturer, attached to the product drawing and site plan. Stop if the contract says “packaging” while neither party can state whether the Indonesian company handles the medicine itself. That ambiguity is more costly than a delayed deed because it can invalidate the chosen equipment, site and licence plan.
