Indonesia Positive Investment List: Sector Access vs Incentive Eligibility
Use separate findings for permitted ownership, qualifying investment and a benefit that can actually be claimed.
Indonesia’s Positive Investment List does not make foreign ownership permission and tax incentive eligibility the same decision. Presidential Regulation 10/2021, amended by 49/2021, governs investment business fields; its incentive provisions defer to the applicable implementing rules. An accessible sector can therefore support a PT PMA project without supporting the tax benefit assumed in its forecast. Check the activity first, then the specific project, facility and filing window. Articles 3, 4 and 10 of Presidential Regulation 10/2021 establish these different functions.
Key takeaways
- Annex I identifies priority activities; Annexes II and III address different participation conditions. A priority label does not replace the access review.
- Product scope and project location can change the incentive result even where the business classification appears to match.
- Tax allowance is a conditional income-tax facility, not a payment equal to a percentage of total project spending.
- PMK 69/2024 specifies 31 December 2025 for tax-holiday proposals to the Minister. Do not budget a fresh 2026 award from that rule alone.
- An OSS screening message, a facility decision and permission to use the benefit are different evidence stages.
Read each annex for its own legal job
The working legal reference is Presidential Regulation 10/2021 together with Presidential Regulation 49/2021 and its replacement annexes , effective 25 May 2021. Start with the amended text rather than treating a historical negative list or a promotional priority-sector list as the controlling instrument. Commercial business fields are generally open, subject to the exclusions and participation conditions that apply to the actual activity.
| Reference | Question it helps answer | Evidence to retain |
|---|---|---|
| Annex I: priority business fields | Does this named activity and product scope fall within a priority entry? | The complete entry, requirements and identified facility category. |
| Annex II: cooperatives and MSMEs | Is the activity allocated to these enterprises or subject to a partnership route? | The applicable allocation or partnership entry. |
| Annex III: specified conditions | Does a domestic-investor condition, foreign ownership restriction or special licensing condition apply? | The precise condition and its activity boundary. |
Absence from the priority annex is not itself a ban on investment. Conversely, finding a similar product in that annex does not settle whether your chosen ownership and operating model are permitted. Record the access result without adding an incentive conclusion. The usable output names the activity, investor structure, applicable conditions and the text checked.
A company can also satisfy investment access rules while still needing the business permissions required for its operations. Keep entity formation, ownership screening and operational licensing as separate completion records. The underlying incorporation work belongs within the broader company registration process in Indonesia ; a tax-facility assumption should not determine what the company is registered to do.
Check the activity boundary
Bring the intended products, ownership structure and operating model for a review of the applicable investment-list entries.
Define the project before testing a benefit
Prepare a one-paragraph project description before marking any incentive as available. Identify the Indonesian taxpayer, actual production or service activity, products, project site, new investment or expansion, planned assets and expected commercial start. Use the same version of this description for legal screening and financial modelling so that the two teams are testing the same business.
The Indonesian Standard Industrial Classification, or KBLI, is an index into the analysis. A matching code is a starting point : a legal entry can cover only part of the activities grouped under that code. If a current classification differs from the version used in an annex, retain the mapping and compare the activity wording and product boundary. A crosswalk cannot expand the legal benefit.
A project record with production and distribution mixed into one label is difficult to test. Separate the activities actually performed and the assets used in each. The distinction between a classification match and an applicable legal entry is also central to priority list screening by business activity . Do not select a convenient code solely to make a benefit appear in a model.
Once the project description is stable, the evidence can divide into two dossiers. The access dossier supports the proposed participation; the incentive dossier must continue through the facility’s own conditions and decision stages.
Separate tax allowance from tax holiday
Tax allowance tests a listed activity and qualifying investment
Government Regulation 78/2019, Articles 2 and 3 covers domestic corporate taxpayers making qualifying new investments or expansions in specified business fields and, for some entries, specified regions. Its criteria concern investment or exports, employment, or local content, with entry-specific requirements. Merely replacing or adding equipment within an already commercial production line is excluded from its definition of expansion. Match the project to the relevant annex and sector requirements before calculating a benefit.
One allowance component deducts 30% of qualifying tangible fixed-asset investment, including land used for the main business, from net income over six years at 5% annually. Other components address accelerated depreciation or amortisation, qualifying dividend withholding and extended loss carryforwards. The deduction is not a 30% cash grant. Model the eligible asset base and the tax effect separately; neither the company’s total investment plan nor its paid-up capital automatically equals that base.
Tax holiday has a different threshold and a consequential date
PMK 69/2024, amending PMK 130/2020 , requires an Indonesian legal entity, qualifying new pioneer-industry investment of at least IDR 100 billion, the applicable debt-to-equity conditions and a commitment to begin realisation within one year of the decision. Prior facility history also matters. This threshold is a tax-holiday condition, not a general PT PMA incorporation threshold.
The same amendment took effect on 9 October 2024 and sets 31 December 2025 as the latest date for the relevant proposals to reach the Minister of Finance. As checked on 28 October 2026, the official rule history reviewed did not establish a later general extension. A fresh 2026 project should therefore exclude a new award under that window from its base case unless a later operative basis is evidenced. This does not mean that every previously approved holiday stopped in 2025; an existing decision needs its own terms reviewed.
Customs relief, training-related deductions and nonfiscal support also appear in the investment-policy framework. Each requires its own operative basis and conditions. A reference to incentives does not establish a universal bundle, automatic visa eligibility or a guaranteed licensing outcome.
Turn eligibility into an evidence decision
Use the following worksheet as a project review tool, not as a government application form. It forces every proposed benefit to answer a specific question and identifies what must change when the answer is unsupported. Keep a separate worksheet for each facility and investment unit.
| Review line | Required project evidence | If the evidence is missing | Decision owner |
|---|---|---|---|
| Access and participation | Activity description; amended annex entry or reason no listed condition applies; proposed shareholders. | Do not approve the ownership premise. | Corporate and sector reviewer |
| Facility scope | Named facility; current rule; full product and regional match; applicable sector criteria. | Treat priority status as a lead, not a confirmed benefit. | Tax and sector reviewer |
| Qualifying investment | New project or eligible expansion; itemised assets; acquisition dates and business use. | Remove unsupported assets from the facility calculation. | Project finance team |
| Filing window | Relevant business-permission date; commercial-start evidence; complete-submission and forwarding records. | Resolve timing before including the benefit. | Filing lead |
| Award and utilisation | Facility decision, approved project scope and the utilisation evidence required for that benefit. | Keep the benefit contingent in the forecast. | Tax implementation lead |
| Changes after approval | Reconciled site, products, asset register and compliance records against the decision. | Reassess the affected benefit before using the old calculation. | Project controller |
For tax allowance, use PMK 81/2024, Articles 407–415 for the present procedural framework, rather than relying on the revoked PMK 11/2020 procedure. PMK 81 took effect on 1 January 2025; its official history includes amendments through PMK 1/2026. Article 411 retains filing before commercial production, at registration for a new taxpayer’s Business Identification Number (NIB), or within one year of the relevant OSS business-licence issuance for investment or expansion. Both the production restriction and the applicable filing route matter.
The same article requires shareholder fiscal-certificate eligibility and digital details of fixed assets in the planned investment. Online Single Submission (OSS) screening and an application being forwarded are not the facility decision. For the net-income deduction, Article 415 provides a further utilisation application and tax examination. Preserve the submission trail , not just a screenshot showing that an activity was selected.
Assign an individual to reconcile dates before purchasing or commissioning assets. A worksheet marked “eligible” without the underlying dates can conceal a timing failure. Where a facility decision already exists, attach its approved scope rather than repeating the original application’s larger proposal.
Resolve the facility evidence gap
Use the project site, asset schedule and licence dates to identify the missing evidence for the incentive under consideration.
Test the business case when one assumption changes
The following are hypothetical planning tests, not determinations that any named sector qualifies. Their purpose is to show which conclusion survives when one fact changes.
- Ownership permitted, regional incentive condition unmet: keep the documented sector-access result, but remove that regional facility from the model. Reconsidering the site is a commercial choice requiring fresh eligibility evidence, not a correction to foreign ownership.
- Qualifying sector, equipment added to a commercial line: test the expansion definition before including tax allowance. A useful capacity addition can still fail the incentive’s investment-unit test.
- Pioneer-industry proposal first prepared in 2026: the investment’s commercial merits do not cure the 2025 proposal deadline in PMK 69/2024. Use an evidenced later legal route, an existing qualifying application or decision where applicable, or a forecast without that new holiday.
The practical comparison is between a business viable without the unapproved benefit and a business dependent on it. Record the latter dependency explicitly. If removing the facility changes the board’s investment decision, the missing eligibility evidence becomes a condition to investment approval, rather than an assumption hidden in the tax schedule.
Do not fix an incentive failure by changing the activity description while leaving the actual business unchanged. Reclassification, a new location or a redesigned production unit must be supported by the project itself and assessed again across the affected access and incentive records.
Carry the approval into project controls
Build a short handover schedule from the actual facility decision: qualifying business, location, approved investment, asset restrictions, reporting obligations and the events requiring another review. The accountant needs a traceable link between the approved investment and the asset register; the project team needs a clear instruction to flag changes before treating the original benefit as continuing.
Government Regulation 78/2019, Articles 6–8 restricts use and transfers of benefited assets, provides consequences when requirements cease to be met and limits overlapping income-tax facilities for the same investment. Do not add tax allowance and tax holiday together in a forecast for that same investment without testing those restrictions.
A practical evidence folder should pair the signed project description with the legal entries checked, the dated application trail, the facility decision and the implementation records. Mark assumptions as assumptions. Retain the no-incentive forecast alongside the approved-benefit calculation so that a later product, asset or site change has an identifiable financial impact.
Approve sector access and incentive value separately
Approve the proposed sector participation only when the access dossier supports the actual business and ownership structure. Approve an incentive value only when the named facility, project scope, filing timing and required decision evidence support that value. A positive finding on one dossier cannot fill a gap in the other.
For a new project reviewed in 2026, start with the tax-holiday deadline and the tax-allowance investment-unit and timing tests before treating either as a funding assumption. Escalate an unclear product boundary, mismatched licence date or unsupported continuation of a programme before committing a benefit-dependent investment. If the business remains viable without the unapproved benefit, carry that base case into the investment decision.
Prepare an investment decision with clear assumptions
Bring the separate access and incentive findings, including the forecast without an unapproved benefit, into the project review.
Frequently asked questions
Does a foreign shareholder prevent the company from being a domestic corporate taxpayer?
Foreign ownership and Indonesian tax residence are different classifications. The allowance rule addresses a domestic corporate taxpayer; foreign shareholding alone does not settle the company’s tax-residence or facility eligibility analysis.
Can an activity outside Annex I receive any investment incentive?
Article 10 of Presidential Regulation 10/2021 permits fiscal or nonfiscal incentives outside Annex I where the relevant legislation provides them. Identify that separate legal basis and test its conditions; absence from the priority annex is not conclusive.
Should a completed OSS application be treated as a tax saving?
Keep application completion separate from a decision granting the facility and any further utilisation requirements. The project forecast should identify which evidence stage has actually been reached.
Does the 2025 tax-holiday deadline cancel an existing award?
A proposal deadline is different from the benefit period under a valid decision. Review the existing award’s terms, implementation conditions and any applicable later tax rules rather than assuming it ended with the application window.
Can a regional incentive be carried to a different site?
Do not assume the original assessment covers another site. Compare the new location with the facility’s regional scope and the location identified in the decision, then resolve any required change before using the old benefit calculation.
