Indonesian Business Registration: Match Your Activity to the Right Filing Route
Start with the work and its owners, then choose the legal and licensing filings.
Indonesian business registration is a route-selection problem before it is an online filing task. Determine who will own the business, what activity will earn income and where it will operate. An eligible individual business, a one-person company, a conventional PT and a foreign representative office do not have the same eligibility or commercial powers. Entity formation and OSS activity licensing must then be completed through their appropriate channels.
Key takeaways
- The applicant’s ownership and intended activity determine eligibility; portal convenience is a later consideration.
- A one-person company is a specific Indonesian-citizen micro or small enterprise route, not a simplified foreign-owned PT.
- A representative office must remain within the permissions of its office type; an identity number does not make it a general trading subsidiary.
- Use separate completion tests for legal existence, business identity and authority to conduct the chosen operation.
Start with the transaction the business will perform
Describe the first real customer transaction. Identify the supplier, customer, deliverable, location and legal person expected to sign the contract and receive payment. A foreign group researching demand, an Indonesian founder providing services personally and a subsidiary manufacturing for sale have different operating needs. They should not begin from the same registration screenshot.
Separate the person selling from the person coordinating. A liaison team that introduces potential customers is not necessarily the entity contracting for sales. If the proposed Indonesian presence will hire people, hold stock, own equipment or deliver services, record those facts. They can change both the suitable legal form and the required project approvals.
The common Indonesian company types and market-entry options supply the legal choices, but the operating description tells you which choices deserve assessment. Choose a route that fits the intended transaction. Do not allow a low incorporation quote to determine an entity that cannot do the work you plan to sell.
Identify the applicant and the income activity
State the owners, proposed customers and work location before selecting a filing route.
Separate legal existence, business identity and operating permission
Legal-entity formation creates or registers the vehicle through the relevant legal administration route. OSS then records the business and its projects and issues the applicable business-identification and licensing outputs. The exact sequence depends on the applicant type. A conventional PT cannot treat its NIB as the document that replaces the notarial establishment and AHU legal-entity process.
For a conventional company, the Indonesian company formation requirements establish the underlying entity work. The subsequent licensing analysis concerns the actual KBLI activity and project. The same file can therefore contain a valid legal-entity approval and a genuine business identity while still lacking permission for a particular commercial operation.
Government Regulation 28 of 2025 distinguishes licensing requirements by activity risk. Low risk, medium-low risk, medium-high risk and high risk can require different combinations and statuses of NIB, Standard Certificate and licence. Supporting approvals and project requirements must also be considered where applicable. The answer to “registered?” should specify which of these results has actually been achieved.
Compare the filing routes against ownership and income
Use these common starting routes to identify the next eligibility check. The table is a screening tool; it does not establish sector permission or cover every specialized entity. A branch, foundation or regulated professional form needs its own analysis when the facts call for one.
| Starting situation | Route to assess | Condition that changes the choice |
|---|---|---|
| Eligible person trading in their own capacity | Individual business registration and OSS activity route | Confirm the person and activity are eligible; an individual NIB is not a separate company. |
| One Indonesian-citizen founder meeting micro or small criteria | Perseroan Perorangan, followed by the relevant business licensing | Foreign ownership or failure to meet the route’s criteria requires another structure. |
| Operating business using a conventional share company | Conventional PT; assess PT PMA status where foreign investment is involved | Match ownership, activity access, investment and required licences. |
| Foreign parent seeking a limited non-sales presence | The representative-office category appropriate to the intended functions | Domestic commercial contracting or income activity may be outside that office’s permitted scope. |
AHU’s one-person company explanation confirms the Indonesian-citizen restriction for Perseroan Perorangan. Minister of Law Regulation 49 of 2025 separately defines conventional share companies and one-person companies and their application mechanisms. Do not interpret “one founder” as an option available to any nationality or any business scale.
For a general foreign representative office, KPPA, article 270 of Investment Regulation 5 of 2025 limits its functions and prohibits Indonesian-source income and the specified commercial sales and purchase transactions. Other office categories have their own rules. The presence of an NIB does not override the office’s substantive restrictions.
Build an activity-to-route card before selecting the portal
Prepare one card for each genuine business model or distinct activity. It should connect the commercial facts with the legal applicant and the evidence needed at the end of the process. This is an editorial decision tool derived from the separate legal-form and licensing regimes; it is not an official filing form.
- Ownership: identify the legal owners, nationality or jurisdiction and ultimate control; state whether foreign investment is involved.
- Income role: state who contracts, delivers and invoices, and whether the Indonesian presence is limited to preparatory or liaison functions.
- Activity: identify the current KBLI description, exclusions and any specialist regulatory boundary.
- Location: state the actual project address and whether goods, staff, equipment or customers will be present there.
- Completion: name the legal-entity output, business-identification output and activity permission that must be checked.
Where PT PMA status applies, budget the investment and capital requirements separately from service charges. Article 26 of the investment regulation generally sets minimum investment above IDR 10 billion outside land and buildings per five-digit KBLI per project location, subject to stated exceptions, and issued/paid-up capital of at least IDR 2.5 billion per PT unless another rule applies. Assess the actual activity and exception before applying either figure.
Capital is company funding, not a registration-agent fee. A route that appears affordable because the quote lists only the filing work may still be unsuitable for the proposed project. The card should expose that eligibility or funding gap before the founders sign documents or lease premises.
Check the activity-to-route card
Use the owner profile and operational facts to identify unresolved eligibility and licensing questions.
Submit through the route the applicant qualifies for
For a conventional PT, instruct the notary using the agreed ownership, activity, address and authority documents. Complete the legal-entity process through the applicable AHU workflow before treating later OSS information as a substitute for incorporation. For a qualifying one-person company or individual business, use the corresponding applicant route and its actual eligibility requirements.
The registration account and authorized filer should match the applicant. Do not use another person’s personal profile because it appears easier to access. A representative’s power to assist with an application does not change the identity of the business being registered. Keep the authorization, application reference and issued outputs with the applicant’s records.
Check the live activity and scope in OSS. A code appearing in a directory identifies a classification, while its risk, ownership and sector conditions determine the next work. Save the issued document and its relevant annexes and conditions. A screenshot showing a successful submission is only one step in establishing the required outcome.
Resolve a route mismatch before making another filing
If the application route assumes Indonesian individual ownership but the intended business is foreign-owned, stop and reassess the structure. If a representative office is expected to sign revenue contracts outside its permissions, revise the operating model or assess an eligible operating vehicle. A second NIB or broader trading description cannot cure an incompatible legal form.
For an existing business adding a location or service, determine whether the legal vehicle remains suitable and which project or corporate records require updating. A new activity is a change to assess, not merely another code to add. Consider its ownership access, required approval, site and funding implications before making commitments.
Document the reason for the route change and preserve the original record. If the obstacle is a missing input rather than ineligibility, obtain that input through the existing process. Technical access recovery, administrative correction and substantive restructuring are different assignments and should not be treated as interchangeable solutions.
Select the route that can complete the intended activity
Proceed when the owners qualify for the legal form, the planned work fits its powers and the licensing route has an identifiable completion test. Keep the activity-to-route card with the setup instruction so the notary, licensing specialist and operating team work from the same facts.
Pause when the intended income, ownership or site contradicts the chosen route. Resolve that fact first, then select the portal and supporting documents. The purpose of registration is to support a lawful business model; the most convenient online form cannot make an incompatible model eligible.
Prepare the right filing instruction
Bring the chosen entity, activity scope and outstanding conditions to a focused setup discussion.
Frequently asked questions
Does having a local director make the business domestically owned?
No. A director’s nationality and the shareholders’ ownership are different facts. Assess investment status from the actual ownership and applicable rules, without using management appointments as a substitute.
Must a business use a company just because it needs an NIB?
Do not infer the legal form from the number alone. OSS accommodates eligible applicant types; determine whether the intended individual or entity route is available for the actual activity.
What if the business has a charitable rather than commercial purpose?
Foundations, associations and other purpose-specific arrangements require their own legal-form analysis. Do not force a nonprofit mission into a conventional trading route merely because it appears in a generic setup checklist.
Does selling online remove premises requirements?
No. Identify where the business is managed and where goods, staff or equipment are located. An online sales channel does not by itself settle the eligibility of the premises or the underlying activity.
