International Business Center in Thailand: IBC Setup and BOI Conditions
A practical route from group-service scope to separate promotion and tax decisions
A Thailand International Business Center can centralize services for group companies, but its setup depends on the work performed, its affiliates and the evidence behind the project. BOI promotion and Revenue Department tax approval are separate routes with distinct conditions; an applicant seeking both must plan for both.
Key takeaways
- BOI activity 7.34 principally serves associated enterprises, including at least one in a foreign country.
- The general BOI staffing threshold is 10 skilled permanent employees, with a narrow treasury-only exception of five.
- THB 10 million paid-up capital and the separate project investment requirement should not be confused with the tax expenditure test.
- The Revenue Department assesses eligible income and qualifying Thai-recipient expenditure independently of BOI.
- Foreign business and treasury permissions depend on the activities and entity, not simply on an IBC label.
What an IBC does and where BOI draws the boundary
An IBC is an operating activity and approval framework, not a separate form of legal entity. A Thai-incorporated company can seek promotion for an IBC project; an existing company may apply to expand into it without creating another company. The BOI IBC guidance describes activity 7.34 as principally serving associated enterprises. The company can charge for services, so a revenue-producing IBC should not be treated as a non-revenue representative office.
The service plan may cover general management and business planning; raw-material and parts procurement; product research and development; technical support; marketing and sales promotion; human resources and training; financial advice; economic and investment research; credit management; or licensed treasury-center financial management. BOI also lists international trade and certain lending to associated enterprises outside treasury-center scope, subject to exchange-control laws. Identify the actual service and recipient for each line rather than assuming a broad label covers every proposed activity.
The group-service activity must reach an associated enterprise in at least one foreign country. BOI also permits service to domestic affiliates. Its definition includes specified direct or indirect ownership relationships of at least 25% and specified control relationships; the structure and control rights need documentary support. A customer’s familiar group name alone is not proof. See the BOI definition and foreign-affiliate condition and compare each recipient with the definition in the tax rules before filing.
Map the IBC activity
Bring the proposed services, group structure and staffing plan into one eligibility discussion.
Trading can be included, but BOI says the IBC must substantially conduct at least one of the affiliate-service functions 1.1–1.10; a trading-only proposal does not qualify. The HQ Biz Portal FAQ says trade can involve non-affiliates, but domestic sales under this scope are wholesale rather than retail to end users. Map goods, counterparties and selling channels separately from the service plan, and verify whether any other activity needs its own permission.
For the underlying vehicle, Thailand company formation establishes the company; a promotion certificate and tax approval are separate decisions. A group comparing structures can also examine how regional and representative offices differ , especially when deciding whether the intended operation will charge for services.
Compare the two approval tests and the evidence
One set of records can support both applications, but neither authority’s decision replaces the other. The matrix turns the requirements in the BOI criteria and the Revenue Department IBC decree into an evidence plan. Each authority applies its own definition and may ask for more; check the final certificate and approval terms against the actual project.
| Decision point | BOI promotion | Revenue Department tax approval | Evidence to assemble |
|---|---|---|---|
| Entity and outcome | Promoted IBC project; certificate records scope and conditions. | Thai-incorporated company; separate Director-General approval for IBC tax treatment. | Company registration, authorized signers, project plan and both approvals. |
| Capital and investment | At least THB 10 million paid-up registered capital; separate minimum project investment test. | At least THB 10 million paid-up capital on the last day of each accounting period. | Share records, payment evidence, accounts and fixed-asset / eligible investment schedule. |
| People and services | At least 10 permanent skilled staff; five only for treasury-only services. Affiliate service in at least one foreign country. | At least 10 full-time skilled IBC staff; five only for financial-management-only IBC. Actual qualifying affiliate services are required for benefits. | Contracts, roles, qualifications, payroll, service agreements and records of delivery. |
| Annual tax result | BOI approval does not decide the IBC tax rate. | Qualifying Thai-recipient expenditure and qualifying income determine access and rate each accounting period. | Payee, payment and allocation ledger, invoices, accounts and income breakdown. |
| Additional permission | A foreign business certificate may be required for promoted restricted activities; treasury licensing is separate. | Tax approval does not authorize restricted business or treasury activity. | BOI certificate, DBD certificate where applicable and Bank of Thailand licence if applicable. |
The BOI’s headquarters FAQ also describes a minimum THB 1 million project investment excluding land and working capital, distinct from the THB 10 million paid-up capital. Qualifying investment depends on the project and asset or rental terms; prepare a schedule of items, dates and supporting contracts rather than counting all cash spent. For an existing company, the FAQ says another THB 10 million capital increase is not automatically required if the stated debt-to-equity condition is met. Confirm the project-specific calculation with BOI.
For BOI staffing, existing and newly hired employees can count if they are skilled and work in the IBC operation; BOI examines qualifications, positions and job descriptions. The Revenue Department independently requires full-time employees with the necessary knowledge and skills. The five-person exception is narrow: adding another headquarters or trading activity can require the ten-person standard. The official staffing guidance specifically addresses an expansion from treasury-only operations. Keep signed employment terms and a role-by-role link to the work actually performed.
How the Revenue Department tax conditions work
The Revenue Department’s 2026 IBC presentation identifies qualifying net profits from management, technical, support or financial-management services to associated enterprises, and qualifying royalties from technological research and development conducted in Thailand. International trading income is excluded from the reduced corporate income tax rate. Separate accounting is therefore useful even when trading and services sit in the same company: a promoted activity does not make every receipt qualifying tax income.
For an ordinary newly approved IBC, the IBC decree sets rates on eligible net profit by IBC expenses paid to recipients in Thailand in each accounting period: 8% at THB 60 million, 5% at THB 300 million, and 3% at THB 600 million , subject to the other conditions. These are thresholds for qualifying expenditure, not amounts of registered capital, revenue or worldwide group spending. They are not a blanket rate for the company’s other profits.
The same decree provides a 15-accounting-period benefit framework and other conditional relief, including for dividends received from associated enterprises and specific business tax on financial management services to them. Separate rules also exist for eligible expatriates and certain payments to foreign recipients; do not apply them merely because an employee is foreign or a dividend is paid. Verify the particular income, recipient and approval before withholding or claiming an exemption.
Track eligible Thai-recipient expenditure throughout each accounting period. The official expenditure FAQ excludes international-trading expenses from the IBC expenditure test and says shared IBC and non-IBC expenses that cannot be separated are allocated based on revenue. Maintain a payment ledger naming each Thai recipient, supporting invoice, activity and allocation basis; reconcile it to the accounts and document any unusual items before relying on the threshold.
The decree contains transitional rules for specified pre-existing regional operating headquarters and international headquarters that convert with approval; some have different expenditure thresholds. Those exceptions are not a general THB 15 million entry rule for a new IBC. If a requirement is missed in an accounting period, the decree provides for suspension of benefits for that period, while other circumstances can allow termination and retroactive revocation. Review the precise provision and facts before filing or correcting a return.

Sequence the filings and permissions
Start with the legal entity, proposed transactions and responsible signers. Foreign ownership and permission to conduct a restricted business are separate questions. The Department of Business Development’s guidance defines a Thai juristic person as foreign in relevant cases when at least half its capital is held by foreign persons or entities. This does not automatically prohibit foreign ownership, but it makes the Foreign Business Act analysis essential for each actual service or trade activity. The DBD explanation on the HQ Biz Portal provides the definition and related guidance.
- Prepare the company and project. Gather a current company affidavit or incorporation records, shareholding and beneficial ownership chart, directors’ signing authority, paid-up capital evidence, location and business objectives. Build a project description showing services, overseas affiliates, staffing, investment items and revenue model. If a new company is needed, allow for registration and funding before the records required for certificate issuance can be completed.
- Apply to BOI. Submit the relevant application through BOI e-Investment Promotion with the project details and supporting material requested for the IBC activity. Present the scope, recipients, employee roles and investment calculation consistently. Respond to BOI questions and correct or supplement the application as requested; an application receipt is not promotion.
- Accept the decision and obtain the certificate. After a favorable decision, accept promotion and submit certificate documentation. BOI’s certificate issuance instructions identify forms F GA CT 07 and F GA CT 08, a utility and manpower form F GA CT 13, foreign-fund transfer evidence for foreign investment, and any evidence specified in the decision. Observe the notice’s deadlines and retain the issued certificate and conditions. Do not plan around a promised outcome or an assumed fixed total lead time.
- Address restricted business and treasury permissions. If the company is foreign under the Act and a promoted activity falls within its restrictions, apply to DBD for the section 12 foreign business certificate on the promoted scope. A foreign business license may be relevant to restricted activities outside that scope; check each activity and do not assume the FBC covers it. For a treasury center, BOI’s treasury FAQ says evidence of applying to the Bank of Thailand must be available for the promotion application and the licence must be obtained before BOI issues the relevant certificate. Other sector permissions and work rights remain separate.
- Apply to the Revenue Department for tax approval if sought. Use the IBC application system and Sor.Gor.Ror.1; the official Director-General notification describes printing and signing the form and uploading it with the required electronic attachments. The business plan, Thai and foreign affiliate details, skilled employee details, and treasury licence where relevant are part of the evidence. The portal provides the XML schemas and change form. Check the current portal instructions and signing authority; retain submission and approval records, and answer any requests for clarification.
The exact sequence can overlap, but the dependencies cannot be ignored. For example, a treasury licence can be in progress when BOI receives the promotion application yet must be obtained before the relevant BOI certificate; the FBC follows the promotion route for covered restricted activities. A bank may conduct its own ownership and transaction checks, while visas and work permits require their own applications. Build these items into the launch plan without treating a BOI letter as a bank account or work authorization.
Operate and document the approved project
Create an approval register with the BOI project scope, certificate conditions, Revenue Department approval, DBD certificate if applicable, and treasury or other licences. Assign an owner and evidence source for each condition. Before adding a service, affiliate, trade channel or funding activity, compare it with the approved scope and seek the relevant amendment or additional permission where required. A group reorganization can change whether a recipient still meets the associated-enterprise definition.
Maintain a monthly operating file: updated ownership chart, contracts and service deliverables, employee roles and payroll, funding records, asset and investment schedules, Thai-recipient payment ledger, and separate income and expense accounts. Intra-group charges should have a supportable pricing policy and evidence of services; the Revenue Department’s market-price guidance identifies useful group and transaction documentation. This is an evidence control, not a substitute for a full transfer-pricing analysis.
BOI requires project progress and annual performance reporting through its e-Monitoring procedures ; special conditions may require further reports. Record the actual certificate milestones and obtain any required commencement approvals. For tax, reconcile each accounting period’s full-time staff, capital, qualifying services, Thai-recipient expenditure and income classification before claiming benefits in returns. The Revenue Department provides a separate IBC detail-change form on its application page; ordinary corporate tax, accounting, audit and other applicable filings still continue.
When an annual test looks likely to fail, quantify the gap early and identify affected income before closing the books. Preserve the calculation and raise the issue with tax advisers and the authority as appropriate; do not manufacture qualifying expenses or backdate records. If a BOI condition, licence or approved scope is at risk, review the relevant certificate and seek a documented correction or amendment before acting outside it.
When is the IBC route ready to pursue?
Proceed with a BOI application when the group can describe a real eligible service for an overseas affiliate, demonstrate the capital and investment plan, and staff the activity at the required level. Add the Revenue Department application only after modelling eligible income and the annual Thai-recipient expenditure test separately. A business that mainly wants trading, or cannot substantiate a foreign affiliate and qualifying service, should reconsider the proposed activity before filing.
The practical completion test is a reconciled file: the company’s registered scope, BOI certificate, any DBD or treasury permission, tax approval if requested, service agreements and operating records all describe the same activity. Keep unresolved conditions, proposed changes and annual review dates visible to management. Approval depends on the authorities’ assessment and the facts at filing and during operation.

Frequently asked questions
Can an existing Thai company apply for IBC promotion?
Yes. BOI says an existing promoted company can apply to expand into IBC without creating a new company. The specific project must still satisfy the current conditions and approved scope.
Is BOI promotion enough to receive the IBC corporate tax rate?
No. A separate Revenue Department application and approval are required, and the relevant income and annual conditions must be met for the benefit to apply.
Can a trading-only company qualify as a BOI IBC?
The BOI headquarters FAQ says trading alone is insufficient: the IBC must principally serve affiliates and include at least one qualifying service function alongside trade.
Does a foreign-owned IBC automatically need a foreign business license?
Not always. Foreign status, each business activity and the available legal route matter. A BOI-promoted restricted activity may use the DBD foreign business certificate route, while activities outside its scope need separate analysis.
What if an IBC misses the expenditure threshold?
The tax decree provides for suspension of the relevant benefits for an accounting period in which a qualification is missing. Special conversion rules and possible termination provisions require separate review.
