Investment Holding Company in Thailand: Structure, Funding, and Compliance

Connect the ownership chart to the money trail and the records needed to keep the structure compliant.

An investment schedule is the starting document: identify what the Thai company will own, who supplies its money, and whether it will earn only investment returns or also charge for services. A Thai company limited can act as a holding vehicle; “holding company” describes its function rather than a separate incorporation category.

The structure suits investors consolidating their own corporate investments, provided its ownership, activities and funding are lawful. It is not a substitute for permission to manage clients’ investments. Passive shareholding has a specific foreign-business interpretation, while lending, management fees and subsidiaries’ operations need separate analysis. Verify those boundaries before incorporating or transferring funds.

Key takeaways

  • Prepare one investment file that reconciles the ownership chain, intended activities and source of funds.
  • A foreign-owned passive shareholder and a group service provider can have different permission requirements.
  • Equity, borrowing and dividends need different records; a bank transfer alone does not decide their legal character.
  • Domestic and foreign dividend exemptions have different ownership and holding-period tests.
  • A quiet holding company still needs accounting, audit and corporate filing arrangements.

Write the investment mandate before the company documents

Separate the proposed parent’s job from the businesses beneath it. The parent may own shares, receive distributions and decide whether to reinvest. Each subsidiary remains responsible for its own contracts, employees, permissions and liabilities. Adding a parent is useful when several investments need common ownership or governance; it also creates another entity whose records must be maintained.

The holding company’s registration does not authorize every activity performed across the group.

For the underlying entity, company formation in Thailand involves the company’s objects, capital, shareholders, directors, signing authority and registered office. Describe the intended investment activity accurately in the incorporation documents. New company limited incorporations use DBD Biz Regist, according to the Ministry of Commerce notice effective July 1, 2026 ; digital filing remains a registration process, not an investment licence.

A useful mandate records target companies and countries, expected ownership percentages, planned acquisitions or subscriptions, anticipated dividends, any loans or service charges, and who may approve each transaction. Attach a diagram showing the complete ownership chain through to the ultimate owners. Use it to reconcile company records, bank explanations and the permissions analysis.

Also decide how the parent will govern its investments: director appointments, consent for major disposals, borrowing authority and access to subsidiary information. These are commercial design choices to document with the relevant corporate approvals and agreements, rather than assumptions created by the word “holding”.

Check the mandate before choosing the entity

Bring the proposed ownership chart and a short list of investments, income streams and intended group services. These determine which issues need to be settled before filing.

Locate the boundary between owning investments and serving others

Pure ownership and receipt of dividends have a narrower treatment than a general investment-services business. In its April 2022 consultation summary, the Department of Business Development (DBD) considered a foreign-majority Thai company holding shares and receiving dividends. It stated that this activity did not fall within the annexed businesses requiring permission under the Foreign Business Act. The DBD opinion on passive shareholding, page 278 addresses those facts; it does not clear every transaction an investment group might undertake.

Under section 4 of the Foreign Business Act B.E. 2542 (1999) , a Thai-registered company can itself be a “foreigner” where at least half its capital shares are held by the specified foreign persons or entities. The definition also covers relevant corporate ownership chains. A foreign holding company’s investment can therefore affect the subsidiary’s own classification. Test each entity and its actual business, including sector-specific ownership rules.

Treat management services, guarantees, rentals and onward lending as separate activities for review. List Three includes other service businesses, subject to ministerial exclusions. A genuine group relationship may matter to an applicable exemption, but it is not a blanket exemption. Obtain the activity-specific conclusion before the parent signs service or financing commitments. Genuine Thai investment must not be replaced with nominee shareholding; DBD’s 2026 anti-nominee measures emphasize actual investment and payment evidence.

Managing securities for clients raises a different regulatory question. The Securities and Exchange Commission, Thailand (SEC) maintains a private fund management framework covering securities companies, approved managers and client assets. If the proposal includes discretionary client portfolios, investment advice or outside investor solicitation, obtain securities-law classification before offering it. An ordinary company registration is not evidence of SEC authorization.

These boundaries determine what documents the money trail must support. Keep permission evidence, funding authority and tax evidence together so that an approved investment does not rely on an undocumented assumption.

Three evidence files behind a holding investment The investment mandate supplies three parallel files: ownership and permissions, funding and bank records, and dividend tax conditions. Reconcile all three before commitment, then maintain accounting and filing evidence. An unresolved file returns to review. Investment mandate Ownership and permissions Funding and bank records Dividend tax conditions Reconcile before investment commitment Gap: review again Maintain accounting and filing evidence
Use the three files as a transaction gate: an unresolved permission, funding or dividend condition changes the investment plan before money is committed.

Assign a legal character to every movement of money

Choose equity for capital intended to bear investment risk and borrowing where the company is meant to owe a defined repayment obligation. A mixture can work, but decide the split before remittance. Registered capital, money actually paid for shares and shareholder loans are different records. Neither the transfer description nor an accounting entry should contradict the underlying agreement.

The Bank of Thailand (BOT) allows non-residents to transfer funds for direct and portfolio investment in Thailand and allows repatriation of those investments and repayment of overseas loans. Its exchange-control summary also requires foreign-exchange transaction details and provides for supporting documents and bank evidence. These exchange-control permissions do not replace the recipient bank’s customer checks, corporate authority or the target business’s permissions.

Use this cash-flow control sheet before instructing the bank. It is a planning asset, not an exhaustive statutory document list; add the receiving bank’s requirements and the transaction’s applicable filings.

Money movement Character Minimum evidence file Decision consequence
Shareholder → holding company Share subscription or later equity increase Subscription terms, corporate approvals, payment evidence and capital records Long-term risk capital; do not record it as a repayable shareholder balance.
Lender → holding company Shareholder or third-party loan Loan agreement, lender identity, currency, interest, maturity and bank credit evidence Repayment obligation; test whether expected receipts can service it.
Holding company → target Share acquisition or subscription Purchase or subscription agreement, approvals, payment and ownership-register evidence Investment asset; distinguish paying the seller from financing the target.
Holding company → subsidiary Onward loan Separate lending review, agreement, pricing rationale and repayment schedule A second transaction; incoming borrowing does not automatically clear onward lending.
Subsidiary → holding company Dividend Declaration, shareholding history, tax support and receipt record Return on ownership; assess the relevant exemption rather than treating every receipt as tax-free.

For every row used, name the remitter, recipient, currency, amount, purpose and approving signatory. Preserve the executed agreement, transfer confirmation, bank credit advice and accounting entry under the same transaction reference. The records needed for cross-border funding purpose and bank documentation should explain why the company received the money and how the corresponding equity or debt balance arose.

If the sender, agreement and bank purpose disagree, pause the next transfer and reconcile the discrepancy with the bank and accountant. Correct the documentary and ledger treatment through the proper process. Do not backdate agreements or simply relabel a loan as equity to remove an unexplained balance. Budget cash for the holding company’s own administration as well as the acquisition; dividends may not arrive when loan instalments fall due.

Resolve a funding mismatch before remitting

A proposed loan, share subscription and bank payment narrative should tell the same story. Identify any discrepancy before the transfer becomes a difficult accounting or repayment question.

Build a dividend file before assuming an exemption

Dividend relief depends on the investment, not the holding-company label. For an unlisted Thai company receiving dividends from another Thai company, section 65 bis (10) of the Revenue Code generally permits half the dividend to be excluded. Full exclusion can apply where the recipient owns at least 25% of the payer’s voting shares and the payer has no direct or indirect shareholding in the recipient. The statutory holding requirement is at least three months before the dividend income date and three months afterward; failing it removes this relief.

Foreign-source dividends use a separate test. Section 5 vicies of Royal Decree No. 10, as amended provides an exemption for qualifying Thai companies holding at least 25% of the foreign payer’s voting shares for at least six months before receipt. It also imposes a foreign profit-tax condition of at least 15%, with wording addressing local reductions or exemptions. Obtain evidence of that condition; the dividend voucher alone cannot establish it.

Maintain a dividend file with the share acquisition date, voting percentage, any cross-holdings, declaration and income or receipt dates, and supporting foreign tax information where relevant. Track the domestic post-dividend holding period before selling the shares. A planned exit can change the tax outcome even after cash has arrived.

Keep dividend relief separate from the treatment of sale gains, interest, service income and distributions onward to the ultimate shareholder. A successful incoming exemption does not establish an exemption for those other flows. Have the accountant classify each stream and any withholding obligation before forecasting the net cash available for reinvestment or repayment.

Give each compliance output an owner and a deadline

Appoint the accounting provider and auditor when the company is formed. The Thailand Board of Investment’s reporting guidance explains the requirement for company financial statements and certified audit; its small-partnership exception is not a general exemption for a private company limited. Low activity does not remove the need to capture bank charges, professional fees, investment balances and related-party transactions.

  • Directors and accountant: keep transaction records current, reconcile bank and shareholder balances, and maintain the investment and dividend files throughout the accounting period.
  • Directors and auditor: prepare audited financial statements for shareholder approval within four months of year-end. Arrange the meeting and audit together rather than treating the meeting as an administrative afterthought.
  • Filing representative: submit approved statements within one month of approval through DBD e-Filing and retain acceptance evidence. Submit the annual shareholder list (BoJ.5) separately within 14 days of the ordinary shareholders’ meeting, as explained in DBD’s shareholder-record guidance .
  • Tax preparer: calendar the annual corporate income tax return and any required half-year return, plus payment-triggered withholding and other applicable tax filings.

The four-month approval and one-month financial-statement submission periods are restated in the Ministry of Commerce’s 2026 filing notice . The Revenue Department’s corporate income tax guidance states the ordinary annual return deadline of 150 days after the accounting period closes and the half-year prepayment deadline of two months after the first six months. Check the first accounting period, applicable exceptions, holidays and any electronic-filing extension before setting actual calendar dates.

Maintain an obligations register that adds activity-dependent items instead of assuming every holding company needs every registration. Employees, taxable services, lending, licensed activities or investment-promotion conditions may create further duties. A change in owners, directors, signing powers, address or business model also needs a review of the relevant corporate, tax, permission and bank records.

Completion means more than giving documents to an adviser. Assign one person to collect each filing acceptance and payment receipt , resolve rejections and retain the final approved version. Where a deadline has been missed, establish which corporate and tax submissions remain outstanding, correct the records and obtain the authority’s applicable late-filing or payment treatment. Incorporation cannot be used as a substitute for this ongoing control.

Choose the holding structure by its evidence burden

A passive parent owning defined investments is the cleaner fit when the commercial purpose is common ownership and dividend reinvestment. A parent that will finance subsidiaries, charge group fees or provide investment services needs a broader permission and tax design before those activities begin. Compare the additional governance benefit with the extra accounting, audit and administration the parent will create.

Before authorizing the first investment, reconcile three things: the ownership and activity opinion, the legal funding instrument and bank trail, and the tax evidence expected from the investment. Proceed when a named person owns each remaining filing and monitoring task. If any file depends on an assumed exemption, unexplained remitter or unapproved service, resolve that specific gap before committing the company.

Turn the investment file into an implementation brief

Bring the final ownership chart, selected funding route, target details and unresolved permission or tax conditions so the incorporation and compliance work can be scoped around the actual investment.

Frequently asked questions

Does a target share purchase put new money into that target?

Only a subscription for newly issued shares does so directly. A purchase of existing shares generally pays the seller. Record the chosen transaction accurately when planning how the operating company will be financed.

Should every expense be paid through the operating subsidiary?

The allocation should follow which entity incurred the expense and any genuine agreement between entities. Preserve the supporting documents and ask the accountant how a payment made on another company’s behalf should be recorded.

Can foreign portfolio investments be treated like overseas subsidiaries?

Do not assume so. The BOT summary distinguishes overseas direct investment from portfolio investment. Have the bank classify the proposed outbound investment before transfer; the inward funding treatment does not determine the outbound route.

Can the structure be designed around dividends that have not been declared?

Forecasts can inform planning, but borrowing and operating commitments need a liquidity plan that accounts for dividends being delayed or unavailable. Do not treat an expected distribution as cash already held by the parent.
