INDONESIA REPRESENTATIVE OFFICES

KPPA vs KP3A in Indonesia: General Representation or Trade Representation?

Compare two representative mandates before selecting a filing route.

A KPPA is a general foreign-company representative office for permitted liaison, coordination and investment preparation; a KP3A is a foreign trading-company representative office whose functions are governed by trade rules. Both must stay within their respective mandates. Neither label should be treated as a general licence to conduct a local operating company’s sales, invoicing or other regulated activities.

Key takeaways

  • Select an office by its intended activities and the foreign principal’s role, not by a cheaper-looking filing alone.
  • The general KPPA has specific restrictions on Indonesian-source income and commercial transactions.
  • A KP3A requires an NIB and SIUP3A under the investment regulation, plus compliance with trade-sector rules.
  • E-commerce representatives and sector-specific offices can follow separate rules and should not be merged into the general comparison.
  • For local selling, inventory, customer billing or regulated services, assess an appropriately licensed operating structure.

Compare the two mandates before choosing an office

Start with the foreign principal’s real objective and write down what the Indonesian team will do every week. A general KPPA can act as a liaison, supervisor and coordinator for the principal or affiliates and prepare for establishment or development of a foreign-investment company. Its scope is narrower than that of an Indonesian operating subsidiary. The comparison should cover who meets prospects, who negotiates, who signs, who issues invoices and where payments go.

A KP3A is designed for representation of a foreign trading company. The trade framework describes functions such as promoting the principal’s goods, providing product information, market research and sales supervision, subject to the precise form and rules. This is a different commercial support mandate, not a blanket authority for the office to make every sale or act as an Indonesian importer.

Articles 270–272 of Investment Ministry/BKPM Regulation 5 of 2025 distinguish KPPA and KP3A requirements. The latter’s activities must also comply with applicable Ministry of Trade regulations. Confirm the live rules, proposed transaction and the office’s actual licence with Indonesian advisers before committing to the route.

Test the actual sales and representation workflow

For a general KPPA, the 2025 investment regulation lists restrictions including not seeking income from Indonesian sources, specified commercial sale and purchase transactions, and involvement in managing Indonesian companies. A meeting to collect market information and a workflow that leads to an Indonesian customer contract are therefore not interchangeable. Record what is discussed, who approves any offer, the contracting entity and who receives the money.

The Ministry of Trade’s KP3A regulation , as amended, must be read with current OSS requirements and applicable sector rules. The base rule restricts a trade representative from conducting a trade and sales transaction from beginning to end, including specified tender, contract and claims activities. It also contains export-related wording for acts on behalf of the principal; this is not a general exemption for Indonesian domestic sales. Obtain specific advice before relying on any exception for a proposed transaction.

A useful internal distinction is to classify tasks as support, restricted transaction step or unresolved. Examples of support may include gathering market information and explaining product specifications within the approved mandate. Signing a local customer contract, invoicing, holding inventory or resolving a sale as the office can create a different legal assessment. Review the whole commercial chain instead of clearing each email in isolation.

For an overseas seller entering a regulated sector, ask who holds the import and product authorizations and who is the named seller or distributor. A foreign trade representative’s presence does not itself establish those rights. Written instructions for staff should specify permitted representations, approval limits, documentation and escalation when a customer requests a quote, tender signature, payment account or warranty commitment.

Read the registration outputs correctly

The general KPPA must have an NIB under Article 270 of the 2025 investment regulation. The provision identifies a set of parent-company, appointment and office documents for the OSS process, together with other data. The actual filing fields and acceptable documents can change, so check the current OSS workflow and confirm translations and authentication with the receiving institution.

Articles 271–272 provide that a KP3A needs an NIB as its identity and a SIUP3A obtained through OSS. The official OSS KP3A guidance entry is a starting point for the current application route. An account or submitted application is not the same as an effective completed licence. Save the submission record, NIB, relevant trade permit, conditions, expiry dates and any verification result.

For both routes, reconcile the parent’s name, appointed office head, address and authority letter against the output. Check who controls the OSS account and recovery credentials. If a foreign parent executes documents abroad, establish the required certification, legalization or apostille route and translation requirements for each instrument; do not assume every document requires the same sequence.

The Indonesia company registration process addresses a different legal vehicle. If the proposed office must undertake activity beyond a representative mandate, assess a suitable operating company and its own foreign-ownership and licensing conditions rather than treating the representative registration as a shortcut.

Separate trade representation from specialized sectors

The 2025 investment regulation distinguishes ordinary KP3A from the KP3A category for trading through electronic systems. An online platform should therefore be assessed against the rules applicable to its actual digital function and foreign principal, not automatically placed under the ordinary trade-office route. Sectoral representative forms, including certain construction and electricity support activities, can also require distinct approvals and should be reviewed separately.

Describe the business model in operational terms: whether the principal manufactures goods, buys Indonesian goods, coordinates distribution, operates an online marketplace or provides regulated professional services. Add the product, client, contracting and delivery locations. If more than one function is contemplated, ask the relevant authority whether one representative licence covers all of them; a trade office’s marketing activity does not automatically cover another regulated sector.

A change in activity after registration can trigger a fresh review. Common signals include local billing, a warehouse, a sales team authorized to accept orders, handling customer funds, a marketplace function or new regulated products. Record who identified the change, the applicable regulator and the decision before the activity begins. An office may have a valid NIB and still exceed its permitted mandate through what its personnel actually do.

Plan the head, premises and continuing responsibilities

For KPPA, Article 270 includes provisions concerning the office head and location, including an office building in a provincial capital and a resident head. It also addresses limits on the head’s concurrent positions and Indonesian staffing where foreign personnel are involved. Check the exact requirements against the current rule and individual circumstances. Do not copy those rules uncritically to a KP3A or assume a specific address is accepted without checking.

For the trade office, confirm the head’s appointment, term, branch arrangements, premises and applicable reporting duties against the actual SIUP3A and current trade-sector framework. Track the appointment and permit expiry dates separately. Where foreign nationals will work, immigration permission and work authorization should be checked separately from the office’s commercial registration. A representative-office approval is not a personal work permit.

Tax registration, payroll, reporting, accounting, personal data and record-retention obligations may still arise even when an office has no local sales revenue. Determine the applicable rules with the relevant authority and an Indonesian adviser instead of assuming that non-commercial means no compliance. Keep the parent’s funding, local expenses and approvals traceable to the appropriate entity, and retain contracts, employee files and evidence supporting the office’s activities.

Choose the office only after testing the boundary

Choose the general KPPA for an eligible parent seeking permitted coordination, liaison and preparation where its proposed activities remain within the KPPA limitations. Consider KP3A where the principal is a foreign trading company and the actual functions match the trade representation rules and licence conditions. Choose neither as a default when the plan requires the Indonesian presence to transact as a local operating business; assess a properly licensed PT PMA or another lawful arrangement for the sector.

Use a decision record with four fields: proposed task, contracting or responsible entity, relevant source or permit condition, and written conclusion from the person authorized to decide. Mark uncertain activities as pending, identify the regulator or adviser who must resolve them and do not launch those activities while the scope remains unclear. Review this record when the principal changes, a licence is renewed or a new sales channel is introduced.

The KP3A registration guide explores the trade-office document and licensing route in more detail. The immediate decision here is the dividing line between two mandates and the activities the organization will actually assign to its people.

Frequently asked questions

Is a KP3A an Indonesian limited company?

It is a representative-office arrangement for a foreign trading principal, not the same legal vehicle as an Indonesian PT PMA.

Does a KPPA NIB permit it to sell locally?

The NIB does not override the statutory restrictions on a KPPA’s activities. Test the specific conduct against the applicable rule.

Does a KP3A need both an NIB and SIUP3A?

The 2025 investment regulation provides for both; check the current OSS record and applicable trade conditions.

Can an office hire foreign personnel automatically?

No. Employment and immigration requirements require a separate review of the role, sponsorship and current permission.

What if the planned activity is online commerce?

Review the separate electronic-commerce representative framework and the particular digital service; do not assume the ordinary KP3A route is sufficient.
