Identity, ownership and authority
KYC Requirements for Company Incorporation in Malaysia
Build a KYC file that supports the people, control and purpose behind the proposed Malaysian company before the statutory filing begins.
KYC is not one extra SSM form. Before a Malaysian company incorporation file proceeds, a company secretary or formation agent carrying on a regulated formation activity normally has to identify and verify the customer, the natural persons who ultimately own or control the structure, and anyone authorised to act, while also understanding the proposed business purpose. The exact evidence is risk-based: a straightforward individual founder and a layered foreign corporate shareholder will not produce the same file.
Prepare four connected proof sets—identity, authority, ownership or control, and purpose or risk—and resolve inconsistencies before the Section 14 particulars are submitted. SSM filing acceptance, the service provider's KYC clearance and a bank's later onboarding decision are separate outcomes; passing one does not guarantee either of the others.
Key takeaways
- The Companies Act specifies incorporation particulars, while AML/CFT rules require the reporting institution to identify and verify the people and purpose behind its customer relationship.
- Every ownership chain should end in identifiable natural persons, including anyone who controls the proposed company through arrangements rather than only registered shares.
- A corporate shareholder file adds proof of existence, governing documents, authority to invest and an ownership chart; an individual file does not need those corporate layers.
- Remote copies may be acceptable when the provider's risk assessment supports them, but extra database checks, a live video comparison or other safeguards may be required.
- Do not treat source-of-funds and source-of-wealth proof as universal for every founder; expect it when enhanced due diligence is triggered or the provider reasonably requests it.
Separate SSM filing data from KYC
Start with the legal filing boundary. Section 14 of the Companies Act 2016 requires the proposed name, company status, business nature, registered-office address, member and director particulars, share details and promoter or director confirmations. SSM's current incorporation particulars page describes the online application and its director, member, declaration and lodger fields. Those are statutory filing inputs, not a complete statement of how a reporting institution must verify a new customer.
The additional layer arises when a company secretary acts as a formation agent or performs another gazetted activity. SSM's AMLA guidance confirms that these activities fall within the reporting-institution framework, while Bank Negara Malaysia describes customer due diligence as identifying and verifying the customer, beneficial owner, representative and transaction purpose. KYC clearance is the provider's documented acceptance of those checks; it is not an SSM promise of incorporation.
Use the underlying Malaysia company formation requirements to settle the legal form, resident-director position, registered office and intended activity. Then build the KYC file around the actual participants in that structure rather than collecting a generic stack of passports without linking each document to a role.
Map the people before collecting documents
Confirm who is the customer, shareholder, director, beneficial owner and authorised representative so each person receives the right evidence request.
Identify every person behind the structure
Begin with the person instructing the formation agent, but do not stop there. The Bank Negara Malaysia CDD guidance requires a reporting institution to know the customer, the beneficial owner, the person conducting a transaction for someone else and the purpose. For an individual customer, the minimum data described by BNM includes full name, official identity reference, residential and mailing address, date of birth, nationality, occupation or business, contact details and purpose.
For a legal-person customer, map its registered identity, governing powers, directors, shareholders or beneficial owners, senior management, business addresses, activity and representative. The ownership chart must run through every intervening company, trust, nominee or arrangement until the relevant natural persons can be identified. Do not substitute registered shareholding for ultimate natural-person control .
The proposed company's own beneficial-ownership obligations are related but different. SSM's beneficial ownership reporting guidelines require companies to take reasonable measures, keep a register and lodge information within the applicable post-incorporation sequence. Pre-filing CDD allows the reporting institution to decide whether it understands the customer before accepting the work; the statutory register and e-BOS lodgement are obligations of the incorporated company.
Where a foreign company will subscribe for shares, keep its corporate evidence aligned with ownership evidence for foreign shareholders . The registry extract, constitutional powers, approving resolution, ownership chain and named representative should all support the same investment and control story.
Build the evidence file by applicant type
Build the request by participant rather than by document name. The matrix below treats a document as useful only when it proves a defined fact and can be checked against an independent source. It also prevents a common failure: verifying the passport of the representative while never proving that the representative may commit the corporate shareholder.
| Participant | Identity proof | Authority or control proof | Stop trigger |
|---|---|---|---|
| Individual founder, director or owner | Government-issued identity record; personal particulars and address evidence requested under the provider's policy | Role, consent and intended shareholding | Unreadable, expired or inconsistent identity data |
| Corporate shareholder | Registry evidence, legal name, number, place of incorporation and registered address | Constitutional powers, board resolution and ownership chart | Entity cannot be verified or chain does not reach natural persons |
| Authorised representative | Personal identity evidence and contact details | Letter of authority or directors' resolution plus specimen signature | Person is verified but has no proved mandate |
| Beneficial owner or controller | Natural-person identity details and reliable verification | Direct, indirect or other control path | Nominee, trust or agreement breaks the control trail |
SSM's company-secretary AMLA FAQs say reliable verification may combine government documents, registry databases, third-party checks and suitable technology. Scans or photographs may be accepted through risk-assessed remote verification with added measures such as bank, lawyer or accountant confirmation, official database corroboration, biometrics, live video or a selfie comparison; remote handling is not an automatic exemption from verification.
Do not invent a universal notarisation, certification, translation or document-age rule. Ask the reporting institution which original, certified copy, translation method or recency standard its current policy requires for the issuing country and risk profile. A non-English record still needs enough reliable interpretation to verify names, numbers, powers and ownership; the provider may request more even when SSM's online field accepts the underlying particulars.
Understand enhanced checks and stop conditions
Standard CDD is the starting point, not a ceiling. Under the BNM policy for DNFBPs and NBFIs , reporting institutions apply a risk-based approach. A provider may therefore ask how the business earns revenue, where counterparties are located, how capital will arrive, whether a politically exposed person is involved, whether sanctions or adverse information requires resolution, and whether a nominee or unusually complex chain has a credible purpose.
Source-of-funds and source-of-wealth evidence illustrates the risk distinction. SSM's FAQs state that it is not required for every customer or transaction. It is associated with enhanced CDD when the customer is rated higher risk, for foreign PEPs, for certain higher-risk domestic PEPs and when nominee services are provided. If requested, the evidence should explain the specific money entering the relationship, and where relevant the broader origin of the person's wealth; unexplained screenshots or a balance without transaction context may not answer either question.
A material identity mismatch, unexplained controller, missing mandate, unresolved screening result or refusal to provide required CDD is a stop condition. SSM's FAQs say the company secretary must obtain complete CDD information before continuing the relationship and, if it cannot, must not continue the relationship or transaction and must consider a suspicious transaction report. A founder cannot solve a compliance stop by asking the provider to file first and verify later.
The narrow exception described by SSM concerns a reporting institution that suspects money laundering or terrorism financing and reasonably believes ordinary CDD would tip off the customer. That is the reporting institution's controlled decision and reporting duty, not a route a customer can request or use to bypass KYC.
Resolve the blocker before filing
Use a focused review to identify the missing ownership link, authority record, identity match or enhanced due-diligence item holding the file back.
Clear KYC before the incorporation submission
A controlled sequence reduces rework because the incorporation form is populated only after the people and structure have been reconciled. Use one master data sheet with the legal name, identity or registration number, address, nationality or place of incorporation, role, share position, authority source and ownership path for each participant.
- Freeze the role map: name the customer, each proposed member and director, every natural-person beneficial owner, the authorised representative and the person who will lodge the application.
- Issue role-specific requests: collect personal identity data, corporate registry and constitutional records, resolutions, ownership charts and purpose information only where they serve a defined verification need.
- Verify and reconcile: compare reliable independent sources, spelling, dates, addresses, registration numbers, share quantities, control rights and signatures across the pack.
- Apply the provider's risk decision: complete screening and any enhanced CDD, document resolved exceptions and obtain the provider's confirmation that its onboarding conditions are met.
- Prepare the Section 14 particulars: populate the SSM filing from the cleared master data rather than retyping from emails, and obtain the required consents and confirmations.
- Preserve the handover: retain the accepted evidence index, final ownership chart, authority record, filing copy and SSM notice so the company can create its statutory registers and address later bank or licensing KYC separately.
After incorporation, do not leave beneficial ownership as an informal chart in the formation file. SSM's current guidance requires a newly incorporated company to obtain the beneficial-ownership information within 60 days from appointment of the company secretary; that period includes the stated 14-day record and 14-day lodgement steps. This statutory handover follows the provider's onboarding decision and should be assigned to the board and secretary, not assumed complete because pre-filing KYC was cleared.
The SSM notice proves that the company is registered. It does not prove bank onboarding, licence approval or a continuing right to transact through every service provider. Banks perform their own CDD under their applicable policy and may request a live interview, commercial contracts, funding records or different document recency.
Decide whether the KYC file is ready
Treat the file as ready only when all four gates are evidenced and the reporting institution has accepted its customer due diligence. A pile of documents is not completion evidence if a director's name differs across records, a holding company cannot be verified, the signatory lacks a resolution or the control path stops at another legal entity.
- Every participant has one unambiguous legal identity and role in the master data.
- Every representative and corporate shareholder has a documented authority path that covers the proposed action.
- Every ownership and control branch reaches the relevant natural persons, including non-share control arrangements.
- The stated business purpose, activity, expected funding and structure tell one coherent story.
- All provider-requested enhanced checks are completed and every discrepancy has a written resolution.
- The cleared data exactly matches the intended Section 14 particulars and can be handed into the statutory registers after incorporation.
Proceed when identity, authority, ownership or control, and purpose or risk all reconcile to the same proposed company. Pause and remediate when one gate remains open; escalate for specialist review when trusts, nominees, sanctions exposure, politically exposed persons, disputed control or an unusually layered structure prevents a clear risk decision.
Turn the cleared evidence into filing data
Have the participant map and KYC pack checked against the proposed shareholders, directors, activity and Section 14 particulars before submission.
Frequently asked questions
Is proof of address always an SSM incorporation document?
Section 14 requires relevant address particulars, while a formation agent's CDD policy may request documentary proof of a person's residential or mailing address. The exact acceptable evidence is a verification-policy question, so do not treat one provider's utility-bill rule as a universal SSM rule.
Must a foreign founder travel to Malaysia for KYC?
No universal incorporation rule says every foreign founder must travel. SSM's AMLA FAQs describe risk-assessed non-face-to-face measures such as video comparison, database corroboration and reliable third-party verification. A provider or later bank may still require originals, a live interview or attendance for its own risk reasons.
Does every founder need source-of-funds and source-of-wealth evidence?
No. SSM's FAQs say those enquiries are not required for every customer or transaction. They arise as enhanced due diligence in higher-risk cases, including foreign PEPs and nominee services, or when the provider's documented risk assessment otherwise supports the request.
Is beneficial ownership reporting the same as pre-incorporation KYC?
No. Pre-incorporation KYC is the reporting institution's customer-acceptance process. The incorporated company separately has duties to obtain, record, maintain and lodge beneficial-ownership information under the Companies Act framework, even though both processes may use the same ownership chart and identity evidence.
Can SSM incorporation proceed while a provider says KYC is incomplete?
A reporting institution should not continue its customer relationship or transaction when required CDD information is incomplete. Changing lodgers does not cure false, inconsistent or opaque information, and no provider should be asked to submit particulars it cannot properly support.
