California entity formation
LLC in California: Formation and Requirements
Follow the milestones from the correct SOS filing to first-year completion and recurring duties.
To form an LLC in California, choose the correct entity route, file with the Secretary of State, establish internal governance, and complete the tax and operating-permit handoffs. The central stages are preparation, accepted formation, first-year completion and continuing compliance. An accepted Articles of Organization filing completes only the entity stage.
Start by deciding whether you need a new California entity or registration of an LLC that already exists elsewhere. Then work from the actual business address, activity, ownership and planned opening date. The milestones below help assign responsibility without treating every government obligation as part of one application.
Key takeaways
- A new California LLC and an existing out-of-state LLC use different SOS filing routes.
- Standard online formation plus the initial Statement of Information costs USD 90 in government filing fees.
- Budget the annual LLC tax separately from filing fees and any income-based LLC fee.
- A seller’s permit and city or county business license serve separate purposes.
- U.S.-created LLCs are currently exempt from federal BOI reporting, including those with overseas owners.
Choose the California LLC formation route
Use Articles of Organization for a new California LLC; use the foreign-registration route for an existing LLC formed under another jurisdiction’s law. Establish that distinction before paying for a filing.
California’s foreign LLC registration category includes LLCs from another U.S. state as well as another country. The relevant SOS application is Form LLC-5. Here, “foreign” describes the entity’s formation jurisdiction, not the passport of its members. An overseas founder creating a new California LLC follows the domestic formation route. See out-of-state and overseas LLC route .
For example, a Nevada LLC planning a California operation should assess registration of that existing entity before creating a second company. Decide which entity should sign leases, employ staff and invoice customers. That decision affects the records and agency accounts that follow; a new filing should not accidentally duplicate the intended operating company.
Amounts below are standard California SOS government filing fees in USD, verified November 3, 2026. They are statutory filing charges, separate from taxes, capital and private professional charges. The calculation assumes ordinary online domestic formation and the initial information filing; optional handling, copies and other filings are excluded.
| Filing | Government amount | Charging cycle and scope |
|---|---|---|
| Articles of Organization | USD 70 | Once, for domestic formation |
| Initial Statement of Information | USD 20 | Initial filing; periodic filing also USD 20 |
| Standard filing subtotal | USD 70 + USD 20 = USD 90 | These two SOS filings only |
The subtotal is a narrow, recomputable allowance. Add registered-agent arrangements, advice, banking, insurance, premises and activity-specific approvals as separate budget lines when relevant. Do not use it as a statewide total cost to open or operate. The California LLC filing schedule lists the two charges.
Resolve activity, management and agent choices first
Confirm that an LLC can carry out the proposed activity, then settle who will manage it and receive legal documents. This is the practical prerequisite to completing the formation fields accurately.
California restricts domestic and foreign LLCs from rendering statutory “professional services.” A business requiring an occupational license should ask its licensing board whether the activity falls within that restriction or a specific statutory permission. Do this before filing; an individual professional credential does not by itself settle the permitted entity structure. See SOS professional-services notice .
The LLC name must contain an identifier such as LLC or L.L.C. The agent for service of process entry is separate from the LLC’s business address. Form LLC-1 requests the principal office’s street address, a mailing address if different, an individual agent’s name and California street address or a registered corporate agent, a management choice and the organizer’s signature. Its management choices distinguish one manager, multiple managers and all members managing. See current Form LLC-1 .
Prepare a short instruction sheet identifying the agreed name, the person responsible for correspondence and the person authorized to submit the filing. Review the different roles of an LLC registration address before buying an address service. Ask what the address can actually be used for and who will forward time-sensitive notices. A mailing package should be evaluated against each intended use.
Treat disagreement about management as a decision to resolve, not a field to guess. Who can commit the company to a contract? Who approves borrowing? Who replaces a manager? Recording these answers early gives the preparer a coherent instruction rather than several conflicting versions from the owners.
Submit the filing and verify acceptance
Submit the agreed formation details through the SOS filing route, then retain the accepted record. A submission receipt is a useful tracking document; it should not be treated as proof that the agency has accepted every requested detail.
For domestic formation, the SOS directs applicants to log in to bizfile Online, select Register a Business, and choose Articles of Organization – CA LLC. Keep the operating agreement with the company’s records rather than submitting it as a formation attachment. See SOS business-structure guidance .
Before payment, compare the proposed legal name, management selection, agent and address fields against the agreed instruction sheet. After acceptance, give the same accepted name and entity details to the bank, tax preparer and permit applicant. Keep the filed record, agency correspondence and payment receipt together, with access for a backup administrator.
Government review time varies by filing type, submission method and receipt date. The SOS processing page reports the received dates currently under review; it is not a promise that a new submission will finish within that interval. Check the live queue when planning rather than copying a fixed turnaround from a formation advertisement. See SOS current processing dates .
Build the opening schedule around separate dependencies: preparation and owner decisions; agency review; corrections if requested; and permits or premises approvals. Drafting an agreement and identifying permit authorities can proceed while a formation filing is pending. An application that requires accepted entity details must wait for those details. Set a review point for each dependency instead of promising a single completion date.
Put governance, funds and the EIN handoff in place
Use the accepted entity record to establish consistent authority, accounting and tax-identification records. This handoff makes the filing usable for the business rather than leaving it as an isolated certificate.
California requires an operating agreement governing the LLC’s affairs and business. The SOS explains that it is retained with the LLC’s records and is not filed with that office. Make a written agreement part of the setup plan so managers and members can refer to the same instructions. See SOS business-structure guidance .
As a planning exercise, document contributions, ownership, approval rights, distributions, admission or exit of members and the person who will maintain records. Match the bank mandate to the agreed signing authority. Ask the bank for its own current onboarding requirements before arranging a visit or sending identity information; accepted formation does not replace that separate review.
Obtain the Employer Identification Number (EIN) through the appropriate IRS route after formation. The IRS issues it free. If the principal place of business is outside the United States, the IRS provides international telephone, fax and mail routes; do not assume online eligibility from a California address alone. Use the accepted legal name and identify the actual responsible party. See IRS EIN application routes .
Create an opening ledger for money introduced by members, reimbursable setup expenses and payments made by the LLC. This is a recordkeeping recommendation, not a claim that any expense is automatically deductible. Decide who reconciles the account and sends records to the tax adviser before the first payment deadline arrives.
Complete the first-year SOS and FTB milestones
Calendar the initial information statement and the tax work immediately after acceptance. They are separate obligations, handled by different California agencies, and neither should wait until the business becomes profitable.
File the initial Statement of Information within 90 days of registration. The LLC’s recurring SOS statement is then due every two years; it is not an annual LLC filing. See California LLC filing schedule .
For online Statements of Information, the SOS now requires established User Access, effective August 1, 2026. Arrange authorized access before the deadline. Do not assume that merely having a portal account allows someone to file on the entity’s record. See SOS Statement of Information instructions .
The tax discussion here assumes an LLC taxed as a disregarded entity or partnership. A corporate tax election changes the return regime; settle classification with the adviser before applying a checklist. See SOS professional-services notice .
Generally budget USD 800 annual LLC tax, including the first year without trading. The first-year waiver for tax years beginning in 2021–2023 does not cover 2026 formation. The first payment is generally due on the 15th day of the fourth month from filing; check exceptions. See FTB LLC tax guidance .
A separate LLC fee applies when total California annual income reaches USD 250,000; the measure is not simply net profit. Estimate that fee by the 15th day of the sixth month of the taxable year. Confirm Form 568 and other classification-specific filing duties with your adviser. See FTB LLC tax guidance .
Assign one named owner to each deadline and another person to verify completion. Store the confirmation, tax period and amount paid together. A reminder marked “done” without an accepted filing or payment confirmation is a weak control, especially where the founder, agent and accountant are in different time zones.
Clear operating permissions before the relevant activity
Formation does not authorize every business activity or premises use.
Use the California permit guide’s CalGOLD route with the actual city and business type to identify local, state and federal issuing authorities. Confirm city or county business-license or business-tax-certificate requirements, zoning and any activity-specific approvals directly with the relevant authority. Check premises suitability before committing to a location. See California permit and licensing guide .
The California Department of Tax and Fee Administration generally requires a seller’s permit where a business is engaged in California and intends to sell or lease tangible personal property ordinarily taxable at retail. That permit is distinct from a city or county business license. Evaluate the sales model rather than assuming that an LLC or an online shop is exempt. See CDTFA seller’s permit requirements .
Prepare one operating description for the authorities: services or goods, customer location, stock storage, staff, equipment and premises use. A consultant working from home and a retailer with a warehouse should not receive an identical permit checklist. Where employees, regulated products or building work are planned, give those facts to the responsible authority at the outset.
Retain the issued permission or written applicability response with the activity and address it covers. A general directory result is a starting point for contacting the issuer. It is not the final evidence that a particular site, product or professional activity has been approved.
Separate overseas-owner planning from domestic formation
Identify the entity’s place of creation separately from its owners’ residence, and obtain a specific tax and immigration review where cross-border facts require it. One label cannot resolve all three questions.
Under FinCEN’s current rule, U.S.-created entities are exempt from Beneficial Ownership Information (BOI) reporting. That includes a California-created LLC with foreign owners. Certain entities created under foreign-country law and registered to do business in the United States can still be reporting companies unless exempt. An LLC formed in another U.S. state is not foreign-created for this federal distinction merely because California calls it a foreign LLC. See current FinCEN BOI notice .
Give the tax adviser the owners’ countries, ownership chain, proposed transactions and expected payments before the first reporting period closes. Ask for a written list of applicable federal, California and foreign-country returns. Keep that workstream distinct from the SOS Statement of Information and from the bank’s ownership checks; similar information requests can serve different purposes.
If an owner plans to work physically in the United States, review the proposed activities and immigration route with qualified counsel before travel or work. Treat that as a separate project decision. For formation coordination, HSJGlobal’s US company registration support describes its entity, EIN and first-calendar scope; confirm the requested engagement against the business’s actual needs.
Maintain a calendar beyond the opening date
Keep entity maintenance, tax work and permit renewals as separate calendar entries. The first successful filing does not create a permanent completion status.
| Milestone | Completion evidence or action | Lead owner |
|---|---|---|
| On acceptance | Save the filed record and assign each follow-up | Founder / coordinator |
| First operating phase | Complete tax, banking and applicable permit handoffs | Adviser / bank / issuer |
| Every two years | File the SOS statement in its statutory window | Authorized filer |
| Each taxable year | Confirm tax, fee and return obligations | Tax adviser |
The periodic SOS statement uses a six-month window ending in the registration month, in the applicable alternate year. For a November registration, the window runs June through November. Update changed information between required periods and keep agent details current. See SOS Statement of Information instructions .
Review the calendar whenever the company adds a location, changes its manager, hires staff or changes activity. Give the departing administrator a handover task covering portal access, agency notices and stored confirmations. Keep a second contact who can act if the usual filer is unavailable.
Closure requires SOS and final tax steps; closing a bank account alone does not cancel the LLC. See FTB LLC tax guidance .
Decide the next milestone for your LLC in California
Proceed when the entity route, activity eligibility, responsible people and follow-up budget agree. Pause the filing if those inputs conflict; correcting a project decision before submission is more useful than collecting certificates for the wrong setup.
- Choose the entity that will actually operate, then approve its management and address instructions.
- Appoint the filing coordinator and confirm how the agent, owners and advisers will exchange accepted records.
- Create the first-year calendar before submission, including the separate tax and permit workstreams.
- Release each activity only when its required evidence is in place, then maintain the recurring calendar.
Illustration: two overseas founders agree to form a California online retail business. They can prepare ownership terms and identify local requirements before acceptance. After the entity details are settled, their tax adviser coordinates the EIN route and reporting plan, while the operating lead confirms stock location and sales-permit requirements. The formation coordinator retains the entity record; the operating lead retains permissions. No single person’s “registration complete” email substitutes for all those outputs.
For a consultation, provide the intended activity, operating city, whether an LLC already exists, member locations and target opening date. Those facts allow the conversation to focus on the next unresolved dependency instead of an assumed standard package.
Frequently asked questions
Can the agent’s address replace every other address?
Do not treat an agent service as permission to use its address for every purpose. Match the specific SOS field, bank requirement and operating location, and obtain the provider’s agreement before using an address.
Should I reserve a name before assembling the project?
A reservation can be a planning choice, but it does not settle activity eligibility, ownership terms or premises approvals. Resolve those decisions alongside the name and check the current SOS route before paying optional charges.
What should I do with a correction request?
Compare the agency’s stated issue with the agreed filing instructions, correct the affected field or attachment, and retain the correspondence. Reassess downstream dates when a bank or permit application depends on acceptance.
Is a late-year formation automatically simpler?
Compare the real business need against the resulting filing and tax calendar with your adviser. A short first operating period does not justify assuming that ordinary obligations disappear.
Who should retain control when a service provider files?
Agree who owns the portal access, receives notices and keeps accepted records before the engagement begins. Ensure the company can retrieve its own filings and continue maintenance when the provider changes.
