LLC Registration Address in Florida: Requirements and Options

Match the state filing fields to real office use, reliable correspondence and a qualified Florida agent.

A Florida LLC needs a street address for its principal office, a mailing address and a Florida street address for its registered agent. A P.O. box can serve the mailing field, but not the principal-office or registered-office field. The principal executive office may be outside Florida; the registered office must be in Florida.

Choose an address arrangement by what each location actually does. Home, commercial and virtual-office options have different limits, and state filing acceptance does not decide tax, banking or premises requirements.

Key takeaways

  • Separate the principal executive office, correspondence destination and Florida registered office.
  • A mailing product does not automatically provide an executive office or a qualified registered agent.
  • Plan public disclosure before submitting a home address.
  • Keep a change log and update each authority or institution separately.

Enter the three Florida address fields correctly

A Florida LLC has separate principal-office, mailing and registered-agent entries. Section 605.0201 of the Florida LLC Act requires the principal office’s street and mailing addresses, plus the initial agent’s name, Florida street address and written acceptance. Complete each field for its own purpose; identical entries are appropriate only when the underlying facts support them.

Florida filing fields: what belongs where
Field What it represents Location and P.O. box rule
Principal office The LLC’s principal executive office Street address; may be outside Florida. A P.O. box is insufficient.
Mailing address Where the LLC receives correspondence May differ from the principal office. A P.O. box is acceptable.
Registered office / agent address The Florida location for the designated agent receiving legal process Florida street address. A P.O. box or out-of-state address is insufficient.

The Sunbiz LLC filing instructions distinguish the street address from the mailing field and expressly permit a P.O. box for mailing. A street-formatted mailbox is not automatically a principal executive office. Assess the real use of the location instead of relying on a provider’s label or its suite number.

The state’s Articles of Organization form separates these entries in Article II and Article III. Prepare the complete address, including unit details where applicable, before signing. The agent’s acceptance is an additional requirement; renting an address does not supply that consent. For the distinction between the public formation document and internal company records, see LLC formation documents and filing terminology .

Choose a home, office or mailing product by its actual use

Choose the function before the product . A home may be the principal office when it is the actual principal executive office. A rented commercial office may fit that role when the company genuinely uses it that way. A mail service can solve correspondence needs without becoming the company’s executive office. These conclusions apply the field definitions; they are not endorsements of any particular supplier.

Address options: suitability tests before committing
Option Potential fit Question to resolve
Home address Principal office; mailing; potentially registered office Is it the real executive office? For agent use, are Florida residence and agent qualifications satisfied?
Commercial or coworking office Principal office and mailing if the facts and agreement support use Does the agreement provide the actual office use being declared, rather than mail handling alone?
Virtual office or mailbox Mailing; other roles require separate justification What premises and agent services exist? A marketing name does not establish either.
Registered-agent service Registered office and legal-notice handling Does the contract also allow ordinary mail or other address uses? Do not assume they are included.

Before signing a contract, ask for written permission for each proposed use , the exact address format, delivery arrangements and the process when the service ends. Confirm who alerts you to legal papers and who receives ordinary correspondence. These are practical contract checks, not a universal list of attachments required by Sunbiz.

A Florida registered agent has a statutory duty to forward process, notices or demands received for the company to the company’s latest supplied address. Under section 605.0113 , an individual agent must reside in Florida and have a business address identical to the registered office; qualifying domestic or authorized foreign entities may also act. The LLC cannot appoint itself. A mailbox rental alone does not establish a qualified agent.

Living outside Florida changes the agent choice

The principal office does not have to move to Florida merely because the LLC is formed there. Section 605.0102(54) defines it as the principal executive office whether or not located in the state. Sunbiz’s annual-report address guidance accepts an out-of-state principal address and provides for an out-of-country address.

For an overseas founder managing the company from an overseas office, that real executive location and a separate Florida agent may therefore be the relevant arrangement. The individual-agent residence rule is not a requirement that every owner live in Florida. An owner who does not reside in Florida cannot qualify as the individual agent merely by buying a Florida mailing address. Keep the owner’s situation, the company’s executive office and the agent’s eligibility distinct.

Plan privacy and recipient acceptance separately

Sunbiz’s LLC forms notice states that information submitted on a document is available on its public-record website. Using a home address therefore has a disclosure consequence. Review all address entries before submission, including optional management information. An agent service can replace the registered-office entry when properly appointed, but it does not by itself conceal a home used elsewhere in the filing. A later update is not a promise of historical-record removal.

Florida LLC address dossier Three separate fields: principal office is a street address and can be outside Florida; mailing may use a P.O. box; registered office needs a Florida street address and a qualified agent. ADDRESS DOSSIER 1 Principal office Street address Outside Florida allowed 2 Mailing address Correspondence destination P.O. box allowed 3 Registered office Florida street address Qualified agent required
Treat the three address roles as separate compartments in the company’s records. A Florida mailing product cannot fill every compartment by itself.

Other recipients apply their own rules. The IRS Form SS-4 instructions separate correspondence on lines 4a–4b from a different physical address on lines 5a–5b, where a P.O. box is prohibited. Foreign addresses have their own completion instructions. A Sunbiz entry does not settle those fields.

For banks, the federal Customer Identification Program rule requires an entity address identifying a principal place of business, local office or other physical location, alongside identity verification procedures. Ask the chosen institution what evidence it needs for the actual setup. State filing acceptance does not guarantee bank acceptance , and a mailing-service invoice is not a promise of successful bank checks.

Also confirm local address use with the relevant city or county and any activity regulator before using premises for customers, staff or inventory. Entity registration does not establish zoning, local business tax receipt or sector approval. The wider US company registration and LLC formation support page explains how state formation fits alongside those separate operational questions.

Update each record when an address changes

Make an address change a record-by-record task. Sunbiz’s annual report can change principal-office, mailing and registered-office details; a new agent must accept the appointment. Section 605.0114 also provides a statement-of-change route for the registered agent or registered office. That statement identifies the company, current agent and relevant current and replacement details, with the successor’s acceptance when the agent changes.

  1. Identify the changed role. A new mailing destination does not necessarily mean the executive office or agent has moved.
  2. Use the applicable Sunbiz filing route and keep the submitted copy, acknowledgement and updated public record as evidence. Check the resulting address and agent details rather than relying only on payment confirmation.
  3. Give the agent a current forwarding destination. Arrange continuity for ordinary mail and legal notices before ending the old service.
  4. Notify the IRS separately using Form 8822-B where required for address or location changes. Review bank, insurer, licence and supplier records individually; a Sunbiz filing is not evidence that those recipients updated their records.

Keep the change date, former address, replacement address and person responsible in the company’s own log. This creates an explanation for legitimate differences between older documents and the current record, without altering the history or pretending all recipients use the same address.

Approve the address plan before submitting it

Release the filing only when each field describes a defensible fact . Build a short address schedule naming the principal executive office, correspondence destination and Florida registered office. Against each, record who controls the location, permission to use it and who monitors incoming items. Retain commercial agreements as supporting business records, rather than assuming the state requires them as standard attachments.

For the applicant or signatory, confirm authority to submit the record and permission for any typed signature. For the entity, compare the address schedule against the final Articles of Organization and agent acceptance. For premises, verify the proposed business use with the property provider and relevant local authority where applicable. For a bank or other recipient, obtain its specific evidence request before buying documents it may not accept.

Resolve a missing qualified agent or an inaccurate principal-office description before filing. If the remaining concern is privacy, compare truthful alternative premises and permitted correspondence arrangements. Choose the arrangement that the company can maintain and explain, then assign one person to monitor notices and future changes.

Frequently asked questions

Does foreign ownership make this a foreign LLC in Florida?

No. For the Florida LLC Act, foreign status concerns the entity’s jurisdiction of formation, not the owner’s nationality. An LLC formed under Florida law is domestic for that Act even when its founder lives overseas.

Can one address fill all three fields?

Yes, if it truthfully serves each role and satisfies the registered-office and agent requirements. Sharing an address does not remove the need for a qualified agent’s acceptance or reliable mail arrangements.

Does a certificate of status validate the premises?

No. Sunbiz describes this certificate as evidence of the LLC’s status and existence. It does not certify office use, local premises permission or acceptance by a bank.

Should the provider’s address replace every address in company records?

Only where the use is accurate and permitted. Keep the real facts and the purpose of each record visible; blanket replacement can create incorrect physical-location entries.

What should happen if a provider stops forwarding mail?

Contact the provider and agent promptly, secure access to pending items and arrange replacement services if needed. Check which state and recipient records need updating; do not leave legal notices dependent on an unmonitored arrangement.
