Local Authorised Representative for a Singapore Foreign Branch: Eligibility

A candidate clearance and evidence handoff for foreign companies choosing their Singapore representative.

A Singapore foreign branch needs at least one authorised representative who is a natural person resident in Singapore. The foreign company must authorise that person to receive legal process and required notices on its behalf. A suitable candidate also needs any necessary pass permission and must be able to accept the role lawfully. These are separate checks; a Singapore address alone does not settle them. See section 368 of the Companies Act 1967 and ACRA’s foreign-branch requirements .

Key takeaways

  • Test the individual’s actual local residence before relying on citizenship, a pass or an office address.
  • Pass eligibility and permission to accept the appointment need their own evidence.
  • Investigate bankruptcy and restrictions on company management before clearing a candidate.
  • Keep statutory appointment authority separate from bank signing powers and the service contract.
  • Plan replacement and record updates when residence, pass status or availability changes.

Start with the person’s residence, not the service address

“Local” describes the qualifying person, not the nationality of the service provider. The statutory appointment provision specifies an individual resident in Singapore. A foreign head-office company, a corporate service provider’s contracting entity or an overseas executive’s visiting schedule cannot stand in for that individual.

ACRA’s local-residency guidance identifies Singapore citizens, permanent residents and eligible holders of specified passes, including the Employment Pass, Personalised Employment Pass and Overseas Networks & Expertise Pass. Foreign Identification Number holders should check with their pass issuer before accepting a role. ACRA specifically flags prior Ministry of Manpower permission for Employment Pass holders; do not assume every pass category carries identical permission.

Assess the facts behind the category: where does the candidate live, what right supports that stay, and will those facts continue after appointment? A citizen living overseas should not be cleared solely from a passport. Likewise, a registered office or contact address is not evidence that the person lives there. Residence evidence and authority evidence answer different questions.

For screening purposes, record the candidate’s identity, current residential address, immigration status where relevant, and the date each was checked. If relocation or pass renewal is pending, label it as a condition still to be satisfied rather than an accomplished fact.

Separate the branch appointment from a subsidiary directorship

A branch operates as an extension of the foreign company. A locally incorporated subsidiary has its own legal identity. ACRA distinguishes these entry structures ; choosing the branch route therefore changes the statutory office you need to fill, rather than merely changing the label on a resident-director package.

The underlying Singapore company formation requirements help frame the subsidiary alternative. If the group chooses that route, assess the resident-director route for subsidiaries separately. Appointing someone as the branch’s authorised representative does not itself appoint that person to a subsidiary’s board.

A commercial “nominee” or local-representative service describes an arrangement between parties. It does not remove statutory responsibility. ACRA warns that an authorised representative can be personally responsible when the foreign company fails to meet its legal requirements. A service agreement should explain access to records, escalation and exit arrangements; it should not promise a duty-free name on a register.

Clear pass restrictions and management bans before consent

Residence is only one gate. A candidate may be locally resident yet face a restriction that prevents the intended work or management role. Ask for disclosure of bankruptcy, court orders and company-management disqualifications, and review the actual documents rather than accepting “I am not a director” as an answer.

ACRA’s disqualification guidance states that disqualified directors cannot directly or indirectly manage a local or foreign company without permission. It identifies bankruptcy, certain convictions, repeated filing failures and other statutory grounds. The practical issue is the restriction’s scope and any valid permission, not whether the proposed appointment uses a different job title.

Do not automatically copy a local-company director checklist, its filing deadlines or its permission routes into a branch appointment. Where a candidate has an order or bankruptcy history, a Singapore lawyer should confirm whether the proposed functions are permitted and which authority can grant any necessary clearance. An unresolved restriction is a stop condition , even if the candidate has already signed the commercial contract.

The clearance sequence keeps an apparently convenient candidate from reaching the filing stage before the reason they can lawfully serve has been established.

Authorised representative candidate clearance path Confirm the individual and local residence, investigate pass restrictions or legal orders, resolve any gap before documenting consent, then file the appointment and monitor continuity. Proposed individual Identity and local residence Pass restriction or legal order? Unresolved: pause and obtain clearance Clear: document authority and consent File appointment and retain evidence Monitor changes and replacement
Candidate clearance comes before appointment evidence; ongoing monitoring keeps that original clearance useful.

Build a candidate file that answers each eligibility question

Use the following matrix as an editorial preparation tool, not an ACRA-prescribed document pack. Its purpose is to make each conclusion reviewable. The provider may request further due-diligence evidence, and a document that proves identity does not necessarily prove residence, permission or authority.

Question to resolve Evidence to assemble What blocks clearance
Who is being appointed? Identity record matching the intended filing; date of birth and contact details. Name or identification mismatch; uncertainty about legal capacity to consent.
Why is the person locally resident? Current residential particulars and supporting residence or immigration evidence appropriate to the facts. Only a mailing address; a move or permission still pending.
May the person accept these functions? Relevant pass-issuer confirmation, and any court or other permission where restrictions arise. Reliance on a pass label without checking its conditions; unexplained legal orders.
Has the foreign company appointed this person? Written corporate authority, agreed effective date and the individual’s consent. A provider invoice or job offer used as a substitute for appointment authority.
Can the role work after filing? Notice-routing instructions, record-access contacts and a named parent-company escalation owner. No way to obtain records or respond when official correspondence arrives.

Use an adult candidate capable of informed consent as a practical screening standard. If age or capacity raises a question, resolve it with the filing provider and legal adviser; do not infer branch eligibility merely from a rule written for another statutory office.

For a new representative, section 370’s appointment provisions address the appointment notice and consent statement. The foreign company’s internal approval should identify the person and role consistently with that filing. A signed service agreement is not filing evidence ; retain the relevant Bizfile outcome alongside the appointment records.

Give the representative a workable route to the parent’s legal and finance teams. Decide who monitors incoming notices, who supplies missing records and who authorises a response. Those working arrangements do not alter the law, but they expose a weak appointment before the weakness becomes a missed obligation.

Treat relocation or departure as a new eligibility event

Candidate approval is a dated assessment. A move abroad, pass cancellation, new legal restriction or planned departure can change the basis on which the person was selected. Ask the representative to notify a named parent-company owner promptly when those facts change, and keep a backup contact who can coordinate a replacement.

For a sole representative, organise replacement before relying on departure paperwork. Section 370 governs cessation and replacement ; ending employment or a provider contract is not, by itself, proof that the statutory appointment has ended. Have the filing provider confirm the applicable notice, consent and effective-date requirements for the particular event.

ACRA’s foreign-company update guide requires appointment, withdrawal and changes to representative particulars to be reported within 30 days. It calls for identification and contact details, residential and contact addresses, and the relevant appointment or cessation dates. The contact address must be in the same country as the residential address and cannot be a P.O. box.

  1. Record the event and check whether the existing residence or permission basis still holds.
  2. Clear the replacement candidate and reconcile authority, consent and effective dates.
  3. Complete the applicable Bizfile update and preserve its acknowledgement and resulting record.
  4. Transfer notices, open compliance matters and parent contacts to the continuing representative.

These steps are a continuity plan, not a grace period for operating without a qualifying person. The filing clock and the continuity question are separate . Diary the deadline, but address a missing or doubtful representative immediately.

Match the candidate to a clear appointment decision

If the individual lives in Singapore, has the necessary permission, has no unresolved restriction affecting the proposed functions and can evidence corporate appointment, proceed to the consent and filing handoff. Keep the dated clearance record with the foreign company’s appointment documents.

If residence or pass permission is pending, keep the candidate conditional and arrange another qualifying person where needed. If a management ban, bankruptcy issue or disputed authority remains unresolved, pause for specific clearance. When the problem is departure, prioritise the replacement and statutory cessation mechanism before treating a contract termination date as the end of responsibility.

Frequently asked questions

Can the same person also sign for the branch’s bank account?

That requires separate authority and the bank’s acceptance. The statutory representative appointment should not be treated as a bank mandate or as unlimited authority to enter every commercial contract.

Can a provider supply its company name instead of an individual?

No. Section 368 requires one or more natural persons resident in Singapore. A provider may coordinate the arrangement, but the appointed individual must be identified.

Does becoming authorised representative make someone a shareholder?

The appointment concerns representation of the foreign company. It does not, by itself, transfer shares or beneficial ownership. Any separate ownership or control arrangement needs its own records and analysis.

Does an appointment grant permission to work in Singapore?

No. ACRA’s guidance for foreigners separates local-residency requirements from work-pass permission. A foreign candidate should resolve the conditions of their own pass before accepting or performing the role.

Must an address change wait until the replacement appointment?

No. ACRA’s update requirements cover changes to representative particulars as well as appointment and withdrawal. Record the actual events and dates; combining transactions should not cause a reporting deadline to be missed.
