Indonesia operating structure

Local Operating Presence in Indonesia: Which Structure Can Support the Planned Activities?

Assign customer commitments, delivery and local support to a structure that can lawfully perform them.

A Jakarta team that researches customers and arranges introductions needs a different legal scope from one that accepts orders and installs equipment. In Indonesia, choose the operating presence by the activities and ownership you need: a local office alone does not establish commercial authority. A representative office must stay within its particular permitted role; a foreign-owned operating company must satisfy the investment and activity rules.

Start by naming who will contract, invoice and perform each local action. A genuinely domestic company or independent distributor may have its own role, but neither is a device for concealing foreign ownership or bypassing permissions.

Key takeaways

  • Allocate each customer-facing action before comparing structures; an unexplained delivery function can invalidate an otherwise workable plan.
  • Off-record foreign share ownership cannot turn an investment into a genuinely domestic PT.
  • General, trade, electronic-commerce and specialist representative offices have distinct regimes; test the exact form.
  • A company’s existence, its activity permissions and the foreign parent’s tax presence require separate conclusions.
  • Keep a written change trigger for the moment research becomes contracting, sales or paid customer delivery.

Define the work your Indonesian team must perform

Choose an operating structure from a written description of what happens in Indonesia: who meets customers, makes binding promises, owns stock, performs services and receives payment. A team described as “business development” might only collect market intelligence, or it might negotiate orders and supervise delivery. Those are materially different operating plans even when the office address and headcount are identical.

Prepare one sample customer journey from first contact to warranty claim. Give each action a named legal actor: the foreign parent, an Indonesian subsidiary, a particular representative office, or an independent local business. Record the place of performance as well as the contracting party. An overseas invoice does not explain who actually carries out the work in Indonesia.

The baseline is Article 5 of Indonesia’s Investment Law : foreign investment generally uses an Indonesian limited liability company, Perseroan Terbatas (PT), unless legislation provides otherwise. Article 25 separately addresses establishment approval and the permissions needed for business activity. A foreign investment company, commonly called PT PMA, therefore answers the ownership question; the proposed business still needs its own activity and licensing analysis.

For each revenue stream, identify the relevant Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) classification and project location. Then ask whether the proposed owner is eligible and whether the operator can obtain the permissions for that exact scope. “Having a local presence” is too broad to settle either question. The structure must fit the work that people actually perform. Use the resulting action list to eliminate incompatible routes before commissioning incorporation documents.

Compare control of commercial operations

A PT PMA is the starting candidate when foreign investors want equity ownership of an Indonesian company that contracts with customers and performs permitted commercial activities. A genuinely domestically owned PT can perform its own permitted business. An independent distributor can instead sell through its own business, but that arrangement gives the foreign supplier a commercial counterparty rather than ownership of the distributor’s local operations.

The distinction follows the ownership rules in Articles 1 and 5 of the Investment Law . Domestic investment and foreign investment are different categories; forming a company under Indonesian law does not make foreign investment domestic. The same law’s Article 33 prohibits agreements or declarations that shares are held for and on behalf of another person and makes those arrangements void. A local PT is not a substitute for disclosing foreign ownership. A genuine joint venture with foreign shareholding must be analysed as foreign investment, including the applicable ownership conditions.

Route Commercial responsibility Ownership and control consequence Decisive feasibility question
PT PMA The Indonesian company contracts and delivers within its authorised scope. Foreign equity is disclosed; governance is exercised through lawful corporate arrangements. Are the activity, foreign ownership, investment plan and operating permissions compatible?
Genuinely domestic PT The domestic company carries on its own licensed business. Domestic investors own the business; a foreign supplier does not acquire hidden equity rights. Is domestic ownership real, and does the proposed relationship remain a lawful commercial arrangement?
Independent distributor The distributor resells and assumes the agreed local customer obligations. The supplier controls its contract and brand arrangements, not the distributor as a subsidiary. Can the distributor legally perform every allocated sale, import, storage and support function?

Foreign ownership cannot be assumed to be unrestricted simply because a PT PMA is available. Presidential Regulation 49/2021, amending the investment business fields rules preserves activity-specific conditions, including domestic-investor requirements, foreign equity limits and special permissions. Match the actual activity description as well as its KBLI reference. An ownership percentage that works for one revenue line may not work for another.

Capital capacity can also decide feasibility. Under Article 26 of Ministerial Regulation 5/2025 , the general PMA minimum investment plan exceeds IDR 10 billion, excluding land and buildings, per five-digit KBLI per project location. The rule contains different aggregation and land/building treatments for specified activities and locations. Minimum issued/paid-up capital is generally IDR 2.5 billion per PT, unless legislation provides otherwise. These are different tests, and neither amount is a registration service fee. Confirm the applicable calculation before selecting a route merely because its operating rights appear suitable.

Once ownership and commercial scope fit, company formation requirements in Indonesia provide the underlying entity workstream: establishment documents and legal entity approval must be aligned with the ownership decision. The subsequent activity permissions determine what that entity can actually start doing. A lower incorporation expense cannot compensate for a model that cannot perform the contracted work.

Select the exact representative-office regime

A representative office is suitable only when its particular legal regime authorises the intended role. Do not choose “representative office” as one undifferentiated alternative to a subsidiary. Articles 24 and 269–277 of Ministerial Regulation 5/2025 distinguish general representation, foreign trade representation, electronic-commerce representation and specialist sector offices. The requirements and permitted functions are not transferable between those forms.

A Kantor Perwakilan Perusahaan Asing (KPPA), the general foreign company representative office, is limited under Article 270 to liaison, coordination, supervision and managing the parent’s or affiliates’ interests, including preparation for establishing or expanding a PMA business. It cannot seek income from Indonesian sources or undertake commercial sale/purchase commitments or transactions between the parent and Indonesian parties. Nor may it participate in managing an Indonesian company, subsidiary or branch. Parent-funded expenses do not turn prohibited customer work into permitted liaison.

The KPPA location and leadership also constrain the plan: Article 270 requires an office building in a provincial capital, an Indonesia-resident representative head and restrictions on that head’s other appointments. Check these before treating a convenient address or a visiting regional manager as sufficient. Its Business Identification Number, Nomor Induk Berusaha (NIB), is an identity registration within that regime, not a general trading authorisation.

A Kantor Perwakilan Perusahaan Perdagangan Asing (KP3A), a foreign trade representative office, has a separate path. Articles 271–272 require an NIB and SIUP3A through the Online Single Submission (OSS) system, with activities governed by the trade ministry’s rules. The application includes a statement that the company does not undertake trading or sales transactions. A trade-oriented name therefore does not justify using KP3A as the local seller. Verify the specific promotional or liaison function under the applicable trade regime before assigning it.

KP3A Bidang PMSE is the electronic-commerce representative category, with its own provisions in Article 274; it is not interchangeable with an ordinary KP3A. Construction representation (BUJKA) and foreign electricity-support representation are also separately identified. A project falling within those sectors needs that sector route assessed rather than an assumption that every representative office is either prohibited from all operational work or free to perform it. Exact representative-office category is a decision input, not a label to fill in after signing a project.

With ownership and representative boundaries established, compare the three common allocations of local work before testing individual activities. The permissions check continues whichever allocation you select.

Allocate local work before selecting the operating route Assign local work to your own commercial company, a representative office within its exact scope, or an independent distributor. Foreign-owned commercial operations point to a PT PMA. Every route still needs an activity permission check. Assign the local work Your own local sales Parent support only Partner resells locally PT PMA if foreign-owned Exact representative office category Independent distributor Verify each actor’s activity permissions
Three allocations of local work lead to different candidate routes. Genuine domestic ownership has its own eligibility analysis; every operator still needs permission for its assigned activities.

Stress-test the planned activity bundle

The feasible model is the one that assigns every planned action to an eligible, authorised actor. Use the worksheet below as a planning test, not as a licence determination. It applies the ownership boundary in Articles 5 and 33 of the Investment Law , the representative limits in Articles 270–274 of Regulation 5/2025 , and the separate activity-permission requirement in Article 186 of the same regulation. A conditional result means the supporting evidence must be obtained before that action begins.

Planned local activity Actor you intend to use Route that may support it Stop or change trigger
Collect market information and arrange non-binding parent introductions. Parent representative team. KPPA or the relevant specialist representation route, only within its permitted functions. The team starts making commercial commitments or performing customer deliverables.
Sign local customer contracts, invoice and provide the contracted service. Foreign-owned Indonesian company. PT PMA with eligible ownership, matching KBLI and satisfied permissions. The entity’s activity scope or licence status does not cover the promised service.
Sell products through a business that buys and resells on its own account. Independent Indonesian distributor. Distributor model, with each local function verified against the distributor’s permissions. Your staff perform the distributor’s customer obligations or the supplier needs ownership-level control.
Import stock, store it locally and sell to customers. Your company or a distributor. Authorised commercial operator; assess import, product and premises requirements separately. A liaison office is named as seller or stock operator without the required legal scope.
Install, repair or maintain equipment at customer sites. Locally deployed technicians. Licensed service operator or applicable specialist sector route. The team is called “liaison” while the customer receives substantive on-site services.
Open a locally owned operating company while retaining foreign equity off record. Nominal domestic shareholder. No acceptable route on that premise; reassess a disclosed PMA or genuine independent relationship. Documents say domestic ownership while side arrangements attribute shares to another person.

Treat “sales support” as an unresolved description until it has verbs. Passing an enquiry to the parent differs from accepting an order, setting binding commercial terms or carrying out the paid service. Likewise, a demonstration that only explains a product differs from an installation that the customer has purchased. Record the deliverable and legal obligation, not just the employee’s job title. When the facts cross the representative-office boundary, change the activity allocation or the structure before the team starts that work.

Consider three hypothetical plans. An exploratory team that only conducts permitted research and liaison may fit the exact representative regime after its conditions are checked. A team expected to sell, invoice and deliver locally points toward a commercial operating company. A supplier content to sell to a genuinely independent reseller can test a distributor arrangement, provided the reseller performs the assigned local functions and the supplier’s own conduct is assessed separately. These are planning illustrations, not claims about completed client cases.

Now test a mixed plan: a distributor sells the equipment, while your own Indonesia-based staff undertake paid maintenance. The distributor arrangement answers who sells the equipment; it does not establish permission for your staff’s maintenance business. Split the two revenue streams and identify the authorised service provider. If your own company must be the service counterparty, revisit a local customer invoicing structure alongside the actual delivery scope. Moving only the invoice offshore leaves the local work unexplained.

Mark each row “supported”, “conditional” or “incompatible” in your working copy. A supported row needs a named actor and evidence of the relevant permission; conditional rows need a precise missing approval or factual answer. One incompatible essential activity is enough to reject the proposed allocation. The solution may be a different operator for that activity rather than replacing the whole market-entry plan.

Resolve a representative-office scope conflict

If liaison staff are expected to accept orders or deliver services, ask HSJGlobal to help compare the revised operating scope with a suitable company or specialist route.

Resolve operating gaps that formation cannot cure

Formation cannot cure a gap in business permission, tax treatment or the right people’s authority to perform the work. Keep those issues visible in the structure decision. An entity can exist while a particular project remains unable to start, and a foreign parent can face Indonesian tax obligations even though it has not incorporated an Indonesian subsidiary.

For business licensing, Article 186 of Regulation 5/2025 distinguishes low risk activity supported by NIB, medium-low risk activity requiring NIB and an unverified Standard Certificate, medium-high risk activity requiring NIB and a verified Standard Certificate, and high risk activity requiring NIB and a licence. Basic requirements and supporting business permissions (PB UMKU) apply where required. Check the exact activity and location output, including whether verification or another approval remains outstanding. NIB issued and “all conditions for this operation satisfied” are different findings.

For tax, the Directorate General of Taxes publishes PMK 35/2019 on determining a permanent establishment . Its tests address a permanent place of business and specified forms of activity, including certain service, construction and dependent-agent arrangements. Treaty application can change the analysis; preparatory or auxiliary treatment requires the actual functions to qualify. Do not infer that a representative office is automatically outside the tax net, or that a distributor’s involvement removes every tax exposure of the foreign parent. Contracts, staff conduct, locations and authority to act must agree.

A bentuk usaha tetap (BUT), or permanent establishment, is a tax concept in this assessment. Registration for tax obligations does not incorporate a subsidiary or independently authorise a prohibited operating activity. Conversely, the absence of a locally issued invoice does not resolve whether the parent’s people, premises or representatives create taxable presence. Obtain the tax conclusion using the parent’s residence and any applicable treaty, rather than using the commercial structure’s name as the answer.

People and premises need the same discipline. Record the employer, who directs the work, who signs customer commitments and where services occur. Foreign personnel need their applicable manpower and immigration position checked separately from company establishment. A corporate office address also does not prove suitability for warehousing, production or customer-site services. These are scope questions to resolve before allocating work; this comparison does not replace the separate applications.

If an existing representative team has drifted into customer delivery, identify and pause the activities outside its permitted role while arranging the correct operator. Establishing a PT PMA does not itself transfer the old contracts, employees or obligations. Prepare a deliberate handover: which entity will contract, when delivery responsibility changes, which permissions support it and whether counterparties must consent. Keep the representative office within its own authorised functions during that transition.

Choose the operating route before making binding commitments

Match the route to the first binding obligation in your plan. For foreign-owned local contracting and delivery, test a PT PMA against the precise activity, ownership and permission requirements. For parent support only, test the exact representative-office category and remove incompatible commercial tasks. For independent resale, test the distributor’s capability and the supplier’s retained responsibilities as two separate businesses.

Before committing to premises, hiring a delivery team or signing a customer contract, produce a short approved operating brief: the activity worksheet, disclosed ownership, named contracting and delivery actors, permissions needed before commencement, and the unresolved tax or sector issues. Assign an owner to each unresolved condition. If an essential action still has no eligible operator, defer that commitment or redesign the allocation. The right local presence is the structure whose documented scope matches the work you are ready to perform.

Turn the chosen route into a defined brief

Frequently asked questions

Should the operating brief cover activities planned for next year?

Separate launch activities from later phases and record the event that triggers another scope review. A future service promise should not silently become work for a liaison team before the appropriate route is ready.

What evidence should a proposed distributor provide?

Request its legal identity, matching activity and permission records, relevant premises or product approvals where applicable, and a clear statement of the functions it will perform. Reconcile those records with the draft distribution agreement.

Can the same group use a representative office and a subsidiary?

Any combined arrangement needs a documented division of functions consistent with each regime. Do not assume shared branding or group ownership permits the representative office to manage the subsidiary or perform its customer obligations.

Does a customer’s vendor onboarding approval settle legal eligibility?

No. Vendor acceptance is a counterparty decision. Confirm the contracting entity’s ownership, activity scope and required permissions separately before treating it as ready to deliver.

Which facts should be fixed before seeking a final tax conclusion?

Identify the foreign parent’s residence, people’s actual tasks and authority, places used in Indonesia, contract and delivery arrangements, and expected duration. Those facts allow the relevant domestic rules and any applicable treaty to be assessed.
