Malaysia Company Incorporation Checklist: What to Prepare

Replace a folder of uploads with one agreed instruction and evidence for every filing decision.

Before incorporating a Malaysian Sdn. Bhd., prepare an agreed ownership and share schedule, eligible directors, business particulars, addresses, identity records and the required declarations. The useful test is whether one authorised lodger can complete and defend a consistent application, rather than whether every document has merely been uploaded.

The current filing plan should also account for CRS through SSM4U. SSM’s October 2026 CRS FAQ includes additional information requirements, foreign-director national ID fields and draft-retention limits. Apply the checklist to the current application, not an old portal screenshot.

Key takeaways

  • Lock decisions before entering a portal draft; unresolved ownership is not a document-format problem.
  • Distinguish legally required particulars from extra identity and authority evidence requested for verification.
  • A foreign corporate shareholder needs an authority trail and an ownership chain, not just a company name.
  • Have directors check the actual declaration against their eligibility before signing.
  • Agree the official output and post-incorporation handover before authorising submission.

Assign each readiness decision to a named owner

Use one master sign-off sheet with the proposed company name, activity, shareholders, directors, office particulars, share structure and outstanding conditions. Put a source reference beside each decision. If two advisers hold conflicting versions, stop data entry until the founders approve the same instruction.

Decision Responsible person Accepted when Submission blocker
Activity and approval route Founder responsible for operations Revenue model and relevant permissions are identified A restricted activity or agency consent remains unresolved
Ownership and shares Each proposed shareholder Names, shares, rights and consideration are agreed Totals or rights differ between instructions
Directors Proposed board and lodger Eligibility, consent and required residence are supported Sole resident-director position is unsupported
Addresses Company and office provider Registered and business addresses have truthful functions An address is being used for a purpose it cannot support

This acceptance sheet is a preparation tool, not another SSM form. “Received” and “accepted for filing” are different statuses. A passport may be received but unreadable; an ownership chart may be legible but inconsistent with the current shareholder records. Close the issue only when the evidence and the filing instruction agree.

The foundation for Malaysia company incorporation is a coherent entity record. Give the lodger authority to request corrections before filing, and identify who can approve a changed name, share allocation or business description. That avoids a last-minute amendment being treated as a clerical decision when it changes the founders’ rights.

Find the decision that still prevents filing

Identify whether the open issue concerns activity, ownership, directors or the use of an address.

Clear the people and ownership checks

For each individual, reconcile the legal name, identification details, contact and residential information with the proposed role. Use the actual source record, not a typed summary copied from a previous business. For directors, confirm age, disqualification status, consent and whether the required Malaysian principal residence is genuinely established.

A corporate shareholder requires an additional authority question: who may commit that entity to becoming a member and subscribing for the shares? The SSM incorporation guidelines identify a consent letter from a corporate body named as a member among conditional additional documents. Registry, constitutional and authorisation records may also be needed by the person verifying the file.

Prepare a chart that reaches the relevant natural persons and explains control. SSM’s beneficial-ownership guidelines make clear that beneficial ownership concerns ultimate ownership or control and goes beyond the immediate shareholder list. An intermediate holding company is not the end of the ownership enquiry. Assign responsibility for supporting the chart and establishing the company’s required record after incorporation.

For cross-border owners, identify language, certification and authority requirements with the actual recipient before commissioning documents. A certified copy, translation and corporate resolution prove different things. Do not spend money legalising every foreign document on the assumption that all Sdn. Bhd. applications require an identical authentication package.

The cross-border founder preparation checks are relevant when the structure involves overseas shareholders or directors. Use that branch only where it applies; a simple local individual-shareholder file should not inherit unnecessary foreign-document tasks.

Reconcile the filing particulars before opening the draft

SSM’s company-starting requirements identify the proposed name, private or public status, business type, registered office, business address, directors and promoters, declarations and conditional documents. Check the following relationships before those particulars are entered.

  • Company identity: the approved or proposed name agrees with the shareholder instructions and any required consent.
  • Business: the description matches the activity that will earn revenue, rather than a vague label chosen only for convenience.
  • Share schedule: the share count, subscription amount and ownership percentages reconcile without using rounded percentages as the legal record.
  • Addresses: the registered office and operating address are separately labelled and supported for their actual purposes.
  • People: the same name and identification details are used in the application, consent, ownership chart and verification file.

For example, a rounded 33.33% entry for each of three owners does not itself specify the number of shares being issued. Settle the actual share allocation and consideration first, then calculate the displayed percentages. This is an arithmetic preparation control, not a prescribed capital model.

Keep paid-up capital distinct from professional fees and operating cash. The share instruction should say what is subscribed and by whom. Any separate capital condition for the planned activity or later application must be checked on its own terms; a general incorporation checklist cannot establish that every future licence will accept the chosen capital.

Incorporation sign-off path Founder decisions and verified evidence converge into a single filing instruction, then a checked preview and controlled handover. Founder decisions Activity, shares, roles Verified evidence Identity and authority One reconciled instruction Current CRS preview Declarations and payment Accepted notice Controlled handover
Do not start from the portal draft when the underlying decisions are unsettled.

Check CRS fields, declarations and the preview as one record

Log in through SSM4U and use the current CRS incorporation process. The CRS FAQ says old MyCoID drafts are not migrated and CRS drafts are retained for seven days. Keep the approved source sheet outside the draft so a portal expiry does not become the only copy of the founders’ instructions.

For new foreign directors, the FAQ addresses mandatory foreign national ID information as well as the passport number. It provides specific handling for countries without a particular ID and for information that remains unavailable after efforts to obtain it. Do not invent an identification number to pass a mandatory field. Use the official instruction applicable to the actual situation and retain the explanation.

Have each declarant review the final particulars and their own eligibility statement. A consent to act is not the same as confirmation that an address or share allocation is correct. The person responsible for the compliance declaration should be able to support that declaration with the accepted evidence file.

Read the generated preview against the locked instructions: name, identity fields, director roles, addresses, business and shares. If a correction changes another document or instruction, resolve the mismatch before submitting. Keep the approved preview and version date so everyone can distinguish the submitted record from an earlier draft.

Check the final particulars before payment

Reconcile the current CRS preview with the decisions and evidence the founders approved.

Prepare payment, query handling and the handover test

Agree who may authorise payment and how the transaction will be recorded. Retain the application reference, payment evidence and current status together. If payment appears unsuccessful, reconcile the portal and transaction record before paying again. A payment record alone does not prove incorporation approval.

Assign one person to receive and coordinate SSM queries. The response should correct the relevant source fact and all affected particulars, not simply fill the field mentioned in the message. Share material changes with the founders before lodging a revised ownership or director instruction.

Handover item Acceptance evidence Owner after incorporation
Incorporation outcome Correct SSM registration notice Company with secretary support
Final filed particulars Readable submitted record and references Company records custodian
Secretary appointment Appointment record; deadline diarised Board and appointed secretary
Open operating conditions Named approval, evidence still required and responsible person Relevant operational lead
Access and retention Company can retrieve its official records securely Authorised company representative

SSM issues a registration notice; a certificate of incorporation is a separate request. The first secretary must be appointed within 30 days after incorporation under the SSM requirements . Set that task before submission so the handover does not end with an unexplained “registration complete” email.

Do not treat a clean incorporation file as a completed bank, licence or immigration application. Record the next recipient’s requirements separately and reuse verified facts where appropriate. This keeps the company’s core record consistent while preserving each authority’s independent acceptance decision.

Authorise submission only when the evidence supports the instruction

Release the file when the founders agree the entity decisions, the lodger accepts the supporting evidence, the directors can make truthful declarations and the current portal preview matches the approved instruction. Every remaining condition should either be resolved or be a clearly separate post-incorporation task with an owner and deadline.

Hold submission where a missing fact can change the shareholder, director, business or address record. Correcting it before filing is more reliable than attempting to repair a knowingly inconsistent company record after approval. The final sign-off should name the approved version, authorised lodger, payment authority and handover evidence.

Turn preparation into a controlled submission

Set the lodger, query-response owner and handover evidence for the agreed company record.

Frequently asked questions

Should I upload everything I have?

Supply the records the current application and verification process require. Keep conditional and downstream documents labelled rather than burying the filing evidence in unrelated files.

Is a constitution compulsory for every Sdn. Bhd.?

SSM describes a constitution as non-mandatory for a company limited by shares. Particular governance needs may still justify adopting one.

Can I leave the share split to the lodger?

The shareholders should approve the actual share arrangement. A lodger should not choose economic or control rights as an administrative convenience.

Must the bank file be approved before incorporation?

Bank onboarding is a separate task. Prepare the underlying information early without confusing a bank’s evidence requirements with SSM approval.

Can I correct the final preview after someone has approved it?

If a material particular changes, obtain the relevant approval again and retain the version actually submitted.
