Incorporation information and role planning

New Company Registration in Singapore: Information and Appointments

Match each filing value and appointment decision to the person who can confirm it.

Your new Singapore company’s registration file becomes usable when its information is consistent and its proposed officers have accepted the right roles. For a private company limited by shares, prepare a confirmed dataset and an appointment roster before releasing the Bizfile application. Missing evidence can produce a wrong declaration even when the form is technically complete.

Give every material input a confirmer, keep consent records separate from online endorsement actions, and resolve controller and nominee declarations before submission. The immediate task is a reliable incorporation handoff; bank, licence and work-pass approvals have their own requirements.

Key takeaways

  • A confirmed value needs an evidence owner; the person typing the form should not decide disputed ownership or appointment terms.
  • Separate roles required at incorporation from later appointments, and assign responsibility for every deferred deadline.
  • Check consent and online endorsement independently because the filing route changes the system actions.
  • Share allocations, controller decisions and nominee arrangements should be reviewed together when ownership changes.
  • Compare the successful registration outcome with the approved instructions before closing the handoff.

Build one dataset for the incorporation application

Organise the incorporation file around the decisions it must carry into registration. The practical objective is to make every value traceable to someone who can confirm it. A person entering the application should not have to decide a founder's ownership terms or an officer's eligibility while typing.

The Accounting and Corporate Regulatory Authority (ACRA) uses Bizfile. Its current incorporation instructions require an approved-name reference, financial year end (FYE), company email, Singapore office and hours, and position holders' identity, residential/contact addresses and contact details. Confirm full name, identifier and date of birth against the source record before collecting signatures.

  • Record the approved entity name and type exactly, then attach the chosen constitution version or record the model-constitution selection.
  • Ask each proposed officer or shareholder to confirm their own identifying and contact information. Keep the source record with the confirmation.
  • Give the address provider responsibility for confirming the address and access arrangements rather than copying an address from an unsigned quotation.
  • Keep one share schedule showing each subscriber, currency, class, number of shares, issued amount and amount actually paid.

ACRA distinguishes committed share capital from paid-up capital, which is the amount actually paid. Its share capital explanation sets a S$1 starting minimum where share capital is required. Issued capital and paid-up capital must remain separate values. As a preparation control, reconcile each class total to its individual allocations; a correct company total can still conceal a wrong allocation between founders.

The information stage fits within the wider sequence of registering a company in Singapore : settle the intended company structure first, then release consistent information for the incorporation transaction. Keep bank applications, licences and permission to work as separate outcomes rather than assuming the filing dataset settles them.

Distinguish appointments needed now from later duties

The appointment roster needs a timing decision for each role. Under ACRA’s officer requirements , the company needs at least one director meeting Singapore's local residency rules at registration. Directors must be at least 18, capable of making decisions and free from applicable disqualification. A nominee director retains directors' legal duties; an arrangement to represent another person does not remove them.

A company secretary must be appointed within six months of incorporation. The secretary must be a natural person meeting local residency requirements and cannot also be the sole director. An auditor is required within three months unless the company is exempt. A CEO is optional, but their appointment must be filed; a managing director is selected from the board and that designation need not be filed with ACRA.

Use two dates in your planning record: when the appointment is intended to take effect and the last permissible date for the company to have the role filled. A deferred appointment needs a named owner and a due date. Assign someone to conclude the auditor-exemption assessment; leaving the auditor field empty is not the same as documenting an exemption.

For the secretary, connect the secretary appointment deadline and evidence to the person who will maintain the company's records. An intended service start date, the officer's consent and the eventual appointment record should describe the same arrangement.

Collect consent evidence before treating an officer's name as an authorised appointment. ACRA's company forms and templates lists Form 45 for a director's consent and non-disqualification statement, and Form 45B for secretary consent. The page warns that Form 45 has been amended. Use the current form rather than an old saved copy, and retain the completed record in the company file. These are listed among forms that need not be lodged with ACRA.

Online endorsement is a separate registration action. ACRA's endorsement instructions require the other relevant directors, secretary and incorporation shareholders to endorse within 60 days, unless a corporate service provider (CSP) or Group of Companies files the registration. The person who registered does not separately endorse. A person holding several positions must complete each required endorsement; a corporate shareholder acts through an authorised officer.

For an individual, the request appears in Bizfile's Pending actions after Singpass login; corporate representatives use the relevant Corppass business route. Record which person will act and check that they can access the request before submission. If a CSP files and the online endorsement exception applies, retain the underlying consent and filing authority rather than treating the absence of an endorsement request as proof of agreement.

Company data, appointment evidence and disclosure decisions converge at the same release point. The filing route then determines who must take the remaining system actions.

Evidence converges before the registration route separates Company and share data, appointment consents, and control and nominee disclosures form one authorised filing version. Direct filings require the applicable endorsements, while a CSP retains filing authority. Both routes lead to payment, the official outcome and reconciliation of records. Company data and shares Appointments and consents Control and nominees Direct filing Required endorsements CSP filing Retained authority Outcome and record reconciliation One authorised filing version
Use the same approved evidence set for either filing route; the route changes the endorsement actions, not the need for accurate appointments and disclosures.

Resolve controller and nominee branches before release

The Register of Registrable Controllers (RORC) and the Registers of Nominee Directors (ROND) and Nominee Shareholders (RONS) answer different questions. A shareholder schedule alone does not document all of these decisions. Have the person reviewing ownership identify the applicable exemption or disclosure branch, explain the basis and obtain the supporting particulars.

For companies incorporated from 16 June 2025, applicable Central RORC information is filed on the registration date through incorporation. The individual-controller fields include identifying information, aliases, residential address, nationality, contact details and the date control begins. Corporate-controller fields include legal form, jurisdiction, registration details and registered office. Where there is no registrable controller, or one cannot be identified on the stated reasonable-ground basis, ACRA requires details of individuals with executive control. That branch is not a shortcut for avoiding ownership enquiries.

Applicable Central ROND and RONS information is also supplied at incorporation for newly incorporated companies. Match each nominee to the relevant nominator. A nominee shareholder can arise through voting instructions or receiving dividends for another person, as explained in ACRA's nominee shareholding guidance . Review the actual arrangement rather than relying on whether a service agreement uses the word nominee.

Keep the company's private registers and the central submissions as separate records with matching information. Our recommended release note records who assessed each branch, what documents they considered and who will maintain the records afterwards. An unanswered disclosure question is an unresolved filing input. If the answer changes during signature collection, return the affected information to its confirmer before filing.

Use an evidence handoff with explicit stop conditions

Assigning a document collector is insufficient if no one owns the decision behind the document. The following handoff controls combine the filing requirements with practical checks. They are editorial recommendations for preparing a reliable submission, rather than extra ACRA forms or a transfer of directors' statutory responsibilities.

Input being released Suggested confirmer Evidence kept with the file Stop when
Company particulars and address Founder; address provider for access facts Approved-name reference, agreed FYE and address confirmation The reserved type or address differs from the final instructions
Appointment roster Each officer; person checking eligibility Current consent, eligibility check and effective-date instruction The required resident director is unresolved or a consent names another company
Shares and constitution Each subscriber; person approving governance terms Agreed allocation, payment basis and final constitution selection Class totals, subscriber amounts or governance terms conflict
Controller and nominee declarations Ownership reviewer; relevant controller or nominator Branch rationale, confirmed particulars and private-register records A placeholder replaces an unanswered control question
Filing route and authorisation Applicant or appointed CSP Approved dataset version, authority and endorsement action list Someone must decide a material fact during data entry

Apply the stop condition to the affected input, not simply to the document's filename. For example, a revised share allocation can change the controller analysis even when every identity document remains valid. Mark the allocation and disclosure decisions for reconfirmation together. A changed phone number is normally a contact-data correction and should not silently reopen the agreed ownership terms.

Use a short release record: version identifier, date, confirmer, evidence location and any excluded later appointment. Keep changes visible in that record so that the final filer can distinguish a deliberate amendment from an outdated attachment. Do not place sensitive identity documents in a broadly shared project folder merely to simplify the handoff.

Follow the selected route through payment and outcome

Choose the filing route before scheduling people's online actions. ACRA’s rules for foreigners require foreigners to engage a CSP to reserve a name and register a business structure. Foreign Identification Number (FIN) holders should check with their pass issuer before accepting a role. An eligible direct applicant must have reserved the name and take a director or secretary role: see the Bizfile registration procedure .

  1. Release the agreed dataset and authorisation to the named applicant or CSP. Record who is monitoring the transaction and responding to questions.
  2. Check the entered information against that version before the declaration is made. Resolve discrepancies with the relevant confirmer rather than guessing.
  3. Complete the applicable endorsements and payment. ACRA requires both within 60 days; otherwise the application is rejected and must be resubmitted. Keep each confirmation and the payment record.
  4. Check the official outcome, then reconcile the new company's records against the approved instructions. Log any discrepancy and assign its correction.

ACRA’s registration procedure lists a S$300 registration fee. Approval supplies an incorporation notice, the Unique Entity Number (UEN) and a free Business Profile download. Processing depends on complexity and referrals; allow preparation time for resolving your own information gaps.

A payment receipt proves a transaction step. The successful outcome and the recorded particulars establish what was registered. If an endorsement is missing, ask the named holder to check each pending role; if information has changed, have the applicant assess the correction before anyone confirms an obsolete version.

Release the company filing in order of dependency

First resolve the company particulars and the qualifying director appointment. Next reconcile shares, governance terms and ownership disclosures, then obtain the consent and authority records for the selected route. Give the filer one approved version and a clear person to contact for each remaining question.

Proceed when the person making the declaration can trace every material value to its evidence and confirmer. Where a secretary will be appointed later or an auditor-exemption assessment remains a post-incorporation action, record the owner and statutory due date in the handover. A disputed share allocation, unclear nominee arrangement or unconfirmed director eligibility should return to the relevant decision-maker before submission.

Frequently asked questions

Should everyone reviewing the share allocation receive identity documents?

Limit document access to people who need the identifying evidence for their task. A commercial review of percentages can usually use a separate allocation schedule. Agree how the filer and record custodian will access the underlying evidence without circulating full identity files to every commercial reviewer.

What if two source documents show different versions of a name?

Ask the person concerned to explain the difference and confirm the current identifying record. Keep the explanation with the evidence and resolve which value the application requires. Avoid silently shortening, translating or combining names just to make several documents look consistent.

Does hiring a nominee director keep the arrangement out of public records?

No. ACRA states that a current director’s or shareholder’s nominee status appears in the company Business Profile. Nominator names and details remain private; members of the public cannot buy the ROND or RONS information. ACRA sets out the visibility rules .

What if the payment page freezes?

Check My transactions in Bizfile. ACRA says a Payment Failed status requires registering again. Inspect the transaction status before repeating the action. Use ACRA’s payment recovery instructions .
