THAILAND COMPANY FORMATION

New Company vs Ready-Made Company in Thailand

Compare the company you create with the company you acquire—and the work each route leaves before launch.

A new company in Thailand is incorporated for your proposed ownership and business; a ready-made company is an existing company acquired through its shares. A new Thai private limited company usually suits a fresh venture that needs its own structure. A ready-made company deserves consideration when a verified existing feature serves a specific commercial need and remains usable after the ownership change. Neither route alone makes the business operational.

Key takeaways

  • Identify the existing feature you actually need before comparing a shelf company with new formation.
  • Measure time to the first lawful, bankable transaction, rather than time to obtaining a company document.
  • Foreign ownership and the intended activities must fit the applicable permission route under either option.
  • Price both proposals against the same final ownership, address, signing authority and operating scope.

What each route gives you at the outset

This comparison concerns a Thai private limited company, rather than a public company, branch or partnership. “Ready-made” and “shelf” describe how an existing company is offered for acquisition; they do not establish what it has done, what it owns or what permissions it holds. A never-traded shelf company and a company with customers and employees present different commercial propositions.

New incorporation creates a company. A share acquisition changes the owners of an existing one. Section 1015 of the Civil and Commercial Code separates the registered company from its shareholders. The practical consequence is that changing shareholders does not reset the company’s history or remove its existing obligations. That continuity can preserve something useful, but it also explains why an older incorporation date is not a clean-history certificate.

A new venture can select its intended name, capital structure, directors, signing arrangements, objectives and office from the beginning, subject to applicable registration requirements. A shelf acquisition starts with choices already made. Each mismatch should become an identified amendment or an expressly accepted feature. If nearly everything must change, the existing registration may have little practical value to the buyer.

The broad Thailand company registration framework is a useful baseline for defining the target company. Write that target down before evaluating an existing entity: who owns it, who binds it, where it operates and what it will actually do. An existing registration is useful only when it advances that target.

Define the company you need

Set out the intended owners, activity, location and signing arrangements before choosing between formation and acquisition.

Where a ready-made company can save time

A shelf company removes the need to create that particular legal entity from scratch. It does not remove the work required to put the buyer in the intended position. Compare two schedules: the date the company exists, and the date it can carry out the planned business with the right people controlling it. Only the second schedule answers a launch question.

For new formation, DBD’s official description of DBD Biz Regist identifies account registration and identity verification, an e-Form application, registrar review, electronic signing, payment and electronic registration documents. Preparation still includes the proposed company particulars and supporting evidence. Plan time for signers to become available and for any required correction before treating registration as complete.

For acquisition, allow for agreed sale terms, the share-transfer documentation, the company’s share register and any separate director or signing-authority amendments. Section 1129 of the Civil and Commercial Code share-transfer rules requires a written transfer of registered shares, signatures of seller and buyer with at least one witness, and identification of the shares; entry in the company register matters for relying on the transfer against the company and third parties. A payment receipt alone does not complete that work.

As checked on 30 October 2026, DBD’s digital-registration announcement states that new partnership and limited-company formations have used DBD Biz Regist exclusively since 1 July 2026. It announces the extension to all partnership and limited-company registration applications from 1 November 2026. An acquisition requiring amendments therefore needs a filing plan appropriate to its actual submission date.

Use the two routes below to locate the work that changes, and the readiness questions that remain common. A seller’s short transfer timetable has commercial value only if the shared questions can also be resolved in time.

Two routes to the same operating-readiness questions New formation establishes a company. Acquisition changes control of an existing company. Both routes must reach matching ownership, permissions, bank authority and tax records before the planned operation. NEW COMPANY READY-MADE COMPANY Form entity for your intended structure Acquire shares and align company records Ownership and permissions fit? Bank authority and tax records fit? Ready for the planned operation
The acquisition route starts with an existing entity. Both routes still have to reach the ownership, permission, banking and tax position needed for the intended operation.

Ask for milestone dates supported by available documents and identified decision makers. Separate document preparation, signature collection, DBD processing and third-party approval. No universal end-to-end time saving follows from the label “ready-made.” If a bank or a required licence controls your opening date, shortening incorporation may leave the critical path unchanged.

Compare the features that survive the handover

A useful comparison records whether an existing feature will still work for the buyer. The following table is a decision aid, not a promise that every acquired company holds the features listed. Start with documentary evidence, then obtain the relevant counterparty or authority’s confirmation wherever continued use is conditional.

Decision factor New company Ready-made company Evidence that changes the choice
Ownership and control Build the intended ownership and signing structure into formation. Transfer shares and identify each required governance amendment. A workable final structure, supported by valid ownership and authority records.
Existing incorporation date A newly established legal identity. The company retains its original incorporation history. The customer or tender rule accepts that company and its actual qualifications after acquisition.
Banking Apply for an account and approved operating mandates. An account may exist, but buyer access and changed mandates need bank acceptance. The bank confirms the documents and conditions for the proposed users and transaction.
Permissions Obtain permissions required for the activity and ownership. Check each existing permission against the planned changes. The permission covers the actual business, site and ownership position.
Tax particulars Establish the relevant registrations and filing arrangements. Reconcile existing registrations with the buyer’s business and amendments. Tax records correspond to the actual company details and operation.
Commercial continuity Negotiate arrangements for the new entity. Existing arrangements may offer value if they remain effective. The contract permits the planned control change or the necessary consent is obtained.

Foreign ownership and business permission

Under sections 4 and 8 of the Foreign Business Act , a Thai-registered company can fall within the Act’s definition of a foreigner because of its shareholding, and restricted activities are subject to the relevant prohibition or permission regime. Acquiring a Thai-owned company and changing its shareholders does not preserve a Thai-owned operating route by itself. Classify the proposed ownership and real revenue-generating activities before selecting an entity.

Where an FBL, FBC or BOI-related route is relevant, establish the applicable requirements for the specific activity and proposed changes. These are separate from ordinary company registration. The distinction is developed in separating incorporation from operating permissions . An existing company’s broad objectives do not demonstrate that the planned operation has every necessary approval.

Acquisition also does not avoid current registration evidence requirements. DBD’s 31 July 2026 investment-evidence announcement describes Order 2/2569, effective from 1 August 2026, covering specified incorporation and amendment applications involving foreign investment or signing authority. Where applicable, investment explanations and bank evidence must be prepared. The relevant transaction and filing conditions determine the documents, rather than the company’s age.

Resolve the permission route before the handover

Check the intended ownership, actual business activities and required registration evidence before using a ready-made company as a faster launch route.

Bank authority and tax records

Treat banking as a separate acceptance decision . For example, Bangkok Bank’s current-account document requirements include recent company registration evidence identifying directors and authorized directors, identity documents, and board minutes designating payment signatories. Those are that bank’s requirements. An existing account number or a seller’s online access does not prove that the buyer’s proposed users and mandates have been accepted.

Tax information also needs to match the actual business. The Revenue Department’s Revenue Code provisions on VAT registration distinguish registration from later changes. Section 85/6 requires notification of material registered particulars, including the business name or type of activity, within 15 days of the change; office moves have their own provisions. Identify the actual changes with the accountant instead of assuming that a company amendment automatically completes the tax work.

Put both proposals on the same commercial basis

Compare the total work needed to reach the agreed target, rather than a formation service charge against a share purchase price. For the acquisition option, identify the share consideration, transaction documentation, professional review, registry amendments, tax-related work and third-party changes. For new formation, identify incorporation work and the corresponding banking, tax and permission tasks. Ask each provider to mark what is included, excluded or dependent on another party.

Keep purchase consideration and working capital separate. Money paid to a seller buys the shares; it does not automatically become cash available in the company. Likewise, registered capital is not proof of today’s bank balance. A useful comparison states what funding will actually be available for operations after completion and what additional funding the buyer must provide.

Assign a business reason to any acquisition premium. An accepted contract, usable premises arrangement or specific qualification may justify paying for continuity. If the advertised benefit is merely “an old company,” ask who requires that age and what their rule actually tests. A requirement for audited trading history, relevant experience or turnover is not necessarily met by an early incorporation date.

At the route-selection stage, a compact evidence pack should establish whether the advertised benefit exists and whether it can be retained. If that is established, a separate acquisition review can examine historical exposure and completion protection in full. Do not incur the full transaction exercise merely to discover that the supposed benefit never served your launch plan.

Choose new formation or acquisition by commercial purpose

For a fresh venture with its own name, office, investors and business model, new incorporation is usually the clearer starting point. The work builds the required structure directly, and there is no need to justify paying for an unrelated entity’s continuity. Schedule the banking and permission work alongside formation so that the certificate does not become a false launch milestone.

For a buyer who needs a particular existing commercial arrangement, acquisition may be worth investigating. First establish why that arrangement matters, whether it survives the intended change and how long the necessary consents and amendments will take. The strongest argument for acquisition is a verified benefit that new formation cannot readily reproduce.

For a deadline driven mainly by foreign-business permission, a bank decision or a site-specific approval, resolve that dependency first. Then compare how each entity route connects to it. If neither proposal establishes an earlier usable operating position, select on structure, documented commercial value and the exposure you are prepared to accept—not the earliest company date on a certificate.

Turn the comparison into a route choice

Bring the proposed ownership, first business transaction and any existing-company benefit so the two options can be assessed against the same outcome.

Frequently asked questions

Is a ready-made company the same as an operating business?

No. The label does not establish whether the company has traded, employed staff, obtained permissions or entered contracts. Define what is included in the particular share acquisition before comparing it with formation.

Does buying a company give me its name automatically?

A share purchase concerns the existing company, including its registered identity. If you want a different name, treat that as a separate amendment and check the effect on the other documents and arrangements your business needs.

Can an older company satisfy a customer’s experience requirement?

Only if it meets the customer’s actual criteria. Incorporation age, trading history, turnover and relevant project experience are different measures. Obtain the customer’s written criteria before paying for age as a benefit.

Does the company’s bank account become my personal account?

No. It remains a company account. The bank must accept the relevant company authorities and account operating arrangements; share ownership alone does not establish a personal right to use the account.

Should I buy a shelf company solely because I need to start quickly?

First identify what must be completed before the planned transaction. Acquisition can help only if it advances that position after the required transfer, amendments and third-party decisions are taken into account.
