INDONESIA COMPANY DOCUMENTS

NIB vs Certificate of Incorporation in Indonesia: Which Document Proves What?

Select evidence by its legal function and the recipient’s question.

Uploading an NIB when a recipient asks for a certificate of incorporation can leave the corporate proof question unanswered. In Indonesia, the NIB identifies the business through OSS; an ordinary PT’s establishment deed and AHU establishment approval serve different corporate purposes. The English phrase “certificate of incorporation” needs clarification against those actual Indonesian documents. Start with the requested fact, then select the evidence; an NIB alone does not establish that every operating permission has been satisfied.

Key takeaways

  • An English upload label does not determine the Indonesian document’s official title; identify the issuer and actual record before choosing an attachment.
  • Bank requirements can call for both corporate documents and NIB. Keep the recipient’s current checklist with the submission.
  • Current directors and amendments may require later corporate records, so the original formation package can be insufficient for an authority check.
  • Use a request-to-proof index to expose missing evidence before submission, and preserve acceptance separately from an upload receipt.

Identify the Indonesian document behind the English label

For an ordinary Indonesian limited liability company, or Perseroan Terbatas (PT), an English request for a “certificate of incorporation” should be translated into a request for identifiable Indonesian corporate evidence. Do not assume the phrase names one official document with that exact English heading. Ask whether the recipient wants evidence of legal formation, the company's constitution, a registration identifier, or all three.

The AHU ordinary-PT establishment manual distinguishes the notarial deed from the downloadable SK Pengesahan Pendirian , the establishment approval decision. These are separate outputs in the corporate file. A deed records the constitutive arrangements; the ministry decision is the approval evidence. Neither should be silently relabelled as an OSS-issued NIB.

Keep the Indonesian document title visible in any English document index. An explanatory translation can follow it in brackets. This lets a reviewer connect a request expressed in familiar English terminology to the actual issuer, document number and date, without pretending that different legal systems use identical certificates.

The comparison here concerns an ordinary PT, including a PT with foreign investment, commonly called a PT PMA. If the file concerns a Perseroan Perorangan or a foreign representative office, identify that form before using an ordinary-PT checklist. A folder labelled “Indonesia company” does not establish which legal route produced its contents.

For the underlying formation work, company registration in Indonesia involves separate corporate and business-registration records. Treat the document handover as a collection of official outputs with distinct purposes, rather than expecting a single certificate to answer every later request.

Clarify the certificate request

Bring the recipient’s wording and your document list so the requested corporate proof can be identified before you select an attachment.

Separate corporate proof from business registration

The useful comparison is between the fact a document establishes and the conclusion you intend to draw from it. A corporate approval addresses a different question from a business identifier, even when both name the same PT. One cannot fill a missing evidential role simply because its PDF looks more official or was downloaded more recently.

Article 1(12) of Government Regulation 28/2025 defines NIB as evidence of business-actor registration and as the actor’s identity in conducting business activities. The official OSS portal describes the Nomor Induk Berusaha (NIB), or Business Identification Number, as the official business identity for starting or conducting business in Indonesia. The portal also explains that risk classification determines the licences and obligations to be fulfilled. The practical consequence is to separate business identity from confirmation that every requirement for the proposed activity has been met.

Read corporate and activity records together

Use the deed and relevant AHU evidence to understand the corporate foundation. Use the NIB and its associated business information to identify the registered business. When the decision is whether a particular activity can begin, check the activity, location and applicable licensing status as a further question. That enquiry cannot be closed by counting the documents in the incorporation folder.

For example, OSS publishes a distinct Standard Certificate verification workflow for ministries and agencies. Its existence matters because a number being issued and a required verification being completed are different events. Check whether that workflow applies to the activity under review; do not assume that every PT requires the same certificate or verification.

A document can therefore be authentic and still be insufficient for your purpose. The approval decision may establish the company's original corporate approval without identifying today's authorised signer. The NIB may match the business name without resolving a missing sector approval. Bring the proof question and the supporting records together before deciding what to submit.

Select the proof for the recipient's question A recipient's proof request leads to a corporate evidence lane and a business evidence lane. The relevant records are matched to the requested fact and submitted with accurate labels; activity permission requires its applicable status check. Recipient's proof request Deed and AHU evidence Corporate facts NIB from OSS Business identity Applicable permission status Match records to requested facts Submit accurately labelled evidence
Two evidence lanes meet at the recipient’s proof question. Check applicable permission status when the requested fact concerns an activity.

Match each request to the proof it actually needs

Choose documents by the recipient's requested fact. The matrix below is an evidence-selection tool, not a universal bank checklist or an assurance that a platform will accept a particular upload. Its “remaining check” column deliberately keeps an authentic document from being treated as a broader warranty.

Request or decision Start with Remaining check
“Prove the PT was incorporated” Establishment deed and the corresponding AHU establishment approval Confirm whether the recipient needs both, a translation or a specific certified format.
“Provide the business registration number” NIB, if the field means the OSS business identifier Clarify whether the form instead expects a corporate approval reference; identify the number's issuer.
“Show the current directors or company constitution” Relevant deed provisions, subsequent amendments and corresponding ministry evidence Trace later changes; the establishment package alone can describe an earlier position.
“Show permission for this activity at this location” NIB business information plus the applicable licence or Standard Certificate records Check the required status and any applicable supporting approvals for that activity.
“Complete corporate bank KYC” The bank's entity-specific checklist, with corporate, NIB, tax and authority records Obtain that bank's current requirements and resolve inconsistencies before submission.
“Upload certificate of incorporation” to an overseas portal A clearly labelled corporate evidence bundle or the specific document the recipient confirms Resolve the portal's terminology and file-format constraints before selecting an equivalent.

The bank row has a concrete primary-source example. BCA's published Giro requirements , checked on October 27, 2026, list establishment and constitutional documents, relevant amendments, ministry evidence, NIB and other applicable licensing documents for corporate customers. They also address current management and identity records. This demonstrates why NIB and incorporation evidence can be requested together; it does not establish a rule that every bank or customer category has an identical checklist.

Apply the matrix in two passes. First, name the fact being tested in plain language: “this PT exists,” “this business has an OSS identity,” or “this person can sign.” Second, mark which supplied record actually answers it. If the same PDF is being used to answer all three, examine the unsupported conclusions before sending the file.

A request can contain several proof questions even when it has only one upload field. Keep those questions in your covering note, and ask the recipient how a multi-document bundle should be delivered. The restriction on file count is a submission constraint; it does not change what each Indonesian document proves.

Check what the bundle still leaves unproved

Compare the purpose of your submission with the records available, including any missing corporate amendments or activity-specific permission evidence.

Prepare a submission that a recipient can assess

A useful submission makes the relationship between the requested evidence and the actual documents easy to inspect. Preserve original filenames or meaningful document references, then add a short index using the Indonesian titles. Label the document's function separately from any English shorthand used in the recipient's form.

  1. Capture the recipient's exact request and the entity category selected in its form. Record whether the request concerns formation, business identity, current authority or operating permission.
  2. List the proposed files by issuer, Indonesian title, document number and date. Identify the establishment deed, the related AHU decision and the NIB as separate records.
  3. Check the legal name across the selected files. Explain any documented name change through the relevant amendment evidence rather than treating different names as interchangeable.
  4. Attach the amendments and related ministry records needed for the fact under review. A current-director request needs a current corporate chain, not just a complete historical establishment file.
  5. Confirm the recipient's language, certification and submission-format requirements. Obtain its answer before commissioning a translation or combining files into a single PDF.
  6. Retain the submitted version, index and recipient response. An upload acknowledgement proves delivery; record acceptance separately when the recipient communicates it.

For bank work, a current proof baseline for bank submissions connects the effective corporate documents with the NIB, tax and ownership records. Use that baseline to identify which version answers the bank's request, while leaving the bank to decide whether its KYC requirements are satisfied.

Recipient acceptance is a separate decision from document authenticity. A genuine government PDF may still need a translation, an additional corporate record or a format permitted by the particular platform. Conversely, an attractive English summary prepared by a service provider does not replace the underlying official documents.

For a one-field overseas application, avoid renaming the NIB “Certificate of Incorporation” merely to fit the label. Describe the actual attachment and its function in the available note field or correspondence. If the reviewer confirms that the NIB is sufficient for its limited purpose, preserve that confirmation without generalising it to other recipients.

Resolve conflicting documents before relying on either

Resolve a mismatch at the source before asking a recipient to rely on the disputed fact. Start by identifying whether the problem is an omitted record, an inconsistent field or an unsupported English description. Each has a different repair path, and resending the same attachment rarely resolves the underlying question.

  • A deed is present but the establishment approval is missing: obtain the relevant AHU output through the authorised corporate filing channel. A notary invoice or service completion email is not the approval document.
  • The NIB names a different entity from the intended contracting party: pause that identity conclusion and establish the connection. Similar trading names do not justify treating separate legal names as the same company.
  • The requested signer differs from the establishment deed: obtain the current management and authority evidence, including relevant later corporate records. Do not infer signing authority from possession of the NIB.
  • A licence or certificate exists but its status is unclear: check the applicable activity's official record and required status. An issued file, a submitted application and completed verification should be recorded distinctly.
  • An English cover sheet and the Indonesian source disagree: correct the cover sheet against the source, then check whether the source itself needs a formal correction.

Do not edit an official PDF to reconcile conflicting particulars. Keep the originals, document the discrepancy and assign the correction to the responsible filing party or issuer. If the disagreement affects the company's identity, the signer's authority or the required operating permission, suspend reliance on that specific conclusion until the evidence supports it.

Close the issue with an identifiable replacement or missing record and an explanation of what it resolves. “The agent says it is fine” leaves the next reviewer with the same evidential gap. A documented correction lets the recipient assess the file without accepting an untraceable assurance.

Choose the NIB, the incorporation evidence, or both

If the recipient asks only for the OSS business identifier, supply the NIB under its actual name and answer any associated identity questions. If the recipient asks how the PT was formed, begin with the corporate establishment evidence and clarify which Indonesian documents its English label is intended to cover. If the request combines corporate status, current authority and business registration, assemble the relevant records as a labelled bundle.

Prioritise the unresolved proof question over the appearance or date of the certificate. Stop and resolve the issue when the entity does not match, a necessary corporate record is missing, or an applicable permission remains unconfirmed. Completion means that the selected evidence supports the stated purpose and the recipient has assessed it under its own requirements.

Prepare the document handover

Organise the selected records and unresolved recipient requirements into a clear submission plan for your Indonesian company.

Frequently asked questions

Should the notary’s invoice be submitted as incorporation evidence?

An invoice documents a service or payment. It does not replace the establishment deed or the ministry approval output. Obtain the actual corporate records and identify each by its official title.

Does an English translation turn the NIB into a certificate of incorporation?

No. Translation explains a document’s content; it does not change its issuer or legal function. Retain the original Indonesian title and confirm the recipient’s translation requirements.

Can the recipient’s “company number” field mean the NIB?

It can, but the label is ambiguous. Ask whether the field means the OSS business identifier or a corporate approval reference, and retain the answer with your submission.

Is a single merged PDF always acceptable?

No universal submission format applies to every recipient. Confirm whether it permits multiple records in one file, separate uploads or a translated index. Preserve the unaltered source documents alongside any submission bundle.
