Foreign founder identity records
Passport Requirements for Malaysian Company Registration
Reconcile passport details and verification instructions before approving the incorporation particulars.
Foreign individuals preparing a Malaysian Sdn. Bhd. should establish which passport will support their shareholder or director identity record before filing. A readable copy is only one part of acceptance: the company secretary’s identity checks and any portal-account verification have separate purposes. Malaysian identity-card holders use the appropriate identity record instead. Start by confirming the person’s role and the receiving filer’s instructions.
Key takeaways
- Assign each person’s role first so an individual passport is not mistaken for corporate-shareholder evidence.
- Compare the draft filing with the passport itself; consistent names and identification numbers prevent avoidable queries.
- Agree certification, language and verification requirements before commissioning extra documents or arranging travel.
- Disclose renewal early and preserve a clear link between the old record and its replacement.
Whose passport belongs in the incorporation file?
For a proposed Sdn. Bhd., identify each person’s role before collecting documents. Section 14 of the Companies Act 2016 requires identification, nationality and residence particulars for individual members and directors. A company shareholder instead has corporate particulars; its representative’s passport does not replace the company’s own records.
For Malaysian identity-card holders, establish the appropriate identity-card record. For foreign individuals, prepare the current passport as identity evidence. A person who is both shareholder and director should have one reconciled identity record used consistently in both roles. Keep residential-address evidence separate: the passport’s issuing country does not establish where its holder lives.
A passport establishes identity; it does not establish Malaysian residence. SSM’s private-company incorporation requirements include at least one director ordinarily resident in Malaysia with a principal place of residence there. An overseas founder’s passport alone cannot satisfy that condition.
The passport supplies personal identity evidence within company formation in Malaysia ; proposed activities, ownership and other incorporation particulars still need their own review.
Identify the people behind the filing
Clarify who will hold shares, act as a director or represent a corporate shareholder before assembling identity records.
Build a passport record the filer can verify
Prepare a complete, readable biodata-page copy and a matching data record for each foreign individual. The SSM Section 14 example form distinguishes ID type, identification number and nationality, and includes a director’s date of birth. The worksheet below is a preparation tool: it separates those filing details from quality checks and recipient instructions, rather than presenting every row as a mandatory SSM upload.
| Check | Evidence to prepare | Release test |
|---|---|---|
| Identity fields | Full name, passport number, nationality and date of birth, checked against the biodata page. | Data agrees with the document; apparent letter/number ambiguity is resolved. |
| Copy quality | Uncropped colour scan or clear photograph of the full biodata page. | Portrait, page edges, text and machine-readable lines remain legible. This is a practical quality recommendation. |
| Currency | Issue/expiry dates and any replacement-passport information. | The receiving filer confirms which passport will be used; renewal is disclosed before submission. |
| Names and language | Name order and spelling used in the passport, plus supporting records if names differ. | The filer agrees the entry and any translation or linking evidence needed; no guessed surname split. |
| Verification method | The recipient’s instructions for certification, original sighting or remote checks. | Acceptance is confirmed for the actual recipient and purpose. |
Treat passport expiry as a recipient-specific acceptance question. The official incorporation sources reviewed on October 27, 2026 do not state one universal six-month or eighteen-month remaining-validity rule. Obtain the filer’s requirement before deciding whether renewal should precede submission; a bank or immigration application needs its own current checklist.
A reconciled passport should then be combined with the wider incorporation document set , rather than submitted as if it proves the proposed address, share allocation or authority to act. Keep the data record and verification instructions together so the same copy is not interpreted differently by different recipients.
Agree how identity will be verified
A scan is a starting point for verification, not automatic acceptance. SSM’s company-secretary AML FAQs explain that scanned or copied identity documents may be accepted according to the secretary’s risk assessment with additional measures. These can include independent corroboration or a video conference and selfie comparison. The secretary must decide what adequately verifies the customer.
Before arranging certification or translation , ask the recipient to specify the pages, acceptable certifier, wording, language and whether original sighting is required. Do not purchase notarisation merely because another founder used it. If the passport’s relevant fields cannot be read in the filing language, agree how they will be translated and checked; a self-created English name is not a safe substitute.
Distinguish shareholder verification from portal-account activation. SSM’s published individual MyCoID activation instructions ask the account holder to bring an original MyKad or passport and the notification email for counter verification. That instruction concerns the account holder; it does not say every foreign shareholder must travel to Malaysia. Agree the current account and verification route with the person lodging the application before making travel arrangements.
Resolve a verification obstacle
Describe a name discrepancy, renewal or request for certification so the missing acceptance instruction can be identified.
Repair mismatches and renewed-passport changes
Pause if the passport and draft filing appear to identify different people. For example, a reversed name order may be explainable, while a different passport number may reflect a replacement document or a transcription error. Mark the conflicting fields and supply the underlying evidence; do not edit a scan or silently choose the version that fits the form.
When a passport is renewed during preparation, send the new copy and identify the old number already supplied. Ask the filer to confirm which record is current before approving declarations. If incorporation has already occurred, inform the company secretary promptly. Section 58 requires notification of changes to prescribed director particulars within fourteen days; the secretary should assess the necessary register and filing updates for the actual change.
Review the final submitted particulars, not just the email attachment. SSM’s incorporation-submission instructions describe the Section 14 Superform, downloadable PDF and approval/registration outputs. Check the identity entries in the draft PDF, retain the approved version and resolve any query against that version. The registration notice confirms the company’s incorporation; it does not confirm acceptance of the passport by another institution.
Release the passport file after reconciliation
Release the file when the passport copy is readable, the identity fields agree, any name or renewal history is explained, and the intended recipient has accepted the verification method. Record the passport version and the date you approved the particulars. This provides a clear reference if a later request uses an older number.
Keep unresolved identity conflicts on hold. Obtain the missing evidence or recipient instruction first, then approve the corrected record. A clean passport file is ready to support the incorporation application; separate corporate, residence and downstream checks still determine their own outcomes.
Prepare the reconciled handover
Bring the agreed identity details and any unresolved recipient instructions to the next incorporation discussion.
Frequently asked questions
Can two nationalities be mixed across the passport and filing?
Tell the filer about multiple nationalities and confirm which passport and nationality record will be used. Keep the chosen document identifiable; do not alternate documents without explaining the relationship.
Does a passport copy replace consent to act as a director?
No. Identity evidence and consent serve different purposes. Section 14 separately requires a statement confirming consent and that the promoter or director is not disqualified.
Should I send every passport page immediately?
Ask the recipient for its page requirements. Start by establishing the biodata record, and provide additional pages when requested for a stated verification purpose. A whole-passport copy is not prescribed here as a universal incorporation requirement.
Can I obscure the number or photograph on the verification copy?
Obscuring fields needed to identify you can prevent verification. Confirm the receiving party and secure delivery method before sending the copy; ask which markings, if any, it accepts without impairing readability.
Should I courier my original passport to the incorporation agent?
Do not infer a courier requirement from a request for a copy. Confirm whether original sighting is needed, who will perform it and what accepted verification route applies before arranging any handover.
