Private Limited Companies in Indonesia: Share Ownership, Management and Legal Approval

Clarify ownership, management and legal-entity approval before operating.

Indonesia’s ordinary private limited company is a Perseroan Terbatas (PT), a legal entity with capital divided into shares. Shareholders own the shares, directors manage and represent the company, and commissioners supervise and advise the directors. For the ordinary notarial route, the company obtains legal-entity status through the applicable Ministry approval process; its formation is separate from the licences needed for actual business activities.

Key takeaways

  • A PT’s shares, management and supervision are related but distinct sources of power.
  • The standard corporate PT generally has at least two founders; specific statutory exceptions, including qualifying individual companies, need separate eligibility checks.
  • Foreign investment, sector ownership limits and capital requirements depend on the actual activity and applicable law.
  • A notarial deed and a Ministry legal-entity decision are different milestones from the NIB and operational licences.
  • Compare the approved deed, legal-entity record and later OSS information before the company acts.

Start with the legal entity and its approval

A PT is Indonesia’s share-based limited-liability company. In ordinary use, a private PT is not a publicly listed company; it is important to confirm the actual articles and ownership rather than rely on the English label ‘Ltd’ or ‘LLC’. A PT PMA generally describes a PT with foreign investment, not a wholly separate company form. Whether that investment is permitted and on what terms depends on the real shareholders, activity, sector and current investment rules.

Under Law No. 40 of 2007 on limited liability companies , as amended, an ordinary PT uses a deed of establishment. The official AHU PT service description identifies a notarial application through the legal-entity administration system and the Ministry’s establishment decision as the output. Use the current procedure and applicable amendments for the specific company; the deed’s signature, name approval and final legal-entity decision are not interchangeable events.

The establishment document and approval address corporate identity and governance. A company that intends to operate still needs the appropriate tax registration, OSS/NIB and other authorizations for its actual activities and locations. Neither the company name nor a legal-entity approval should be used as proof that a regulated activity is already authorized.

Check the shareholder and authority records before the deed is signed.

Design ownership before the deed is signed

For the standard corporate PT, identify each founder, the number and class of shares subscribed, the nominal value, percentage of issued shares and the evidence of authority to subscribe. The ordinary rule is at least two founders; the law has exceptions, and the individual-company mechanism for eligible micro and small businesses has its own conditions. A foreign investor should not assume that a single-shareholder individual company is available for a PT PMA simply because an individual PT exists.

A corporate shareholder’s file may require current registry evidence, constitutional documents and proof that the person signing has authority. An individual shareholder’s identity and name must be consistent across the deed and supporting records. Verify any foreign-document translation, certification or apostille route with the notary who will accept it. Maintain a separate record of beneficial owners and the evidence used to identify them under the applicable reporting rules.

Agree what shareholders contribute and when, and distinguish the authorized capital stated in the articles from issued or placed capital and paid-up capital. Investment-plan thresholds, sector requirements and evidence of payment need their own review. Shares, investment value and government or professional charges are different categories; do not equate a capital contribution with a fee paid to an incorporation provider.

Limited liability is a starting principle, not a promise that owners can never face personal responsibility. The Company Law contains circumstances in which normal protection can be displaced. Shareholders should avoid treating company money as a personal account and document loans, dividends, guarantees and related-party arrangements. Obtain advice on the actual facts before describing any particular liability as limited or excluded.

As a numerical illustration, if an ordinary issued share register records 1,000 shares of a single class, an investor shown as holding 600 shares holds 60% of those shares; 400 divided among others accounts for the remaining 40%. This example does not determine whether the investor can approve a particular reserved matter. First check the share class, relevant voting rights, the meeting quorum, the applicable decision threshold, any consent requirements and the articles. Recalculate the percentage after every share issue or transfer, and retain the approved decision and updated corporate record. The numbers are hypothetical and do not set a minimum subscription or capital amount.

Separate shareholder decisions from day-to-day management

Shareholders act through the general meeting of shareholders or other valid decision mechanisms under the law and articles. The meeting’s authority can include decisions concerning appointments, accounts, distributions and matters reserved by the articles or statute. The voting rule for a particular resolution depends on the subject, share rights, meeting requirements and relevant law; ownership of a majority of shares is not a substitute for checking those rules.

The board of directors manages the company and, subject to applicable limitations, represents it in and out of court. The deed or articles and any valid delegation must be checked before a director or employee signs a particular contract. Set an approval matrix for bank mandates, material purchases, borrowing and related-party transactions. Internal thresholds can improve control, but an internal policy does not automatically change statutory representation rules or bind a third party without the proper legal effect.

The board of commissioners supervises management and advises the directors. A commissioner is not automatically the company’s ordinary operational signatory simply because they oversee the business. Some transactions or the articles can require additional approvals. Confirm proposed responsibilities, potential conflicts and any sector-specific qualification requirements before appointments are accepted.

The matrix in this page is a working governance design, not a replacement for the articles. Allocate each decision to an initiating person, the organ or signatory with authority, the required approval and the record to retain. For example, an office manager can prepare a bank-opening file, but the signatory and any required shareholder or commissioner approval must be established separately.

For a material contract, the workflow can have several distinct steps. A business manager prepares the commercial proposal; an authorized director checks whether the articles permit representation and whether additional corporate approval is required; the appropriate body gives any required consent; and the company signs through the valid signatory. Keep the signed agreement with the resolution and authority evidence. If the director has a conflict or cannot represent the company for that transaction, seek advice on the statutory alternative instead of assuming that a commissioner or another shareholder may sign automatically.

Company authority and approval A PT has shareholder decisions, directors and commissioners; Ministry approval establishes a separate legal-entity milestone. Shareholder decisions Directors: management Commissioners: oversight Legal-entity approval: separate gate
Keep ownership, management, oversight and legal approval distinct.

Clarify governance authority

Review signatories and approvals against the articles.

Check the notarial file and legal approval

Before the notary files, review the company name, domicile and address, purpose and activity, capital, founders and share subscriptions, directors and commissioners. Confirm how each name is spelled and whether the signing person acts personally or under a valid power of attorney. Ask the notary to identify the current requirements for beneficial-owner information, source documents and the language of the deed.

After filing, obtain the signed establishment deed and the Ministry decision or other relevant legal-entity output. Check the company name, date and reference, then compare the approved data with the instructions and the official record. Where an error appears, ask the notary how to correct it; do not silently update only the internal spreadsheet or reuse an incorrect approval in downstream applications.

Record who holds the originals, official digital copies, filing receipts and account access. A service provider’s message saying that registration is complete is not a substitute for receiving the actual output and reviewing it. If the company has not yet received the relevant decision, seek legal advice before entering commitments that assume the final legal-entity position.

Document review should also cover the source of each proposed data item. The corporate shareholder’s legal name may come from its current registration extract, while authority to invest may come from a board resolution or another governing instrument. Record document dates, language, whether the notary requires an original or certified copy, and the person responsible for correcting discrepancies. A name matching check is especially useful when the parent uses a shortened brand name on invoices but its full registered name must appear in legal records. Confirm the correct source with the notary rather than altering a foreign record in the translation.

Connect company approval to operating readiness

Once corporate data is verified, establish a controlled OSS profile and select the business classifications and project locations that reflect the actual intended activities. The official OSS portal explains risk-based licensing and its risk categories. Obtain the NIB and determine whether the specific project also requires verified standards, a licence or basic and sector conditions before the activity begins.

Coordinate tax registration and access, bank KYC, premises, employment and immigration as separate workstreams. An AHU decision does not guarantee a bank account; the bank assesses its own requirements. Likewise, an NIB is an important identifier but does not automatically override conditions that apply to a higher-risk or regulated activity.

For the wider Indonesia company registration process , create one master record of names, owners, capital, address and activities. Compare it with the deed, Ministry output, tax information and OSS registration. Assign an owner for updates so that a later director, shareholder, location or activity change is not made in only one system.

A readiness handover should specify who can recover the company’s electronic accounts and who receives government correspondence. Ask the provider to identify the actual account owner, registered email, administrator and recovery method, and test access with an authorized director. Preserve receipts, submissions, official outputs and open questions. If the company later changes address or adds an activity, the director should assess whether corporate, OSS, tax, bank or other records require separate updates; one updated record should not be assumed to synchronize every system.

Release the governance file when responsibilities are clear

Before the first contract or payment, identify the company’s legal name, director authorized to represent it, any required additional approval, current bank signing mandate and the relevant operating authorization. Retain the deed, Ministry decision, share and beneficial-ownership records, governance resolutions, NIB and activity-specific permit evidence in a location the company controls.

If a proposed decision is ambiguous, record the issue and hold the action until the notary or adviser confirms the applicable articles and law. For example, a person may hold shares and also be a director, but shareholder status alone does not answer whether that person can sign a bank agreement for the PT. This role-by-role test helps prevent a governance gap between formation and the first commercial commitment.

For a more detailed allocation of authority, see the shareholder, director and commissioner role guide . The immediate task here is to reconcile ownership, management authority and legal-entity approval before the company enters its first commitments.

Frequently asked questions

Is a PT PMA a different legal species from a PT?

A PT PMA generally refers to a PT involving foreign investment; applicable foreign-investment and sector rules still need to be checked.

Can one person form every Indonesian PT?

No. The ordinary corporate PT generally has two or more founders, with statutory exceptions and a separate eligible individual-company framework.

Does a shareholder automatically manage the company?

No. Shareholder rights, directors’ management and commissioners’ supervision are separate roles, although one individual can sometimes hold more than one role subject to applicable rules.

Does the deed alone authorize a regulated activity?

No. Confirm legal-entity approval and the relevant activity-specific OSS and sector requirements.

Can a foreign director work in Indonesia automatically?

A corporate appointment does not replace applicable immigration and work authorization requirements.
