PROFESSIONAL FEE GUIDE
Professional Fees for Thailand Company Formation: What Should Be Included?
Compare four published HSJGlobal scopes without mixing government charges, capital, third-party costs or unguaranteed approvals.
HSJGlobal’s published prices for a standard Thai private limited company are THB 29,500 for Essential Incorporation, THB 49,500 for Tax Ready, THB 89,500 for the first year of Compliance Start, and THB 149,500 for Foreign Investor Launch. The first three build on one another; Foreign Investor Launch adds a limited pre-incorporation foreign-investment workstream. Each price has a defined scope and eligibility test, and only Compliance Start has a stated renewal—THB 59,500 per year for the same continuing scope.
These prices were approved and market-checked on September 7, 2026. They are published before any applicable tax because the actual invoicing entity, place of supply and tax treatment must be confirmed first. A professional fee should identify the legal entity, deliverables, government amounts included, third-party exclusions, time period, client dependencies and outcomes that remain subject to DBD, Revenue Department, bank or regulator approval.
Key takeaways
- The lowest HSJGlobal scope is THB 29,500 once for eligible standard incorporation; the broadest published setup scope is THB 149,500 once.
- Only normal DBD memorandum and formation fees up to THB 5,500 are included where the package expressly says so.
- Registered capital and paid-up capital are company funding, not professional fees or money retained by the service provider.
- Tax, VAT, banking, licensing, immigration and foreign-business outcomes are never guaranteed merely because support is included.
- Compare providers by identical deliverables and exclusions, not by the headline amount or the word “all-inclusive.”

The following prices apply only to the standard Thai private limited company facts stated for each package. They do not automatically apply to a public limited company, branch, representative office, BOI project, FBL or FBC application, Treaty of Amity case, regulated licence, visa or work permit. Confirm ownership, activities, address, documents and intended registrations before choosing a tier.
| HSJGlobal package | Published price | Core scope | Term |
|---|---|---|---|
| Essential Incorporation | THB 29,500 | Standard company documents, DBD Biz Regist submission, seal and up to THB 5,500 normal DBD base fees | One-time; no automatic renewal |
| Tax Ready | THB 49,500 | Essential scope plus tax coordination, one eligible VAT application, e-filing account help and one employer registration if applicable | One-time; no automatic renewal |
| Compliance Start | THB 89,500 first year | Tax Ready plus records, 12-month calendar, limited routine resolutions and annual DBD filing coordination | THB 59,500/year renewal for continuing scope |
| Foreign Investor Launch | THB 149,500 | Essential scope plus limited FBA route screen, structure memo, overseas corporate document coordination and bank-file preparation | One-time; no automatic renewal |
A package is suitable only when its stated assumptions match the company that will actually be registered. If the company needs a restricted-business permission, promotion, industry pre-approval, complex articles, multiple corporate shareholders, document remediation or an unusual capital transaction, it needs a separate written scope rather than an invisible surcharge.
The underlying filing should still be checked against the current Thailand incorporation service requirements. A price selection does not replace the legal route decision.
Match the package to your company facts
Confirm ownership, activity, address and post-registration needs before selecting a published scope.
Identify what a complete professional scope should state
A useful engagement letter makes responsibility visible from intake to handover. It should name the filing entity, number and type of shareholders, directors, authorized signing rule, registered office assumption, capital, ordinary objectives, language, signing method, submission channel and final documents delivered. It should also say which party provides translations, landlord records, shareholder evidence and signed originals.
| Scope field | What should be written | Why it changes the price |
|---|---|---|
| Entity and ownership | Private limited company; individual or corporate shareholders; Thai and foreign status | Corporate chains, FBA analysis and authentication add work |
| Activity | Exact products, services, customers and invoice flow | Restricted or regulated activities need separate analysis or permission |
| Formation deliverables | Name screen, memorandum, articles, meeting records, DBD submission, seal and handover records | Custom governance and non-standard documents fall outside a basic template |
| Post-registration scope | Tax, VAT, employer, accounting, annual filings or none | Each item has different evidence, authority and reporting period |
The DBD’s current limited-company formation manual lists the core company data, forms and supporting evidence. Use it to test whether a quotation includes document preparation and submission for the ordinary filing, but do not assume it includes professional advice on foreign ownership, tax or operating licences.
The scope also needs an endpoint. “Company formed” should mean that the DBD transaction was approved and the agreed company records were handed over. It does not mean a bank account is active, VAT registration is approved, a foreign director may work, or every business licence is in force.
Separate professional fees from government, capital and third-party costs
For an ordinary approved Essential-scope case, HSJGlobal includes the normal DBD memorandum fee and limited-company formation fee up to THB 5,500 within the THB 29,500 price. The DBD manual currently states THB 500 for memorandum registration and THB 5,000 for formation. Optional outputs are separate: THB 40 per certificate item, THB 100 per registration certificate copy and THB 50 per certified application page when ordered.
| Money category | Example | How to present it | Who receives or controls it |
|---|---|---|---|
| HSJGlobal professional fee | THB 29,500, 49,500, 89,500 or 149,500 under the stated scope | Fixed price, term, deliverables and exclusions | HSJGlobal invoicing entity |
| Government amount | DBD base fees up to THB 5,500 where expressly included | Actual assessed amount and receipt; show any qualifying reduction | Government authority |
| Third-party disbursement | Translation, legalization, courier, audit, address or specialist advice | Supplier quote or pass-through rule | Independent supplier |
| Company funding | Registered and paid-up share capital or operating reserve | Balance-sheet funding, not an expense line | The company, subject to corporate control |
Paid-up capital is not a formation fee and must never be presented as money paid to HSJGlobal for keeping the company registered.
Optional government outputs, stamp duty where applicable, certified translations, notarization or legalization, courier charges and a live office or registered-address arrangement must appear as their own lines unless the chosen package expressly includes them. If a special-area fee reduction applies, reconcile the lower official amount rather than retaining the saving as professional revenue.
Read the market comparison on a like-for-like basis
A market check on September 7, 2026 found very different public scopes. CompanyThailand publishes a THB 27,000 registration service fee and total examples of THB 35,890 without VAT registration and THB 51,940 with VAT registration, using its stated government, seal and tax assumptions. ThaiLawOnline publishes THB 45,000 for its described all-inclusive standard service and says some comparable firm quotes reach THB 75,000. Healy Consultants publishes a year-one Thailand incorporation figure of US$3,675 while separately presenting much higher average engagements for specialized foreign-owned structures.
Review the source scopes directly at CompanyThailand , ThaiLawOnline and Healy Consultants . These are market observations, not endorsements. The currencies, tax treatment, government-fee assumptions, address, banking assistance, ownership structure and ongoing services differ, so their headline numbers do not form one clean price series.
Market normalization rule
Normalize every quote to the same legal entity, capital, ownership, activities, address, VAT requirement, deliverables, government amounts, third-party disbursements, reporting period and tax treatment.
If a line cannot be normalized, label it non-comparable instead of forcing it into a lowest-to-highest ranking. On the publicly visible like-for-like evidence reviewed, the approved HSJGlobal prices did not trigger the prompt’s greater-than-15% silent-change stop rule.
Check the inclusions and exclusions of each HSJGlobal package
Essential Incorporation — THB 29,500 once
This package is for a standard private limited company that already has a qualifying Thai registered address and whose ownership and activities do not require an FBL, FBC, BOI or industry pre-approval. It includes a name pre-screen, standard memorandum and articles documents, DBD Biz Regist formation submission, a standard company seal, and the ordinary non-discounted DBD memorandum and formation fees up to THB 5,500.
It excludes certificates and certified copies, stamp duty, translation and authentication, tax or VAT work, address, accounting, audit, banking, licences, visas and work permits. There is no automatic renewal.
Tax Ready — THB 49,500 once
Tax Ready includes Essential Incorporation plus applicable tax-registration coordination, one VAT application for an ordinary case with a genuine qualifying place of business and complete landlord or lease records, Revenue Department electronic-filing account assistance, and one employer social-security registration when applicable.
It excludes premises, site-inspection remediation, licences, monthly filings, bookkeeping, year-end accounts, audit, individual employee registrations, extra authority or supplier costs and applicable tax. The Revenue Department and Social Security Office decide the outcomes; assistance is not approval. There is no automatic renewal.
Compliance Start — THB 89,500 first year; THB 59,500 annual renewal
Compliance Start includes Tax Ready, a standard company-record package, a 12-month compliance calendar and reminders, template support for up to two ordinary director or shareholder resolutions, and coordination for one shareholder-list filing and the annual financial-statement filing with DBD.
The first-year price does not include daily bookkeeping, monthly tax returns, financial-statement preparation, independent-auditor fees, late remediation, complex changes, registered address, licences, immigration, government or supplier costs, or applicable tax. The THB 59,500 renewal covers the same continuing scope and does not repeat incorporation or one-time registrations.
Foreign Investor Launch — THB 149,500 once
This package includes Essential Incorporation plus a preliminary foreign-entry classification for up to two proposed activities, one structure-route memorandum, an overseas corporate-shareholder document list and formation-document coordination, translation or authentication workflow coordination, and assistance organizing a bank application file.
It excludes and does not guarantee an FBL, FBC, BOI promotion, Treaty of Amity result, sector licence, bank account, visa or work permit. It also excludes the registered address, share capital, actual translation, notarization, legalization and courier costs, other authority fees and applicable tax. It never includes a nominee or shareholding arrangement designed to evade foreign-business restrictions.
Bank, tax, foreign-business, licensing and immigration decisions remain with the relevant institution even when document support is included.
Request an itemized scope
Turn the selected tier into explicit deliverables, exclusions, dependencies and payment milestones.
Test a formation quotation before accepting it
- Write the company facts at the top: entity, investors, activities, capital, address, directors, signers, staff and target first transaction.
- Match every promised deliverable to a named professional, government or supplier line.
- Separate one-time setup from first-year support and subsequent annual renewal.
- Identify client-supplied documents, signatures, translations, landlord cooperation and response deadlines.
- Ask what triggers extra work and require approval before a change order is incurred.
- Require receipts or assessment evidence for government amounts and invoices for third-party disbursements.
- List excluded approvals and state that no external authority or bank outcome is guaranteed.
For a full cash model beyond professional fees, use the first-year cash budget model . It separates external cost, company funding and tax or payroll liability cash, which prevents a low incorporation quote from being mistaken for a complete operating budget.
Ask for a dated validity period. If DBD changes a fee, the company facts change, or a comparable market benchmark moves materially, update the affected line and obtain commercial approval; do not silently alter a published HSJGlobal package.
Choose the right fee scope for the launch
Choose Essential Incorporation for a clean standard filing with an existing eligible address and no tax, foreign-business or continuing-compliance support needed. Choose Tax Ready where the ordinary post-registration tax and employer steps in its scope are genuinely triggered. Choose Compliance Start when the company wants the stated first-year records, calendar and limited annual filing coordination. Choose Foreign Investor Launch when a foreign investor needs the defined pre-incorporation route and overseas-document work, while separately scoping any actual permission application.
The right package is the narrowest published scope that fully covers the verified launch facts without hiding a required workstream.
Obtain a tailored proposal if the activity is regulated, the company requires custom governance, an overseas shareholder chain is unusually complex, the address is not ready, an FBL or promotion application is needed, or accounting and audit services must begin immediately. The proposal should preserve the same separation between professional fee, official payment, third-party cost, company funding and applicable tax.
Build a transparent formation budget
Separate professional work, official payments, third-party costs and company funding before approval.
Frequently asked questions
What is HSJGlobal’s lowest published Thailand formation fee?
Essential Incorporation is THB 29,500 once for an eligible standard private limited company. Its scope and exclusions must match the actual company; it is not a universal price for foreign-business permissions, regulated activities or post-registration compliance.
Are Thai government registration fees included?
The four published packages build from Essential Incorporation, which includes the ordinary DBD memorandum and formation fees up to THB 5,500 for a normal non-discounted eligible case. Optional copies and other authority charges remain separate unless expressly included.
Is VAT automatically added to every HSJGlobal price?
No automatic tax claim is made here. The published prices are before applicable tax. The invoicing entity, place of supply and actual tax treatment must be confirmed for the engagement, and any required tax should appear as a separate line.
Which package includes annual support?
Compliance Start is THB 89,500 for the first year and THB 59,500 per year to renew the same continuing scope. The renewal does not repeat company formation or one-time tax-registration work, and it excludes bookkeeping, monthly returns, accounts preparation and independent audit fees.
Does Foreign Investor Launch guarantee an FBL, BOI approval or bank account?
No. The THB 149,500 package includes only the defined preliminary route, corporate-document coordination and bank-file support. Government authorities and banks decide their own applications, and actual FBL, FBC, BOI, treaty, licence, bank, visa or work-permit work must be separately confirmed.
