REGIONAL GROUP SUPPORT
Regional Office Setup in Thailand: Functions, Restrictions, and Registration
Define the Asian service mandate, separate commercial work and obtain the foreign company’s Thai identification record.
A branch-and-affiliate map is the starting document for regional office setup in Thailand. The foreign parent needs an Asian group presence and a non-revenue support mandate; the office remains part of that parent, rather than becoming a Thai subsidiary. It is unsuitable for a local sales team or a business charging service fees.
A qualifying regional office does not currently need a Foreign Business License for that office activity, but the foreign company still needs the applicable identification and operating records. Establish who receives each output, what staff actually do and how expenses are funded before preparing the registration file.
Key takeaways
- An Asian branch or affiliate is a substantive prerequisite, not an address chosen for convenience.
- Map each proposed duty to a permitted support category and a named group recipient.
- A service recharge, customer order or negotiation role can change the route even when the team is called a regional office.
- DBD’s e-foreign identification service is distinct from e-Foreign Business licensing and Thai-company incorporation.
- Keep the issued identification PDF, mandate and later tax or employment evidence as separate completion records.

Establish the Asian group perimeter before appointing staff
The regional-office model serves a multinational’s regional organization on behalf of its foreign head office. DBD’s regional-office scope sheet requires a branch or affiliated company in Asia and describes an office established outside the head office’s country without creating another local juristic person. Name each intended recipient and its country; a list of potential customers does not establish that group network.
Build a short schedule linking the foreign parent, each Asian branch or affiliate, its relationship evidence and the proposed support output. A shared brand name is not enough evidence of the recipient relationship. If ownership or control is unclear, resolve it before treating the organization as an eligible recipient. This is a planning control, not a substitute for DBD’s classification.
The same Department’s 2026 foreign-business data description confirms that representative and regional offices no longer need permission under the 2017 ministerial exclusion. That applies to the qualifying office activity. It does not authorize unrelated business added to the same team.
Keep this ordinary foreign-company presence distinct from historic Regional Operating Headquarters tax arrangements and BOI-promoted International Business Center projects. Those labels cannot establish this office’s scope or confer incentives. A representative office also has a different support-function perimeter; it should not be selected simply because both offices are non-revenue.
Check the regional mandate first
Bring the parent’s group chart and the proposed Thailand duties so the recipient and activity boundaries can be assessed together.
Assign the work to the seven regional support functions
The seven categories below come from DBD’s scope sheet. The example outputs are planning illustrations, not additional permissions. Choose only categories the Thailand team will actually perform; a broad parent resolution should not replace precise job descriptions.
| Function | Illustrative internal output | Boundary to document |
|---|---|---|
| Coordination and supervision | Regional operating report | Which Asian branches or affiliates are covered |
| Consultation and management | Internal management recommendation | The group recipient and decision owner |
| Training and personnel development | Staff development programme | The group personnel who receive it |
| Financial management | Regional cash forecast | Whether duties extend into regulated transactions |
| Marketing control and sales-promotion planning | Group campaign plan | Planning authority versus customer sales authority |
| Product development | Internal product specification | The recipient and use of the development output |
| Research and development | Group research work package | The project owner and actual deliverables |
For example, a campaign plan delivered to a named Asian affiliate fits a different operational description from negotiating prices with that affiliate’s Thai customers. Likewise, a cash forecast should not be treated as permission to lend, handle client money or conduct regulated financial services. Function, recipient and money flow must be read together; matching one label alone does not settle the activity.
The two prerequisites and the work boundary should now be considered together before the parent signs the mandate.
Run the recipient–output–money test on each duty
Use a separate row for every recurring duty, including work described as free or bundled with another service. The following test converts DBD’s restrictions into an internal admission record: the business owner supplies the facts, the parent approves the limits and a reviewer records whether the proposed work needs a different route.
| Proposed duty | Evidence to retain | Decision before launch |
|---|---|---|
| Train employees of an Asian affiliate; head office funds the team | Recipient relationship, training brief and funding instruction | Candidate support duty; confirm the actual training scope |
| Provide management work and charge the affiliate a monthly amount | Intercompany agreement, payer and calculation method | Do not assume a recharge fits the non-income office model |
| Plan a regional promotion, then negotiate Thai customer terms | Job description, email authority and customer contract workflow | Separate the planning task from the commercial role |
| Deliver research to an unrelated external client without a stated fee | Recipient identity, deliverables and wider commercial arrangement | Outside the ordinary group-support rationale; reassess |
| Head office collects group service fees while Thailand performs the work | Parent agreements and complete service/payment map | Review the whole arrangement; offshore invoicing alone resolves nothing |
The legal restrictions include no service income, no accepting orders, offering sales or negotiating business with persons in the host country, and expense support from the head office only. DBD’s published March 2018 regional-office interpretation, pages 64–65 explains these limits and the need for permission where additional services fall into restricted business categories. It is a historical interpretation checked against the current exclusion, not an approval of your arrangement.
Record an explicit result for each row: retain within the mandate, remove from the Thailand role, or assess a commercial route. Where revenue or customer-facing authority is essential, the commercial roles of Thailand market-entry vehicles help identify whether a subsidiary, branch or another arrangement deserves examination. A non-revenue title cannot repair the underlying business model.
Prepare the foreign-company identity and signature file
For a qualifying foreign company using the non-restricted-business identification route, the appendix to DBD’s 7 June 2021 identification notice specifies the core evidence. The notice remains listed in DBD’s current legal directory; it is documentary guidance, rather than a claim that every current portal screen has been tested.
- Collect corporate-status evidence showing the parent’s name, capital, objectives, office, directors and persons authorized to bind it.
- Prepare the appointment of the person responsible for the foreign company’s Thailand operation.
- Provide Thai translations of those corporate and appointment documents, certified as correct by the translator.
- Supply a Thailand location map with address details.
- If an agent acts, add the power of attorney and the responsible person’s passport page, foreigner-identification document or Thai identity-card copy, as applicable.
The responsible person or authorized agent signs to certify the supporting documents. For documents signed overseas, the appendix requires certification by an authorized official or person under that country’s law, or an authorized Thai embassy or consulate official there; that certification must be within six months. Translation certification and overseas signature authentication do different jobs. Check both before upload.
As an internal consistency check, compare the parent’s registered name and number, appointment, signers and Thailand address across every attachment. If the appointment allows a person to manage the office but not delegate filing, repair the authority chain before an agent submits. Keep the group-recipient schedule with this file, while distinguishing that planning evidence from the notice’s documentary list.
Resolve the authority chain before submission
Have the appointment, agent authority and overseas certification checked as one file so the submission matches the parent’s actual signing powers.
Submit through e-foreign and retain the issued PDF
Start from the current DBD online-services directory and select the foreign-juristic-person identification service, labelled e-foreign. Its public service entry was available on 27 October 2026. It is separately listed from e-Foreign Business, which handles licences and certificates, and from DBD Biz Regist for local juristic-person registration.
A regional office is not formed by reserving a new Thai company name, subscribing shares or submitting a Thai subsidiary’s incorporation forms. If the parent instead chooses a separate local company for commercial work, company formation requirements in Thailand belong to that alternative workstream; they should not be pasted into the foreign-office filing.
- Arrange the authorized user. The responsible person or authorized agent obtains a username and password and completes identity verification under the identification notice.
- Enter the foreign-company identification notification and attach the certified evidence. Reconcile the parent details, Thailand location, representative and stated business with the approved mandate before submitting.
- Save the submitted file and whatever reference or submission confirmation the live system provides. A saved draft or uploaded attachment alone does not show that DBD has issued a number.
- Monitor the result in the system and correct any information or attachment defects there. Replace inconsistent source documents as well as the affected fields; do not merely rename a file that contains the wrong authority.
- Download and retain the PDF communicating the identification number once the officer accepts the information and documents. Match it against the parent identity and Thailand particulars before using it elsewhere.
The official notice establishes that account, submission, correction and PDF-output sequence. The authenticated screens, current field labels and identity-verification options were not exercised for this review, so no universal button-by-button route is claimed. DBD’s 2021 annual report, pages 49–51 describes the identification service as free of charge; that statement concerns the number service, not translations, authentication or the whole office setup. No professional-service price or processing-time guarantee is implied.
The registration workstream ends with the issued record, rather than with an application submission. Preserve the final PDF alongside the parent appointment, accepted document set and any correction correspondence, so later users can identify which facts supported the record.
Control funding and operating evidence after identification
An FBL exclusion does not remove the funding analysis. Foreign Business Act sections 4 and 14 define minimum capital for an overseas juristic person by reference to foreign currency brought into and used in Thailand and set a statutory floor of THB 2 million for commencement, subject to the applicable regulations. Treat that as capital, not a registration fee or a complete operating budget; settle the applicable remittance requirements before committing the funding schedule.
Ask the accountant to map the parent’s remittances to office expenditure and assess the actual tax and accounting obligations. DBD’s regional-office sheet specifically identifies bank-deposit interest as an income-tax exception, so “no service revenue” should never be used as shorthand for “no tax review.” Payroll, withholding and employment arrangements need their own assessment.
Maintain a change log for recipients, staff duties, funding and signing authority. The identification notice also provides for changes and cessation through the system. A new address or responsible person calls for record maintenance; a new revenue activity calls for a fresh business-scope decision. Identification alone does not issue a work permit, approve a bank account or settle an industry licence.
Approve the regional office only when the mandate and record agree
Proceed with a regional office when the parent can evidence its Asian group recipients, restrict Thailand duties to the support mandate, fund expenses on the stated basis and appoint a properly authorized responsible person. Use the recipient–output–money test before the documents are signed, then compare the issued identification record with that same approved mandate.
Hold any disputed duty outside the launch scope until its route is resolved. If customer sales, service charges or outside clients are essential, reconsider the operating vehicle before hiring for those tasks. The useful completion standard is a coherent foreign-company record and a support team that can actually remain within it.
Turn the mandate into a filing plan
Bring the completed duty matrix and parent documents to define the submission file, unresolved activities and separate operating approvals.
Frequently asked questions
Does a regional-office identification number create a separate Thai company?
No. It identifies the foreign juristic person’s presence. It does not create a new Thai subsidiary or move the office’s obligations away from the parent.
Must the office perform all seven functions?
No. Choose the function or functions genuinely needed. Adding every category to a mandate can obscure what staff will actually do and does not expand the office beyond its underlying limits.
Can one broad Asian group chart settle every recipient question?
Only if it supports the actual relationships and locations. Record the legal entity behind each recipient name and update the schedule when the group reorganizes or adds a recipient.
What if DBD returns the identification submission for correction?
Read the specific defect, correct the source evidence and affected system information, and retain the revised version. A pending correction is not the issued identification PDF.
Can an existing parent identification number be ignored and a new one requested?
Do not assume a fresh number is needed. The 2021 notice preserves numbers issued under the earlier 2016 accounting-based arrangement. Check the parent’s existing record before opening a duplicate identification workstream.
