SECURITY FILING AND DEADLINE CONTROL

Registering Company Charges in Hong Kong: What to File

Classify the security event before selecting a form, and preserve time for correction inside the statutory window.

For an ordinary registrable company charge in Hong Kong, deliver a completed and signed Form NM1 with a properly certified copy of the instrument creating or evidencing the charge and the prescribed fee. The ordinary delivery period is one month after creation, subject to the specific overseas-creation rule and other event-specific provisions. The original instrument should not be filed.

First identify the chargor, the security and the event. Creating a charge, acquiring already-charged property, registering certain debenture-series arrangements, bringing pre-existing charges into a re-domiciliation filing and notifying discharge can require different treatment. A loan’s existence alone does not determine the form.

Key takeaways

  • Match the charge to its legal company and applicable event before preparing NM1.
  • The certified instrument and statement of particulars form a coordinated package; an original security document is not the filing copy.
  • The one-month period is a delivery deadline, and a return for correction does not give a fresh month.
  • A missed deadline may require court relief; the Registrar cannot grant an administrative extension.
  • Discharge uses a later notification and supporting evidence, while the original registered charge remains in the historical record.

Classify the security event and the correct filing family

Confirm the company granting security. If a subsidiary charges its own property to secure its parent’s borrowing, the subsidiary is the chargor; borrower and chargor need not be the same legal person. The correct entity’s formation record, established through Hong Kong company incorporation , anchors its legal name and identifier for later financing filings.

Event Filing starting point Question to settle first
Company creates an ordinary specified charge NM1 plus certified instrument Does the security fall within section 334 and the applicable provisions?
Company acquires property already subject to a specified charge NM1 under the relevant acquisition provisions What acquisition date and evidence apply?
Relevant debenture-series arrangement NM8 and any applicable NM9 obligations Which series and issue event is being reported?
Pre-re-domiciliation charge of a re-domiciled company NM10 under the specific regime Which existing charge and re-domiciliation date trigger filing?
Debt satisfied or property released NM2 plus certified discharge evidence What exactly has been satisfied, released or ceased?

The current specified-forms list distinguishes these filing families. Do not use a form’s familiar name to skip the registrability analysis. A charge’s substance, property and company category matter. Section 334 includes specific categories and exclusions; a security over a deposit repayment right, for example, is not automatically treated as a charge on book debts.

The non-Hong Kong company charge FAQ separately addresses specified charges on Hong Kong property created by registered non-Hong Kong companies. Do not assume that every worldwide asset of an overseas company falls within the same filing rule simply because it has a Hong Kong registration.

Identify the charge event before filing

Confirm the chargor, property and event-specific form before the clock becomes the problem.

Prepare NM1 and the certified instrument as one package

Prepare the statement from the executed security instrument and the correct event. The local-company charge FAQ confirms NM1 and the certified copy requirement. A security summary, unsigned term sheet or lender’s general facility letter is not automatically the instrument creating or evidencing the charge.

Check four alignments: chargor identity, instrument description, creation or acquisition date, and mortgagee or chargee identity and capacity. Keep the instrument’s description separate from the property address. Where a security agent acts for others, use an accurate description of that capacity rather than dropping words in a way that misidentifies the recipient of the security.

Certification must meet the relevant statutory category. The Registry charge-registration pamphlet explains who can certify under section 333(4), including appropriately authorized company or interested-person routes. Record the certifier’s name, capacity and date, and make the represented party clear when certification is on its behalf. Do not assume that only a notary can certify or that an unidentified stamp is sufficient.

File a certified copy , not the original instrument. Preserve the original and a copy of the exact certified version delivered. The registered copy is available for public inspection, so review the executed documentation and disclosure implications with the transaction advisers before signing. Do not unilaterally redact a filing copy and continue to describe it as a complete certified copy.

The CR charge-filing error list highlights avoidable mistakes: business name instead of registered company name, missing creation date, property details inserted as chargee address, incorrect signatory capacity and confusion between the instrument and the property it charges. Use those failure points as a final comparison against the executed document.

Protect the charge delivery window Classify, certify, deliver and verify in sequence, preserving a correction buffer; late delivery needs assessment of court relief. Classify event Certify copy Deliver Verify result Inside legal window: correct and re-deliver Outside legal window: assess court relief A correction does not reset the deadline
The correction buffer belongs before the statutory deadline; a rejected package does not start a new filing period.

Protect the delivery deadline and correction buffer

The ordinary period is one month after creation . Where a charge is created outside Hong Kong and comprises property outside Hong Kong, the FAQ states the specific due-diligence postal-receipt basis for the one-month period. Determine whether that condition actually applies; an overseas signature alone should not be used to extend every charge deadline.

For charged-property acquisition or pre-existing charges on re-domiciliation, use the relevant event rule and evidence. In particular, the current local-company FAQ identifies NM10 for pre-re-domiciliation charges and the one-month period after re-domiciliation. Keep the legal trigger in the deadline record, with the supporting document and the person who checked it.

A practical deadline record has six fields: company, charge/event, trigger date, legal basis, final delivery date and internal target. The internal target should leave time for certification defects or a rejected package to be corrected. The Registry pamphlet states that returned documents must be amended and re-delivered within the prescribed period; the original attempt does not reset the clock.

The Registrar cannot grant extra time. The official FAQ specifically warns that a Saturday deadline is not automatically moved to Monday and advises arranging delivery by the preceding Friday. A late filing requires the appropriate court-order route under section 346. Do not backdate the instrument or assume that paying an additional handling fee creates an extension.

Deliver the charge and confirm registration evidence

Use the current accepted filing channel and signer requirements, with the completed statement, certified instrument and correct payment. Both the company and an interested chargee or mortgagee can deliver the registration. If more than one party is coordinating, name one filing owner and obtain explicit confirmation of who will submit and return the registration evidence.

As checked October 27, 2026, the CR fee schedule lists HKD 340 for the statement of particulars of charge and HKD 190 for the later notification of payment, satisfaction or release. These are filing fees, not loan interest, security consideration, legal fees or a complete transaction budget.

Keep the submission reference and payment record, then monitor the actual outcome. The pamphlet states that the charge-registration certificate is normally issued in seven working days. That processing expectation is separate from the one-month delivery window and from any lender’s conditions precedent or funds-release decision.

The Registry issues a Certificate of Registration of Charge; it does not endorse and return the certified instrument. Save the certificate with the filed copy and check the register entry through the Registry search and filing evidence workflow . A delivery receipt should not be presented to a transaction team as the registration certificate.

Failure to register can expose the company and responsible persons to prosecution and fines, and the security can be void against a liquidator and creditors to the stated statutory extent. Do not treat a missed filing as merely a clerical inconvenience; obtain transaction-specific advice on relief and the consequences for the security.

Check the delivery and registration evidence

Reconcile the certified instrument, filing result and remaining transaction conditions.

Record satisfaction or release without deleting the charge history

When debt is paid or property released, distinguish the actual discharge event from the public record update. NM2 is accompanied by a certified copy of the instrument evidencing payment, satisfaction, release or cessation, including where the chargee signs NM2. The discharge certification rules differ from the creation-copy rules; check the appropriate category rather than reusing a chargor-side certification automatically.

The FAQ states that no statutory delivery time limit applies to NM2, but prompt, accurate updating can matter to later financing or due diligence. Registration history is not deleted by repayment. Identify the original registered charge and the extent of the actual release; a partial release should not be described as a complete satisfaction of every obligation.

If the problem is an error in an already registered charge rather than a genuine discharge, use the correct rectification route. The Registry’s error guidance identifies court relief for an omission or misstatement in a registered charge and says a fresh NM1 is not the remedy. Keep corrections, release documents and refinancing events distinct.

Release the charge filing against the instrument and deadline

Release the filing when the chargor, security event, instrument, form, certification, signer, payment and deadline have been reconciled. Before closing the task, retain registration evidence and notify the financing team exactly which milestone has been reached.

Escalate immediately where the deadline may have expired, the charge’s category or property location is uncertain, or a registered entry needs rectification. An accurate event log and the executed instrument give advisers a usable basis for the next action; an improvised second filing does not.

Frequently asked questions

Is every company loan registered as a charge?

No. A loan and a registrable security are different questions. Determine whether a specified charge or another relevant event falls within the applicable provisions.

Can the lender present the charge for registration?

Yes. The company has the duty, while an interested chargee or mortgagee may also deliver the charge. Agree one accountable filing owner to avoid an assumption that someone else has filed.

Should the company send the original signed security document?

No. Deliver the properly certified copy required for registration and preserve the original separately.

Can an ordinary secretary-service reminder extend the deadline?

No. A service arrangement cannot alter the statutory window or the need for the appropriate court relief where delivery is late.

Does a registered discharge erase the instrument from historical searches?

No. The charge registration remains part of the history; the later notification records the relevant satisfaction, release or cessation.
