Director responsibility and security cash

Resident Director Costs in Malaysia: Fees and Deposits

Distinguish the fee you consume from security held during the appointment.

Resident-director service pricing in Malaysia is contract- and risk-specific. Current public examples include MYR 600 monthly paid annually plus MYR 3,000 setup and MYR 5,000 security, and a different offer at MYR 27,000 annually plus MYR 5,000 security. Their refund and reporting terms differ materially, so they are not a normalized market range. Keep service fees, setup work and potentially refundable deposits separate before comparing upfront cash.

Key takeaways

  • Check whether a genuine proposed director already meets the residence test before purchasing support.
  • A deposit is a separate cash commitment whose recovery depends on the actual agreement.
  • Annual prepayment and refund rules can change the effective cost of a short appointment.
  • Signing boundaries and information obligations matter alongside the annual fee.

Confirm the residence gap and the director’s role

An ordinary private company needs at least one director ordinarily residing in Malaysia under SSM’s incorporation requirements . Assess the actual person proposed. Foreign shareholding does not automatically prove that the company must buy a resident-director arrangement, and a Malaysian shareholder is not interchangeable with a qualifying director.

If no genuine founder or other appointee qualifies, investigate a service arrangement before filing. The appointee remains a director, with responsibilities under the Companies Act. SSM’s Companies Act 2016 resources are the primary legal reference; a private agreement should not be presented as eliminating statutory director duties.

Identify the business activities, beneficial owners, expected transactions and required participation before requesting a fee. The provider may accept, condition or decline an engagement after review. The real responsibility accepted is part of the service scope; the task is not merely buying a name to satisfy a form.

Assess the genuine director requirement

Set out residence, business activities and the intended appointment.

Read the published contract examples on their own terms

The following observations were checked on October 28, 2026 on three provider-owned pages. They are selected public examples, not HSJGlobal prices, a provider ranking or a representative market distribution. The terms differ too much to infer a standard average or median.

Observed pricing design Service fee Setup and security Important limitation
Monthly unit with annual payment MYR 600 monthly; MYR 7,200 for twelve months MYR 3,000 setup plus MYR 5,000 security Published minimum term and unused-month refund terms apply; fees exclude SST
Annual engagement with different exit terms MYR 27,000 annually MYR 5,000 security; other unlisted items need confirmation Annual fee described as nonrefundable after appointment; security net of outstanding fees
Annual fee without a complete published security schedule MYR 3,000 per year No current security amount established from the displayed page Not sufficient to calculate an all-in upfront commitment

The annual-only page’s current display differs from an older search snippet, so the live MYR 3,000 figure is used here and the older figure is excluded. A missing deposit field is not evidence that the deposit is zero. Obtain the written security and cancellation terms before comparing its cash requirement with the other examples.

Do not infer that the highest fee provides broader commercial authority or that the lowest fee is suitable for every applicant. Signing, records, review frequency and accepted risk are contract-specific. HSJGlobal’s own service fee and security requirements must be approved for the actual Malaysian company; none is invented from these advertisements.

Calculate upfront cash and consumed fees separately

For the monthly-unit example, twelve paid months produce MYR 600 × 12 = MYR 7,200 in annual service charges. Adding the published MYR 3,000 setup gives MYR 10,200 of those fee components. Adding MYR 5,000 security produces MYR 15,200 of the stated upfront components, before the expressly excluded SST and any separately agreed work.

For the other annual example, MYR 27,000 service plus MYR 5,000 security produces MYR 32,000 in those two stated components. That calculation does not assume that unlisted setup, tax or external costs are free. These are contract-specific component equations, not complete company-registration budgets or invented customer cases.

Security and earned fees need different budget lines. A potentially returnable deposit still consumes cash while it is held. Whether it is returned in full, reduced, offset or delayed depends on the agreement and the actual outstanding matters. Do not deduct an assumed refund from the opening cash plan before the release conditions are satisfied.

A diagram of the two money paths helps distinguish the economic cost of the service from the timing and recovery of security. The distinction remains useful even where the provider collects both amounts in one transfer.

Test the security release terms before transferring funds

Record the legal holder of the money, the purpose for which it may be used, permitted deductions, reporting of deductions and the release process. Ask what evidence establishes that the appointment has ended and whether unresolved liabilities or unpaid agreed fees affect release. A word such as refundable does not, by itself, answer those questions.

  1. Identify the security custodian and the account or contractual holding arrangement.
  2. List the permitted deductions and how the company can review supporting evidence.
  3. Define the appointment-ending event and any replacement or filing prerequisites.
  4. Agree the refund request, calculation and payment process, including treatment of disputes.

The nominee director duties and contractual risk boundaries help frame the appointment and exit discussion. Check indemnities, information access and decision authority with the actual agreement rather than treating a marketing phrase as a complete allocation of legal risk.

The public examples show why exit cost can differ. One describes unused-month refunds subject to a minimum term; another says its annual fee becomes nonrefundable on appointment. The early-exit clause can therefore change the effective cost even where the service is needed only temporarily. Do not transfer one provider’s refund promise to another contract.

Review the security and exit terms

Identify the holder, deductions, replacement conditions and refund process.

Price reporting, signing and replacement responsibilities

Agree whether banking participation, standard signatures, special transactions, company changes and replacement work are included. Identify the person who receives information and how the director is kept informed. One reviewed offer requires quarterly management accounts; the cost of producing those accounts needs its own scope if not already purchased.

A provider’s claimed bank-ready documentation does not guarantee bank acceptance. The bank controls onboarding and signatory requirements for the actual company. Likewise, a limited operational role in the contract does not excuse the director from responsibilities that follow from the legal appointment.

Use the Malaysia company registration pathway to place the appointment alongside the secretary, registered office and formation records. Company ownership, board authority and account-signing rights should tell a consistent story. A resident-director service is not a route to conceal beneficial ownership or bypass independent approvals.

Before renewal, check the continuing term, notice period, tax basis and any changed business risk. Before exit, identify the incoming qualifying director where needed, the effective appointment changes and the transfer of records. Avoid ending a service on the assumption that paying the final invoice alone completes the legal transition.

Choose a director arrangement you can operate and exit

Choose an arrangement only when the director can responsibly serve the actual company and the contract explains service charges, security, information flow and replacement. Compare the full commitment on its own terms, with cash held as security visible beside consumed fees.

Resolve an unidentified custodian, undefined deductions, incompatible signing terms or an uncertain replacement route before transferring security or accepting a long prepaid term. The practical objective is a lawful, workable appointment with a documented exit, not the smallest number labelled local director.

Build a workable director engagement

Match fees, information, authority and exit to the actual company.

Frequently asked questions

Is the security deposit a government incorporation fee?

No. The deposits described are contractual security for a service arrangement, separate from the SSM filing charge.

Does refundable mean immediately returnable on request?

Not necessarily. Inspect the appointment-ending conditions, permitted deductions, unresolved matters and agreed refund process.

Can I compare only the monthly headline?

No. Check annual prepayment, minimum term, setup work, security and refund rights before comparing cash commitments.

Can the director’s statutory duties be removed by private instructions?

Do not treat a private service agreement as eliminating responsibilities imposed on the director by law.
