First sale and operating readiness

Setting Up a Business in the Philippines: From Entity to Operations

Choose the entity, prepare the operating tracks and release the first transaction against evidence of what the business may actually do.

A Philippine business should move from registration to trading only after its proposed activity, site, tax setup and people have cleared their separate requirements. Choose the entity around the first transaction you intend to make, then maintain a release decision for that transaction. An SEC certificate establishes the company, while operating permissions and bank access depend on additional decisions.

Key takeaways

  • Describe the first revenue transaction before choosing an entity; the contracting party, activity and ownership must fit together.
  • Test the premises before committing to an opening date, because local and sector conditions can reopen the plan.
  • Allocate preparation cash separately from capital and fees so pre-revenue rent, payroll and onboarding delays are visible.
  • Employer identifiers and employee reporting are different tasks; the first hiring date starts its own obligations.
  • Use a transaction release register to record cleared scope, remaining holds and the person responsible for the next action.

Build the launch brief around the first sale

Write a launch brief before reserving a name or negotiating an unconditional lease. State the product or service, who will contract with customers, where delivery happens, the expected customer market, the owners and their nationalities, the proposed address, the first hires and any foreign personnel working in the Philippines. Include the earliest transaction that will generate revenue. A label such as consulting, trading or technology is too broad to resolve these choices.

Use the brief to separate three commitments: forming the entity, preparing the operation and releasing the first sale. Give one project owner responsibility for reconciling all three. The formation adviser can handle a filing while an accountant, premises lead and employer each retain separate work. A completed registration task should not automatically change the launch decision to approved.

Plan the schedule from an agreed activity and ownership brief through to the first permitted customer transaction. The earliest defensible launch date is the latest required completion date across incorporation, tax, premises, sector permissions, payment access and personnel. Start document preparation, bank pre-screening and premises enquiries together where possible; hold dependent submissions until their prerequisites exist. There is no verified nationwide numeric end-to-end range covering this combination. Obtain a dated best-case and contingency window from each responsible party before announcing an opening.

Build the cash plan on the same basis. Keep authority assessments, professional support, authentication or translation, premises and fit-out, capital funding, and operating runway on separate lines. Mark each as one-off, recurring, refundable or committed; request the applicable tax treatment in each quotation. Capital remains company funding rather than an adviser charge. Reserve cash for the period when rent and payroll may be payable before customer collections begin.

Record the assumption that would invalidate each line. Changing the city, adding a regulated activity or replacing the shareholder with an overseas parent can reopen work already scoped. This brief is the reference against which later forms, approvals and quotations should be checked.

Select the entity that can deliver that sale

Select the vehicle by the identity that will own assets, sign customer contracts and carry the planned operation. The initial choice affects more than the registration certificate: it determines whose decisions, records and authority documents the other workstreams will request. company registration in the Philippines begins with this structural choice, even when the immediate objective is to hire staff or secure premises.

Route When to examine it Operational consequence to resolve
Sole proprietorship An individual will operate the business DTI business-name evidence follows a different route from SEC incorporation; confirm owner eligibility.
Partnership The proposed owners intend to operate under a partnership arrangement Settle partner authority and obtain the SEC registration appropriate to that arrangement.
One Person Corporation One eligible stockholder needs a corporation Confirm stockholder eligibility, nominee arrangements and officers before using the OPC route.
Domestic stock corporation Co-founders, investors or a parent will own a Philippine company Align shares, governance and authority to sign with the actual ownership plan.
Foreign corporation route An existing overseas entity will undertake the Philippine operation Confirm the SEC licence, permitted activity and resident-agent arrangements rather than filing as a new domestic company.

An OPC is subject to statutory eligibility and governance conditions. The Revised Corporation Code also distinguishes incorporation from a foreign corporation’s licence to transact business. A domestic corporation is incorporated under Philippine law; that term does not establish that its shareholders are Filipino. A representative-office proposal needs its own permitted-activity review before any revenue plan is attached to it.

Resolve the exact activity against the 13th Regular Foreign Investment Negative List and applicable sector law. Then test capital separately. Under the amended Foreign Investments Act , micro and small domestic-market enterprises below US$200,000 paid-in equity are reserved to Philippine nationals. The US$100,000 alternatives require qualifying advanced technology, endorsed startup status, or a majority of direct employees being Filipino with at least 15 Filipino employees. These provisions are conditional; they do not create one minimum for every foreign-owned company.

Put the chosen ownership and capital basis in writing before accepting subscriptions or asking a local person to hold a formal role. If the conclusion depends on a special-law exception, retain the evidence for that exception with the structure decision. An unresolved eligibility issue belongs at the start of the project, where an alternative route can still be evaluated without undoing premises and employment commitments.

Check the structure before commitments grow

Bring the proposed activity, owners, customer market and first transaction so the entity and capital questions can be scoped together.

Turn the ownership plan into an SEC handover

For a corporation, prepare one controlled set of registration particulars: proposed name, purpose, principal-office address, incorporators and subscribers, share and subscription details, directors, officers and beneficial ownership. The corporate secretary must be a Filipino citizen and resident, while the treasurer must be resident; an OPC has additional role rules. Check the applicable provisions of the corporate code’s incorporation and officer requirements against the proposed appointments.

The current SEC eSPARC entry point connects OneSEC and Regular processing with eSECURE and eSAP for ZERO processing. Covered signatories authenticate through credentialed accounts. Select the route that accepts the actual entity and document arrangement; do not reshape the commercial terms merely to fit a faster option. Remote authentication for covered SEC documents does not settle how another authority or bank will accept foreign-issued evidence.

  1. Assign account access and check credentialing for the people required to authenticate. Keep contact details under the company’s control.
  2. Enter the approved structure and purpose in the live application. Reconcile generated documents against the launch brief and ownership records before authentication.
  3. Complete the signing or authentication steps displayed for that route. Preserve the approved version and evidence of completion.
  4. Review the actual assessment, pay through the instructed channel and retain the payment reference with the application reference.
  5. Monitor the portal and registered email for deficiencies. Answer the stated issue using the same application record, checking whether any revised fact affects other forms.
  6. Retrieve the issued certificate and final documents when approval is recorded. Check spelling, entity type, purpose, address and the identifiers needed for downstream work.

Treat this sequence as a project-control checklist; the live portal supplies the route-specific screens and document instructions. A submitted form or paid assessment is an intermediate event. Release the registration handover only after the issued record and its underlying particulars have been checked. If a discrepancy is found, establish the proper correction route before reproducing it in tax, lease or banking records.

The handover should identify the person who can act for the entity, the approved signatory decisions, where the definitive documents are stored and which downstream tasks remain open. Share a controlled copy with each workstream owner rather than allowing separate versions to circulate. Keep original and authenticated foreign records accessible where the receiving institution requires them.

Clear the premises and activity before opening

Confirm that the intended activity can operate at the proposed site before treating the address as an administrative detail. Ask the city or municipality’s business-permit office how the activity is classified, what zoning and occupancy evidence is needed, how barangay clearance is handled and which fire, sanitary, environmental or other evaluations apply. These are discovery questions; the applicable office must establish the actual requirements.

The Quezon City new-business instructions provide a concrete local example. They require registry evidence and premises documents; a lease must permit business use and include the specified property and party details. Applications go through QC E-Services and BOSS, with evaluation by business-permit, zoning and other applicable departments. QC publishes an estimated 1–3 days without identifying business or calendar days. That local estimate excludes a nationwide promise and does not measure the entire setup project.

Before fit-out, ask the premises lead to obtain written answers about permitted use, landlord authority, building conditions and any approval needed for works. Negotiate appropriate conditions with the landlord and legal adviser where permissions remain uncertain. A cheap address is expensive if the planned activity cannot be cleared there. Premises suitability should be tested against the real operation, including customer visits, storage, equipment and staff presence.

For an activity requiring a separate industry permission, create a regulator-specific track. Record the applicant, authorised activity, site or product scope, pre-opening requirements and conditions that must remain satisfied. Check whether that regulator requires entity documents before filing and whether its approval must precede the local permit or actual trading. Do not use the existence of an SEC purpose clause as evidence that the sector track is complete.

Apply scope checks before relying on an operating approval to the holder, location, activity, effective dates and conditions of each document. That linked global method is a transferable verification control; Philippine law and the issuing office determine the permissions here. Record a clarification from the issuer where the document does not clearly cover the proposed use.

The registration handover now feeds several independent readiness decisions. Local and sector approvals establish the permitted operation, while tax, payment access and personnel determine whether the first planned transaction can actually be executed. Progress in one track cannot supply missing evidence in another.

Independent readiness tracks meet at the first transaction A checked entity handover feeds premises and activity, tax and money, and people readiness. Evidence from all applicable tracks is reconciled before releasing the first transaction. Checked entity handover Premises and activity Tax and business money People and payroll Reconcile applicable release evidence First transaction
The first transaction depends on every applicable readiness track. The reconciliation step joins their evidence; it does not combine their separate approvals into one certificate.

Make tax records and business money usable

Appoint the accountant while incorporation is being prepared. The accountant should reconcile the legal name, address, accounting period, activity and applicable tax obligations before customer billing is configured. The current BIR Form 1903, October 2025 edition covers corporations and partnerships, distinguishes taxpayer categories, accepts the specified digital SEC records and addresses invoice arrangements. Use its current category and documentary instructions rather than relying on an old generic checklist.

SEC’s Philippine Business Hub integration notice permits continuation for a company TIN and SSS, Pag-IBIG and PhilHealth employer numbers after eSPARC registration. Verify what has actually been issued and what still needs completion. A TIN is one identifier ; the operational handover should separately confirm the registration record, applicable tax types, invoice route, bookkeeping setup, filing access and the person responsible for each obligation.

Before the first invoice, run a sample transaction through the accountant’s proposed workflow: customer details, invoice issuance, currency and payment terms, any withholding treatment, recording the receivable and reconciling collection. Resolve the applicable VAT or other treatment for the actual taxpayer and transaction rather than copying a rate from another business. Ask the accountant to document the books and electronic-system arrangements needed for the chosen operation. This is a readiness exercise, not a substitute for tax registration.

Approach the intended bank early with the activity, ownership chart, expected countries and payment flows, source-of-funds explanation and proposed signatories. Maybank Philippines’ corporate account requirements illustrate a bank-specific evidence set: SEC records, GIS, officer and beneficial-owner information, a board-authority document and the current mayor’s permit. Obtain the chosen institution’s own checklist, including how it handles a newly formed company and pending documents; another bank may apply different procedures.

Distinguish account approval from usability. Test authorised access, approval limits, payment permissions and the ability to receive the expected customer transfers before promising a collection method. Keep capital subscriptions, shareholder loans, reimbursements and trading receipts identifiable in the ledger. If onboarding is delayed, revise the collection plan with the accountant and bank; routing company receipts through a founder’s personal account should not become an unreviewed workaround.

Prepare the first payroll and each foreign role

Prepare employment administration before setting a first start date. Assign responsibility for contracts, employee identity and membership details, payroll inputs, withholding, employer contributions and remittance evidence. Establish who authorises changes and who checks the first payroll. The employer numbers obtained during registration do not demonstrate that individual employees have been reported or that contributions have been remitted.

The SSS employer duties require employer registration and reporting employees for coverage within 30 days from hiring, together with contribution and recordkeeping obligations. Use that hiring trigger in the launch calendar. Separately confirm the company’s PhilHealth and Pag-IBIG employee and payment processes; do not infer their completion from an SSS reference number. Keep submission acknowledgements and reconcile payroll deductions with actual remittances.

A foreign shareholder’s planned role needs a separate analysis: ownership, board participation, remote activity and work physically performed in the Philippines are different facts. The DOLE AEP service page identifies employment-permit requirements and provides exemption and exclusion routes. Check the actual person, role and applicable rules before treating an exemption as established. An appointment in company documents does not complete this review.

Immigration status is another decision. The Bureau of Immigration’s commercial pre-arranged employment visa procedure includes documentary screening, payment, a hearing and implementation steps after approval. The correct route depends on the person’s circumstances; an AEP application, a share certificate or a visitor’s entry does not by itself establish that the proposed work may start. Obtain confirmation of the permissions or exemptions covering the intended role and start date.

Give the payroll owner a dated list of people authorised to begin the specified duties. If a foreign role remains unresolved, revise the start date or obtain advice on a permitted allocation of responsibilities. Keep a backup for bank and filing approvals so one person’s travel or pending credential does not halt the business. This operational continuity check is separate from deciding who legally holds each corporate office.

Resolve the launch item that is still open

Identify whether the current hold concerns premises, tax setup, employer administration or a foreign role, and establish the evidence needed to clear it.

Use a release register for the first transaction

Use the following release register as an internal decision tool, assembled from the separate SEC, local, BIR, banking, social-security and foreign-worker evidence discussed above. It is not a new government form and does not replace legal advice or an authority’s approval. Its purpose is to make the next business action depend on relevant evidence rather than a general statement that registration is finished.

Proposed action Evidence to reconcile Hold or recheck trigger Accountable owner
Commit the entity to a customer contract Issued entity record, contracting identity, signatory authority and proposed service scope A promise would require an uncleared activity or opening date Director with legal adviser
Open the premises to the intended operation Local permit, applicable sector clearance and site-specific conditions Wrong address, use restriction or an outstanding pre-opening condition Premises / operations lead
Issue the first invoice and receive payment Tax registration and invoice setup; usable approved collection channel; permitted underlying sale Tax or account setup differs from the contracting entity or transaction Finance lead / accountant
Start and pay employees Approved start dates, employment administration, employee reporting and remittance arrangements No owner for reporting, deductions or the first payment cycle Employer / payroll lead
Begin a foreign individual’s Philippine duties Confirmed work and immigration permissions or applicable exemption evidence Scope, employer, role, status or effective dates do not match Employer with immigration adviser

For each row that applies, retain the document reference, verification date, unresolved condition and person accepting the decision. Mark irrelevant rows with a reason, not a silent blank. A business with no staff has a different release file from one beginning payroll immediately. A regulated activity can require further rows, while a planned operation at a second location calls for a fresh location check.

Record permissions narrowly. If the company is ready to sign a conditional contract but cannot yet open the site, the register should say exactly that. Do not treat an internal green status as authority to waive a statutory requirement. Where an application is pending, record the pending status and the activity being held, rather than displaying the payment receipt as an approval.

Set a review trigger for each cleared row. A change in shareholders, signatories, address, product, customer transaction or employee role can alter the evidence required. Give the company secretary and accountant a common change log, then ask the affected authority or bank whether an update, amendment or new application is needed. This prevents a correct launch decision from being carried forward after its supporting facts have changed.

Authorize the Philippine launch within its cleared scope

Authorise the Philippine launch for the specific activity, premises, transactions and people supported by the release file. Where a track remains open, state the permitted preparation work and hold the affected operating action. Resolve the earliest blocker first: an unsuitable site or ineligible ownership plan can invalidate later spending, while incomplete invoicing or bank access can delay the first collection even after the entity exists.

Before handover to routine operations, assign a primary owner and backup for corporate filings, tax returns and records, local and sector renewals, payroll remittances and bank updates. Build the calendar from the company’s actual registration records, accounting period, employee dates and approval conditions. Review the open items against the next customer commitment, rather than declaring the entire business ready from one certificate. The useful end point is a controlled first transaction , followed by named responsibility for keeping its supporting permissions and records current.

Turn the release file into an assigned plan

Use the intended first sale and outstanding evidence to define responsibilities and the setup support required. Government, bank and immigration decisions remain with the relevant institutions.

Frequently asked questions

Can all setup activities wait until the SEC certificate is issued?

Some preparation should begin earlier: test the site, confirm a bank’s onboarding requirements and plan tax and employment administration while the entity application is prepared. Formal submissions still follow the prerequisites of the receiving authority or institution.

Is the entity with the fewest owners always the simplest choice?

Owner count alone does not settle suitability. Eligibility, authority to sign, future investment, the intended business activity and the documents requested by downstream institutions can change the choice. An overseas corporate shareholder also needs a route compatible with that ownership.

Does a bank’s request for a mayor’s permit set the legal opening date?

It sets an onboarding condition for that bank. The lawful operating scope follows the applicable permissions, while usable collection access is a separate commercial requirement. Both may affect the date you can promise customers.

Who decides that a release-register row is irrelevant?

The responsible company officer should record the factual reason, using the accountant or legal adviser and the relevant issuer where necessary. Internal project staff cannot waive an applicable obligation by marking it not applicable.

What changes when the business adds another location?

Recheck the new site and the relevant local, tax, industry and banking records before using the original release decision. A clearance for one address should not be assumed to cover a different operation or location.
