Start from the first handbag order

Draft a one-page shadow purchase order before incorporation. It should name the buyer and seller, styles and quantities, principal materials, sample approval, specifications, testing, packaging, production and delivery dates, payment, warranty, rejected-goods process, intellectual-property ownership, and whether the seller manufactures or subcontracts. The exercise exposes missing legal functions quickly.

If the PT PMA will buy finished leather, cut and stitch handbags, invoice an overseas buyer, and export directly, it needs a manufacturing-ready company and customs workflow. If an overseas parent invoices the buyer while the Indonesian factory only provides a manufacturing service, contracts, transfer pricing, customs values, raw-material ownership, rejects, and permanent-establishment analysis differ. If a local distributor buys the output, the PT PMA may not need the same retail scope, but the factory's sale and delivery terms still need to be lawful.

Treat the first order as a design constraint, not a sales forecast. The company may be incorporated before a buyer commits, but the model must still explain who owns material at each stage, who bears defects and customs risk, who holds the brand rights, and which Indonesian entity performs and invoices each function. Include a controlled style-change protocol so revised hardware, dimensions, leather, packaging, or quantities cannot bypass capacity, testing, pricing, licence, and delivery review.

Translate the commercial promise into product scope, corporate functions, licences, factory capacity, evidence, and delivery ownership.

Confirm ownership and PT PMA structure

Foreign investors normally hold the factory through a PT PMA. Indonesia's current investment list generally opens commercial fields unless closed or restricted, lists the legacy 15121 leather-goods field as a priority business across Indonesia, and does not assign it a foreign-equity cap. Full foreign ownership is therefore generally available, subject to confirmation of the filing facts and any later rule changes.

A joint venture can still be sensible if a local party contributes protected customer access, a compliant industrial site, a proven workforce, tooling, sourcing, or operational capability. It should not be used merely because someone says a local shareholder is required. Document reserved matters, funding, related-party contracts, brand and tooling ownership, deadlock, transfer, dilution, default, and exit. Nominee arrangements that conceal the real foreign owner create control and enforcement risk.

The PT PMA normally has at least two shareholders, a director, and a commissioner. Record beneficial owners and signing authority. Under the current investment procedure, the general PMA plan is more than IDR 10 billion outside land and buildings per five-digit KBLI and project location, subject to calculation rules, while minimum issued and paid-up capital is IDR 2.5 billion per PT unless another rule requires more. The plan must be credible for the declared handbag capacity.

Use KBLI 15121 without scope creep

The current KBLI 2025 description for 15121 expressly includes handbags, luggage, backpacks, and similar bags made from leather, composition leather, or other materials using the same technology as leather. It also includes pet carriers, wallets, cosmetic cases, holsters, spectacle cases, nonmetal watch straps, leather shoe laces, and similar items. Handbags of leather, coated fabric, or synthetic material can therefore sit in the same manufacturing code where the stated technology and product fit.

The code excludes woven baskets, containers, and bags made from bamboo, rattan, straw, paper straw, plastic, and similar woven materials. It also does not cover wet tanning, leather apparel, gloves and hats, footwear, or repair. A factory that receives finished leather and performs pattern making, cutting, skiving, reinforcement, stitching, edge finishing, hardware installation, cleaning, inspection, and packing should say so explicitly. If it receives raw hides or performs tanning baths, it has crossed into a different activity and environmental model.

Add only real adjacent functions. Wholesale, direct retail, marketplace sales, warehousing for third parties, design services, repair, or import and export may require separate codes, evidence, and tax or licensing treatment. A manufacturing code authorizes the covered factory activity; it is not a universal permission for every route to market.

Create a controlled SKU register with product name, photograph, material, intended use, code, process, capacity, customer, label, test, and sales channel. Compliance should approve a new SKU before the sales team quotes it. This prevents a commercial catalogue from quietly expanding beyond the company's deed, OSS profile, environmental document, buyer testing, or supporting approvals.

Make the industrial site fit the line

The current industrial standard generally requires an industrial company to locate in an industrial estate, with defined exceptions subject to OSS verification. Obtain a written estate statement that the plot accepts KBLI 15121 and the actual processes, materials, chemicals, utilities, shifts, traffic, storage, and waste profile.

Design a one-way material flow: controlled receipt and quarantine; humidity-appropriate leather storage; pattern and nesting; cutting and skiving; component preparation; stitching; edge paint and adhesive work with extraction; hardware fitting; in-process control; final inspection; packing; and finished-goods dispatch. Separate sharp-tool, press, compressor, solvent, charging, fire, and pedestrian risks. Provide worker rest, first aid, emergency routes, accessible firefighting systems, and secure sample and rejected-goods areas.

Clear spatial conformity, the applicable environmental instrument, building approval or PBG, and certificate of proper function or SLF for the installed use. Screen adhesives, edge chemicals, cleaning agents, leather dust, offcuts, packaging, air extraction, noise, domestic wastewater, and hazardous containers. A dry handbag line may have a lighter environmental profile than tanning, but it still needs a documented route that matches its chemicals and scale.

Complete the NIB and verified Standard Certificate

A PT PMA is a large business. The live 15121 profile classifies the large scale as medium-high risk and shows a seven-day processing indicator. Under Government Regulation 28 of 2025 , the licence is an NIB plus a verified Standard Certificate. OSS may issue an unverified certificate after the company's commitment; that state permits preparation. The NIB and verified certificate together permit operational or commercial activity.

A contract is executable only when the order promise is supported by the same product scope, company, licensed site, verified certificate, and delivery evidence.

For verification, prepare the current large-scale evidence: planned raw materials with specifications, quantities and origins, plus energy and water for a cycle or up to six months; machine specifications, photographs, purchase or lease control, quality equipment and capacity alignment; an organization structure; procurement-to-distribution process flow; photographs of accident-response and worker-rest facilities; and intended product specifications. Treat the seven-day indicator as an authority service window after a complete file, not a launch promise.

Build the recurring obligations into the launch plan: validated industrial-data reporting every six months, equipment and process safety, product or package specifications and composition or care information, periodic quality calibration or independent testing, evacuation procedures and signage, ISO 9001, and chemical, machine, and process safety procedures. The current 15121 page does not display NKV as supporting licensing; do not add it by analogy, but separately check exotic or protected species, imports, and any changed product scope.

Manage the OSS work as a status ladder with evidence-based release points:

  1. Register the activity and location. The deed, project data, factory coordinates, capacity, investment plan, and environmental screening must describe the same line.
  2. Use the unverified state only for preparation. Limit procurement, fit-out, hiring, and trials to activities permitted by the NIB, site documents, environmental route, lease, and other preparation controls.
  3. Close the physical evidence gap. Install the controlled machinery, quality equipment, safety facilities, worker areas, approved layout, records, competent owners, and required management system.
  4. Verify before commercial release. Reconcile authority findings, corrective actions, certificate status, environmental and building effectiveness, customer tests, invoice controls, and the first production authorization.

Record four dates separately: company established, NIB issued, Standard Certificate verified, and all site-specific operating conditions effective. Only the last relevant state should drive commercial production and the first shipment. Buyer sample-making or machine trials during preparation must remain within the lawful preparation and environmental route.

Move the certificate from preparation to operation

Assemble capacity-aligned site, machine, people, process, safety, product, and quality evidence for verification.

Add commercial and operating controls

Confirm who imports machines, leather, lining, hardware, adhesives, and packaging. Align the NIB, customs access, importer status, tariff classification, valuation, supplier documents, quarantine or wildlife evidence, tax, and landed-cost model before shipment. A freight forwarder does not cure an importer whose licence scope or documents are wrong. For exports, align exporter and seller identity, product origin support, buyer documents, packing, customs declaration, payment, and foreign-exchange records.

Add the actual channel codes and controls if the company wholesales, retails, operates a store, or sells through its own site or a marketplace. Register and police the brand and artwork; assign designs, patterns, moulds, samples, and production know-how in employment and supplier agreements. Agree how overrun, seconds, rejected goods, and buyer-branded materials are destroyed or released so they do not leak into unauthorized channels.

Set up employment agreements, payroll, social-security registrations, occupational safety, working-time controls, grievance and disciplinary processes, and buyer social-compliance evidence. Foreign directors, technicians, designers, or production managers need roles, immigration status, and work authorization that match their activities. A business-visit status is not a substitute for daily factory work.

Run an integrated calendar for tax, investment reporting, validated industrial data, environmental monitoring, waste, building and fire conditions, ISO, calibration, testing, customs, employment, and licence changes. Use change control for every new material, chemical, SKU, machine, room, shift, capacity increase, seller, channel, or location. Commercial urgency should trigger review, not bypass it.

Apply the contract-readiness test

Before the PT PMA signs a binding handbag production contract, ask the deal team to prove each gate with a named document and owner.

  • Product gate: every ordered SKU, material, process, test, label, and sales function is inside the approved company scope.
  • Ownership gate: shareholders, funding, signatories, brand and tooling rights, related-party terms, and beneficial-owner records are complete.
  • Site gate: estate acceptance, spatial, environmental, building, fire, utility, worker, and waste conditions support the order volume.
  • Licence gate: the NIB, verified Standard Certificate, and all relevant commercial, customs, workforce, and supporting approvals are effective.
  • Evidence gate: machine capacity, trained labour, approved sample, material traceability, tests, inspection plan, quality yield, and corrective action are demonstrated.
  • Delivery gate: seller, invoice, tax, customs, shipment, payment, warranty, rejects, and record retention are operationally owned.

Sign when all gates pass. Sign conditionally when a limited, dated item can be made a true condition precedent with a workable long-stop and exit. Do not sign when the plan depends on an unverified certificate, an unapproved site, undeclared production, hidden ownership, or a delivery function the PT PMA cannot lawfully perform.

Practical questions

Can a handbag factory be 100% foreign owned?

Generally, yes. KBLI 15121 does not carry a foreign-equity cap in the current restricted investment list. Confirm the shareholders, code version, and filing conditions at the time of submission.

Does 15121 cover synthetic handbags?

It can cover handbags from other materials where the same technology used for leather goods applies. The product and process must fit the current description; woven and plastic-sheet bag categories can sit elsewhere.

Can production start when OSS issues an unverified certificate?

No. For the medium-high-risk large scale, the unverified certificate supports preparation. Operational or commercial activity requires the NIB and verified Standard Certificate.

Does the factory code include online sales?

Not automatically. Manufacturing, wholesale, retail, and e-commerce are distinct functions. Add the activities and controls the Indonesian company will actually perform.

Is NKV required for an ordinary handbag line?

It is not displayed as supporting licensing on the current 15121 OSS page. Material imports, protected species, or a different product code can create separate controls, so confirm the actual supply chain.
