SHAREHOLDER DATA CONTROL
Shareholder Details for Indonesian Registration: Data to Collect Before Filing
Keep identity, signing authority, share allocation and beneficial ownership in separate records.
Before Indonesian company registration, collect each proposed shareholder’s identity or legal-entity details, address, evidence of signing authority and agreed share subscription. Build a separate beneficial ownership record. A shareholder list should explain both who will legally hold the shares and how the supporting information was verified.
For a foreign investor, resolve the ownership route before treating the dataset as final. The AHU corporate FAQ distinguishes foreign shareholders in a PT PMA context; the proposed activity and applicable investment rules still need their own assessment. This preparation task does not itself approve foreign ownership.
Key takeaways
- Give every shareholder a stable internal reference so a spelling correction does not create a second apparent owner.
- A parent company and the person signing for it are different subjects; keep their evidence linked without merging their identities.
- Reconcile share quantities, nominal values and percentages using the same capital denominator.
- Record beneficial ownership evidence independently from the legal shareholder register and retain unresolved control questions.
Create a field dictionary with an evidence reference
Use one record per proposed legal shareholder. Start with the shareholder type, exact name, identifying number, jurisdiction or nationality, address and contact person. Beside each field, record the source document and its date. This makes it possible to distinguish a confirmed entry from information copied from an email signature.
The AHU corporate FAQ confirms the distinction between domestic and foreign shareholder contexts. For the working dataset, do not collapse citizenship, residential location and tax residence into one “country” field. A person can have different answers to those questions, and each may be needed for a different review.
| Field group | Record separately | Evidence control |
|---|---|---|
| Identity | Legal name, identifier, nationality or incorporation jurisdiction | Identify the source and explain any name variation. |
| Address | Individual residence or entity registered address; contact address if different | Describe which address is being supplied and why. |
| Capacity | Legal shareholder; signatory; management role if separately appointed | Do not infer one capacity from another. |
| Subscription | Share class, quantity, nominal value and capital contribution instruction | Link the entry to the approved allocation. |
| Verification | Document date, reviewer and unresolved exceptions | Make an open issue visible before drafting. |
A contact person is not automatically the shareholder. If the investor is a company, enter that legal entity as the shareholder and link the individual acting for it through an authority record. Keep the company’s commercial brand as an optional alias, rather than substituting it for the legal name.
Use the individual and corporate shareholder distinction when deciding which evidence stream to request. A corporate investor requires an explanation of the entity and its authority chain; collecting the signatory’s passport without identifying the investing company leaves that task unfinished.
Identify the missing shareholder field
Bring the proposed investor list and the source references behind each entry.
Prove the investing entity and its signing chain
For a company shareholder, assemble evidence of legal existence, current identifying particulars, the relevant constitutional authority and the decision authorising the investment or representative. The exact documents and any certification or translation requirements should be confirmed for the jurisdiction, document and receiving professional. Do not assume that every foreign registry issues the same certificate.
Create two linked chains. The ownership chain explains who owns the investing entity. The authority chain explains why the named individual can commit it to the investment. They may use some of the same documents but answer different questions. A director’s name on a registry extract may help identify the person without resolving every approval required by the entity’s constitution.
- Identify the exact entity subscribing for the Indonesian shares.
- Identify the person signing and the capacity claimed.
- Attach the resolution, power of attorney or other applicable authority evidence.
- Compare the approved investment and signature scope with the proposed deed instruction.
- Send any unclear certification or execution issue to the filing notary before signatures are arranged.
For registering a company in Indonesia , the ownership decision should be settled before the shareholder particulars enter the draft. If a group is still deciding between a parent and another subsidiary, mark the investor as undecided. Replacing the legal investor later is a substantive instruction change, not a spelling correction.
Keep legal existence and authority evidence distinct in the index. If an authority document names an old company name, retain the name-change evidence connecting it to the current investor. Do not silently rewrite the older document or assume a familiar group logo resolves the difference.
Reconcile the share instruction before calculating percentages
Build the allocation from the actual share quantities and nominal values. Record authorised, issued and paid-up capital as distinct concepts rather than using one “capital” cell. Ask the filing professional to confirm the applicable legal requirements and the form of the declaration; the arithmetic worksheet does not establish that a legal capital threshold has been met.
For an illustrative allocation with a single class and an equal nominal value, Investor A takes 6,000 shares and Investor B takes 4,000. The total issued quantity is 10,000, giving 60% and 40%. If the nominal value is IDR 100,000 per share, the issued nominal total is IDR 1,000,000,000. These invented arithmetic inputs demonstrate reconciliation only; they are not a recommended or legally sufficient PT PMA capital amount.
| Control | Calculation or comparison | Stop condition |
|---|---|---|
| Quantity | Sum individual subscriptions to the issued total | An investor is missing or the totals differ. |
| Nominal amount | Quantity × applicable nominal value for each class | The deed and worksheet use different amounts or units. |
| Percentage | Holder quantity ÷ relevant total for a simple equal-rights class | A displayed percentage uses a different denominator. |
| Payment position | Compare subscribed obligations with actual payment evidence | A commitment is described as cash already received. |
A subscription commitment is not proof that funds were paid. Keep the instruction and payment evidence in separate fields. For multiple share classes or different voting arrangements, do not use the simple percentage example to infer voting control, economic rights or beneficial ownership. Escalate the rights analysis and record the actual class terms.
Before release, obtain one approval covering the complete allocation, rather than separate messages approving isolated percentages. If any holder changes, recompute all affected totals and circulate the revised version to the authorised decision makers. Keep the prior version as superseded, with a clear reason for the change.
Reconcile the proposed allocation
Compare share quantities, nominal amounts and payment declarations before approving the draft.
Build the beneficial ownership file alongside the legal register
Beneficial ownership review concerns the natural persons and control relationships behind the entity; it should not stop merely because an immediate shareholder is another company. The 2025 beneficial ownership verification regulation provides for an electronic questionnaire at specified corporate events and comparison of reported information with questionnaire data. Prepare a documented explanation that can support that process.
Draw the ownership chain with a dated source for each link. Record control arrangements that require assessment, including rights that may not be obvious from the percentage table. Ask the responsible professional to apply the governing beneficial-owner criteria; do not declare that the largest shareholder is the only relevant person without that analysis.
Separate missing evidence from uncertainty over the criterion. If a registry extract is missing, request it. If documents exist but appointment rights or effective control remain unclear, identify the legal interpretation needed. Sending more identity scans will not resolve an unanswered control question.
Keep a review record showing who supplied the information, which documents were examined, the conclusion reached and the issue still open. Use secure access controls for personal documents and share only what the recipient needs. A public search result can provide a comparison point, but it does not replace the company’s own evidence and explanation.
Release shareholder data only after the four records reconcile
Approve the dataset when legal identity, signing authority, share allocation and beneficial ownership analysis can be linked without contradictions. Give the filing notary the approved version and the supporting index, together with any specifically identified question requiring resolution before submission.
If the legal investor changes, revisit the connected records rather than overwriting a name in the final spreadsheet. An ownership change can invalidate several connected instructions at once. Keep the file open until the revised identity, authority and subscription evidence describe the same transaction. After filing, compare the accepted particulars with that approved dataset and retain the reconciliation.
Prepare the controlled filing dataset
Resolve identity, authority and beneficial ownership exceptions before releasing the final version.
Frequently asked questions
Can two group companies share one record because they have the same directors?
No. Keep a separate record for each legal shareholder and link any shared representatives to their actual authority.
Should a former company name be deleted from the file?
Retain it as historical evidence and connect it to the current legal name through the appropriate supporting record.
Can the worksheet be approved by an operational contact?
Only if that person has the relevant authority. Identify who is entitled to approve the ownership and subscription instructions.
Does a percentage total of 100% prove the file is correct?
It proves only that the displayed percentages sum to 100%. The underlying holders, quantities, rights and source documents still need reconciliation.
