Foreign-company banking in Singapore

Singapore Branch Bank Account: KYC & Document Requirements

Connect your Singapore registration with overseas corporate authority and the people behind the account.

A Singapore branch bank account application requires a coherent foreign-company KYC file, rather than Singapore registration alone. Know your customer (KYC) checks connect the branch to its overseas legal entity, authorised people, beneficial owners and intended funding. A registered branch can seek an account, but the bank decides eligibility, the evidence required and approval.

Start by confirming the foreign-incorporated-company application route. DBS requires Relationship Manager assistance for foreign-incorporated companies; local-company online eligibility should not be assumed to cover your branch. The requirements below separate registration evidence from bank policy, checked on October 15, 2026.

Key takeaways

  • The branch and foreign head office must be identifiable as one legal entity; disconnected names or registration numbers need an explanation.
  • A locally resident authorised representative fulfils a registration role. Account signing powers must also be supported by the bank mandate.
  • Foreign-company records and personal identity evidence answer different questions; collecting one set does not replace the other.
  • Certification, document age and attendance rules belong to the receiving bank’s process, so confirm them before arranging overseas signatures.
  • Treat a submission acknowledgement as a tracking record. Plan customer receipts only after approval and the necessary payment access are confirmed.

Identify the foreign company behind the branch

A foreign-company branch is an extension of the overseas company, with the parent responsible for its liabilities. A Singapore-incorporated subsidiary is a separate company; a representative office cannot earn income. These distinctions in ACRA’s foreign-business options determine whose corporate records the bank needs. Do not prepare a subsidiary’s shareholder and director file when the applicant is the foreign company operating through its branch.

The Accounting and Corporate Regulatory Authority (ACRA), Singapore’s business registry, requires a locally resident authorised representative for a branch. Following approval through Bizfile, ACRA’s registration portal, the branch receives a Unique Entity Number (UEN), registration notice and Business Profile download. ACRA’s branch registration requirements explain those outputs. They establish the Singapore registration; they do not certify that a bank has completed its own checks.

The branch’s authorised representative is not automatically its bank signatory. Prepare the bank’s resolution and mandate to show who may open and operate the account. A director, representative, beneficial owner and digital-banking authoriser may be the same person, but record each role separately so the bank can check the relevant authority.

If the intended account holder is actually a newly incorporated subsidiary, its formation records should follow the Singapore company registration requirements ; the branch’s overseas incorporation certificate cannot stand in for that subsidiary’s records. Resolve the legal applicant before anyone signs bank forms.

Check the applicant before collecting documents

Bring the foreign-company name, branch UEN and proposed account operators to an initial discussion. Use them to identify the corporate records and authority that need checking.

Build a connected KYC document file

Prepare linked evidence for the Singapore registration, foreign legal entity, account authority, ownership and funding. UOB’s foreign-incorporated-company checklist lists incorporation and constitutional documents, account-opening authority, identity and address evidence, and tax documentation. Its foreign-incorporation appointment route also identifies overseas-company resolutions, power of attorney, head-office constitutional documents and an overseas-company search. Ask which items apply to your branch and proposed operators.

Use the crosswalk as a consistency test , rather than a universal bank checklist. The preparation and repair columns combine the published document categories with practical checks: a complete-looking folder can still fail to explain how the branch, foreign company and signers connect. Conditional items need the receiving bank’s confirmation.

Evidence file Prepare for bank confirmation Cross-check Repair a mismatch
Singapore registration Current branch Business Profile, UEN and registration notice. Branch name, foreign-company identity and Singapore address. Explain a head-office name change or outdated branch record; identify which record needs correction.
Overseas legal entity Incorporation certificate or equivalent, constitution and current registry information requested by the bank. Home-country name, number, legal form and corporate officers. Bridge different registry formats with official supporting records; do not silently substitute another group company.
Authority and people Account-opening resolution, mandate, identity documents and applicable residential-address evidence. Signers and approved persons match the authority granted. Obtain missing approval or power of attorney; resolve passport and form-name differences.
Ownership and control Ownership chart, evidence for intermediate entities and identity evidence for the ultimate individuals requested. Every ownership link can be traced through the foreign company. Investigate a missing holding-company layer or control arrangement before declaring the file complete.
Purpose, funding and tax Account-purpose explanation, funding support and the bank’s relevant tax self-certification forms. Proposed payer, commercial purpose and declared business are consistent. Explain group funding or an unusual payment route; ask which supporting records the bank needs.

Assign an owner to each unresolved row. The company’s corporate-records team can obtain registry documents, the board or authorised corporate officers can arrange the required authority, and the proposed signatories can provide personal evidence. Give the bank an indexed file with a short explanation of any name, address or ownership discrepancy.

Keep the registered office, principal operating location and personal residential addresses in separate fields. A Singapore correspondence address does not explain where staff work or where a director lives. If the branch has not started trading, describe that honestly and distinguish planned activity from existing parent-company operations.

The evidence has to converge on the same applicant before the bank can assess the proposed account and its users. The review stage can produce questions or a decline; document preparation does not remove that discretion.

How branch evidence leads to a bank decision Singapore registration and foreign-company records connect to authority, people, ownership and funding. Bank review can lead to questions or decline, or approval followed by active account access. Check the links between the evidence files; an application reference is earlier than an approved, usable account.

Confirm foreign-document acceptance before certification

Obtain the bank’s acceptance instructions before paying for certification or sending originals across borders. ACRA and the bank receive documents for different purposes. ACRA acceptance does not establish bank acceptance. A registry-certified document, notarised copy and certified translation are different forms of evidence; do not treat any one of them as a universal solution.

OCBC’s business application booklet specifies certified identity and residential-address copies for listed account participants, including beneficial owners, and identifies bank staff, a corporate secretary or a notary public as certifiers. It specifies a three-month age limit for the relevant address bills. Confirm the applicable branch procedure, people covered and acceptable certifier with OCBC before relying on that general booklet.

Ask the receiving bank to confirm the language, translation certification, document-age cut-off and whether a scan is enough initially. If an apostille or legalisation is requested, obtain the precise document and issuing-jurisdiction instructions. Do not arrange a blanket apostille exercise on the assumption that every Singapore bank requires it.

Make a document register showing the original language, issue date, certification date, certifier and person or entity covered. Retain the original-language document alongside its translation, and check spellings against passports and registry records. Ask how to resolve an expired passport, old address bill or registry extract that does not identify the current officers.

Settle overseas evidence gaps

A missing authority document or an unacceptable certification can interrupt preparation. Identify the unresolved item and the bank’s acceptance instructions before arranging another round of signatures.

Explain who controls the company and funds the account

Trace ownership through the foreign company to the individuals the bank needs to identify, including relevant control arrangements. A chart ending with a corporate shareholder leaves the next ownership layer unexplained. Record the legal name, jurisdiction and evidence for each intermediate entity, then reconcile the chart with the corporate documents and declarations.

The bank’s beneficial-owner inquiry should be answered on its own terms; do not assume a registry filing settles it. OCBC’s published forms seek persons who ultimately own or control management and supporting personal evidence, subject to stated exceptions. Its source-of-capital, revenue and wealth fields also distinguish business income from capital contributions. Your funding evidence and beneficial-owner checks should therefore connect ownership with the actual payer and origin of the proposed money.

Explain the first incoming transfer separately from the broader business history. If head office will fund the branch, identify the remitting account holder, purpose and supporting corporate records. If another group entity will pay, explain that relationship and ask what evidence is needed. Existing parent accounts, contracts or funding approvals can support the explanation when relevant; present them as proposed evidence for bank confirmation, rather than universally mandatory documents.

DBS’s March 2026 foreign-company information gives source-of-wealth requirements and an Asia-presence condition for its “all other businesses” category, with separate conditions for specialised businesses. DBS retains discretion over classification and may request more documents. Prepare a concise account-purpose note covering expected counterparties, countries, currencies and payment activity; keep forecasts distinct from established transactions.

Resolve bank questions and verify account access

Answer a bank’s follow-up by linking the question to the relevant evidence and correcting the underlying inconsistency. If a resolution names a former signatory, obtain the appropriate replacement authority. If the ownership declaration and chart disagree, resolve the ownership facts before resubmitting either document. Keep a dated record of each answer and the bank’s outstanding requests.

Confirm attendance and verification arrangements with the bank handling the case. UOB’s foreign-incorporation appointment route lists attendance by any two directors and all authorised signatories. OCBC’s Business Foreign Account advertises remote support for businesses registered outside Singapore, subject to additional eligibility criteria. These are different application arrangements: ask the receiving bank which route covers a Singapore-registered branch of your particular foreign company.

A portal receipt or appointment acknowledgement records progress; neither proves account approval. Ask for the account-opening decision and any conditions still outstanding. Before routing commercial payments, confirm the account name and details, permitted currencies, enabled payment services, signing rules and digital-user entitlements. Verify that the intended operators can access the required functions under the approved mandate.

If the application is declined, ask whether the bank can identify a correctable documentation issue or an eligibility restriction. Do not relabel the applicant, omit an owner or change the business description to fit another route. A different bank will make its own assessment; reuse verified source documents only after checking its current requirements.

Decide whether your branch file is ready to submit

Submit when the Singapore branch and foreign legal entity match, the mandate supports the proposed operators, the ownership chain is evidenced, and the funding narrative explains the money expected. Use the crosswalk to find the weakest connection first. More certified copies will not repair missing corporate authority or an unexplained group transfer.

Pause if you cannot establish who controls the foreign company, who can authorise the account, or why the applicant needs the proposed transactions. Resolve those facts with the corporate-records owner and receiving bank before signing declarations. Registration, KYC submission, bank approval and working account access remain separate milestones.

Turn the KYC file into a submission plan

Prepare the evidence index, list outstanding bank questions and name the person responsible for each answer. Keep account approval and access activation as separate completion checks.

Frequently asked questions

Does an existing parent-company account remove branch KYC?

An existing relationship may help the bank locate information, but ask what can be reused for the Singapore application. Confirm whether records, ownership declarations and mandates remain current; do not assume the earlier account covers a new booking location or new operators.

What if the foreign registry does not issue a Business Profile?

Provide the relevant home-country registry evidence and explain its purpose. UOB accepts an incorporation certificate or equivalent document in its published checklist. The bank must confirm whether your alternative records establish the company’s existence, officers and authority.

What if ownership changes while the application is being reviewed?

Tell the bank about the change and ask which declarations and supporting records need refreshing. UOB’s application declarations require accurate, complete information and written notification of amendments. Avoid leaving an obsolete chart in the application file.

Should every director become a digital-banking user?

Choose users by operational need and the approved mandate. Being a director does not itself explain which digital permissions the person should receive. Confirm the bank’s identification and approval requirements for the users and authorisers you actually appoint.

Where should confidential KYC evidence be sent?

Request the receiving bank’s verified submission channel and follow its instructions for sensitive attachments. Confirm an unexpected request through an established bank contact before sending passports, ownership records or financial statements; keep a record of what was submitted.
