Bank application preparation
Singapore Business Account for Foreign-Owned Companies: Opening Checklist
Build an assessable company dossier, identify conditional evidence and close gaps before the bank review.
If your Singapore company has overseas owners, you can seek a business bank account, but the application route and evidence depend on the ownership, residence, activity and bank. DBS accepts enquiries from foreign-owned companies through its guided route. Having incorporation documents alone does not establish that the bank will accept the business.
Prepare an evidence file that connects the applicant company to the people controlling it, the authorised account users, its commercial activity and the money it expects to receive. Confirm the bank’s instructions before arranging certification or travel. Plan from document collection through bank review to usable payment access; no single approval period applies across these conditional routes.
Key takeaways
- Choose the correct onboarding channel first; an online form can lead to an assisted review rather than completed account opening.
- Trace corporate shareholding through the group and explain control arrangements, so the reviewer can identify the people behind the applicant.
- Allocate each missing item to its actual owner: directors approve mandates, founders explain trading plans and funders document the money.
- Check document dates, certifiers and attendance against the selected bank’s instructions before spending on overseas formalities.
- Treat bank approval and working payment access as separate checkpoints; preserve the mandate, access permissions and transaction evidence.
Choose the application route before collecting documents
Start with a Singapore-incorporated private company limited by shares whose shares are held by overseas individuals or entities. A foreign parent’s Singapore subsidiary is the applicant in its own right; do not use the parent’s foreign-incorporated-company checklist simply because the shareholder is overseas. A branch or an overseas company applying directly requires a different entity assessment.
Tell the bank the incorporation jurisdiction, immediate shareholders, ultimate owners, each relevant person’s residence and the proposed business. The following policies were checked on 19 October 2026. They identify routes to discuss, rather than compare account suitability or predict acceptance.
| Bank example | Published route or condition | Your action |
|---|---|---|
| DBS | Its foreign-company route requires relationship-manager assistance for foreign corporate shareholders and foreign owners with non-local residency status, among other specified categories. | Disclose the ownership and residence facts before using a standard application channel. |
| OCBC | Its dedicated page advertises remote opening for listed categories, including Singapore companies with foreign corporate shareholders. | Confirm that the full ownership structure and required individuals qualify for that route. |
| UOB | Its published local private-company branch checklist calls for specified certifiers, approved persons and signatories to attend with identification. | Follow that checklist if using the branch route; obtain separate instructions for any alternative offered. |
These are the banks’ own policies: DBS foreign-owner onboarding , OCBC remote application categories and UOB branch documentation requirements . Confirm the onboarding method for your actual case. A remote route still involves identity verification; ask whether a video discussion, original documents or further attendance will be needed before booking travel.
Fix the applicant record and signing authority
Establish one reliable set of company details: legal name, Unique Entity Number (UEN), incorporation date, registered office, directors and shareholding. The Accounting and Corporate Regulatory Authority (ACRA) Business Profile and the company’s constitution belong with the supporting company records. If the entity has not been formed, settle the underlying Singapore company registration requirements before presenting the intended company as an existing account applicant.
Record the registered office and actual operating location separately . Explain where management works, where services are delivered and how correspondence reaches the company. An administrative address does not, by itself, describe the operating business.
Next, map each person’s role. A director, shareholder, beneficial owner and account signatory can be different people. Being named in company records does not tell the bank which payment instructions that person may give. Decide who opens the account, who initiates payments, who approves them and who administers online access.
Use the bank’s current resolution and application instructions, checked against the constitution and company approvals. DBS’s account-opening checklist separately identifies board authority, identity records, ownership proof and tax self-certification. Obtain its current case-specific list rather than treating a generic board resolution as sufficient for every bank.
Mark each evidence row ready, conditional or unresolved
Use the table as a working index, not a statement that every listed document is compulsory. Give each row a status, a document filename, a named supplier and a next action. “Conditional” means the bank must confirm the requirement or acceptable evidence; “unresolved” means the underlying fact or document is missing.
| Evidence question | What makes the file assessable | Conditional trigger | Repair before sending |
|---|---|---|---|
| Which company is applying? | Company record and constitution identify the same applicant. | Recent incorporation or a pending change. | Identify the effective record and explain any update still being processed. |
| Who owns or controls it? | A dated chart links each company layer to the relevant individuals, with supporting records. | Corporate owners, trusts, nominees or control without ordinary shares. | Request missing evidence from the entity responsible for that link. |
| Who is each relevant person? | Identity and requested residential evidence match the application. | Different spellings, expired identification or unavailable address proof. | Resolve the discrepancy and ask which replacement evidence is accepted. |
| Who may operate the account? | Resolution, signatures and online-user permissions express one mandate. | A signatory is not a director, or payment approval is shared. | Obtain the correct approval and align the bank’s access configuration. |
| What will the company sell? | A clear business explanation is supported by genuine available commercial material. | Pre-revenue status or an activity needing regulatory review. | Separate plans from signed commitments and identify outstanding permissions. |
| Where will money move? | Expected currencies, countries, counterparties and payment purposes form a coherent forecast. | Unusual corridors, third-party receipts or material intercompany flows. | Explain the economic purpose and distinguish customer revenue from group funding. |
| Where will initial funds originate? | The payer, funding basis and available trail explain the intended first transfer. | A shareholder loan, parent contribution or wealth enquiry. | Connect the funding document to the named payer; clarify any intermediary. |
| Are tax declarations consistent? | Requested entity and controlling-person declarations reflect the actual facts. | Uncertain classification or multiple tax residences. | Resolve the classification with appropriate tax advice before signing. |
The status system and repair actions are an editorial preparation tool. The bank determines which evidence it needs. The Monetary Authority of Singapore (MAS) explains that financial institutions must identify customers and beneficial owners, review accounts and monitor transactions under their anti-money-laundering controls . That regulatory framework does not create one universal company-opening document pack.
Reconcile the two halves of the dossier before handover: the people and authority must explain the business and the funds. A missing link should return to the person able to prove it, rather than being hidden inside a larger upload.
Add the branch your ownership and funding require
An overseas company holds the shares
Ask the parent to supply records supporting each ownership link and the people controlling it. A chart is useful for navigation, but attach evidence that substantiates the links. Distinguish the parent’s authority to invest from the Singapore company’s authority to open and operate its account. If ownership recently changed, date the chart and explain which records are current.
The company has no trading history
Label the business as pre-revenue. Prepare the actual launch plan, products or services, delivery arrangements, intended markets and available correspondence or agreements. Describe unsigned proposals as proposals. Do not create invoices, customer lists or leases to make a new business appear established. Ask the bank what alternative evidence it will consider when historical accounts or completed contracts do not exist.
A founder or parent will fund the account
Separate the origin of a transfer from the origin of wealth . The immediate funding explanation identifies who sends the money and whether it represents equity, a loan or another genuine obligation. A wealth enquiry looks further back at how the relevant person accumulated assets. Prepare evidence proportionate to the actual request; a bank statement showing a balance may leave its origin unexplained.
DBS’s linked foreign-company account-opening information contains business-category conditions and source-of-wealth requests, and states that the relationship manager may request more documents. Discuss holding, investment or payment-related activity accurately instead of assuming it follows an ordinary trading-company route. The document’s conditions are DBS policy, not automatic eligibility rules for other banks.
Where money comes through several entities or accounts, address the ownership and funding checks in business banking before the proposed first transfer: identify the economic funder, the remitter and why they differ. Keep the planned payment description consistent with the funding agreement.
A nominee or service provider is involved
Disclose the real control arrangement and distinguish it from the bank mandate. ACRA’s Corporate Service Providers Act explanation confirms that registered corporate service providers (CSPs) have their own AML obligations and requirements concerning commercial nominee-director arrangements. Completing CSP checks does not complete the bank’s review. Agree which documents can be shared, by whom and through which authorised channel.
Rehearse the interview and repair contradictions
A useful preparation exercise is to explain one intended receipt and one intended payment from beginning to end. Identify the counterparty, contract or purpose, currency, country, approximate scale and expected timing. The director or business owner explaining the application should understand these facts; an intermediary should not supply a different commercial story.
For each discrepancy, distinguish an incorrect fact from a missing explanation. A registered address and an overseas management address may both be accurate. An ownership percentage that differs between the chart and signed application needs reconciliation. Use the following repair order:
- Identify the authoritative record and the person able to correct or explain it. Keep a short discrepancy note rather than silently editing only the bank form.
- Replace affected records and revise dependent documents together. If a corporate change is genuinely needed, handle its approval and filing separately; do not describe an intended change as already effective.
- Ask the bank to confirm unresolved evidence requirements. Record the request, response, document version and any deadline under the application reference.
Certification is another common avoidable expense. UOB’s local-company checklist specifies acceptable identification certification and, where residential proof is needed under that checklist, bank statements or utility bills from the last six months. Other institutions can use different document windows and certifiers. Ask about translation, certification, originals and remote verification together; overseas origin alone is not a sufficient reason to commission an apostille for every document.
Do not answer a request for proof with a broader unsupported claim. If a contract is unavailable, explain its status and ask whether genuine alternative evidence can be considered. If the underlying transaction cannot be explained, pause that part of the application.
Submit, respond and prove the account works
Set a practical sequence with named owners and completion evidence. Company and ownership records can be collected alongside the business explanation. Finalise signatures only after the bank confirms the applicable forms and mandate. The main uncertainty is the institution’s assessment and any follow-up, not the time needed to upload a file.
- Confirm the product and channel. Check required currencies, payment destinations, access controls and any unavailable services. Obtain the current fee schedule, opening-funding instruction, minimum-balance conditions and any application charge in writing.
- Submit through the bank’s authorised channel. Keep the application reference, submitted file list and acknowledgement. Avoid sending sensitive identity material to an unverified intermediary.
- Respond to requests as one coordinated file. Answer the precise question, identify changed documents and retain evidence that the response reached the case handler. An acknowledgement is not an account approval.
- After acceptance, complete any remaining funding and activation steps. Verify who can log in, create beneficiaries and approve payments under the agreed mandate.
- Confirm usable access. Preserve the approval notice, account details, access permissions and evidence of an appropriate permitted test transaction before committing to a dependent collection or payment.
There is no universal opening deposit or approval timetable established by these sources. Ask the selected institution what its terms and expected next milestone are for this case. If declined, ask whether a correctable evidence issue or another suitable product can be discussed. UOB’s checklist expressly preserves its discretion to reject without explaining why; a complete upload cannot override that discretion.
If considering a nonbank payment account, check the contracting entity and its licence category in the MAS Financial Institutions Directory , which lists banking and payment institutions separately. Confirm permitted services, account naming, balance protection, access limits and payment corridors in that provider’s terms. Treat the application and operational test as a separate route, and verify whether any bank-deposit protection applies to the actual product.
Choose a submission date from the unresolved items
Submit when the company facts, authority, ownership explanation and planned use agree, and the bank has confirmed how to handle remaining conditional items. A tidy folder is useful only when its evidence answers the application questions.
- Proceed with preparation when each missing document has a supplier and an attainable next action. A draft application can help expose gaps without asserting that the file is complete.
- Seek a bank clarification before incurring certification or travel costs where the channel, people required or acceptable evidence remain uncertain.
- Defer final submission where ownership, authority or the economic purpose of funds cannot yet be explained truthfully. Resolve that substantive gap before choosing another upload date.
Keep the completed checklist with the submitted version. It becomes the reference for follow-up questions and later changes to owners, signatories or account use, rather than a one-time collection exercise.
Frequently asked questions
Can a personal account receive the company’s first customer payment while the application is pending?
Do not assume that arrangement is permitted. Check the personal account terms, the customer contract and the company’s accounting treatment before collecting money. Agree an acceptable company collection route with the relevant provider rather than treating a personal account as an automatic temporary substitute.
Does a foreign passport automatically require a visit to Singapore?
The selected bank and onboarding route determine verification. OCBC advertises a remote route for its stated foreign-owner categories, while a branch checklist can require attendance. Obtain instructions for every relevant person in the actual structure before arranging travel.
Should every shareholder’s passport be emailed to several banks at once?
Confirm the recipient, purpose and secure submission method first. Provide the documents needed for each actual application with the appropriate authority to share them. Keep a record of which institution received which version and follow its data-handling instructions.
What if a bank asks for a document that does not exist in the parent’s jurisdiction?
Explain what that jurisdiction issues and provide a genuine example or official description where available. Ask the case handler to identify an acceptable alternative or certification route. Do not relabel a different document as the requested certificate.
Does opening the account establish Singapore tax residence or permission to work?
No. A bank’s account decision does not determine the company’s tax residence, grant a work pass or authorise a regulated business activity. Resolve any such requirement through the relevant tax, immigration or licensing process.
