Singapore Capital Markets Services Licence: Company Setup & Scope

Trace each service function to its capital, people and operating requirements.

A capital-markets company can outgrow its intended licence before it launches. Advising a company on raising capital, placing its shares and holding investors’ assets are different functions, even when one contract describes the work as a single service.

Before registering the operating company, identify each regulated function, any applicable exemption and the associated capital, personnel and control requirements. A CMS licence authorises specified activities; it is not blanket permission for every financial service.

Key takeaways

  • Map what the business actually does, including transactions, client assets and financing.
  • A corporate-finance mandate may add dealing activity when placement or underwriting is included.
  • Capital depends on the activity and operating conditions; the lowest published figure is not a default budget.
  • Use the dedicated fund-management route where that is the business, and confirm its category-specific requirements.

Identify the commercial change that creates a licensing gap

A founder may begin with corporate finance advice and later agree to introduce investors, place securities, arrange execution or hold subscription money. Each addition deserves a fresh perimeter check. The problem is often a change in operational responsibility rather than a change in company name.

MAS’s corporate finance adviser guidance expressly distinguishes advice from underwriting and placement, which may also require dealing authorisation. It describes conditional exemptions, including certain non-public advice to qualifying investors. Those conditions concern the service, recipients and circulation of the advice; a private-client label alone is insufficient.

Write the transaction flow before selecting the licence activities. Show who recommends, solicits, accepts an order, contracts, receives money and keeps assets. Where a regulated partner performs a step, record the legal and operational allocation rather than assuming that outsourcing removes your own activity.

A useful first record is a business-change register: current function, proposed addition, affected client or asset, relevant activity and owner of the regulatory assessment. Revisit it before a new product, client segment or custody arrangement is promised in a sales proposal.

General Singapore company registration prepares the entity for contracts and corporate filings. For this business, the incorporation plan should follow the identified operating functions so that the officers, funding and premises match the intended regulatory route.

Test the scope before you commit the operating model

Use the proposed contracts, transaction flow and asset-handling arrangements to identify the company and licensing assumptions that need to be settled.

Match the service to the CMS activity perimeter

The MAS CMS licensing overview identifies seven regulated activities. The matrix below turns those categories into questions for the business model; the statutory definitions and any exemption conditions still determine the actual outcome.

CMS activity Question for the proposed business Boundary to resolve
Dealing in capital markets products Does it transact, place, underwrite or induce investment? Products, clients, principal/agent role and handling of client assets
Advising on corporate finance Does it advise on fundraising, offers or corporate transactions? Whether placement or underwriting is also performed
Fund management Does it manage portfolios or investment funds? LFMC/VCFM eligibility and any applicable exemption
REIT management Does it manage a real estate investment trust? Dedicated REIT manager rules, rather than generic property consultancy
Product financing Does it finance acquisition of capital markets products? Financing responsibilities and margin requirements
Credit rating services Does it provide regulated credit ratings? Rating-agency criteria and code obligations
Custodial services for securities Does it safeguard or administer relevant client securities? Who holds assets and bears the custody obligations

MAS’s broker-dealer explanation includes inducement as well as buying and selling for investors. For a platform, examine the interface, communications and contractual role together. Describing the technology as a marketplace does not decide whether its operator conducts a regulated activity.

Record an exemption as a reasoned, activity-specific conclusion with the relevant conditions and evidence. A conclusion about one function does not automatically cover another. Avoid relying on broad statements such as “only institutional clients” without testing the exact exemption.

Calculate capital and fees using different rules

There is no single CMS capital figure. MAS’s overview gives broker-dealer base capital from S$50,000 to S$5 million depending on the model. Corporate finance advisory is S$250,000 and REIT management S$1 million. These are category references, not interchangeable entry prices.

The current non-fund and non-REIT licensing guideline points applicants to the financial and margin regulations for the applicable base-capital requirement. Membership, products, client type, principal transactions and customer money can change the result. For a multi-activity business, establish the requirements for every function before applying the highest applicable base-capital rule.

Consider MAS’s example of corporate finance advice combined with dealing as a non-clearing or trading member. The relevant S$250,000 and S$1 million capital requirements produce a S$1 million base-capital requirement, rather than S$1.25 million. That result depends on the stated dealing category; it is not a quote for any business that adds placement.

Annual corporate fees work differently: MAS adds the fees across the licensed activities. The published annual fixed fee for corporate finance advice is S$4,000. In its example, dealing in securities without SGX-ST membership is another S$4,000. A business with both those exact categories would therefore have S$8,000 in annual fixed corporate fees before applicable variable and representative fees.

Highest applicable base capital and fees added across activities answer different budgeting questions. Keep them in separate spreadsheet fields. Financial-resources, margin and applicable insurance obligations also require their own assessment; passing the initial capital test does not settle them.

For the impact register, add columns for the activity-specific capital rule, continuing financial test, corporate fee and control change. Record the source and assumptions beside every number. If the proposed customer-money model changes, revisit the calculation before using it in an investor budget.

Align formation documents with the submitted scope

Coordinate the ownership chart, company records and operating assumptions so that application responses remain consistent through the review period.

Form the company around the eligible team and premises

For a proposed Singapore-incorporated operator, settle the ownership, accountable management, corporate records and registered office before completing the licence application. ACRA’s local-company incorporation guide sets out the Bizfile data, share allocation, constitution and relevant controller and nominee disclosures. Foreign founders should use the appropriate corporate service provider and resolve their permission to work in Singapore separately.

MAS assesses fitness and propriety, relevant track record, management expertise, risk controls and the substance of the business plan. For the general route, its overview identifies two directors including one Singapore resident and a Singapore-resident CEO with ten years of relevant experience. Do not substitute the basic incorporation board minimum for this admission assessment.

Plan activity coverage at individual level. The general framework calls for two full-time Singapore-based individuals for each relevant activity, with three for retail licensed fund managers and REIT managers. Check category exceptions and the representative rules for the exact activity; product financing and credit rating should not be treated as identical to dealing in this respect.

The non-fund/non-REIT guideline addresses physical Singapore operations and established track record, with specific schemes and discretionary conditions rather than a blanket shortcut for a new entity. Evidence the applicant’s and relevant group’s experience accurately. A newly formed subsidiary needs a credible explanation of the people, systems and support it will actually receive.

Fund managers use the dedicated fund-management licensing route , including the LFMC or simplified VCFM framework where eligible. MAS specifies dedicated, secure office space and category-specific arrangements. Do not use an older registered-fund-manager route or assume that ordinary virtual-office services meet the operational requirements.

Banking preparation is another evidence exercise. The bank review of a proposed Singapore company helps identify ownership, funding and transaction evidence to prepare. Bank onboarding neither grants a CMS licence nor determines its scope.

Business expansion and its CMS assessment consequences Adding placement to an advisory model leads to a dealing assessment and parallel reviews of capital, personnel and controls. Corporate finance advisory model Add placement or underwriting Reassess capital and financial tests Reassess people and authorisations Reassess controls and annual fees Assess dealing activity scope
An expansion assessment can change several requirements at once; it does not itself add permission to the licence.

Submit the defined scope and close the approval conditions

Use the current CMS Form 1 process through MAS eLicensing. MAS no longer accepts applications by email or the former Corporate e-Lodgement System. The non-refundable corporate application fee is S$1,000. Keep the submission acknowledgement and the version of the operating model on which the application is based.

Build the submission around the final activity matrix, ownership structure, management evidence, funding, premises, projections and operational controls. Assign one owner to reconcile responses across these files. A material model change during review can lengthen the process or require a fresh submission, so treat new commercial commitments as controlled changes.

MAS expects review to take up to six months for complete applications meeting the admission criteria. Successful applicants receive in-principle approval with specified requirements to fulfil, ordinarily within six months. MAS may rescind it if requirements are unmet or key people or the business plan change. An extension is discretionary, not a launch-planning assumption.

Maintain a condition register with the evidence needed, responsible person and completion status. Licence grant follows satisfaction of the relevant conditions. In-principle approval should therefore be tracked separately from permission to begin the regulated service.

Apply the CMS representative framework to the individuals who conduct the relevant activities. Check qualification, examination and fit-and-proper requirements for their actual roles. The public fee table lists S$200 for a new lodgement and annual representative fees of S$700 or S$200 depending on activity, charged on a highest-of basis. The fund-management page contains specific VCFM arrangements; do not force every category into one notification procedure.

Escalate the changes that alter the licence perimeter

Trigger a scope review before adding a regulated function, accepting a new client category, taking custody of assets, financing transactions or acting as principal. Test the proposed contract and process, then update the impact register. An unchanged company activity code does not demonstrate an unchanged regulatory position.

An existing CMS licensee adding an SFA-regulated activity uses Form 5, with a S$500 non-refundable application fee and relevant representative arrangements. Providing financial advisory services to customers involves the exempt-financial-adviser notification and conduct framework described by MAS; it should not be assumed to follow automatically from the CMS grant.

Escalate a project when the team cannot explain who controls an investment decision or client asset, when a quoted capital amount lacks category assumptions, or when the desired launch date precedes closure of approval conditions. Those are concrete gaps to resolve before the directors approve the service.

The final decision should identify the authorised entity, exact activity set, permitted operating conditions and responsible people. Keep that record beside the commercial plan so that later expansion is assessed against the business MAS actually approved.

Frequently asked questions

Does a CMS licence cover all capital-markets activities?

It covers the activities authorised for the entity and their applicable conditions. Adding another function requires an assessment of scope, any exemption and the process for additional authorisation.

Is S$50,000 enough to establish a CMS business?

That is the bottom of a range for particular models, not a universal threshold. Determine the products, client categories, memberships, transactions and handling of customer assets before selecting the applicable capital requirement.

Is corporate finance advice the same as financial advice to investors?

No. Advice on fundraising or corporate transactions is assessed under the corporate-finance activity. Investment-product recommendations to customers engage the financial advisory framework. A mixed business must address both functions.

Can in-principle approval be treated as the final licence?

The specified requirements still need to be fulfilled before MAS grants the licence. Track the approval conditions and the final grant separately; do not offer regulated services merely because an IPA has been received.

Can a fund manager use a general CMS checklist alone?

Fund management is a CMS activity with dedicated admission, operating and representative requirements. Select the relevant LFMC or VCFM route and use its current guidance alongside the corporate setup work.
