LOCAL FOUNDER QUALIFICATION
Singapore Citizens and Permanent Residents: Business Setup Eligibility
Start with the person’s proposed role, then check the structure and activity.
Singapore citizens and permanent residents can generally set up a business from age 18, subject to the selected structure and role-specific restrictions. Check bankruptcy or director disqualification, actual local-role eligibility and any applicable MediSave condition. Permission to register remains separate from premises or sector permission to carry on the planned activity.
Key takeaways
- Choose the owner, partner, manager or director role before checking eligibility.
- An overseas-based citizen or PR should verify the required local-role facts.
- Assess personal-liability exposure as part of structure selection.
- Registration and activity permission have different completion evidence.
Check the person and the intended role first
A Singapore citizen or permanent resident (PR) aged at least 18 can generally register a business, subject to the chosen structure and applicable role restrictions. ACRA explains registration eligibility and exemptions . Nationality or PR status is not a substitute for checking whether the person may act as the proposed owner, partner, manager or director.
For example, an undischarged bankrupt must address the approval requirements applicable to the intended role. A person disqualified from company directorship cannot solve that restriction simply by being a citizen. Check the restriction and any written approval before inserting the person into the filing. Use ACRA’s structure-specific eligibility requirements rather than applying one rule indiscriminately to all roles.
Owning shares, acting as director and personally running the business are separate roles. Write down which role you intend to perform. Then identify the evidence for it: current identification, relevant residence facts and any approval or restriction affecting that appointment.
Check your intended appointment
Start with the role you will hold and any personal restriction that could affect the filing.
Local status does not settle every residency question
A company needs at least one director meeting the ordinary-residence requirement in Singapore. Citizenship or PR is a recognised status, but a person living abroad should not assume a local identity document alone establishes the required facts. The company officer rules also require an eligible secretary within six months, and the sole director cannot be that secretary.
A single founder can own a company and serve as its eligible director, while another qualified person performs the secretary role. The practical one-owner company arrangement still involves distinct statutory responsibilities. Agree who receives official correspondence and who maintains the company records before relying on a minimal team.
For a local founder, Singapore company setup requirements concern the company as well as the individual. Share details, the constitution, registered office and the persons appointed must fit together. A founder’s personal eligibility does not remove the entity’s preparation work.
Use a role-first eligibility worksheet
Complete one row for each proposed person before selecting a filing route. This is an editorial preparation tool: it helps locate an unanswered question rather than replacing the statutory tests.
| Role or situation | Evidence to check | Decision before filing |
|---|---|---|
| Individual owner of a sole proprietorship | Age, current status, applicable bankruptcy approval and MediSave position | Confirm owner eligibility and accept personal liability. |
| Partner in a general partnership | Each partner’s eligibility and agreed authority | Confirm every partner, not only the person submitting. |
| Company shareholder and director | Share entitlement, director eligibility and ordinary-residence facts | Separate ownership from the director appointment. |
| LLP partner or manager | Partner information and the qualifying local manager | Do not substitute a partner’s title for the manager requirement. |
| Citizen or PR based overseas | Actual residence and who will perform the local statutory role | Resolve local coverage before registration. |
Self-employed individuals registering the relevant sole proprietorship or partnership route should check the applicable MediSave conditions, including whether payment is complete or an active GIRO arrangement exists. MediSave status can be a practical registration obstacle even where age and citizenship are straightforward. It should not be confused with a universal requirement imposed on every company shareholder.
For two founders, an eligibility check should be carried out for both people even when only one will submit online. Keep a simple decision record stating which issues are cleared, which need evidence and who must provide it. Do not submit a placeholder manager or director to bypass an unresolved restriction.
Check the activity, address and submission route
A sole proprietorship is not separate from its owner and carries unlimited personal liability. An LLP and a company have different legal and administration features. Choose the structure around contractual exposure, ownership and ongoing work, rather than selecting a form only because the applicant is eligible for it.
Registration also does not grant every sector permission. Identify the specific products, services and premises to determine which activity approvals are needed. If a home address is proposed, assess the relevant property-use rules and arrangements for receiving correspondence. Address registration and permission to conduct the activity answer different questions.
As at 26 October 2026, an important address rule has changed: the specified minimum registered-office public opening hours were removed from 20 October 2026. Company records must still be made available for lawful inspection. ACRA’s commencement announcement explains the change . Do not rely on an older three-hour checklist as the current rule.
For a local-company application, ACRA describes the Bizfile filing route . The eligible direct filer must have the relevant role and name reservation; a corporate service provider is another option. Prepare the approved name, company information, appointments, shares, constitution and applicable controller or nominee information. Obtain endorsements and retain the submission outcome.
Eligibility to submit does not mean the business is ready to operate. Confirm the registered outcome and assign the post-registration responsibilities before moving to banking, hiring or regulated activity.
Resolve the business-specific condition
Identify whether the outstanding issue is the structure, premises, role appointment or activity approval.
Prioritise the eligibility issue that can block setup
Clear personal restrictions first, then confirm the intended role and local coverage , then select the appropriate structure. Complete activity and premises checks before committing to an operating start. Where these matters are clear, prepare the registration file; where a restriction or residence question remains unresolved, obtain the relevant evidence or approval before appointing the person.
Prepare the local-founder registration scope
Bring the completed role worksheet and business description to agree the filing and ongoing responsibilities.
Frequently asked questions
Does using only my full personal name always settle every obligation?
A registration exemption may apply under the business-name rules, but it does not remove tax, licensing or other applicable duties. Check the full exemption and the actual activity.
Can a retired person start a business?
Retirement alone is not the eligibility test discussed here. Assess the person’s intended role, restrictions and business-specific requirements.
Does a PR need a foreign founder’s work-pass route just because they are not a citizen?
Do not classify a Singapore PR as an overseas work-pass applicant merely because they are not a citizen. Use the person’s current status and the relevant role requirements.
Can a local founder appoint a service provider voluntarily?
Yes. Direct-filing eligibility does not require the founder to handle every administrative task personally. Agree the provider’s scope and the responsibilities retained by the business.
