Singapore Company Financial Statements: Preparation and Required Components

Connect the accounting evidence to one authorised statutory reporting set.

Singapore company financial statements are more than a balance sheet and profit-and-loss export. The required set depends on the applicable accounting framework and statutory position; preparation, audit and filing exemptions must be assessed separately.

Directors retain responsibility even when accountants prepare the statements. Confirm the entity, period, framework and exemption assessments, then reconcile the records before authorising a final set or converting it to the required filing format.

Key takeaways

  • Audit exemption does not automatically remove preparation or filing obligations.
  • A full reporting set includes primary statements, notes and required corporate reports.
  • Reconcile evidence before drafting disclosures or XBRL mappings.
  • A solvent EPC filing exemption is distinct from an accounting preparation exemption.
  • Keep the authorised source and filed copy consistent and retrievable.

Decide preparation, audit and filing separately

Audit exemption and financial-statement filing exemption are different decisions. ACRA’s financial reporting duties guidance places responsibility on directors for compliant financial statements and a true and fair view. Outsourcing preparation does not transfer that responsibility. A company may need unaudited accounts even where it does not need a statutory audit.

Before setting the annual work scope, record the company type, reporting period, applicable accounting framework, group relationships, audit assessment and filing assessment. Check any specific dormant-company preparation relief on its own conditions rather than assuming that an inactive bank account means no accounts are required. “No audit”, “no XBRL” and “no preparation” should never be interchangeable instructions to an accountant.

For a newly formed entity, the Singapore company formation requirements establish the corporate starting point, but annual reporting needs its own owner and calendar. Retain the incorporation date and chosen financial year end with the opening balances so the first set of accounts covers the correct period.

Confirm the entity, period, group position and exemption questions before commissioning the accounts.

Assemble a complete reporting set, not just a profit report

Select the applicable framework using ACRA’s accounting standards guidance . Do not assume that the parent’s overseas reporting template is sufficient for the Singapore statutory accounts. Presentation and disclosure depend on the framework and period. For a conventional full set under the main presentation framework, the primary statements cover financial position, performance including other comprehensive income where applicable, changes in equity and cash flows, with explanatory notes and comparative information.

Component What it explains Preparation check
Financial position Assets, liabilities and equity at the reporting date Reconcile cash, receivables, payables, loans and capital.
Financial performance Income, expenses and applicable other comprehensive income Check revenue cut-off, classifications and recognition policies.
Changes in equity Opening-to-closing capital and reserves Tie profit, share transactions and distributions to the company records.
Cash flows Cash movements by the applicable categories Reconcile closing cash and distinguish non-cash transactions.
Notes and corporate reports Policies, disclosures, directors’ statement and audit report when required Use the current framework and the company’s actual facts; remove irrelevant boilerplate.

The directors’ statement is a Companies Act requirement, not merely a decorative cover page. ACRA’s reporting relief guidance explains its relationship to statutory disclosure requirements. Confirm the required signatures and actual authorisation date. Include an auditor’s report where an audit is required or performed; an unaudited set should not contain an invented audit opinion.

Close the ledger before drafting disclosures

Build an evidence-to-line-item schedule. Bank statements support bank reconciliations; customer invoices and contracts support revenue and receivables; supplier records support expenses and payables. For loans and related-party balances, retain agreements, confirmations and the explanation of the transaction. A balanced trial balance shows that entries balance, not that the entries are complete or correctly measured.

The underlying bookkeeping and accounting records should let the preparer trace material balances without reconstructing the year from a bank feed. Identify accruals, prepayments, inventory and fixed assets before the draft is circulated. If the company has multiple currencies, document the functional-currency assessment and applicable translation policies with the accounting adviser.

Use a close-issues log with an owner, evidence requested and proposed resolution. Examples include an unexplained director advance, a customer credit note issued after year end or stock held at a third-party warehouse. Resolve the accounting question first; do not put a vague note into the financial statements to conceal a balance that nobody can explain.

For a group company, examine whether consolidated statements or other group disclosures are required. Reconcile intercompany balances with the other entity and investigate differences in cut-off, currency or classification. The overseas group audit schedule can be useful evidence, but it should not automatically determine the Singapore statutory conclusion.

Resolve the close before filing

Identify missing evidence, accounting judgments and the correct filing package.

Choose the filing package after the accounts are prepared

ACRA’s filing requirements distinguish solvent exempt private companies (EPCs), smaller non-publicly accountable companies and other categories. A solvent EPC generally does not have to file its financial statements, subject to the stated conditions and declaration. Other companies may need Simplified XBRL plus a PDF, Full XBRL, or a category-specific package. Use the current eligibility test rather than choosing the shortest template.

A filing concession does not change the contents of the authorised accounts. Maintain a clearly identified source document. Where XBRL is required, map that approved content to the taxonomy and check the consistency of the figures and text. Treat the conversion as a controlled output, not a second set of accounting decisions made by a filing clerk.

Review layer Question Completion evidence
Accounting Do balances and disclosures reflect the correct framework and records? Resolved close issues and reconciled draft.
Governance Have the responsible directors reviewed and authorised the statements? Final dated set and required directors’ statement signatures.
Filing Does the selected package match the company’s filing category? Validated required format and acknowledgement tied to the correct entity and period.

ACRA’s XBRL preparation workflow includes mapping, validation and upload before the annual return transaction. Validation errors require investigation; a warning may need review even where the numbers are correct. Preserve the final source document and the submitted file together so the next preparer can explain exactly what was filed.

Schedule director review before the filing deadline

Work backwards from the company’s reporting and filing obligations, allowing time for bookkeeping clean-up, specialist accounting questions, audit where needed, director review, member circulation or AGM requirements, XBRL preparation and final filing. Several tasks can overlap, but unresolved balances can block both the accounts and the tax computation. A late request to convert an unfinished draft to XBRL will not solve those dependencies.

Separate the professional scope into bookkeeping, year-end accounts, consolidation, audit, XBRL and tax work. A “financial statements” quotation may not include all of them. Ask about the period, transaction volume, subsidiaries, currencies, related-party complexity and prior-year corrections before comparing fees. No universal preparation price or completion time is supportable without those facts; this article does not quote an HSJGlobal service fee.

A useful director review meeting focuses on material estimates, unusual transactions, solvency and the evidence behind significant balances. Ask the preparer to explain changes from the prior year and why the disclosures apply. Directors should understand the document they authorise rather than sign solely because a deadline is approaching.

Release one authorised set and reconcile the filing copy

Close the reporting task against one final, authorised version. Check the legal entity, period, framework, signatures, primary statements, notes and audit report where applicable. Make sure the filing copy and XBRL data agree with that version, then retain the acknowledgements with the records.

If records are incomplete or material accounting judgments remain unresolved, escalate them before authorisation. If the company has already filed an incorrect set, obtain advice on the appropriate correction process. Replacing a PDF in an internal folder is not the same as correcting an official filing.

Prepare the authorised reporting set

Coordinate accounting, director review and filing responsibilities around the real deadline.

Frequently asked questions

Are unaudited accounts the same as no accounts?

No. An audit-exempt company may still need to prepare and, depending on its category, file financial statements.

Is a trial balance a complete set of statements?

No. It is an input to preparation, not the authorised primary statements and disclosures.

Does every company file Full XBRL?

No. The filing package depends on ACRA’s current category and exemption conditions.

Can the accountant accept directors’ responsibility?

Outsourcing preparation does not transfer directors’ statutory reporting duties.

Can a filing copy differ from the authorised accounts?

It should faithfully represent the required authorised source; investigate differences before submission.
