Provider appointment and accountability
Singapore Corporate Service Providers: Appointment and Regulatory Duties
Connect the engagement, Bizfile authority and statutory roles before relying on a provider to act.
A Singapore CSP appointment needs a verified provider, agreed work and the right filing authority. These are separate from appointing company officers. The provider has its own regulatory duties, including due diligence and nominee-director checks where applicable; directors retain their company duties. Confirm which legal entity performs each service before signing or granting access.
Key takeaways
- Check the actual service entity’s CSP status, rather than relying on a trading name or ordinary company registration.
- Agree what the provider will deliver and who supplies information, approvals and follow-up instructions.
- For an existing company, distinguish the engagement letter from endorsed Bizfile filing access.
- Provider compliance checks and directors’ company duties continue alongside outsourced work.
- Use separate evidence for the provider, contract, filing authority and statutory office.
Which services require a registered CSP?
A corporate service provider is the business providing specified corporate services; it is not simply the person answering your emails. The Corporate Service Providers Act 2024 took effect on 9 June 2025. Its registration regime extends beyond businesses that submit ACRA filings. A provider cannot establish its regulatory position merely by saying another firm presses the submit button.
ACRA identifies company formation, address services, director or secretary arrangements, nominee shareholder services, specified accounting activities and filing services as activities within the CSP regime . Registration treatment includes defined exceptions, so identify the actual service and legal entity before deciding what status must be checked.
For a foreign founder, ACRA requires engagement of a CSP to reserve a name and register a business structure. This requirement concerns the formation route. It does not appoint a director or company secretary, and it does not determine every service the company will need after incorporation.
The underlying requirements for Singapore company registration still need to be settled: the company structure, proposed officers, address and incorporation information must be ready for the filing. Engaging a provider creates a working relationship around those inputs; it does not supply missing commercial decisions.
Set the appointment scope before granting access
Begin with the exact appointed legal entity . Ask for its legal name and UEN, and identify any different firm that will perform the regulated work. In ACRA’s Bizfile search guidance , the Entity search accepts a name or UEN; opening the entity profile shows CSP information where the entity is registered as a CSP. A company’s ordinary live status alone does not establish that status.
- Compare the search result with the engagement letter and the entity named for filing. If different businesses are involved, record each role and who is accountable for delivery.
- Agree the transactions covered, the service period, information cut-offs, approval contacts and documents you will receive. State whether secretary, address, nominee or accounting work is separately included.
- Provide the identity, ownership and authority evidence requested for onboarding. Ask which unresolved items prevent the provider from accepting or performing the proposed work.
- For an existing entity, arrange the Bizfile client-list and endorsement step before relying on the CSP to file. Preserve confirmation of access as well as the commercial agreement.
These are practical appointment controls, rather than a prescribed engagement-letter template. The provider scope and renewal comparison can help settle exclusions before the relationship starts. A low initial quote tells you little about responsibility for later share changes, officer appointments or urgent corrections.
Use company-controlled contact details for important notices and nominate a director to receive filing results. Decide who substitutes if the usual approver is unavailable. A well-defined appointment should continue to work when a deadline falls during travel or staff leave.
Define the work before you appoint
HSJGlobal can help map the incorporation and ongoing support you need. Bring the proposed ownership, officers and transactions so the service scope can be discussed.
Keep four appointment records separate
A signed engagement, portal access and a statutory office answer different questions. Use the following handoff matrix to decide which evidence is missing. It combines the registration, client-list and officer rules into a practical control; an entry in one row cannot close the others.
| Appointment layer | Evidence to keep | What it establishes | What still needs action |
|---|---|---|---|
| Provider identity | Matching legal name, UEN and CSP search result | The identity and registration position checked | Resolve any different filing entity or intermediary |
| Commercial engagement | Accepted scope, exclusions and approval contacts | The work the provider has agreed to perform | Assign the company’s information and approval owners |
| Filing authority | Client endorsement and confirmed client-list access | The provider can file for the existing entity | Approve the particular transaction and retain its result |
| Statutory office | Named officer, consent and appointment record | Who holds the director or secretary role | Maintain eligibility and discharge the role’s duties |
For existing entities, ACRA’s client-list procedure requires the CSP to update its list before filing. An authorised position holder or RQI uses Corppass to enter the CSP profile, opens “Maintain corporate service provider client list”, and adds the client using its UEN. Newly added clients must endorse before filing access is granted. The client can view appointed CSPs on its own Bizfile dashboard.
For the statutory-office row, a firm’s service contract is not a person’s appointment . Under ACRA’s secretary appointment rules , the secretary must be a natural person, meet the applicable local residency rules and be distinct from the sole director. Appointment is required within six months of incorporation. The provider relationship and the company’s officer record therefore need separate confirmation.
Once those prerequisites are understood, the relationship divides into two continuing tracks: the provider controls its regulated work, while the company supplies decisions and retains governance responsibility.
What the CSP must do throughout the relationship
Under ACRA’s registered CSP guidelines , customer due diligence normally precedes corporate services, covering identity, agents, beneficial ownership and screening. Higher risks require enhanced measures. Limited verification-deferral conditions are for the CSP to assess.
The provider must conduct ongoing monitoring, retain CDD records for five years after services stop, and maintain controls for risk, reporting, records, staff training and compliance. Suspicious-transaction reporting procedures are required. Updated evidence may be needed after onboarding.
Ask how to submit changes securely and who handles compliance questions. A customer declaration does not replace the CSP’s verification duties. Supply supporting evidence promptly and explain changes.
Registered qualified individuals have a different operational function. ACRA identifies RQI duties including oversight of transactions, supervision of authorised staff, and reporting and correcting transaction errors. Ask for an escalation contact when an instruction stalls or a submitted record appears wrong; an account manager’s acknowledgement is not proof that the correction was filed.
Resolve a missing approval or document
A scope review can identify who must provide the missing information and which filing depends on it. Share a description of the gap before sending sensitive records.
Nominee appointments require another check
Commercial nominee-director arrangements involve a specific provider duty. Under the CSP Act’s nominee-director rules , a person must not act as a nominee director by way of business unless the appointment is arranged by a registered CSP. The CSP must be satisfied that the proposed person is fit and proper, including taking reasonable steps to check disqualification and considering the prescribed factors.
That assessment does not convert the director into a person without responsibilities. ACRA’s officer guidance makes clear that directors remain responsible for proper records, required filings and acting in the company’s best interests, whether active or described as nominees. Appointing a CSP does not transfer directors’ statutory duties to the provider. The same principle matters when the provider also arranges a resident director or supplies secretarial support.
Before accepting the arrangement, identify the named director, the nominator and the agreed information flow. Make sure the director can obtain the company information needed to act responsibly. Treat a promise of “no involvement needed” as a reason to revisit the arrangement, rather than as a service advantage.
Repair missing access and interrupted service
If a provider cannot file, diagnose the appointment layer before chasing the transaction. An unsigned scope, incomplete onboarding, missing client endorsement and an absent statutory officer call for different fixes. A payment receipt is not a substitute for the evidence in the handoff matrix.
- Access problem: ask the CSP to confirm the client-list position. The client’s authorised position holder can inspect appointed CSPs and remove filing access for a firm no longer engaged.
- Unclear handover: obtain a written list of pending transactions, company records held, upcoming approvals and the person taking each task. Confirm replacement access before relying on the incoming firm.
- Officer change: handle any director or secretary appointment or cessation separately from the commercial transfer. Update the relevant officer record through the applicable process.
- Submitted error: preserve the original result, tell the provider what is wrong and ask for the appropriate correction route and outcome evidence.
These are continuity measures for the company. They also matter if the CSP faces regulatory action: ACRA may suspend or cancel registration or restrict filing access, among other sanctions. Do not assume an invoice renewal proves continuing filing capacity. If a deadline is approaching, directors should establish who can act and what remains outstanding immediately.
Keep the commercial termination date, access withdrawal and officer changes explicit in the handover. They may occur at different times. The company needs a continuing route for notices, approvals and records while the service relationship changes.
Accept a CSP appointment with clear responsibility
Accept the appointment when the provider identity is verified, the work is agreed, filing authority is established where required, and each statutory office has its own evidence. Name a company approver and ask for a deliverable that demonstrates completion of every instructed transaction.
If one layer remains unresolved, address that layer before relying on dependent work. An unclear regulated service entity needs clarification; missing endorsement needs an access action; a vacant office needs an appointment. Keep oversight with the directors and use the CSP’s compliance and transaction contacts for their respective decisions. The result should be an accountable working relationship that the company can explain from its own records.
Plan the appointment and first handover
Bring the agreed scope, entity details and outstanding decisions. HSJGlobal can help organise the incorporation or compliance support discussion around named responsibilities.
Frequently asked questions
Must a business that only introduces customers register as a CSP?
ACRA lists an intermediary that only refers customers to registered CSPs among those not needing CSP registration. That is a narrow boundary: identify whether the intermediary also performs corporate services, and confirm the actual regulated service entity.
Is adding a client to the CSP list an ACRA chargeable service?
ACRA lists maintenance of the CSP client list as free, with immediate processing subject to the new client’s endorsement for filing access. This does not determine the provider’s commercial onboarding or professional fees.
How does the client-list step work before the company has a UEN?
The published add-client procedure requires a client UEN. For a new incorporation, ask the filing CSP to explain the formation-specific workflow and subsequent client relationship. Do not treat an existing-company access checklist as the entire incorporation process.
Can the new provider promise deletion of all previous due diligence records?
The outgoing CSP has its own statutory retention obligation. A service transfer therefore does not mean every previous compliance record can be deleted on request. Ask separately about records handed to the company and those retained by the provider.
