Singapore Services-Based Operator Licence: Requirements & Scope
Connect the customer offering, network responsibilities and funding model before choosing the route.
If your Singapore business sells a telecommunications service using leased network elements or resold capacity, assess Services-Based Operations licensing from the actual service model. Class and Individual categories have different conditions, and customer deposits or prepaid collection can change the route. Selling equipment alone is a different licensing question.
Key takeaways
- The customer service and network arrangement determine the licensing assessment.
- Class eligibility does not carry every entity or payment model into the Individual framework.
- Applicable prepaid Individual operators face a S$100,000 paid-up capital condition.
- Changing service scope can require approval before launch, separately from routine information updates.
Describe what customers buy and which network elements you control
A business leasing network capacity and selling its own communications service is doing something different from selling routers. Services-Based Operations (SBO) licensing addresses the service operation. The Infocomm Media Development Authority (IMDA) framework covers specified uses of leased network elements, resale of licensed operators' services and certain services to third parties within the provider's property.
Draw the proposed service from the upstream Facilities-Based Operator (FBO) to the customer. Identify who supplies transmission or switching, who signs the customer contract, what service your company promises and whether it collects deposits or prepaid amounts. These facts are more useful for classification than a broad description such as technology consulting.
The SBO licensing guidelines distinguish services-based operations from activities that need FBO assessment. Activating particular international cable capacities or lighting international dark fibre for service provision can cross that boundary. Do not decide that all leased or virtual infrastructure automatically fits a Class licence.
Use the service description to align company activity records and the proposed regulator-facing scope. The connection between SSIC changes and licensing helps organise the company-record work; changing a business code does not itself authorise the communications service.
Define the service before choosing the company and licence
Bring the proposed customer contract, upstream provider and network outline together, including how customer money will be collected.
Use service and payment facts to distinguish Individual from Class
The published IMDA SBO framework provides two categories. Individual licensing generally applies where international transmission capacity is leased and to the specified service categories. Class licensing covers its defined services and conditions; it is not simply a cheaper option for every small operator.
| Service fact | Licensing consequence | Entity or funding check | Evidence for classification |
|---|---|---|---|
| Leased international capacity or a specified Individual service | Assess SBO (Individual), not Class by default | Singapore-incorporated company or foreign company registered under the Companies Act | Capacity arrangement, service description and network diagram |
| A service within the Class categories and conditions | Register under the applicable Class route | Framework also permits LLP and LP holders | Precise service category and operating/payment conditions |
| Customer monetary deposits or prepaid-card collection | Class licensees may not use these collection arrangements | Applicable Individual prepaid operators need at least S$100,000 paid-up capital at licensing | Payment flow, funding source and prepaid cash-flow forecast |
| New network deployment or materially changed infrastructure | Reassess whether SBO remains the correct framework | Do not use entity incorporation to decide network authorisation | Network ownership, boundaries and proposed new services |
Individual service categories include public Internet access, virtual private networks, mobile virtual network operations, IP telephony and machine-to-machine services, among others. Class categories include specified call-back, Internet-based voice/data and other resale or value-added services. Similar commercial names can occur in different arrangements, so the service and payment conditions must be checked together.
The framework does not impose a general foreign-equity limit on SBO licensees, but entity eligibility and service conditions still apply. An Individual applicant should not assume that an LLP, eligible for the Class framework, can simply carry the same plan into Individual licensing.
Customer deposits and prepaid collection deserve an early decision. They change funding and consumer-service obligations, rather than merely changing how an invoice is paid. Check the precise arrangement before describing a service as postpaid or assuming that a payment platform changes its regulatory character.
The network relationship and the money relationship must support the same proposed service. A diagram supplied by an upstream carrier alone may not show what your company actually promises or collects from customers.
Prepare a proposal that can be evaluated against the intended service
IMDA lists an ACRA Bizfile report, service descriptions, network diagrams and three-year projected capital expenditure among the supporting materials. For prepaid services, it also asks for a three-year projected cash-flow statement and the funding source. Reconcile the forecasts with the customer-payment arrangement, rather than submitting a generic financial model.
Company formation is a prerequisite workstream for a new corporate applicant. The requirements for registering a company in Singapore establish the entity and company records; the regulator separately evaluates the proposed service. If a registered foreign-company route is contemplated, establish that entity position and liability structure before relying on a local subsidiary's assumptions.
- Freeze the intended service specification. Identify the upstream licensed operators, customers, network boundaries and payment arrangements. Record any point requiring IMDA classification or clarification.
- Reconcile the applicant and evidence. Match the company report, ownership information, contact person, diagrams and financial projections. For prepaid services, confirm the applicable paid-up capital and funding evidence.
- Use the online application route linked from IMDA's SBO page. Supply the requested information, declaration and applicable fee information, retaining submission references and authority correspondence.
- Respond to clarification requests against the same specification. Before launch, inspect the issued licence or registration, permitted services, conditions and commencement position. Hand the conditions to the staff responsible for service delivery and reporting.
The guide describes a fourteen-working-day Individual outcome for successful applications only where all information has been provided and clarifications completed. Class registration depends on complete information and payment where required. Neither description includes the time your company needs to settle architecture, funding or incomplete documents.
Reconcile the proposal before it becomes a filing
The network diagram, customer contract and financial projections should describe one business. Identify any mismatch before relying on the proposed licence category.
Budget for the fee basis and the prepaid capital condition separately
The SBO Individual licence template , version 10 dated 1 December 2025 and checked on 16 October 2026, specifies a minimum S$4,000 annual fee. It adds 0.5% of licensable annual gross turnover (AGTO) above S$50 million up to S$100 million, and 0.8% above S$100 million. AGTO concerns the licensable service revenue basis, not automatically every receipt in a group.
For illustration, if the relevant AGTO were S$60 million, the stated formula would produce S$4,000 + 0.5% × S$10 million = S$54,000. This is an arithmetic example, not a company forecast. The special live-Audiotex-only fee is S$200 for the five-year licence period; it should not be presented as the normal Individual annual fee.
Specified Class services have a one-time S$200 registration charge, while listed categories have no fee. Check the exact category in the official schedule rather than assigning a universal Class price. Individual licences have a five-year term; Class licences do not require renewal under the published guide.
The prepaid capital minimum is company funding, not a licence fee. It does not replace the annual charge or the operating budget. Company services, upstream capacity, systems and other permissions also sit outside the official SBO fee.
Do not use an information update to introduce an unapproved service
The Individual template requires prior written approval for changes to the systems or services described in its Schedule A, or for a new system or service outside it. A new product label, customer segment or payment arrangement should therefore trigger a scope review before launch where it changes the approved operation.
A separate obligation covers changes or inaccuracies in submitted information: the template specifies five calendar days, including weekends and public holidays. Prior scope approval and administrative notification are different controls. Telling IMDA a new address or contact does not authorise a new telecom service.
Assign an owner for AGTO evidence and the fee calendar. The template requires the audited AGTO statement or permitted alternative documents within six months after financial year end, subject to its live-Audiotex-only exception. Check the applicable alternative-document criteria and the actual issued conditions rather than assuming ordinary company audit exemption removes telecom reporting.
If the intended operation no longer matches the issued scope, stop the new activity, describe the change precisely and seek the required decision. Preserve the approved baseline so the regulator can distinguish an extension from a correction to existing information.
Settle service scope and customer funding before committing to the SBO route
First determine the network and customer service. Then decide the category, eligible entity and prepaid-funding consequences. Use that agreed model to prepare the evidence, financial plan and application, rather than selecting the cheapest licence and trying to fit the business into it.
Launch only within the issued scope and keep its reporting and change controls with the operational team. If network deployment, customer funds or the service itself changes, reassess the permission before accepting the next commitment.
Plan the entity and service-permission work together
Provide the architecture, customer offering and payment model to identify the company documents, regulatory questions and preparation responsibilities.
Frequently asked questions
Do purely internal group communications always need an SBO licence?
The guide provides a defined exception where a corporation leases elements from licensed operators solely for itself or its related corporations. Confirm that the users and arrangement satisfy that boundary; supplying unrelated customers changes the analysis.
Does operating within my own property remove the licence question?
Not necessarily. The published framework includes operators providing telecom services to third parties resident within their property boundaries. Property ownership alone is not the deciding exemption.
Can a service licence be transferred with the customer contracts?
The Individual template prohibits assignment, transfer or similar disposal of licence rights and obligations without prior written IMDA approval. A commercial agreement should not assume the regulatory permission transfers automatically.
Does SBO permission clear all radio equipment and frequencies?
The template contains separate technical obligations concerning equipment, radio stations and frequencies. Identify what the proposed system needs; a service licence should not be treated as an unrestricted spectrum or equipment clearance.
