Example: if 10,000 shares are sold for S$120,000 but supported value is S$150,000, ordinary share duty is 0.2% × S$150,000 = S$300. If price is S$150,000 and value S$120,000, the same S$300 arises from consideration. This illustration excludes reliefs, penalties and Additional Conveyance Duties.
Where the target owns no property, IRAS describes value by reference to the total allotment price for the transferred shares. Where it owns property, management accounts must support NAV and reflect the property’s market value at the document date, certified by a director or secretary. Obtain a proper valuation where the facts require it.
A target that is a property-holding entity can trigger Additional Conveyance Duties for qualifying acquisitions or disposals. Test associates, percentage interests and residential property exposure before signing; ordinary 0.2% duty is not the complete analysis.
