CROSS-BORDER ESTABLISHMENT
Singapore vs Vietnam Company Setup: Foreign Ownership & Compliance
Match the proposed ownership and operating activity to current registration, investment and reporting requirements.
For Singapore vs Vietnam company setup, settle the activity and operating location before the cap table. Singapore separates share ownership from management: a resident-director appointment does not itself require local equity. Vietnam’s activity-specific foreign market-access rules can change permitted owners, business scope and investment route. The ACRA structure comparison and Vietnam’s current market-access framework explain the different starting points. Plan around the permission still needed for the actual operation.
Key takeaways
- Write down the actual revenue-generating activities, investor nationality and proposed operating site before choosing a country.
- A Singapore resident director and a Singapore shareholder are different roles; resolve each requirement separately.
- For Vietnam, classify foreign market access before committing to the proposed share allocation.
- Do not order a Vietnam project using an automatic IRC-before-ERC checklist: the current law permits entity formation first.
- Allocate recurring company, tax, investment-reporting and audit work before committing to a local operating entity.
Define the operation before choosing a jurisdiction
Choose the country in which the proposed company needs to perform its work, rather than the country with the most attractive registration headline. A regional contracting company and a factory in Vietnam solve different problems. A Singapore company might be useful for regional contracts, but that decision does not establish the permissions needed for an operation situated in Vietnam.
The comparison here concerns a Singapore private company limited by shares and a proposed Vietnam foreign-invested company. It is a jurisdiction choice for a defined business, rather than a comparison of branches, representative offices or every available company form. In Vietnam, also identify the investment project: its activities, location, proposed investor, funding and implementation plan. A company name alone is too vague to support the comparison.
Prepare a one-page operating description with four separate statements: what the company sells, where people perform the work, which entity signs the customer contract, and which entity owns or uses the operating assets. Add every intended secondary activity. “Technology business,” for example, could hide software development, product distribution and a regulated service within the same label.
For the Singapore establishment workstream, the Singapore company registration overview provides the general setup context. Keep the country-choice record beside that workstream so a change in commercial scope triggers a fresh eligibility check before documents are filed.
Check the operation behind the country choice
Bring the proposed activity, contracting entity and operating location to a Singapore setup discussion before finalising the structure.
Turn foreign ownership into an activity-specific answer
In Singapore, the useful distinction is equity ownership versus local management . A local equity partner is not a general incorporation condition: ACRA allows shareholders to own the company while directors need not hold shares. Foreign shareholding and a qualifying resident-director appointment can therefore coexist without allocating equity to that director. Do not introduce a local equity partner merely to solve a director appointment issue.
Foreign founders must engage a corporate service provider to reserve a name and register the business structure. ACRA also separates incorporation from the work-pass requirement for a foreigner who intends to move to Singapore to run the business. These are different planning questions, as the current rules for foreigners explain. Sector-specific ownership or approval requirements still need an activity-level check; a general company-registration answer cannot settle a regulated business model.
For shareholder preparation, use the foreign-shareholder eligibility in Singapore discussion to organise the investor evidence. Keep the proposed share allocation separate from the director appointment, signing authority and beneficial-owner records. An individual can occupy more than one role, but one role does not prove that the conditions for another have been met.
Vietnam: classify first, then determine the permitted equity
Vietnam distinguishes unavailable, conditional and unrestricted foreign market access. Outside the restricted list, domestic-investor access treatment applies. Conditions can concern ownership, investment form, scope or investor and partner qualifications. There is no single foreign-equity percentage that answers every Vietnam business model.
Decree 96/2026, Articles 16–17 and Appendix I supplies the framework. Advertising services, for example, are conditional. An advertising agency therefore needs its own assessment; do not borrow an answer obtained for a manufacturer promoting its own products. Have the reviewer identify the applicable domestic and treaty provisions and record the basis for the proposed equity against each activity.
Ask the reviewer to return a usable answer: permitted ownership for this investor and activity, conditions that must be satisfied, and any activity that must be removed or handled separately. If the answer names only an industry without defining its scope, the ownership question remains open. Adding a small local shareholding without identifying the underlying restriction is not a reliable repair.
Build two completion files, even when registration comes first
For Singapore, use the Accounting and Corporate Regulatory Authority (ACRA) Bizfile incorporation instructions to prepare the approved name, registered office, financial year end, position holders, share allocation, constitution and applicable controller or nominator information. Complete the required review, endorsements and payment, then retain the successful incorporation notice and Business Profile. These are entity-registration evidence; separately list any permission needed for the planned activity.
Vietnam’s Investment Law 143/2025/QH15 took effect on 1 March 2026. Articles 19, 26 and 29 permit forming an entity before obtaining or adjusting an Investment Registration Certificate (IRC), while a project requiring one must complete IRC procedures before implementation. An Enterprise Registration Certificate (ERC) is not a substitute for a required IRC. Use the current law to check the proposed project’s requirement; a foreign investor’s new project and a share acquisition are distinct routes.
- Keep an entity file: the registered company, its owners and representatives, constitutional documents and registration output. Assign responsibility for checking that the filed details match the agreed structure.
- Keep a project file: the defined activity and location, ownership assessment, applicable investment-policy approval and IRC position, and any operating permissions. Mark each item as required, completed or supported as inapplicable.
- Reconcile the two files before launch. Compare the company’s business description, the project scope and the first customer contract. A mismatch needs a scope correction or further approval assessment before implementation.
Article 27 assigns IRC authority to provincial Departments of Finance or relevant zone management boards, subject to location-specific exceptions. Confirm the recipient for the actual site; check a filing brief that still names the former planning-and-investment institutions before using it.
The practical scheduling question is therefore “what must be completed before this operation starts?” Keep entity and project evidence separate and ask for milestones for registration, project clearance and operational readiness. If an application needs supplementation, reconcile the revised information across both files rather than correcting one certificate request while leaving the other description unchanged.
Clarify what your Singapore registration will complete
Identify the company records needed for incorporation and the activity approvals that require a separate workstream.
Budget for reporting capacity, not just incorporation
Singapore’s recurring work is organised around the company and its financial year end (FYE). ACRA requires annual returns for live companies, including dormant ones; for a non-listed company the usual deadline is seven months after FYE. A non-listed company with share capital and an overseas branch register has an eight-month deadline. The ACRA annual-return requirements also distinguish the corporate return from tax filing.
The Inland Revenue Authority of Singapore (IRAS) normally requires Estimated Chargeable Income (ECI) within three months after FYE, subject to the applicable waiver or exclusion. The annual Form C-S, Form C-S (Lite) or Form C is due by 30 November for the relevant Year of Assessment. Use IRAS’s corporate income-tax guide to determine the first filing period; incorporation year and first accounting period can affect the starting position.
Vietnam adds project reporting to local investment-registration and statistical authorities. Under Decree 96/2026, Article 124 , quarterly reports are due before the tenth day of the following quarter’s first month; annual reports before 31 March of the following year. Submission uses the National Investment Information System. Keep this work distinct from financial accounts and tax compliance.
For financial statements, the Ministry of Finance’s 2026 response on mandatory audit confirms that a business identified as foreign-invested must have its annual financial statements audited regardless of size. Do not transfer a Singapore audit-exemption assumption to the Vietnam company. Arrange the accounting close and auditor early enough to support the company’s applicable financial and tax submissions.
| Workstream | Who should own the calendar | Evidence to keep |
|---|---|---|
| Singapore corporate return | Company officers, supported by the secretary or filing provider | Accepted ACRA annual return and the supporting company information |
| Singapore income tax | Finance lead or appointed tax preparer | Relevant ECI and annual income-tax submission acknowledgements |
| Vietnam investment reporting | Named project-reporting owner | Quarterly and annual system submissions reconciled to project data |
| Vietnam financial close | Local accounting lead and independent auditor | Completed accounts, audit report and applicable submission records |
Keep ownership changes on a separate event-driven calendar. Vietnam’s July 2026 Decree 296 changed beneficial-owner provisions. The Ministry of Finance’s official clarification on the amended rules says the change did not itself require previously declared, unchanged information to be filed again within ten days. Actual information changes remain a separate notification question. For a new company, use current declaration requirements rather than an old threshold copied into a checklist.
For budgeting, request a scope that names each responsible preparer, the reviewing officer, the filing system and the expected acknowledgement. A proposal that covers “annual compliance” without saying whether it includes Vietnam project reports or the independent audit leaves a material operating task unassigned. Keep the tax calendar local to each company; neither country’s corporate return should be treated as proof that every other obligation is complete.
Test the choice against your first commercial contract
Use the first proposed contract as a stress test before approving the structure. The following examples are planning tests, not declarations that a named activity is automatically eligible. Each changes one commercial fact and identifies the evidence that must change with it. This helps expose a country choice that depends on an activity being narrower than the business actually intends.
| Proposed operation | Change that can overturn the setup assumption | Decision record to obtain |
|---|---|---|
| Regional services contracted through Singapore | The team will also perform a local operation in Vietnam | Identify the Vietnam operation separately; assess its local entity and permission requirements rather than relying on the Singapore registration |
| A narrowly defined Vietnam service company | The same entity will also resell products or offer an additional service | Classify the added activity and reconcile the equity conditions across the whole proposed scope |
| A Vietnam production project | The site or production scope changes during preparation | Recheck the project authority, site evidence and required project or operational approvals before implementation |
| An investment into an existing Vietnam company | The proposal changes from a new entity to purchasing an existing stake | Assess the acquisition route and required ownership-change clearances; do not reuse a new-project sequence unchanged |
Attach one owner to each unresolved item and write down what would close it: a sourced ownership assessment, an accepted registration, a required approval, or a documented reason that a requirement does not apply. Avoid the label “setup complete” until the record identifies which of these outcomes it describes. This is especially useful when an ERC is available while project work continues.
If both countries remain commercially plausible, compare the unresolved work against the intended launch. A Singapore structure with an unresolved resident-director appointment is not yet executable. A Vietnam structure with an unresolved foreign-access classification is not ready for a settled cap table. Choose the next piece of evidence that removes that specific uncertainty before paying for unnecessary restructuring or committing to an incompatible operating scope.
Choose Singapore or Vietnam from the unresolved permission
Choose Singapore when the intended operation belongs in Singapore and you can document the share structure, resident management and activity permissions. Choose a Vietnam operating company when the actual Vietnam business requires it and its market-access, project and recurring compliance work can be supported. This is an operational decision; a convenient place to incorporate does not relocate the underlying activity.
Before authorising filings, obtain two short sign-offs: the permitted ownership and activity scope, and the remaining conditions before implementation. Then approve a named compliance owner for each company and project. Resolve the permission that can block your first contract before treating incorporation as the final milestone.
Turn the comparison into a Singapore filing brief
Prepare the proposed owners, resident-director arrangement, activities and unresolved conditions for review before incorporation.
Frequently asked questions
Does a Singapore parent make its Vietnam investment domestic?
A company formed under Singapore law is a foreign investor in Vietnam. Assess the proposed Vietnam investment using the actual investor and the applicable market-access framework; inserting a Singapore holding company does not itself remove that assessment.
How should the country decision be recorded for a changing project?
Record the assessed activities, investor, site and intended contract alongside each unresolved permission. Keep the advice and registration outputs together, and assign someone to check whether a commercial change makes that record incomplete before the company implements it.
Should a launch in 2027 use the October 2026 conditions unchanged?
Recheck the rules that will be effective at implementation. Law 24/2026/QH16 has a stated effective date of 1 March 2027. Its future changes should not be presented as the rules already in force on 17 October 2026. The official law record confirms that date.
What if the proposed business scope is still changing?
Keep the ownership decision provisional and identify the activities already assessed. Before adding the new activity to contracts or implementation plans, check whether it changes access conditions, project permissions or the information being registered. A broad business label cannot resolve that question.
