Stamp Duty in Indonesia: Which Business Documents Need Attention?

A practical register for classifying instruments, assigning payment and keeping evidence with the final file.

A low-value Indonesian business contract can still require stamp duty. Agreements, statements, deeds, certain monetary records and court evidence need distinct checks; electronic format also falls within the document definition. The DGT scope rules make the document’s contents and use the starting point. Classify the file before deciding whether a threshold or exclusion applies.

Key takeaways

  • A small transaction value can hide a taxable agreement; keep the category test separate from the receipt threshold.
  • The receipt test asks both what the document acknowledges and whether its nominal amount exceeds IDR 5 million.
  • Exclusions need a recorded reason tied to the actual instrument, not a blanket label for the transaction folder.
  • Assign the liable party, payment event and document holder before circulating executed counterparts.
  • A completed file should retain payment evidence or a documented exclusion, plus any corrective endorsement.

Separate document type from transaction value

Indonesia charges stamp duty (bea meterai) at IDR 10,000 once for each taxable document. Law 10/2020, Articles 3–5 separates agreements and other named categories from documents acknowledging money received or debt settled. The latter category requires a nominal amount above IDR 5 million. The IDR 5 million threshold is not a general exemption for business agreements. Review the document's function before checking its value.

A service contract or lease should therefore enter your agreement review even when the stated amount is below that threshold. An invoice needs a different reading: does it merely request payment, or does its wording acknowledge receipt or settlement? A number printed on a document is insufficient by itself to establish the monetary-document trigger. Check other applicable categories and exclusions before deciding.

Use one classification per document version. A contract, payment receipt and delivery note in the same transaction can require different treatment; the commercial transaction is not the unit of this check.

Uncertain which category your file belongs to?

Bring the actual contract, receipt or statement and its intended use for a document-specific scope discussion.

Classify the business file before buying stamps

Use this classification register when collecting a business file. The legal categories and exclusions come from DGT’s stamp-duty scope summary ; the action column translates them into an internal review assignment. It is a working control, rather than a government form.

File encountered Classification question Action before release
Service, supply or lease agreement Does it record an agreement, including separately executed counterparts? Flag agreement duty; count the documents each party receives.
Statement or power of attorney Is it a civil statement or similar instrument? Review the instrument itself, even without a payment amount.
Notarial or land-official deed Is it a deed or its legally specified copy, extract or grosse? Reconcile the issued documents with the notary or land official.
Receipt or debt-settlement acknowledgement Does it acknowledge receipt or settlement above IDR 5 million? Record the amount and exact acknowledgement wording.
Securities and securities-transaction records Does it fall within a named securities category? Separate these from routine supplier payment paperwork.
Payroll receipt, internal cash receipt or goods-delivery evidence Does it fit an express statutory exclusion? Record the precise exclusion; do not extend it to every related contract.
Document intended for court evidence Was duty already paid, or is subsequent stamping required? Route the evidence file for review before submission.

For a receipt stating exactly IDR 5 million, the monetary threshold alone is not crossed. For one acknowledging IDR 5.1 million, it is crossed unless a relevant exclusion or exemption applies. These are illustrations of that category only. An agreement for either amount still needs the separate agreement test.

Read the operative wording , rather than treating filenames such as “invoice”, “voucher” or “confirmation” as tax classifications. Retain a short reason for every exclusion. If an invoice also records receipt, place the acknowledgement in the review record so finance can see why its treatment differs from an unpaid invoice.

During company formation in Indonesia , keep the deed and associated private instruments identifiable in the formation file. The stamp-duty register should point to each instrument rather than to an undifferentiated folder labelled “registration documents”. Classification, the payment event and proof of completion need to stay connected.

Document classification before stamp payment Classify the document by its contents. Agreements, receipts and exclusions take different tests. Record the party, trigger and evidence, and route missed duty for subsequent stamping. Classify document contents Agreement or deed Category test Monetary evidence Amount + wording Listed exclusion Match the exclusion Record the duty decision Party · trigger · supporting evidence Missed duty? Subsequent stamping
Use the appropriate category test first, then connect the decision to its party, trigger and evidence. The monetary threshold belongs to the receipt or settlement test.

Assign the liable party and payment trigger

Assign both the legally liable party and the operational person arranging payment. Under Article 9 of Law 10/2020 , a unilateral document generally places liability on its recipient; for documents made by two or more parties, each party is liable for the document it receives. Securities place liability on the issuer, court evidence on the submitting party, and qualifying foreign-made documents used in Indonesia on the beneficiary. Parties may agree who pays.

DGT’s timing summary places agreements and deeds at signing; statements and monetary documents at delivery to their intended recipient; securities documents at completion; court evidence at submission; and foreign-made documents at use in Indonesia. Signing abroad is not the end of the review. Identify the intended Indonesian use before the file moves across the border.

Add four fields to the register: trigger event and date, liable party, agreed payer, and person holding the completed document. For two executed counterparts, track each recipient's document separately. An email saying “the other side handles stamps” does not tell your records team which counterpart has been completed.

Signature authority and contractual terms need their own review within contract governance and transaction document support . Record that review alongside the duty decision so the person releasing the file can identify both owners.

Make counterpart ownership visible

Align the signing plan with the recipients, triggering events and person arranging each payment before the file circulates.

Match payment evidence to the final document

For an electronic taxable document, apply the electronic stamp through the stamp system and follow its instructions. PMK 78/2024, Articles 16–17 and 44, requires system application and the prescribed identifying features; a pasted stamp picture is not that procedure. The current payment rules also cover physical stamps and conditional use of a tax-payment slip (SSP).

Keep the final electronic file , its identifiable stamp details and payment evidence together. As an internal control, check that the file circulated for use is the completed version, not an earlier attachment. Give paper documents an equally clear storage reference, so staff can locate the actual stamped instrument.

DGT’s implementation notice for PMK 78/2024 confirms that the regulation replaced three earlier implementing regulations. Avoid copying an old checklist without checking its legal reference. If the electronic system fails, preserve the error evidence and check the conditional SSP route under Articles 42–43 before treating the payment as complete.

Route missed duty through subsequent stamping

When duty was missed or underpaid, use pemeteraian kemudian, or subsequent stamping. PMK 78/2024, Articles 47–51 provides the payment and endorsement route. For duty arising from 1 January 2021, the missed-duty category carries a 100% administrative sanction on the duty owed. A wholly unpaid IDR 10,000 obligation therefore means IDR 10,000 duty plus IDR 10,000 sanction in that situation.

Start with the original document, its date, any earlier payment proof and its intended use. Separate late payment from a document becoming taxable because it is used as court evidence: the regulation treats these situations differently. Older files also require the rules applicable to their original liability date.

Arrange the permitted payment method and obtain the required endorsement from an authorised postal or DGT official, as applicable to that method. Preserve the endorsed document or document list with the payment record. Simply buying another stamp does not complete this corrective procedure. Escalate an uncertain history or an imminent court submission before relying on the file.

Release the document with a recorded duty decision

Release a business document only when the register gives a traceable outcome: outside scope with a reason, covered by an identified exclusion or exemption, paid with matching evidence, or sent through a documented corrective route. A reviewer should be able to move from the file reference to the classification, triggering event, responsible party and supporting evidence without reconstructing the transaction.

Hold the unresolved item when its wording, foreign use, counterpart count or payment history changes the answer. Send that specific question and the actual document to the responsible adviser or tax office. Keep routine files moving once their own decisions are documented; one ambiguous instrument should remain visible as an exception.

Resolve the exception before releasing the file

Prepare the unresolved document, dates and existing payment evidence so the next review can address a concrete gap.

Frequently asked questions

Should a multi-page agreement be stamped on every page?

Duty is charged per document. Identify the agreement and separately executed counterparts; page count alone is not the charging unit.

Is an employment payment receipt treated like the employment contract?

The statutory exclusion covers specified employment-payment documents. Assess the employment agreement separately rather than extending that receipt exclusion to it.

What if a previously excluded document will be submitted to court?

Review the new evidentiary use before submission. The law provides subsequent stamping for court evidence, including documents that were outside the original taxable categories.

Can one department pay for both contracting parties?

The parties may agree who pays. Keep that arrangement and the payment evidence for each relevant document identifiable in the handover.

Does a scan of a stamped paper file replace the electronic stamping process?

A scan is a record of the paper file. For a taxable electronic document, check the electronic-stamp requirements against the actual document being used; do not treat a stamp image as system application.
