A Thai company can support a foreigner’s work permit when the employer and role meet the applicable conditions, but incorporation does not grant permission to work or stay. Assess the Department of Employment route separately from the immigration extension route: capital, Thai staffing and operating records do different jobs in each. Before funding the structure, test both files against the intended start date; the Ministry of Foreign Affairs guidance confirms that a business visa holder needs a work permit before starting work.

Start with the real job and the legal employer
A founder who will manage staff, deliver services or run daily operations should prepare a description of those duties, where they occur and which company receives the benefit. The title “director” is too broad to settle the work-permission question. Separate the person’s shareholder rights, corporate signing authority and proposed employment responsibilities before anyone fills in an application.
The underlying entity also needs a coherent ownership and operating plan. Company setup requirements in Thailand establish the base company record; a foreign worker’s eligibility remains a separate assessment. Record the real shareholders, source of share payments, director authority, office and business activity. A work-permit plan cannot cure an unresolved restriction on the company’s own business.
Compare actual duties with the Ministry of Labour’s prohibited and conditional occupations notice . It distinguishes prohibited work from occupations allowed only under specified conditions, and requires professional permission where the occupation is regulated. A management label should not conceal duties that fall into a restricted occupation.
Do not treat a pending application as an approved start date. Put the proposed start in the employment plan as conditional on effective permission, then assign someone to check the final authorization. This is especially useful when the founder is simultaneously arranging premises, signing customer contracts and preparing recruitment.
Check the employer before funding the structure
Share the proposed activity, ownership and daily duties so the company plan can be assessed alongside the intended work-permit route.
Test paid-up capital against the correct rule
For the ordinary capital-based route, attachment item 3 of the Department of Employment’s 2025 work-permit consideration regulation uses at least THB 2 million in paid-up registered capital for one foreign worker, with another worker for each additional THB 2 million and a limit of ten under that item. The regulation was announced on February 10, 2025 and took effect the following day. These are eligibility criteria, not a government charge or a promise of approval; the text was checked on September 8, 2026.
The attachment also provides other grounds, including qualifying tax, export, tourism and Thai-employment evidence, and permits certain cases to be considered on necessity and appropriateness. The note beside items 3–5 halves the investment amount where the applicant has a legally registered Thai spouse and openly lives together as spouses. Apply the documented ground that fits the facts; do not assume every applicant must use the same capital calculation.
For your funding file, distinguish registered capital from money actually paid for shares . A company affidavit, a share-payment record and a bank transfer answer different questions. Map each payment to the shareholder, date, shares issued and accounting entry. A loan or temporary transfer should not be relabelled as equity simply to make the application appear to qualify.
Keep a separate operating cash plan for wages, premises, tax administration and professional support. Capital is not an incorporation expense consumed by the government, and the permit criterion is not a complete launch budget. Conversely, spending available cash on genuine company operations does not eliminate the need to explain the capital history accurately. Ask the accountant to reconcile the funding trail before the application pack is signed.
Connect Thai staffing to the intended stay
The four-to-one staffing figure belongs in a clearly identified regime. The Immigration Bureau’s published business-necessity extension criteria require a qualifying business to have at least THB 2 million paid-up registered capital and one foreign employee per four permanent Thai employees. They also require the applicant’s qualifying immigration status and income, and audited financial statements for the previous accounting year as evidence of actual, continuing operation. These extension conditions were checked on September 8, 2026; they are not a substitute for the Department of Employment assessment.
The same immigration guidance lists specific treatment for representative offices, regional offices and overseas-company branches, including a reduced staffing ratio. Those categories must not be applied to an ordinary Thai subsidiary merely because its parent is overseas. A newly incorporated business should test how its genuine operating history fits the extension file early, instead of assuming the first permit automatically resolves a later stay application.
Build the staffing schedule around actual employees and supportable payroll records . Include start and leaving dates, duties, wage payments and the relevant tax and contribution records. A name on an organization chart does not explain whether the person meets a route’s employment definition. Reconcile the list that HR uses with the list supplied for the application.
The Social Security employer and employee registration task should follow the real employment relationship and feed the same payroll record. Do not invent employees, backdate employment or pay for names to appear in a file. If recruitment is genuinely later than the foreign worker’s intended start, make that timing conflict visible now and assess a lawful route or a revised start. Funding and headcount should now be read across both permission files: the same employer record feeds two separate decisions.
Read BOI promotion as a separate set of conditions
For an investment-promoted project using Sections 25 and 26, BOI examines the project, approved position and individual placement. The 2026 Thai investment guide identifies the Single Window workflow and the governing Por.8/2568 announcement. Promotion is therefore a reason to classify the application differently, rather than to omit the employment review.
Under BOI’s foreign-personnel criteria , manufacturing entities with more than 100 total employees generally need Thai personnel to represent at least 70% of employment; this particular proportion does not apply to manufacturing entities with 100 or fewer employees or to service activities. The announcement defines Thai personnel by full-time employment, registration and paid Social Security contributions. Short approved stays and specified discretionary cases receive separate treatment. Other project-certificate conditions still matter.
BOI also applies position and individual qualification requirements, including income evidence. A staffing exception is not an exemption from all BOI conditions . Retain the certificate, approved position, placement result and conditions together. In planning, mark the exact project and role covered by the proposed permission; do not assume the approval extends to another group company or to every duty the founder might later perform.
Use the employer readiness matrix before committing funds
Use these hypothetical planning situations to identify the first unresolved decision, not to predict an officer’s approval. It combines the capital, immigration and BOI distinctions above. A row can remain unresolved even when another row is well documented; adding capital does not automatically repair missing personnel or permission evidence.

For each applicable row, assign a director or other responsible owner, identify the source record and set a decision date before an irreversible commercial commitment. Ask whether the proposed remedy changes a real fact or merely changes its description. Only the former can resolve a genuine eligibility gap. Save the selected route and reasons so a later adviser or HR owner can understand why the company was structured that way.

Keep the company evidence usable through renewal
Prepare two linked folders: the company’s employer file and the individual’s permission file. The current Department of Employment Section 59 application handbook uses e-WorkPermit, with application form Bor Tor 25 and employment certification Bor Tor 46. It distinguishes employer categories and requests corporate, shareholder, tax or financial records as applicable, alongside the person’s immigration, qualification and medical evidence. Do not reuse a branch checklist for a Thai incorporated company.
Within the company folder, keep one dated master record of the legal name, number, signing authority, address, capital and actual activities. Link the supporting documents instead of copying the same data independently into several spreadsheets. In the individual folder, record the actual duties, employer, permission details, immigration permission and next review date. Compare the two folders whenever a material fact changes.
The handbook’s workflow includes electronic submission, review through e-Tracking, payment and an appointment for identification and biometric collection. Where the application is defective, the system records the deficiency and a correction deadline. Assign a person to monitor that deadline and retain the replacement evidence and submission acknowledgement. An upload receipt proves that a step occurred; it does not by itself prove that work can begin.
Maintain a practical monthly reconciliation between payroll, employment changes, contribution evidence and the activity actually performed. Review the file before changing directors, offices, duties or the employing entity, and before a planned resignation or overseas trip affects the permission timetable. Where records disagree, correct the original record through the proper process and preserve the explanation rather than quietly changing every copy.
Buying an older company simply to obtain an established employer file requires the same scrutiny. Review what its accounts, payroll and approvals actually represent, who controlled earlier filings and whether you can substantiate them. Do not let the age of a company replace evidence of its operations. Separate the commercial acquisition decision from the decision to use it as an employer.
Release the work start only when both permissions align
Approve the proposed employment plan only after the real company, funding, role and route are aligned, the material evidence gaps are closed, and the required work and stay permissions are effective. Give the person responsible for the start date the final documents, not a verbal assurance that an application is progressing. Record the actual permitted activity and next renewal or review milestone.
Pause when the plan relies on unexplained share payments, fictitious Thai employees, a BOI approval that does not cover the position, or an immigration extension assumption that the company cannot support. The priority is to repair the controlling fact or select a demonstrably applicable route. A company should be capable of supporting its real business and workforce throughout the permission period, not only on the day the file is submitted.
