FBA RESTRICTION FRAMEWORK
Thailand Foreign Business Act: Lists 1, 2, and 3 Explained
Use the correct list, then read the current exception and the approval route together.
Thailand’s Foreign Business Act uses three lists with different legal consequences: List 1 is generally prohibited for foreigners, List 2 follows a special Minister and Cabinet permission route, and List 3 generally requires Director-General permission with Foreign Business Commission approval. The list number is only the starting point: current exceptions, treaty or promotion provisions and sector laws can change the route.
Key takeaways
- Do not treat the three lists as interchangeable licence categories.
- List 3 includes broad service coverage, with prescribed exceptions.
- An exemption has a defined scope; it does not remove unrelated sector obligations.
- Use current Thai instruments alongside older English explanatory material.
In this article
- Compare the three lists by permission route

Compare the three lists by permission route
The FBA framework in sections 8 and 15 separates prohibition, special permission and the ordinary List 3 permission route. The comparison below is a navigation tool, not an approval decision for an individual project. Determine the applicant’s foreign status and describe the actual activity before using it.
| List | General character | Ordinary FBA route | First planning action |
|---|---|---|---|
| List 1 | Activities reserved for special reasons | No ordinary FBL route | Stop assuming a licence will solve entry |
| List 2 | Security, cultural, resource or environmental concerns | Minister with Cabinet approval; additional conditions | Check sector, ownership and approval constraints |
| List 3 | Activities protected on competition grounds | Director-General with Commission approval, unless another route applies | Read the exact item and current exception |
A company certificate is not permission to undertake a listed activity. The underlying company setup process in Thailand creates the entity. The activity analysis determines the additional work needed before that entity can operate the intended business.
Identify the applicable list
Start with the applicant and a plain description of each proposed activity.
List 1 requires a fundamental entry decision
List 1 contains activities such as farming, animal husbandry, specified fisheries, natural-forest activities, trading in land and certain culturally sensitive businesses. These examples illustrate the list’s scope; the controlling Thai annex supplies the exact categories. Do not infer that a loosely related activity is either prohibited or permitted from its English label alone.
A project description should distinguish cultivating a crop from manufacturing a processed product, and trading in land from another property-related service. The facts determine which legal questions arise. Obtain a specific assessment where the proposed contracts cross those boundaries.
For planning, the key consequence is that an ordinary List 3 licence application is not a response to a List 1 prohibition. Before buying equipment or signing a long lease, establish whether the project can lawfully proceed as proposed or needs a genuinely different business plan.
List 2 adds conditions beyond a routine application
List 2 groups activities involving national safety or security, Thai arts and culture or traditional crafts, and natural resources or the environment. Domestic transport and certain specified manufacturing activities are examples; they should not be expanded into a claim that all transport or all manufacturing belongs to this list.
List 2 ownership conditions require careful reading. Section 15 ordinarily requires at least 40% Thai participation and Thai directors comprising at least two-fifths, with a specified Cabinet-approved reduction route for the Thai shareholding requirement to no less than 25%. This is not a general entitlement to 100% foreign ownership through an ordinary List 2 licence.
Identify any sector law and any genuinely applicable treaty or promoted-project provision separately. A convenient description such as “approved foreign company” does not establish which permission was granted or what it covers.
List 3 needs both the activity item and its exception
List 3 includes named professional services, construction, agency and brokerage, retail, wholesale, advertising, hotel operation, tourism, food and beverage sales and other services, among its categories. Some entries contain their own exceptions or capital conditions; the service catch-all is also subject to ministerial exceptions. A broad business label is therefore insufficient.
Break the intended revenue into actual obligations. A company manufacturing a product, distributing third-party goods and charging maintenance fees may need different answers for each stream. Do not let the most permissive stream determine the treatment of the others.
Use exception conditions as a positive evidence task. Record the exact provision, the facts it requires and the records supporting those facts. “Not mentioned in a short list of restricted industries” is not a sound basis for treating a service business as unrestricted.
The separate treatment of capital percentages and arrangement genuineness in the Thai majority ownership boundary remains relevant when comparing structures. Changing the shareholder mix is not a substitute for a truthful investment arrangement.
Check the exception before committing
Match the actual service, customer and ownership facts to the provision being relied on.
Apply the 2026 instruments before relying on an older summary
As checked on November 4, 2026, the 2026 service-exemption regulation No. 5 addresses defined activities, including Type 1 telecommunications, treasury centres and specified services between related entities. Its relationship, counterparty and other conditions matter. It does not create a blanket exemption for consulting or every intra-group payment.
The official index for Royal Decree No. 2 of 2026 records the later List 3 amendment. Effective September 29, 2026, item 13 retains the domestic indigenous agricultural-products restriction with a revised exception for qualifying agricultural futures trading and delivery or receipt at exchange-designated warehouses. Ordinary domestic agricultural trading should not be treated as generally liberalised.
Keep a short change ledger: instrument, effective date, affected item, qualifying facts and remaining obligations. This makes it possible to explain why a current conclusion differs from an older English webpage. The authoritative Thai instrument takes priority over a translated summary.
A service exemption and an amendment to an annex item are different legal mechanisms. Neither establishes that the company holds a required telecommunications, financial, professional or other sector licence. Name the remaining regulator and approval rather than writing “no licence required” without qualification.
Use the list result to select the next lawful action
Record the exact activity, list item, current exception if any and the relevant permission authority. Where the conclusion is uncertain, state the unresolved factual boundary and obtain clarification before committing the business to operate. Preserve the source version and assessment date.
The useful result is a scoped action: reconsider a prohibited proposal, investigate a special List 2 route, prepare a List 3 application or document why another route applies. Keep sector permissions and operating conditions open until they have their own completion evidence.
Select the correct permission workstream
Use the list result and current instrument to define the next required action.
Frequently asked questions
Do the lists apply only to newly incorporated companies?
An existing entity’s proposed or continuing activity also needs the appropriate analysis. Check changes in ownership, activity and the current law.
Can a company have activities in more than one list?
A business plan can contain distinct activities with different classifications. Assess each stream rather than selecting one label for the whole company.
Does an English activity description control the result?
No. Use the actual facts and the authoritative Thai provision, obtaining a reliable translation and assessment where necessary.
Does an exemption cover unrelated new revenue?
Only activity satisfying the exemption’s scope and conditions can rely on it. Review additional revenue before assuming it shares the same treatment.
