FBL APPLICATION EXECUTION
Thailand Foreign Business License: Requirements and Application Process
A submission-to-issuance plan with document ownership, official costs and completion evidence.
A Thailand Foreign Business License application requires an eligible applicant, a precisely defined restricted activity, supporting identity and authority records, and a credible business explanation for the reviewing authority. The practical sequence below focuses on a Thai incorporated company seeking a List 3 FBL; overseas entities, individual applicants and List 2 projects have different evidence or approval conditions.
For provisional scheduling, a roughly three-to-five-month allowance from settled scope through document preparation and licence issuance can be used as an editorial planning model, assuming prompt cooperation and a complete List 3 case. It is not an official service promise: the statutory consideration period is only one part of the sequence, and unresolved evidence can extend preparation.
Key takeaways
- Confirm that an FBL, rather than an exception or FBC route, is the correct task.
- A submitted draft, accepted application, permission decision and issued licence are different milestones.
- Official application and licence fees are separate from capital and professional work.
- Retain the approved scope and conditions as operating controls after issuance.

Confirm the applicant and the activity requiring an FBL
First establish the applicant’s status and what it proposes to do. A List 1 prohibition is not an ordinary FBL application opportunity. List 2 uses the Minister and Cabinet route with separate ownership requirements. A treaty or promoted-project entitlement may instead involve an FBC, while a valid activity exception may mean no FBL is needed for that activity.
Apply for the business that will actually be carried on. Describe the deliverables, customers, contractual role, revenue model, place of performance and personnel. Resolve any mixed activities before drafting a single scope statement that could otherwise conceal an additional restricted service.
For the Thai incorporated applicant, the company registration record in Thailand provides the legal entity, capital, shareholders and directors. The licensing pack must agree with those records while explaining a narrower operational scope. Broad corporate objectives do not expand the eventual licence.
The FBA includes applicant qualifications and prohibited characteristics, and applies relevant requirements to foreign directors, managers or responsible persons of a juristic applicant. Obtain the prescribed declaration and review the actual individuals under the current requirements. Do not assume that incorporation has already settled eligibility for the licence.
Confirm the correct application route
Identify the applicant, restricted activity and any alternative certificate or exception before preparing the pack.
Assign the application evidence to the person who can verify it
The official Thai-company List 3 citizen guide identifies the application, corporate particulars, qualifications declaration, business details, location map and conditional authority records. Its page carries older procedural metadata, so use it as a document map and confirm the current form and digital attachment requirements in the live service before signing.
| Evidence group | Responsible owner | Purpose | Pre-submission check |
|---|---|---|---|
| Application and eligibility declaration | Authorised applicant and relevant responsible persons | Identify the request and statutory eligibility | Current form, complete particulars and genuine signatures |
| Entity, shareholders and directors | Corporate records custodian | Establish legal existence, capital and authority | Names and signing powers agree across records |
| Business explanation and forecasts | Business lead and finance owner | Explain scope, capability and investment plan | Assumptions agree with contracts and funding |
| Premises and representative authority | Location owner and authorised principal | Identify operating location and permitted representation | Map, authority and requested support are complete |
For an overseas entity, establish its legal existence, constitutional and management records, the person authorised in Thailand and the authority chain from the foreign entity to the signer. Confirm the certification, legalisation and Thai-translation requirements before commissioning documents. Do not apply the domestic-company attachment list unchanged to a branch.
An individual applicant needs the applicable personal identity, eligibility and business records rather than a fictitious corporate affidavit. Choose the applicant category in the live system correctly. If a representative handles the application, the mandate should cover the actual task and use the required execution and stamp treatment.
Business-case evidence should demonstrate capability rather than repeat promotional claims. Explain the service, expected customers, operating resources, workforce and know-how transfer where relevant. Attribute projections to assumptions and distinguish existing contracts from hoped-for sales. Never present an expression of interest as a completed customer contract.
The Act’s merits framework concerns effects on Thailand, including economic development, employment, technology and other public interests. Describe the project’s actual contribution and supporting facts; there is no guaranteed approval formula based on inserting preferred phrases into the plan.
Submit through the current foreign-business service
Use DBD’s official online-service directory to reach e-Foreign Business. It is distinct from company formation in DBD Biz Regist and annual financial submissions in DBD e-Filing. Do not assume access to one system establishes access or authority in another.
- Complete the account, identity and representative-authority requirements for the relevant applicant.
- Prepare the current application data and attachments, reconciling the activity and corporate facts before submission.
- Respond to the completeness review and obtain the application reference and relevant acceptance or payment records.
- Pay the application charge as instructed and retain the receipt linked to the application.
- Answer substantive questions using a controlled, documented revision of the business case.
- After permission, complete the licence payment and issuance steps and obtain the final document.
The DBD process graphic shows the digital filing, application payment, committee review and licence-download sequence. Preserve the live system’s actual records rather than inventing status labels from a general diagram.
Appoint someone who understands the proposed business to handle questions. A portal operator may upload files correctly while being unable to explain a contract boundary or a forecast assumption. Separate document administration from responsibility for the facts submitted.
Separate official fees, professional work and minimum capital
As checked on November 4, 2026, the official List 3 Thai-company guide lists a THB 2,000 application charge and a licence charge of THB 5 for each THB 1,000 of registered capital, rounding a fraction of THB 1,000 upward, subject to a THB 20,000 minimum and THB 250,000 maximum. Confirm the actual payment instruction for the application.
Illustrative calculation: THB 3,000,000 registered capital gives 3,000 units multiplied by THB 5, or THB 15,000 before the statutory minimum. The licence charge is therefore THB 20,000, making the two official charges THB 22,000 for that example. That is not an all-in service price and does not include document, translation, certification or professional work.
Capital is not a licensing fee. Section 14 sets a minimum-capital floor of THB 3 million for each business requiring permission, with the applicable ministerial conditions and expenditure assessment potentially requiring more. Do not assume a single THB 3 million figure covers every business line or treat capital as money paid to an adviser.
The applicant type matters to capital and remittance mechanics. A Thai company’s capital record and an overseas entity’s inward-remittance obligations are different questions. Have the calculation, payment timing and evidence plan reviewed for the actual applicant and permission before transferring funds.
Professional work and third-party expenses should be separately scoped in a written proposal. This process explanation does not quote an FBL service package or combine an incorporation price with licensing work that the package excludes.
Plan the evidence and capital together
Separate official charges from the applicant’s actual capital and documentary obligations.
Schedule the statutory clock separately from preparation
Section 17 provides a 60-day consideration framework and a 15-day issuance period after permission; List 2 has a specified possible extension to Cabinet consideration. Use the statutory timing provisions for the controlling rule and distinguish the accepted application from an incomplete draft or preliminary discussion.
The provisional three-to-five-month planning model assumes the scope is settled, documents can be produced promptly and the application moves into the statutory review without a major unresolved issue. It allows preparation and completion time around that review. This is an editorial scheduling assumption, not observed HSJGlobal processing data or a guarantee from DBD.
Overseas records, translations, unanswered questions, revised activities or a different approval route can change that model. Track each dependency by owner and required output. Bank account opening, tax configuration, premises remediation, immigration and sector permissions are excluded from this FBL-only planning allowance.
Handle a query or refusal according to its actual effect
A request for clarification and a formal refusal need different responses. For a query, preserve the question, explain the factual correction and identify every affected document. For a refusal, obtain the written reason and notification date promptly so qualified advice can assess the applicable response route.
For a List 3 refusal, the Act provides an appeal route applying section 20, including a 30-day period from receipt of the relevant notification. Do not assume an informal conversation or a fresh submission preserves that deadline. Assess the specific decision with the complete record.
The recovery principles behind diagnosing a registration objection also help organise the evidence, but an incorporation correction is not an FBL appeal. Keep the authority, decision and remedy separate.
Close the FBL application with the issued scope and conditions
Close the licensing task only after the issued document, payments, authorised activity and conditions have been checked against the intended operation. Assign responsibility for the capital, reporting and other conditions that actually apply. Preserve the final approved business description with the licence.
A permission decision alone does not complete every launch task. Release the activity only when the licence requirements and separately applicable sector and operational conditions are satisfied. Review changes to services, customers or operating model before assuming the existing licence covers them.
Check the issued permission against launch
Make the approved scope and conditions usable by the operating team.
Frequently asked questions
Is the FBL application fee the same as the licence fee?
No. The application charge is a separate payment from the charge for the licence after permission. Match both receipts to the relevant application.
Can the company trade while its FBL is pending?
A pending application does not itself authorise a restricted activity. Establish the required permission and all other applicable conditions before release.
Must every foreign document be legalised in the same way?
Requirements depend on the document, applicant, country and submission instructions. Confirm the chain before ordering certification or translation.
Does the FBL automatically expire each year?
Do not assume an annual renewal model. Read the actual licence and applicable law for validity, conditions, changes and continuing obligations.
Can one representative sign for all participants?
Only valid authority for the particular act can support representation. An account login or engagement letter alone does not establish every required person’s signature authority.
